Any notice, request, approval, consent or other communication required or permitted to be given by any party to any other hereunder shall be in writing and shall be deemed to have been duly given when delivered personally or by overnight courier; or received following deposit as prepaid certified mail (return receipt requested) with the United States Postal Service; and addressed to the appropriate party at its address as such party shall have last designated by notice to the other. Grantee agrees to indemnify Grantor from and against liability incurred by Grantor as a result of such Grantee's negligence in the exercise of the rights herein granted to such Grantee, but nothing herein shall require either Grantee to indemnify Grantor for that portion of any such liability attributable to the negligence of Grantor or the negligence of others. This easement shall run with the land described herein, and shall be binding upon the parties, their heirs, successors in interest and assigns.
