THIS AMENDMENT NO. 1 to the Safe Routes to Transit Program Capital Improvements
Agreement between King County, Metro Transit Department and the City of Renton dated
September 2, 2020 (the "Agreement"), is entered into by and between King County, a political
subdivision of the State of Washington, acting through its Metro Transit Department (the
"County" or "Metro") and the City of Renton, a municipal corporation of the State of Washington
(the "City"), either of which may be referred to hereinafter individually as "Party" or collectively
as the "Parties."
Whereas, the Agreement generally relates to the design and construction of certain capital
projects that are expected to improve safety, convenience and accessibility for people walking,
bicycling and using assistive mobility devices to connect to transit services and facilities, and
establishes the terms and conditions, scope of work, and budget for Project locations in Renton;
and
Whereas, Section 4 (Invoice and Payment Procedures) of the Agreement provides that the
County will reimburse the City for actual, eligible costs incurred for work performed pursuant to
the Agreement through December 31, 2020; and
Whereas, Section 5 (Effective Date and Duration of Agreement) of the Agreement provides that
the Agreement will be effective from September 2, 2020 until March 31, 2021; and
Whereas, in accordance with Section 15 (Changes and Modifications) of the Agreement, the
Parties now desire to amend the Agreement to extend its term in order to complete the scope of
work so as to fulfill the intent of the Parties' objectives under the Agreement; and

Whereas, through this Amendment No. 1 to the Agreement, the Parties also desire to modify the
proposed Project improvements and update the Project schedule as a result of recent design
work;
NOW, THEREFORE, in consideration of the terms, conditions, and mutual covenants set forth
herein and in the Agreement, the Parties hereby agree to amend the Agreement as follows:
Subsection 4.1 (Invoice and Payment Procedures) of the Agreement is modified to read
as follows:
The County will reimburse the City for actual, eligible costs incurred for
work performed pursuant to this Agreement as identified in the SOW. The
City shall submit a completed invoice to the County detailing quarterly
activities, outcomes, expenses and reimbursement amount due within
thirty (30) days of each quarter's end. The County shall pay the City
within thirty (30) calendar days after the County has received completed
invoices. In no event shall the total reimbursement to City for work
performed pursuant to this Agreement exceed the Reimbursement Cap
provided for in Subsection 3.1 of this Agreement.
2. Section 5 (Agreement Term and Modifications) of the Agreement is modified to read as
follows:
This Agreement shall be in effect upon the latest date on which both
Parties have signed the Agreement (the "Effective Date") and shall
remain in effect through December 31, 2021, unless extended by written
amendment of the Parties pursuant to Section 15 or earlier terminated
pursuant to the provisions of Section 7 of this Agreement.
3. The table of projects set forth in Section 3 (Projects included in this Agreement) of
Exhibit A (Statement of Work) to the Agreement, is deleted in its entirely and replaced
with the following table:

Except as specifically provided for in this Amendment No. 1, all other terms and

This Amendment No. 1 shall be attached to and made a part of the Agreement. Any
references to the Agreement shall mean the Agreement as amended.
This Amendment No. 1 shall take effect upon the date it has been signed by both Parties.
IN WITNESS WHEREOF the Parties hereto have caused their duly authorized representatives
to execute this Amendment No. 1 to the Agreement as of the dates set forth below their
respective signatures.
