DEPARTMENTOFECOLOGYStateofWashingtonIAANo.C2200051INTERAGENCYAGREEMENT(IAA)BETWEENTHESTATEOFWASHINGTON,DEPARTMENTOFECOLOGYANDCITYOFRENTONTHISINTERAGENCYAGREEMENT(Agreement”orIAA”)ismadeandenteredintobyandbetweenthestateofWashington.DepartmentofEcology,hereinafterreferredtoas“ECOLOGY,”andtheCityofRenton,hereinafterreferredtoasthe“CONTRACTOR,”pursuanttotheauthoritygrantedbyChapter39.34RCW.THEPURPOSEOfTHISAGREEMENTisfortheCONTRACTORtoprovidePollutionPreventionAssistance(PPA)SpecialistswhowillprovidetechnicalassistanceandeducationoutreachtosmallbusinessesinanefforttopreventpollutionofwatersofthestateaspartofthePollutionPreventionAssistancePartnership(formerlyknownastheLocalSourceControl(LSC)Partnership).WHEREAS,ECOLOGYhaslegalauthority(RCW70A.214andRCW70A.300)andtheCONTRACTORhaslegalauthority(RCW70A.214,RCW70A.300,RentonMunicipalCode4-6-030)thatallowseachpartytoundertaketheactionsinthisagreement.THEREFORE,ITISMUTUALLYAGREEDTHAT:1)SCOPEOFWORKTheCONTRACTORshallfurnishthenecessarypersonnel,equipment,materialandlorservice(s)andotherwisedoallthingsnecessaryfororincidentaltotheperformanceoftheworksetforthinAppendixA,StatementofWork,andAppendixB,BtidgetDetail,attachedheretoandincorporatedherein.2)PERIODOfPERFORMANCETheperiodofperformanceofthisL&AwillcommenceonJuly1,2021,andbecompletedbyJune30,2023,unlesstheAgreementisterminatedsoonerasprovidedherein.Amendmentsextendingtheperiodofperformance,ifany,shaltbeatthesolediscretionofECOLOGY.Version5/20/2020 StateofWashington.DepartmentofEcologyIAANo.C2200051CityofRenton3)COMPENSATIONCompensationfortheworkprovidedinaccordancewiththisfAAhasbeenestablishedunderthetermsofRCW39.34.130andRCW39.26.180(3).Thisisaperformance-basedagreement.underwhichpaymentisbasedonthesuccessfulcompletionofexpecteddeliverablesandcompliancewithalltermsandconditions.Compensationforthisagreementwillbereleasedintwo1-yearphases.PhaseOneislimitedto50percentoftheprojectbudgetandPhaseTwocanbeuptotheremainingpercentageoftheprojectbudget.OnorbeforeAugust15,2022,ECOLOGYwillevaluateavailablefundingandtheCONTRACTOR’sperformanceandprogresstowardsmeetingcontractdeliverablesandspending.ToreleasethesecondyearfundingtheCONTRACTOR.byJune30,2022,must:I.Completeaminimumof40%ofthetotalsitevisitdeliverables,and2.Utilize40%ofthetotalcompensationaward.IfperformanceobligationshavebeenmetandfundingisavailableperECOLOGY’sdetermination,thefullyear2budgetatvardwillbeconsideredavailable.ShouldtheCONTRACTORfailtomakesatisfactoryprogressorfundingislimited,ECOLOGYwilldeterminetheappropriateadditionalfundingtoreleaseforyear2ofthecontract.ECOLOGYwillconsidervariousfactorsindeterminingyear2fundingincluding,butnotlimitedto,availablefunding,performancetodate,staffvacancies,timeandcostsspentonuniqueprogramelements,andpotentialcircumstancesbeyondtheCONTRACTOR’scontrol.ThesourceoffundsforthisIAAisModelToxicsControlOperatingAccount(23P),ModelToxicsControlCapitalAccount(23N).Bothpartiesagreetocomplywithallapplicablerulesandregulationsassociatedwiththesefttnds.Thepartieshavedeterminedthatthecostofaccomplishingtheworkidentifiedhereinwillnotexceedonehtindredseventy-fivethousanddollarsandzerocents($175,000.00).includinganyindirectcharges.Paymentforsatisfactoryperformanceoftheworkshallnotexceedthisamotintunlessthepartiesmutuallyagreeviaanamendmenttoahigheramount.CompensationforservicesshallbebasedonthetermsandtaskssetforthinAppendixA.StatementofWork.ECOLOGYwillnotmakepaymentuntilithasreviewedandacceptedthework.Travelexpenses(meals,lodging,andmileage)willbereimbursedaccordingtocurrentstateratesatthetimeoftravel,nottoexceedthebudget(seeAppendixB,BudgetDetail].Purchaseofsourcecontroltoolsorequipment(e.g.spillkits,plasticdrumcovers)andpromotionalitemsfordistributiontobusinessescinderthiscontractmustbelistedinGoodsandServicesbudgetorEquipmentbudgetinAppendixB.Anypurchasesofequipmentorgoodsandservicesover$1,000.00notspecificallylistedinAppendixBmustbepre-approvedbyECOLOGY.Whentheagreementexpires,orwhentheequipmentisnolongerneededfortheoriginallyauthorizedpurpose(whichevercomesfirst)thedispositionofequipmentshallbeatECOLOGY’ssolediscretion.IndirectrateswillbepaidasindicatedinAppendixB,BudgetDetail.ChangestotheindirectratemaybeconsideredbyECOLOGY.CONTRACTORshallprovidesupportingdocumentationnecessitatingthechangetoECOLOGY.ECOLOGY’sapprovalwillbecommunicatedbye-mail.Anincreaseinindirectratedoesnotincreasethetotalcontractaward.ChangesarehandledbyadjustingthebudgetbetweencategorieslistedinAppendixB.Changestothetotalbudgetcostofthecontractshallrequireanamendment.ThebudgetreferencedinAppendixBmaybeadjustedbetweencategories(withtheexceptionofthevoucherprogrambudgetcategory),withECOLOGY’spreapproval,andaslongasthetotalbudgetisnotexceeded.2version5/20/2020 StateofWashington,DepartmentofEcologyIAANo.C2200051CityofRenton7)ASSURANCESPartiestothisAgreementagreethatallactivitypursuanttothisagreementwillbeinaccordancewithalltheapplicablecurrentfederal,state,andlocallaws,rules,andregulations.8)CONFORMANCEIfanyprovisionofthisAgreementviolatesanystatuteorruleoflawofthestateofWashington.itisconsideredmodifiedtoconformtothatstatuteorruleoflaw.9)DISPUTESPartiestothisAgreementshallemployeveryefforttoresolveadisputethemselveswithoutresortingtolitigation.IntheeventthatadisputearisesunderthisAgreementthatcannotberesolvedamongtheparties,itshallbedeterminedbyaDisputeBoardinthefollowingmanner.EachpartytothisAgreementshallappointonemembertotheDisputeBoard.ThememberssoappointedshalljointlyappointanadditionalmembertotheDisputeBoard.TheDisputeBoardshallreviewthefacts,agreementterms,andapplicablestatutesandrules,andthenmakeadeterminationofthedispute.ThedeterminationoftheDisputeBoardshallbefinalandbindingonthepartieshereto,unlessrestrictedbylaw.Thecostofresolutionwillbebornebyeachpartypayingitsowncost.Asanalternativetothisprocess,ifstateagencies,eitherofthepartiesmayrequestinterventionbytheGovernor,asprovidedbyRCW43.17.330,inwhicheventtheGovernorsprocesswillcontrol.Thepartiesmaymutuallyagreetoadifferentdisputeresolutionprocess.10)FUNDINGAVAILABILITYECOLOGY’sabilitytomakepaymentsiscontingentonavailabilityoffunding.Intheeventfundingfromstate,federal,orothersourcesiswithdrawn,reduced,orlimitedinanywayaftertheeffectivedateandpriortocompletionorexpirationdateofthisAgreement.ECOLOGY,atitssolediscretion.mayelecttoterminatetheAgreement.inwholeorpart,forconvenienceortorenegotiatetheAgreementsubjecttonewfundinglimitationsandconditions.ECOLOGYmayalsoelecttosuspendperformanceoftheAgreementuntilECOLOGYdeterminesthefundinginsufficiencyisresolved.ECOLOGYmayexerciseanyoftheseoptionswithnonotificationrestrictions,althoughECOLOGYwillmakeareasonableattempttoprovidenotice.Intheeventofterminationorsuspension,ECOLOGYwillreimburseeligiblecostsincurredbytheCONTRACTORthroughtheeffectivedateofterminationorsuspension.ReimbursedcostsmustbeagreedtobyECOLOGYandtheCONTRACTOR.InnoeventshallECOLOGY’sreimbursementexceedECOLOGY’stotalresponsibilityundertheagreementandanyamendments.11)GOVERNINGLAWANDVENUEThisAgreementisenteredintopursuanttoandundertheauthoritygrantedbythelawsofthestateofWashingtonandanyapplicablefederallaws.TheprovisionsofthisAgreementshallbeconstruedtoconformtothoselaws.ThisAgreementshallbeconstruedandinterpretedinaccordancewiththelawsofthestateofWashington.andthevenueofanyactionbroughthereundershallbetheSuperiorCourtforThurstonCounty.12)INDEPENDENTCAPACITYTheemployeesoragentsofeachpartywhoareengagedintheperformanceofthisAgreementshallcontinuetobeemployeesoragentsofthatpartyandshallnotbeconsideredforanypurposetobeemployeesoragentsoftheotherparty.4Version5/20/2020 StateofWashington.DepartmentofEcologyIAANo.C2200051CityofRenton13)ORDEROFPRECEDENCEIntheeventofaninconsistencyinthetermsofthisAgreement,orbetweenitstermsandanyapplicablestatuteorrule,theinconsistencyshallberesolvedbygivingprecedenceinthefollowingorder:a.ApplicablefederalandstateofWashingtonstatutes,regulations,andrules.b.MutuallyagreeduponwrittenamendmentstothisAgreement.c.ThisAgreement,numberC220005I.d.AppendixA,StatementofWork.e.AppendixB,BudgetDetail.f.AppendixC,SpecialTermsandConditions.g.AnyotherprovisionsortermofthisAgreement,includingmaterialsincorporatedbyreferenceorotherwiseincorporated.14)RECORDSMAINTENANCEThepartiestothisAgreementshalleachmaintainbooks,records,documents,andotherevidencethatsufficientlyandproperlyreflectalldirectandindirectcostsexpendedbyeitherpartyintheperformanceoftheservice(s)describedherein.Thesematerialsshallbesubjecttoinspection,review,orauditbypersonnelofbothparties,otherpersonneldulyauthorizedbyeitherparty,theOfficeoftheStateAuditor.andfederalofficialssoauthorizedbylaw.Allbooks,records.documents.andothermaterialsrelevanttothisAgreementmustberetainedforsixyearsafterexpirationofthisAgreement.TheOfficeoftheStateAuditor.federalauditors,andanypersonsdulyauthorizedbythepartiesshallhavefullaccessandtherighttoexamineanyofthesematerialsduringthisperiod.EachpartywillutilizereasonablesecurityproceduresandprotectionsforallmaterialsrelatedtothisAgreement.Allmaterialsaresubjecttostatepublicdisclosurelaws.15)RESPONSIBILITIESOFTHEPARTIESEachpartyofthisAgreementherebyassumesresponsibilityforclaimsand/ordamagestopersonsand/orpropertyresultingfromanyactoromissionsonthepartofitself,itsemployees,itsofficers.anditsagents.NeitherpartywillbeconsideredtheagentoftheotherpartytothisAgreement.16)RIGHTSINDATAUnlessotherwiseprovided,datawhichoriginatesfromthisAgreementshallbe‘workmadeforhire’asdefinedbytheUnitedStatesCopyrightAct,Title17U.S.C.section101andshallbeownedbystateofWashington,ECOLOGY.Datashallinclude,butnotbelimitedto,reports,documents,pamphlets,advertisements,booksmagazines,surveys,studies,computerprograms,films,tapes,and/orsoundreproductions.Ownershipincludestherighttocopyright,patent,andregistertheseitems,andtheabilitytotransfertheserights.17)SEVERABILITYIfanyprovisionofthisAgreementoranyprovisionofanydocumentincorporatedbyreferenceshallbeheldinvalid,suchinvalidityshallnotaffecttheotherprovisionsofthisAgreementwhichcanbegiveneffectwithouttheinvalidprovision,ifsuchremainderconformstotherequirementsofapplicablelawandthefundamentalpurposeofthisAgreement,andtothisendtheprovisionsofthisAgreementaredeclaredtobeseverable.18)SUBCONTRACTORSCONTRACTORagreestotakecompleteresponsibilityforallactionsofanySubcontractorusedunderthisAgreementfortheperformance.Whenfederalftindingisinvolvedtherewillbeadditionalcontractorandsubcontractorrequirementsandreporting.version5/20/2020 StateofWashington.DepartmentofEcologyIAANo.C220005ICityofRentonAPPENDIXASTATEMENTOFWORKSection1.IntroductionThisStatementofWorkisforthe2021-2023biennialInteragencyAgreement(IAA)forthePollutionPreventionAssistance(PPA)Partnership,whichisoverseenbytheWashingtonStateDepartmentofEcology(ECOLOGY),HazardousWasteandToxicsReductionProgram.ThemissionofthePollutionPreventionAssistancePartnershipis:“WeprotectWashington’sresidentsandenvironmentbyhelpingsmallbusinessesreducetoxicchemicaluse,safelymanagedangerouswaste,andkeepstormwaterfreeofpollutants.”TheCONTRACTOR.throughtheirPollutionPreventionAssistance(PPA)program,willconductmultimediasourcecontrolsitevisitsandpollutionpreventionactivitiestobusinessesthataresmallquantitygenerators(SQGs)ofdangerouswaste.InthiscontextanSQGisanybusiness,non-profit.facility.school.orotherorganizationthatgenerateslessthan220poundsofdangerouswastepercalendarmonthandlessthan2.2poundsofextremelyhazardouswastepercalendaryear.Thesitevisits,alongwithotherpollutionpreventionactivitiesconductedbytheCONTRACTOR,willbedesignedtoreduceoreliminatedangerouswasteandotherpollutantsatthesourcethroughbestmanagementpracticesthatpreventspillsanddischargestoground,air,andwater(especiallytoindustrialwastewaterandstormwater).Tofurtherfacilitatethereductionoreliminationoftoxicchemicaluseatthesotirce,theCONTRACTORwillseekanddiscussopportunitiestoassistbusinesseswithswitchingprocesses.products,orequipmenttouseeffectivesafer-alternatives.Thisprogramwillbeknownasthe“ProductReplacementProgram”orPRP.ThePPAworkisexpectedtofallwithinthesegeneralproportions:TechnicalAssistance(TA)visits(approximately10-15%ofTAvisitswillinvolve65%PRP)(seeSectionItt)UniqueProgramElements25%(seeSectionII)Training(seeSectionVIII)5%Other(admin.staffmeetings,etc.)Version5/20/2020$ StateofWashington,DepartmentofEcologyIAANo.C2200051CityofRentonareready,anECOLOGYstaffwillaccompanythenewhireonafewtechnicalassistancevisits,toensurethattheyareprovidingaccurateinformationonproperwastemanagement,spillprevention,stormwaterpollutionprevention,andtoxicsreductionopportttnities.All-StaffTraininsforallPPASpecialistsAll-StaffTrainingswillbeplannedandconductedbyteamsofPPASpecialistsfromtwotothreePPAcontractors(partners).Whenappropriatethesetrainingswillbeheldin-persontofacilitateinteractionandnetworkingbetweenPPASpecialists,ECOLOGY,andinvitedpresenters.DependingoncurrentsituationsrelatedtotheCOVID-19pandemicorotherhealthandsafetyconcurs.AllStaffTrainingsmaybeheldvirtuallyviaanonlineplatform.Trainingtopicsareintendedtohelpnewstaffbecomemorecompetentintheirwork,andexperiencedstafftogaingreatertechnicaldepthonrelevanttopics.ECOLOGYstaffwilldeterminetheteams,provideinitialguidance,reviewagendas,andprovidesupportforplanningandlogistics.Schedule:Typically,thesetrainingsareheldthesecondWednesdayinSeptemberandMarchorApril.Thetrainingsareusuallyscheduledbetween8:30a.m.and3:30p.m.withovernighttravelallowedforjurisdictionsifneeded(seestatetravelrules).ECOLOGYmustpre-approveovernighttravelifitisbeingchargedtothePPAbudget.Whentrainingisheldvirtuallyonline,thetrainingwillbescheduledacrosstwohalf-days.Ifstaffandresourcesbecomeavailable.ECOLOGYwilladdanadditionalAllStaffTrainingevent.AnadditionaltrainingeventwouldlikelybeheldinJune.AttendanceRequirement:UnlesspriorapprovalhasbeengivenbyECOLOGY,itismandatoryforatleastonePPAspecialistperjurisdictiontoattendtheAllStaffTrainings.ThispersonisresponsiblefordisseminatinginformationbacktothePPAspecialistsfromthatjurisdiction.Managersarewelcomebutnotrequiredtoattend.Generally,trainingsubstitutionsarenotallowedfortheAllStaffTrainings.however,exceptionsmayapply.ECOLOGYstaffmustapprovenon-emergencyabsencesortrainingsubstitutionsatleasttwoweekspriortothetraining.WebinarTraininsECOLOGYconductsWebinarsduringmostofthemonthsthatdonothaveAllStaffTrainings.ThesesessionsareintendedtoexposePPASpecialiststonewinformationortechnicaltopicsrelevanttotheirwork.SuggestionsontopicsandspeakersarewelcomedfromPPAcontractors(partners).ECOLOGYwillalsoaskPPAcontractorstopresentoncasestudies.Schedule:Theseareoneandahalfhoursessions,heldonthesecondWednesdayofthemonth.Occasionallythesesessionswillneedtobescheduledatalternativetimestoaccommodatespeakeravailability.Uptoç.jghWebinarswillbescheduledeachyear.AttendanceRequirement:EachPPASpecialistmustattendatleastsixoftheeightWebinarseachyear.AnothertypeoftrainingthatisrelevanttoPPASpecialists’workmaybesubstitutedforuptotwooftheWebinars.Notificationofthesubstitutionmustbeprovidedtoandpre-approvedbyECOLOGYatleasttwoweeksinadvanceoftheWebinar.17Version5/20/2020
