The square footage of each of the proposed lots is already shown on sheet 2 in a block on the right side of the sheet under"Original Area" and "Adjusted Area". 2. The land use action number and land record number have been added to the upper right hand section of each sheet. 3. City of Renton Survey Control Network monument information has been added to S1/4 corner of Section 32. Center section was not visited for this survey and is not shown on Survey Control Network sheet no. 5432. 4. Section number has been revised to read 32. 5. This bearing is correctly shown. Added City of Renton bearing and distance of N01°32'50"E 2666.03. 6. Stafford is the applicant for a proposed 74-lot subdivision ("Stafford Crest", City of Renton File No. LUA-097-173, PP, ECF) of(1) the Stafford Property, (2) a portion of unimproved Aberdeen Avenue NE that currently cuts through the Stafford Property generally north to south (the "Aberdeen Avenue NE Right-of-Way"), and (3) a portion of unimproved NE 33rd Street that abuts a portion of the Stafford Property's south boundary (the"NE 33rd Right-of-Way"). Following the Renton City Council's April 27, 1998 approval (subject to conditions) of a petition for a street vacation of the Aberdeen Avenue NE Right-of-Way and the NE 33rd Right-of-Way (Renton File No. VAC-98-002, the street vacation approval being hereinafter referred to as the "Street Vacation Approval"), on June 1, 1998 the Renton City Council approved (subject to conditions) the Stafford Crest preliminary plat. D. The City contends that, by operation of law, the vacation of the NE 33rd Right-of- Way will merge the north half of the NE 33rd Right-of-Way into the Stafford Property and the south half of the NE 33rd Right-of-Way into the Clise-Tharp Property. Stafford and the Clises and Tharps agree that that would be the case unless a written disclaimer to Stafford of the interest of the Clises and Tharps in the south half of the NE 33rd Right-of-Way is executed and recorded by the Clises and Tharps. (Pursuant to a previous separate agreement between Stafford and the Clises and Tharps, Stafford and the Clises and Tharps wish to have the south half of the NE 33rd Right-of-Way become a part of the Stafford Property for inclusion in the final plat of Stafford Crest that is to be recorded.) The approved preliminary plat depicts the entirety of the NE 33rd Right-of-Way as part of Stafford Crest. E. The Street Vacation Approval states that it is subject to the condition (along with one other condition)"that the ordinance vacating the City rights [in these rights-of-way] be held until the proposed plat of Stafford Crest receives final approval and then the ordinance and plat be recorded concurrently." (The ordinance that will actually vacate the Aberdeen Avenue NE Right-of-Way and the NE 33rd Right-of-Way is hereinafter referred to as the "Street Vacation Ordinance".) F. Stafford and the Clises and Tharps believe that a written disclaimer to Stafford of interest of the Clises and Tharps in the south half of the NE 33rd Right-of-Way is all that is necessary to effectuate the desired merger of the south half of the NE 33rd Right-of-Way as a part of the Stafford Property following the recordation of the Street Vacation Ordinance. However, the Department contends that, in order to accomplish such a merger, the City must approve a boundary line adjustment application (which then must be recorded) to formally adjust the boundary between the Stafford Property and the Clise-Tharp Property that will result from the recordation of the Street Vacation Ordinance. Without waiving any rights to accomplish the merger merely by disclaimer, in order to avoid controversy with the City and avoid delay in the recordation of the Stafford Crest final plat, Stafford and the Clises and Tharps are willing to enter into this Agreement with the City to agree upon a procedure for City processing and approval of a boundary line adjustment to merge the property that constitutes the south half of the NE 33rd Right-of-Way into the Stafford Property (the "Proposed Boundary Line Adjustment"). AGREEMENT--Page 2 WHEREFORE, with respect to these facts, the parties agree as follows: Agreement 1. Application for the Proposed Boundary Line Adjustment. Not later than the point in time that Stafford submits a proposed final plat for Stafford Crest to the City's Department of Planning/Building/Public Works (the "Department") for review and approval, Stafford and the Clises and Tharps shall jointly submit an application to the Department for the Proposed Boundary Line Adjustment. Even though, at the time of submittal of such application, the Street Vacation will technically not have been fully consummated (because the proposed final plat of Stafford Crest will not then have yet received City Council approval and the Street Vacation Ordinance thus will not have then yet been recorded), the Department will review the application for the Proposed Boundary Line Adjustment as if the Street Vacation Ordinance had already been fully consummated. Once the application is found to meet all applicable City requirements, (a) the Department shall approve the application subject only to the Street Vacation Ordinance being recorded, and (b) once the Street Vacation Ordinance has been recorded the Department-approved Boundary Line Adjustment shall be recorded. The City promises that it will promptly and diligently review and approve the application for the Proposed Boundary Line Adjustment. 2. Recording Sequence for the Application for the Street Vacation Ordinance, the Proposed Boundary Line Adjustment and the Stafford Crest Final Plat. The parties hereby agree that the Street Vacation Ordinance, the Proposed Boundary Line Adjustment and the Stafford Crest final plat are to be filed back-to-back in the following sequence: first the Street Vacation Ordinance, then the Proposed Boundary Line Adjustment and finally the Stafford Crest final plat. 3. Effect of Successors. This Agreement and all of the terms and provisions hereof shall inure to the benefit of and be binding upon the heirs, executors, personal representatives, successors and assigns of the parties hereto. 4. Partial Invalidity. If any provision of this Agreement is, becomes, or is deemed illegal, such provision shall be deemed amended to conform to applicable laws so as to be valid and enforceable, or, if it cannot be so amended without materially altering the intention of the parties, it shall be stricken and the remainder of this Agreement shall remain in full force and effect. 5. Entire Agreement. This Agreement contains the entire agreement between the parties relative to the subject matter contained herein and correctly sets forth the rights, duties, and obligations of the parties. No oral representations or modifications regarding this Agreement shall have any force. 6. Headings. The section and paragraph headings in this Agreement are for the convenience of the parties only and are not intended to modify or define it in any way. Stafford is the applicant for a proposed 74-lot subdivision ("Stafford Crest", City of Renton File No. LUA-097-173, PP, ECF) of(1) the Stafford Property, (2) a portion of unimproved Aberdeen Avenue NE that currently cuts through the Stafford Property generally north to south (the "Aberdeen Avenue NE Right-of-Way"), and (3) a portion of unimproved NE 33rd Street that abuts a portion of the Stafford Property's south boundary (the "NE 33rd Right-of-Way"). Following the Renton City Council's April 27, 1998 approval (subject to conditions) of a petition for a street vacation of the Aberdeen Avenue NE Right-of-Way and the NE 33rd Right-of-Way (Renton File No. VAC-98-002, the street vacation approval being hereinafter referred to as the "Street Vacation Approval"), on June 1, 1998 the Renton City Council approved (subject to conditions) the Stafford Crest preliminary plat. D. The City contends that, by operation of law, the vacation of the NE 33rd Right-of- Way will merge the north half of the NE 33rd Right-of-Way into the Stafford Property and the south half of the NE 33rd Right-of-Way into the Clise-Tharp Property. Stafford and the Clises and Tharps agree that that would be the case unless a written disclaimer to Stafford of the interest of the Clises and Tharps in the south half of the NE 33rd Right-of-Way is executed and recorded by the Clises and Tharps. (Pursuant to a previous separate agreement between Stafford and the Clises and Tharps, Stafford and the Clises and Tharps wish to have the south half of the NE 33rd Right-of-Way become a part of the Stafford Property for inclusion in the final plat of Stafford Crest that is to be recorded.) The approved preliminary plat depicts the entirety of the NE 33rd Right-of-Way as part of Stafford Crest. E. The Street Vacation Approval states that it is subject to the condition (along with one other condition)"that the ordinance vacating the City rights [in these rights-of-way] be held until the proposed plat of Stafford Crest receives final approval and then the ordinance and plat be recorded concurrently." (The ordinance that will actually vacate the Aberdeen Avenue NE Right-of-Way and the NE 33rd Right-of-Way is hereinafter referred to as the "Street Vacation Ordinance".) F. Stafford and the Clises and Tharps believe that a written disclaimer to Stafford of interest of the Clises and Tharps in the south half of the NE 33rd Right-of-Way is all that is necessary to effectuate the desired merger of the south half of the NE 33rd Right-of-Way as a part of the Stafford Property following the recordation of the Street Vacation Ordinance. However, the Department contends that, in order to accomplish such a merger, the City must approve a boundary line adjustment application (which then must be recorded) to formally adjust the boundary between the Stafford Property and the Clise-Tharp Property that will result from the recordation of the Street Vacation Ordinance. Without waiving any rights to accomplish the merger merely by disclaimer, in order to avoid controversy with the City and avoid delay in the recordation of the Stafford Crest final plat, Stafford and the Clises and Tharps are willing to enter into this Agreement with the City to agree upon a procedure for City processing and approval of a boundary line adjustment to merge the property that constitutes the south half of the NE 33rd Right-of-Way into the Stafford Property (the "Proposed Boundary Line Adjustment"). AGREEMENT--Page 2 - i WHEREFORE, with respect to these facts, the parties agree as follows: Agreement 1. Application for the Proposed Boundary Line Adjustment. Not later than the point in time that Stafford submits a proposed final plat for Stafford Crest to the City's Department of Planning/Building/Public Works (the "Department") for review and approval, Stafford and the Clises and Tharps shall jointly submit an application to the Department for the Proposed Boundary Line Adjustment. Even though, at the time of submittal of such application, the Street Vacation will technically not have been fully consummated (because the proposed final plat of Stafford Crest will not then have yet received City Council approval and the Street Vacation Ordinance thus will not have then yet been recorded), the Department will review the application for the Proposed Boundary Line Adjustment as if the Street Vacation Ordinance had already been fully consummated. Once the application is found to meet all applicable City requirements, (a) the Department shall approve the application subject only to the Street Vacation Ordinance being recorded, and (b) once the Street Vacation Ordinance has been recorded the Department-approved Boundary Line Adjustment shall be recorded. The City promises that it will promptly and diligently review and approve the application for the Proposed Boundary Line Adjustment. 2. Recording Sequence for the Application for the Street Vacation Ordinance, the Proposed Boundary Line Adjustment and the Stafford Crest Final Plat. The parties hereby agree that the Street Vacation Ordinance, the Proposed Boundary Line Adjustment and the Stafford Crest final plat are to be filed back-to-back in the following sequence: first the Street Vacation Ordinance, then the Proposed Boundary Line Adjustment and finally the Stafford Crest final plat. 3. Effect of Successors. This Agreement and all of the terms and provisions hereof shall inure to the benefit of and be binding upon the heirs, executors, personal representatives, successors and assigns of the parties hereto. 4. Partial Invalidity. If any provision of this Agreement is, becomes, or is deemed illegal, such provision shall be deemed amended to conform to applicable laws so as to be valid and enforceable, or, if it cannot be so amended without materially altering the intention of the parties, it shall be stricken and the remainder of this Agreement shall remain in full force and effect. 5. Entire Agreement. This Agreement contains the entire agreement between the parties relative to the subject matter contained herein and correctly sets forth the rights, duties, and obligations of the parties. No oral representations or modifications regarding this Agreement shall have any force. 6. Headings. The section and paragraph headings in this Agreement are for the convenience of the parties only and are not intended to modify or define it in any way.
