_2015,betweentheCityofRenton,aWashingtonmunicipalcorporation(“Renton”)andHarbourHomes,LLC,aWashingtonlimitedliabilitycompany(“Harbour”).RECITALSA.RentonisamunicipalcorporationoftheStateofWashington,organizedundertheOptionalMunicipalCode,Title35ARCW,locatedinKingCounty,Washington.B.HarbouristheapplicantforthepreliminaryplatknownasVuecrestEstates,RentonFileNumberLUA13-000642(“VuecrestEstates”).C.VuecrestEstatesislocatedwestofMainAve.5,whichisalsoknownasandhereinafterreferredtoas102ndAve.SE,andisseparatedfrom102ndAve.SEbytwoparcelsofproperty:KingCountyParcelNo.3223059171,ownedbyJosephandMarthaMackenzie(the“MackenzieParcel”)andKingCountyParcelNo.3223059097,ownedbyKBSIllLLC(the“KBSIllParcel”).TheMackenzieParcelislocatedimmediatelynorthoftheKBSIllParcel.D.InitsapplicationforpreliminaryplatapprovalforVuecrestEstates,HarbourproposedthatthepublicroadtobeextendedfromthenorththroughVuecrestEstates,knownasSmithersAve.S.,beterminatedwithatemporarycul-de-sacattheboundaryoftheMackenzieParcel,becausetheownersoftheMackenzieParcelhadnointerestindevelopingtheMackenzieParcelandnointerestingrantinganeasementthroughtheMackenzieParcelforaccessto102ndAve.SE.E.TheRentonHearingExaminerissuedaFinalDecisionUponReconsiderationconcerningVuecrestEstates(the“HearingExaminerDecision”)thatincludedCondition13whichread:13.Priortotherecordingofthefinalplat,asecondaryfireaccessshallbeconstructedthatextendsSmithersAveStotheeasttodirectlyconnecttoMainAveS(102ndAveSE).TheextentofstreetimprovementsnecessarytoeffectuatethisconnectionshallbedeterminedbytheCityofRentonFireDepartmentinaccordancewithapplicablefirecodestandardsandshallbetheminimumnecessarytoprovideforsafeandeffectivesecondaryaccessforfiretrucksandemergencyvehicles.F.HarbourappealedtheHearingExaminerDecisiontotheRentonCityCouncil.6.SubsequenttoHarbourfilingitsappeal,theowneroftheKBSIllParcelappliedtoRentonforshortplatapprovalforaprojectknownasVuecrestII(“VuecrestII”).TheproposedlayoutofVuecrestIIincludesapublicroadidentifiedasRoadAbetweentheeasternboundaryofVuecrestEstatesand102ndAve.SE.1
H.HarbourbelievesthatitcouldconstructasecondarylireaccessbetweenSmithersAve.SandRoadA,crossingTractBandTractDofVuecrestEstates,andcouldconstructatemporarysecondaryfireaccesswithinthealignmentofRoadAto102Ave.SE,priortotheconstructionofRoadAbyKBSIll(the“ProposedSecondaryFireAccess”),allasillustratedinExhibitAattachedheretoandincorporatedhereinbythisreference.HarbourbelievesthatitwouldprevailinitsappealoftheHearingExaminerDecisionbeforetheCityCouncilorinfurtherjudicialappeals.Nonetheless,HarbouriswillingtoagreenottopursuefurtherappealsandtowaivedamagesitmayhaveagainstRentonforpastactionsconcerningtheCity’sreviewandconditionalapprovalofVuecrestEstatesiftheCityCouncilapprovesmodificationstoCondition13assetforthbelowandiftheRentonStaff,includingtheRentonFireChief,agreethattheProposedSecondaryFireAccesscanbeapprovedbaseduponthedesign,processandconditionssetforthbelow.J.RentonbelievesthatitwouldprevailinHarbour’sappealoftheHearingExaminerDecisionbeforetheCityCouncilorinfurtherjudicialappealsbutiswillingtoenterintothisAgreementonthetermsandconditionssetforthbelow.NOWTHEREFOREinconsiderationofthemutualpromisesmadehereinandthemutualbenefitstobederivedbythePartiestherefrom,thePartiesagreeasfollows:I.AGREEMENT1.Recitals.TherecitalssetforthaboveareincorporatedbyreferenceintoandmadepartofthisAgreement.2.RevisionstoCondition13.2.1.InorderfortheProposedSecondaryFireAccessEasement(hereinafterthe“Access”)tosatisfyconditionsofthePreliminaryPlatforVuecrestEstates,RentonStaffagreestorecommendthattheCityCouncilreviseCondition13toreadasfollows(“RevisedCondition13”):Priortotherecordingofthe/lnatptat,asecondan’fireaccessshaltbeconstructedprovidingcisecondmeansofaccessfromMainAveS(]02ndAve.SE)totheplatby/iretruckscindemergencyvehicles.TheextentofstreetimprovementsnecessarytoeffectuatethisconnectionshallbedeterminedbytheClivofRentonfireDepartmentinaccordancewi/happlicablefirecodestandardscmdshallhetheminimumnecessarytoprovideforsci/Candefi’ctivesecondaryaccessfOrfiretrucksfii?demergencyvehicles.2.2.HarbourwillsupportthisrevisionandmakenofurtheroralargumentsbeforetheCityCounciloritscommitteesonitsappeal.2.3.IftheCityCouncilapprovesRevisedCondition13,makesnofurtherrevisionstotheHearingExaminerDecisionontheVuecrestEstates,andtheCityCouncil’sfinaldecisiononVuecrest2
Estate’sisnotjudiciallyappealedbyanythirdparty,thePartiesshallproceedwithallothertermsofthisAgreement.IftheCityCouncildoesnotapproveRevisedCondition13,revisestheHearingExaminerDecisionorimposesotherconditionontheVuecrestEstatesplatnotacceptabletoHarbour,orifathirdpartyappealstheCityCouncil’sfinaldecisiononVuecrestEstate’sthenHarbourshallhavetherighttoterminatethisAgreement.3.ProposedSecondaryFireAccess3.1.Design.ThePartiesagreetothefollowingdesignoftheAccesstocomplywithRevisedCondition13:3.1.1.ThealignmentoftheAccessshallbeasgenerallyshowninExhibitA.HarbourmaymakeminorrevisionstothealignmentshowninExhibitAatitsdiscretionandwiththeapprovaloftheCity,whichshallnotbeunreasonablywithheld.Minorrevisionsshallincludeashiftinthealignmentuptothirtyfeet.Majorrevisionstothealignment(anyrevisionnotconsideredMinor)maybemutuallyagreeduponbyHarbourandRentonwithoutrequiringarevisiontothisAgreement.3.1.2.NowetlandsshallbefilledtoconstructtheAccess.Abridgeorculvertshallbeinstalledinthewetlandbuffertocrossthewetland.3.1.3.TheAccessshallbe20feetwideandshallhaveaninsideradiusof25feetatitsintersectionwithSmithersAve.S.aspertherequirementsoftheEmergencyVehicleTurningRadiiDetaildated06/17/96,attachedasExhibitB.3.1.4.TheAccesssurfaceshallbepavedtomeetIC43andIFC503.3.1.5.TheAccessshallbeconstructedbyHarbourwithinthealignmentofRoadA.IfRoadAisconstructedbythedeveloperofVuecrestIIpriortoconstructionoftheAccess,HarbourshallonlyconstructthatportionoftheAccessrequitedtoconnectSmithersAve.StoRoadA.3.1.6.StormwatermanagementfortheAccessmaybeprovidedbydirectingstormwaterflowoffoftheAccesstothesideoftheAccessandallowingthewatertoinfiltrate.3.1.7.AreaswithinTractBoutsideoftheAccessalignmentdisturbedduringconstructionoftheAccessshallbereasonablyrestoredtopre-constructioncondition.3.1.8.NoadditionalmitigationshallbeimposedbyRentonforimpactstothewetlandbufferinTractBasaresultoftheconstructionandestablishmentoftheAccess.3.1.9.NoadditionaltreereplacementshallberequiredfortreesremovedasnecessaryfortheconstructionandestablishmentoftheAccess.HarbourshallbepermittedtousereplantingasameansofmeetingCityofRentontreeretentionstandards.3
3.1.10.AdditionaldesignrequirementsmaybeestablishedbyRentonassolongastheyarenotinconsistentwiththeotherprevisionsinthissubsection.3.2.PermittingProcess3.2.1.RentonauthorizationtoconstructtheAccessshallbeprovidedaspartoftheengineeringreviewforVuecrestEstates.3.2.2.IftheAccessisconstructedassetforthherein,theStaffagreestoconfirmduringFinalPlatreviewthattheAccesssatisfiesRevisedCondition13.4.PlatDesign4.1.1.Access.AnychangestothePlatdesigntoaccommodatetheAccessassetforthhereinshallbeconsideredaMinorPlatAmendmentthatcanbereviewedandpermittedaspartoftheFinalPlat.4.1.2.Alley.AsaresultofHarbourprovidingtheAccess,thealleyshownbehindlots12through16inthePreliminaryPlatandanyconditionsassociatedwiththealleymaybeeliminatedbyHarbourasaMinorPlatAmendmentthatcanbereviewedaspartoftheFinalPlatdesign,exceptthatcurbcutsforthoselotsshallbeconstructedasshownonExhibitC.4.1.3.Garages.lithealleyiseliminated,HarbouragreestoreducethevisualimpactofgaragesbymeetingoneofthedesignstandardssetforthinRMC4-2-115.EforR-4,R-6andR-8;paintingthegaragewithinthecolorschemeofthehome;andutilizingwindowsintheupperportionofthegaragedoor.4.1.4.SmithersAve.S.Priortofinalplatapproval,HarbourshallconstructSmithersAve.S.tothepropertylineborderingtheMackenzieParcel.4.1.5.RentonagreesthatimplementationofthisAgreementshallnotrequireaMajorPlatAmendment.5.FireSprinklers.FiresprinklersshallbeinstalledinallhomesinVuecrestEstatesunlessanduntilapublicroadconnectionisestablishedthroughtheMackenzieParcelortheKBSIllLLCParcelto102ndAve.SE.6.GeneralProvisions6.1.EntireAgreement.ThisAgreementcontainstheentireagreementbetweenthePartiesregardingthesubjectmatterhereofandmaybemodifiedonlybyawrittendocumentsignedbyallParties.4
6.2BindingEffectThePartiesrecognizethatthisisabindingsettlementagreementmadebytheParties,anyandalloftheitrespediveemployees,affiliates,subsidiariesorrelatedentitic.ThisAgreementisbindinguponandshallinuretothebenefitofthePartiesheretoandtheirrespectivesuuessorsandassigns63CoverningLaWThisAgreementhasbeentnadeintheStateofWashingtonandshallbeconstruedinaccordancewabthelawsoftheStateolWashington.VenueforanyatrimarisingoutofthisAgreementshalllieinKingCountySuperiorcourt.54CounterpartsIhisAgreementmaybeexecutedintwoorniocecounterparts,eachofwhichshallbedeemedancirginalbutallofwhichshallconstituteoneandthesameagreement65uthoritytoecrrteEachofthePactiesandtheirrepresentativesrutinthicAnreementrepresentandwarrantthattheyareauthorizedtoexecutethisAgreement56SpecificPerformance.ThePartiesacknowledgethatmoneydamagesandremediesatlawgenerallyare‘nadequatetocompensateanypartyfortheuninriebenefitsavailablethroughthisAgreementandspecificperformanceandothernon•monetaryreliefareparticularlyappropriateremediesfortheenforcementofthisAreementandshouldheavailabletoallPartiesINWITNESSWHEREOF,thePartiesexecutethisAgreementasofthedatesetforthabove.ClT’OrRf-NWNHARBOURHOMESLLCByJiiLvByItsIts:____
