HomeMy WebLinkAboutContractTHISAGREEMENT,datedforreferencepurposesonlyasApril12,2022,isbyandbetweentheCityofRenton(the“City”),aWashingtonmunicipalcorporation,andMainStreetRentondbaRentonDowntownPartnership(“Beneficiary/Artist”),aWashingtonnonprofitandsetsforththetermsandconditionsunderwhichtheCitywillprovideagranttoBeneficiary/ArtistundertheRentonMunicipalArtsCommission,MunicipalArtFund,GrantProgram(“Program”).TheProgramisfundedthroughtheRentonMunicipalArtFund(RMC2-8-7.B)(“Fund”),asauthorizedbytheRentonCityCouncilonNovember2,2020,pursuanttoRMC2-8-4.Cand2-8-7.B.3.TheCityandtheBeneficiary/ArtistarereferredtocollectivelyinthisAgreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreementiseffectiveasofthelastdatesignedbybothparties.RECITALS:WHEREAS,theCityofRentonrecognizesandacknowledgestheimportanceof,andbenefittothepublicin,providingvisualartandperformanceinitspublicworksandfacilities,andthecommunityasawhole; and,WHEREAS,theCitycreatedtheRentonMunicipalArtsCommission(“Commission”)toadvisetheMayorandCityCouncilonartisticandculturaldevelopmentoftheCity,andtodisbursemoneybudgetedtoitforculturalartsperformancesandotherevents,art-relatedprogramsandactivitiesandsupportofartistsandartsandculturalorganizations,asresourcesallowthroughtheCity’sMunicipalArtFund;and,WHEREAS,theCommissionestablishedApplicationCriteria(Exhibit1),issuedaCallforApplication(CallforApplication”atExhibit2),reviewedApplications(“Beneficiary/Artist’sApplication”atExhibit3),andestablishedalistofProjectsawardedfromtheFund(“ProjectsAwarded”atExhibit4),eachExhibitisincorporatedhereinbyreference;andWHEREAS,onApril5,2022theCommissionreviewedtheBeneficiary/Artist’sApplicationanddeterminedthattheBeneficiary/ArtistiseligibleforassistanceunderthisProgramandispromotingartsandcultureinRenton.2022GRANTBENEFICIARY/ARTISTAGREEMENTWITHMAINSTREETRENTONDBARENTONDOWNTOWNPARTNERSHIPRENTONMUNICIPALARTSCOMMISSIONGRANTPROGRAMCAG-22-116
NOWTHEREFORE,inconsiderationofthemutualcovenantsandagreementsherein,thePartiesagreeasfollows:AGREEMENT1.GrantAmountandDisbursement.a.Amount.ThetotalamounttobeawardedtoBeneficiary/ArtistundertheProgramisuptoninethousanddollars($9,000)asareimbursementforeligibleexpenses.Exceptasspecificallyprovidedherein,theBeneficiary/ArtistshallbesolelyresponsibleforpaymentofanytaxesimposedasaresultofthisAgreement.b.AwardDisbursement.i.ReimbursementRequest.Onamonthly,ornolessthanquarterlybasisduringanyquarterinwhichartisticandculturalsupportiscompleted,Beneficiary/Artistshallsubmitreimbursementrequest(s)inaformatacceptabletotheCity(Exhibit5)withsupportingdocumentationincluding,but notlimitedto,invoicesorreportsdemonstratingexpensesforwhichreimbursementissought.ii.EffectofAward.Otherthanasspecified,Beneficiary/ArtistrelinquishestherighttoanyfinancialproceedsinassociationwithCity’suseorreproductionsofPROJECT.iii.Payment.PaymentshallbemadebyCitywithinthirty(30)calendardaysafterreceiptandapprovalbytheappropriateCityrepresentativeoftheinvoice.iv.Nowaiver.PaymentforanyreimbursementshallnotconstituteawaiverbytheCityofanyremediesitmayhaveforanybreachofthisAgreementbytheBeneficiary/Artist.v.Taximplications.Grantfundsmaybetaxable.Pleaseconsultyourfinancialadvisor/taxprofessionalforguidance.IfitisrequiredbytheIRS,a1099formwillbeissuedtotheBeneficiary/Artist.2.ScopeandPerformance:Beneficiary/ArtistagreestocreateandinstallartworkorproduceaneventasspecifiedinExhibit3“Beneficiary/Artist’sApplication”whichisattachedandincorporatedherein.Suchscopeishereinafterreferredtoas“PROJECT.”a.Priortoschedulingtheinstallationorproduction,Beneficiary/ArtistagreestodiscussthecontentsoftheproposedPROJECTwithdesignatedCitystafftoaddressnecessaryCouncilapprovals,coordinationwithaffectedCitydepartments,compliancewithaffectedCityregulationssuchassignageoreventpermits,materialstobeused,and/ordocumentationofagreementswithBeneficiary/ArtistpartnerssuchasprivatepropertywherethePROJECTwillbepresented.ThesediscussionsmayresultinrevisionofthePROJECTasproposed.aPAGE2OF10
b.ThefinaldesignwillbeprovidedtotheCity’sMunicipalArtsCommissionforreview,requestforfurtherrevisionasneeded,andfinalconfirmationpriortoinstallationorproductionofthePROJECT.c.Beneficiary/ArtistwillberesponsibleforinstallingthePROJECTinitsapproveddesignatthelocationidentifiedinExhibit3.U.Beneficiary/ArtistagreestocreateandinstallPROJECTnolaterthanDecember31,2022.3.InstallationonPrivatePropertya.AccordingtotheApplication(Exhibit3),ThePROJECTwillbedisplayedorproducedinvariouslocationsindowntownRentonwhicharenotownedbytheCityorapublicentity.b.AsnotedinSection2.aofthisAgreement,ARTISTwillprovidetheCitywithdocumentationofthepropertyowner’sagreementtohostthePROJECTincludingsubmissionofallnecessarypermitapplicationstoeffectuatethePROJECT.NothingintheAgreementisintendedto,norshouldbeconstruedto,actasaguaranteethatanapplicationfora permitwillbegranted.c.ARTISTagreestoinformtheprivatepropertyowner(s)oftheobligationtoconsultwithCITY’sCommunity&EconomicDevelopmentAdministratorpriortoanyremovaloralterationofthePROJECT.d.CITYmay,atitsowndiscretion,cooperatewiththeprivatepropertyownerandARTISTinthecaseprivatepropertyownerhasreasonto removeoralterthePROJECTinthefuture,orifthePROJECTisimpactedbywear,vandalism,damage,orotherreason,torestoreorrelocatethePROJECTasnecessary.4.Beneficiary/Artist’sGrantsandRepresentations:a.DeliveryofPROJECTtoCityconstitutesBeneficiary/Artist’scertificationthat:i.PROJECTistheoriginalworkofBeneficiary/Artist;ii.TotheextentotherscontributedtothePROJECT,Beneficiary/ArtistassumesallresponsibilityandliabilityforanyclaimsofrighttothePROJECTbysuchothers;iii.Beneficiary/ArtistownsallrightstoPROJECT,includinghavingobtainedanyrightsthatBeneficiary/Artistdidnotoriginallypossess;andiv.ifPROJECTcontainsrecognizableimagesofparticularpersons,Beneficiary/Artisthasobtainedappropriatereleases.b.Beneficiary/Artistacknowledgesthat,exceptforPROJECTtowhichsection3ofthisAgreementapplies,thePROJECTwillbedisplayedonCity-ownedpropertyatthediscretionoftheCity.TheCityretainsallrighttoremove,maintain,restore,relocate,orotherwisealterthePROJECTinthefutureforanyreason.c.Beneficiary/ArtistgrantstoCityanon-exclusivelicensetographicallyandelectronicallyreproducePROJECT,whileondisplay,foranyandallfuturepublicityaPAGE3OF10
endeavorsconductedbyCity,providedthatanysuchreproductioniscreditedtoBeneficiary/Artistbyname.CitymayusetheBeneficiary/Artist’sphotograph,otherlikeness,orbiographyinconnectionwiththeuseofPROJECT.5.FinalReport:Togetherwiththefinalreimbursementrequest,andinaformatacceptabletotheCity(Exhibit6),Beneficiary/Artistshallsubmitafinalreportdetailingoutcomesrelatedtobudget,activities,objectives,andattendanceasfirstdescribedintheBeneficiary/Artist’sapplicationfortheGrant.6.ScopeofEligibleExpenditures:GrantfundsdisbursedunderthisAgreementshallonlybeusedtopayorreimburseeligibleexpensesasdescribedintheCriteria(Exhibit1)andinthe“ProgramCallforApplications”(Exhibit2)a.ReimbursementDefined.“Reimbursement”meansgrantdisbursementtoBeneficiary/ArtistuponreceiptbytheCityofinvoicesanddocumentationdemonstratingeligibleexpenses.b.NoDuplicationofPayment.NograntfundsmaybeusedtopayorreimbursecostsforexpendituresforwhichBeneficiary/Artisthasreceivedanyotherfunding,whetherstate,federalorprivateinnature,forthatsameexpense.7.Beneficiary/ArtistResponsibilities.a.FalseStatement.TheBeneficiary/ArtistunderstandsandacknowledgesthatprovidingfalseinformationintheApplicationoronanydocumentssubmittedtotheCityoritsdesigneesaspartoftheBeneficiary/Artist’sparticipationintheProgrammayconstitutefraud,justifyterminationofthisAgreement,triggertheBeneficiary/Artist’sobligationtoreturnfunds,andmaybesubjecttociviland/orcriminalpenaltiesand/orsanctions.b.NoEmployeeRelationship.TheBeneficiary/ArtistunderstandsandacknowledgesthatneithertheBeneficiary/Artistnoranyofficer,employeeoragentoftheBeneficiary/ArtistshallbeconsideredtobeanemployeeoftheCity,norentitledtoanybenefitsaccordedCityemployees,byvirtueoftheservicesprovidedunderthisAgreement.TheCityshallnotberesponsibleforassumingthedutiesofanemployerwithrespecttotheBeneficiary/ArtistoranyemployeeoftheBeneficiary/Artist.c.Non-discrimination.DuringtheperformanceofthisAgreement,theBeneficiary/Artistshallcomplywithallfederalandstatenondiscriminationlaws,includingbutnotlimitedto,chapter49.60RCW,Washington’sLawAgainstDiscrimination,and42U.S.C.12101etseq.,theAmericanswithDisabilitiesAct(ADA).IntheeventoftheCompany’snoncomplianceorrefusaltocomplywithanynondiscriminationlaw,regulation,orpolicy,thisAgreementmayberescinded,canceled,orterminatedinwholeorinpart.d.SoleproprietorshiporIndividual,IftheBeneficiary/ArtistisasoleproprietorshiporifthisAgreementiswithanindividual,theBeneficiary/ArtistagreestonotifytheCityandcompleteanyrequiredformifthe0PAGE4OF10
Beneficiary/ArtistretiredunderaStateofWashingtonretirementsystemandagreestoindemnifyanylossestheCitymaysustainthroughtheBeneficiary/Artist’sfailuretodoso.8.Insurance:Beneficiary/Artistshallsecureandmaintain:a.Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000foreachoccurrence/$2,000,000aggregatefortheTermofthisAgreement.b.IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyorindirectlyinvolveorrequireProfessionalServices,ProfessionalLiability,ErrorsandOmissionscoverageshallbeprovidedwithminimumlimitsof$1,000,000peroccurrence.“ProfessionalServices”,forthepurposeofthissection,shallmeananyWorkprovidedbyalicensedprofessionalorWorkthatrequiresaprofessionalstandardofcare.c.Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelawsoftheStateofWashington,shallalsobesecured.d.CommercialAutomobileLiabilityforowned,leased,hiredornon-owned,leased,hiredornon-owned,withminimumlimitsof$1,000,000peroccurrencecombinedsinglelimit,iftherewillbeanyuseofBeneficiary’svehiclesontheCity’sPremisesbyoronbehalfoftheCity,beyondnormalcommutes.e.Beneficiary/ArtistshallnametheCityasanAdditionalInsuredonitscommercialgeneralliabilitypolicyonanon-contributoryprimarybasis.TheCity’sinsurancepoliciesshallnotbeasourceforpaymentofanyBeneficiary/Artistliability,norshallthemaintenanceofanyinsurancerequiredbythisAgreementbeconstruedtolimittheliabilityofBeneficiary/ArtisttothecoverageprovidedbysuchinsuranceorotherwiselimittheCity’srecoursetoanyremedyavailableatlaworinequity.f.SubjecttotheCity’sreviewandacceptance,acertificateofinsuranceshowingtheproperendorsements,shallbedeliveredtotheCitybeforeperformingthePROJECT.g.Beneficiary/ArtistshallprovidetheCitywithwrittennoticeofanypolicycancellation,withintwo(2)businessdaysoftheirreceiptofsuchnotice.9.Records:Maintenance,Access,Disclosure.a.RecordsMaintained.Beneficiary/ArtistshallmaintainallrecordsandaccountswithrespecttoallmatterscoveredbythisAgreement,includingpersonnel,property,financial,andprogrammaticrecordsanddocuments.b.RetentionPeriod.TheserecordsshallbemaintainedforaslongasmayberequiredbyapplicableWashingtonStaterecordsretentionlaws,butinanycaseforaperiodofsix(6)yearsafterallfundshavebeenexpendedorreturnedtotheCity,whicheverislater,toensureproperaccountingforallfundsandcompliancewiththeAgreement.0PAGESOF10
c.LitigationorAudit.Ifanylitigation,claimorauditisstartedbeforetheexpirationofthesix(6)yearperiodprovidedinSection4(b)above,therecordsshallberetaineduntilalllitigation,claims,orauditfindingsinvolvingtherecordshavebeenresolved.U.RightofAccess.TheCity,oritsauthorizedrepresentatives,shallhavetherightofaccesstorecords(electronicandotherwise)ofBeneficiary/Artistinordertoconductauditsorotherinvestigations.e.SubjecttoDisclosure.Beneficiary/ArtistacknowledgesthatrecordsmaybesubjecttodisclosureunderthePublicRecordsAct,Ch.42.56RCW.i.TothefullextenttheCitydeterminesnecessarytocomplywiththeWashingtonStatePublicRecordsAct,Beneficiary/ArtistshallmakeaduediligentsearchofallrecordsinitspossessionorcontrolrelatingtothisAgreementandthePROJECT,including,butnotlimitedto,e-mail,correspondence,notes,savedtelephonemessages,recordings,photos,ordrawingsandprovidethemtotheCityforproduction.ii.IntheeventBeneficiary/Artistbelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,atBeneficiary/Artist’sownexpense,seekjudicialprotection.Beneficiary/Artistshallindemnify,defend,andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaimorlitigationrelatedtoaPublicRecordsActrequestforwhichBeneficiary/ArtisthasresponsiverecordsandforwhichBeneficiary/Artisthaswithheldrecordsorinformationcontainedtherein,ornotprovidedthemtotheCityinatimelymanner.10.Beneficiary/ArtistshallproducetotheCityfordistributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimelymanner,unlessthoserecordsareprotectedbycourtorder.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.11.Publications.AnypublicationsproducedwithfundsfromthisAgreementmustdisplaythefollowinglanguage:“Thisprojectisbeingsupported,inwholeorinpart,byagrantfromtheCityofRenton.”12.DisclaimerbytheCity.TheCityexpresslydisclaimsanyandallresponsibilityorliabilitytoBeneficiary/ArtistorthirdpersonsfortheactionsofBeneficiary/Artistorthirdpersonsresultingindeath,bodilyinjury,propertydamages,oranyotherlossesresultinginanywayfromtheperformanceofthisAgreementoranyotherlossesresultinginanywayfromtheperformanceoftheAgreement,oranysubcontractthereto.ThisAgreementdoesnotinanywayestablishanagencyrelationshipbetweenoramongtheCityand/orBeneficiary/Artist.13.ExpensesIncurredinExcessofProgramAwardFunds.Beneficiary/ArtistacknowledgesthatanyexpensesincurredinexcessofProgramAwardFundsaretheBeneficiary/Artist’ssoleresponsibilityandwillnotbepaidbytheCity.aPAGE6OF10
14.RepaymentofFunds.IfanyfundsprovidedtoBeneficiary/ArtistwereusedinamannerthatisnotconsistentorallowableasoutlinedinthisAgreement,Beneficiary/ArtistshallreturnfundstoCityintheamountdeterminedtobeineligible.Beneficiary/ArtistfurtheragreesthatitisfinanciallyresponsibleforandwillrepaytheCityanyandallindicatedamountsfollowinganauditexceptionwhichoccursduetoBeneficiary/Artist’sfailure,foranyreason,tocomplywiththetermsofthisAgreement.ThisdutytorepaytheCityshallnotbediminishedorextinguishedbytheterminationoftheAgreement.15.Termination.TheCityreservestherighttoterminatethisAgreementatanytime,withorwithoutcausebygivingten(10)calendardays’noticetotheBeneficiary/Artistinwriting.Intheeventofsuchterminationorsuspension,Beneficiary/ArtistwaivesanyrighttoUn-distributedportionsoftheaward.16.ConflictofInterest.a.Beneficiary/Artistdesignees,agents,members,officers,employees,consultants,andanyotherpublicofficialwhoexercisesorwhohasexercisedanyfunctionsorresponsibilitieswithrespecttotheProgramduringhisorhertenure,orwhoisinapositiontoparticipateinadecision-makingprocessorgaininsideinformationwithregardtotheProgram,arebarredfromanyinterest,directorindirect,inanygrantorproceedsoftheProgram,orbenefittherefrom,whichispartofthisAgreementatanytimeduringoraftersuchperson’stenure.b.TheCity’sCodeofEthicsandWashingtonStatelawprohibitCityemployeesfromsoliciting,accepting,orreceivinganygift,gratuityorfavorfromanyperson,firmorcorporationinvolvedinacontractortransaction.ToensurecompliancewiththeCity’sCodeofEthicsandstatelaw,theBeneficiary/ArtistshallnotgiveagiftofanykindtoCityemployeesorofficials.c.Beneficiary/ArtistalsoconfirmsthatBeneficiary/ArtistdoesnothaveabusinessinterestoraclosefamilyrelationshipwithanyCityofficeroremployeewhowas,is,orwillbeinvolvedinselectingtheBeneficiary/Artist,negotiatingoradministeringthisAgreement,orevaluatingtheBeneficiary/Artist’sperformanceoftheWork.17.Notices:AnynoticerequiredunderthisAgreementwillbeinwriting,addressedtotheappropriatepartyattheaddresswhichappearsbelow(asmodifiedinwritingfromtimetotimebysuchparty),andgivenpersonally,byregisteredorcertifiedmail,returnreceiptrequested,byfacsimileorbynationallyrecognizedovernightcourierservice.Timeperiodfornoticesshallbedeemedtohavecommenceduponthedateofreceipt,EXCEPTfacsimiledeliverywillbedeemedtohavecommencedonthefirstbusinessdayfollowingtransmission.EmailandtelephonemaybeusedforpurposesofadministeringtheAgreement,butshouldnotbeusedtogiveanyformalnoticerequiredbytheAgreement.0PAGE?OF10
CITYOFRENTONBENEFICIARY/ARTISTJessieKotarskiChristianSwitzerEconomicDevelopmentManagerExecutiveDirectorCED/CityofRentonRentonDowntownPartnership1055SouthGradyWay,6thFloor241WilliamsAveSRenton,WA98057Renton,WA98057Phone:(425)430-7271Phone:(971)599-1667Email:jkotarskirentonwa.govEmail:director@rentondowntown.com18.Waiver/ConflictofTerms.a.AnywaiverbytheBeneficiary/ArtistortheCityofthebreachofanyprovisionofthisAgreementbytheotherpartywillnotoperate,orbeconstrued,asawaiverofanysubsequentbreachbyeitherpartyorpreventeitherpartyfromthereafterenforcinganysuchprovisions.b.IntheeventofanyinconsistenciesbetweenBeneficiary/ArtistproposalsandthisAgreement,thetermsofthisAgreementshallprevail.Anyexhibits/attachmentstothisAgreementareincorporatedbyreferenceonlytotheextentofthepurposeforwhichtheyarereferencedwithinthisAgreement.TotheextentaBeneficiary/Artist-preparedexhibitconflictswiththetermsinthebodyofthisAgreementorcontainstermsthatareextraneoustothepurposeforwhichitisreferenced,thetermsinthebodyofthisAgreementshallprevailandtheextraneoustermsshallnotbeincorporatedherein.19.Modification.ThisAgreementmayonlybeamendedbywrittenagreementsignedbybothParties.20.Conflicts.IntheeventofanyinconsistenciesbetweenBeneficiary/ArtistproposalsorBeneficiary/Artist-preparedexhibitsandthisAgreement,thetermsofthisAgreementshallprevail.21.Severability.IntheeventanytermorconditionofthisAgreementorapplicationthereoftoanypersonorcircumstancesisheldinvalid,suchinvalidityshallnotaffectotherterms,conditions,orapplicationsofthisAgreementthatcanbegiveneffectwithouttheinvalidterm,condition,orapplication.Tothisend,thetermsandconditionsoftheAgreementaredeclaredseverable.22.GoverningLaws.AnylawsuitorlegalactionbroughtbyanypartytoenforceorinterpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKingCitySuperiorCourtfortheStateofWashingtonattheMalengRegionalJusticeCenterinKent,KingCity,Washington,oritsreplacementorsuccessor.Beneficiary/ArtistherebyexpresslyconsentstothepersonalandexclusivejurisdictionandvenueofsuchcourtevenifBeneficiary/ArtistisaforeigncorporationnotregisteredwiththeStateofWashington.aPAOESOF10
23.Indemnification.Tothemaximumextentpermittedbylaw,Beneficiary/Artistshall,atitscostandexpense,protect,defend,indemnify,andholdharmlesstheCity,itsdirectors,officers,employees,andagents,fromandagainstanyandalldemands,liabilities,causesofaction,costsandexpenses(includingattorneys’fees),claims,judgments,orawardsofdamages,arisingoutoforinanywayresultingfromtheactsoromissionsofBeneficiary/Artist,itsdirectors,officers,employees,oragents,relatinginanywaytoBeneficiary/Artist’sperformanceornon-performanceundertheAgreement.Beneficiary/Artistagreesthatitsobligationsunderthisparagraphextendtoanydemands,liabilities,causesofaction,orclaimsbroughtby,oronbehalfof,anyofitsemployeesoragents.Forthispurpose,Beneficiary/Artist,bymutualnegotiation,herebywaives,asrespectstheCityonly,anyimmunitythatwouldotherwisebeavailableagainstsuchclaimsunderanyindustrialinsuranceact,includingTitle51RCW,otherWorker’sCompensationact,disabilitybenefitact,orotheremployeebenefitactofanyjurisdictionwhichwouldotherwisebeapplicableinthecaseofsuchclaim.TheseindemnificationobligationsshallsurvivetheterminationoftheAgreement.24.CompleteAgreement.ThisAgreementsetsforththecompleteexpressionoftheagreementbetweentheParties,andanyoralrepresentationsorunderstandingsnotincorporatedhereinareexcluded.ThePartiesmayexecutethisAgreementinanynumberofcounterparts,eachofwhichshallconstituteanoriginal,andallofwhichwilltogetherconstitutethisoneAgreement.Exhibits1—RentonMunicipalArtsCommissionGrantProgram—ApplicationCriteria2—RentonMunicipalArtsCommissionGrantProgram—CallforApplications3—RentonMunicipalArtsCommissionGrantProgram—Beneficiary/Artist’sApplication4—RentonMunicipalArtsCommissionGrantProgram—ProjectsAwarded5—RentonMunicipalArtsCommissionGrantProgram—ReimbursementRequestForm6—RentonMunicipalArtsCommissionGrantProgram—FinalReportFormINWITNESSWHEREOF,thePattieshavevoluntarilyenteredintothisAgreementasofthedatelastsignedbythePattiesbelow.[SIGNATUREPAGETOFOLLOW]aPAGE9OF10

Program Overview
Purpose
• The Renton Municipal Arts Commission’s grant
program offers grants to individuals, organizations and
community groups for arts and culture projects and
events that serve the general public in Renton.
Public Funding = Public Benefit
Projects should provide public benefit. Examples of
public benefit are:
•Free public performances, exhibitions, workshops,
screenings, or readings.
•Free scholarships to ongoing, fee-based arts
educational or training programs.
•Accommodating services that expand access and
inclusion to individuals with limited physical or
English-speaking abilities.
Funds May Be Used To:
•Produce one-time performances, exhibits,
special events or programs that bring arts or
cultural experiences to Renton residents.
•Provide opportunities for independent artists
to develop and present new work in all
mediums.
•Improve arts and cultural opportunities for
artists and audiences from diverse
communities.
•Participatory and educational opportunities
for youth, multicultural, seniors, and special
populations.
•Increase access to arts and cultural events
by providing discount tickets and/or free
educational programs.
•Projects that are not: located in Renton;
primarily benefit Renton residents; or are not
offered free of charge, or at reduced rates to
the extent possible;
•Projects that are not open to the public;
•Projects that have already been completed;
•Projects that support or oppose a specific
interest such as a particular business,
political, or religious viewpoint or
organization;
•Capital construction projects;
•Projects that use the Grant funds to provide
cash awards to individuals;
•Projects which preclude reasonable access
by the general public, such as in a location
not open to the general public, or for which
membership is required, or admission
charges cannot be reduced or waived for
accessibility

Funding
Generally, the maximum award is $10,000 and the
minimum award is $500. However, the Arts Commission
may recommend greater or lesser amounts.
Timing of Projects
Projects must take place during 2022 and should be
completed by December 15, 2022.
Payment
Payment will be made at the end of the project.
Exceptions may be made, depending on circumstances
and City policy. The funding recipient will turn in
invoice(s) and a final report to the Arts Commission for
reimbursement. Invoices and final reports are due by
December 16. Checks are normally mailed within 30
days of the invoice date and receipt of completed
paperwork.

funding for an art project or cultural event
•Independent Artists, Arts and Cultural
organizations, including professional and
community-based groups
•IRS not-for-profit status – 501 (c)(3) – is not
required.
•A City of Renton business license may be required.

Artistic Innovation
•Quality and promise of the proposed arts,
cultural, and heritage project to meet the cultural
needs of an audience and/or constituent group.
•Innovative approach to foster creative and civic
participation by Renton's diverse residents and
visitors, particularly underserved people and
communities.
•Fills a gap in art, cultural, or heritage offerings
and opportunities not regularly available to
Renton residents and visitors.
•Proposed projects must take place in Renton.
•Proposed projects must serve and be accessible
to residents of Renton.
•Independent artists must present new works to
the public.
•Priority will be given to projects that involve
Renton-based artists and organizations.
•Demonstrated experience of project leaders to
accomplish the scope and scale of the project.
•Evidence of thoughtful planning including clearly
articulated goals and process for evaluation.

Renton Municipal Arts Commission accepting 2022 grant applications
Deadline for application for projects occurring March through June Wednesday, February 16, 2022.
RENTON, WA – Renton Municipal Arts Commission is accepting grant applications to fund 2022 arts and
culture projects in Renton. Funding is available for art, cultural and heritage projects that serve residents and
visitors in Renton. The program also encourages innovative projects that showcase Renton’s cultural diversity,
increase our understanding of ourselves as individuals and as a society, and inspire new forms of creative
participation and growth opportunities, particularly for under-served groups.
The Commission is currently accepting proposals for the 2022 Arts Grant Program, which supports projects
that forward the Commission’s goal to enrich and increase participation and awareness of the cultural and
artist community and advocate for arts education at all levels. The RMAC grant program offers grants to
individuals, organizations and community groups for arts and culture projects and events that serve the public
in Renton.
Awards range from $500 to $10,000 and two rounds of funding will be offered in 2022. Applications for the
first round, intended to fund projects that take place between March and June 2022 are due Wednesday,
February 16, 2022. Grant awards will be announced by March 15, 2022 and projects must be completed by
December 15, 2022.
The commission will host two virtual grant Q&A sessions via Zoom on Thursday, February 3 from 12pm to 1pm
and Monday, February 7 from 7pm to 8pm. The Q&A session is an opportunity to meet members of the grants
committee, ask questions, and connect with other applicants. The Q&A session is casual with no pre-
registration required.

The goal of this proposal outline is to create an annual lighting event or light festival in downtown Renton that builds community
through the power of light art, provides an inspiring, COVID safe public light art experience that will encourage the public to
explore downtown Renton while supporting local artists. The proposed event is scalable based on funding commitments.
The Light Festival will serve as an expansion of the traditional Small Business Saturday event and will transform the holiday event
into a seasonal campaign and light display. The goal of the season-long celebration serves to build community spirit, emphasize
the positive attributes of downtown and highlight local shopping, dining, and overnight stays. The mission of the campaign is to
bring Renton residents together for family-oriented events, encourage a sense of community, and promote Renton’s local
businesses & character to visitors from throughout the Puget Sound Region, and serve as a destination for holiday get-aways.
The 2022 Light Festival will launch on November 26, 2022 with the traditional Small Business Saturday celebration and downtown
tree lighting and continue through the holiday season and into the new year. The promotion will consist of a day-long kick-off
festival (7 hours in duration) that includes live music, community festivities with heavy focus on children’s activities, including a
visit from Santa and the downtown tree lighting, followed by a month-long celebration of lights and holiday events/displays in the
downtown core. Taking advantage of the recently installed and power-supplied light poles, the Light Festival will include seasonal
displays paired with sales events and shopping promotions to draw visitors for a weekend in Renton.
Our marketing plan includes news releases, print ads and social media outreach throughout the Puget Sound Region. We will
seek partnership with media partners to increase the reach of the Light Festival and seasonal activities to a greater audience by
engaging with regional media companies. These efforts will serve to increase the visibility for Renton and support the myriad of
tourism opportunities within Renton. These events also provide a demonstrative means by which Renton residents come together
as one community.
We will use the following methods to evaluate the continued success of the Light Festival:
•We will compare social network engagement from year to year (specifically looking for a dramatic increase over the one-day
Small Business Saturday event from years past).
•We will compare event attendance year-over-year.
•We will survey exhibitors, vendors, and sponsors for feedback following the events.
•We will survey post event via social media, e-newsletter and/or on-site to collect attendee demographics, collect feedback, and
evaluate success.
•At events we will conduct a physical count of attendees & registrants.
We continue to receive positive feedback on these events from the community at large as well as from those who participated as
sponsors and exhibitors. The response was evidence that there is value in bringing the community together to celebrate and to
provide visitors a taste of what makes Renton special.
Efforts will be made to cross promote the Light Festival with other local events in an effort to draw visitors from afar, and will work
with the local hotels to arrange hotel packages and event codes to track bed nights resulting from the campaign.

minimal impact on the environment, but it's
fleeting, ethereal nature delights audiences

Over the past 6 years LUSIO has supported
more than 350 artists.
LUSIO has years of experience lighting up
historic public spaces in unique and magical
ways that create delightful immersive
experiences for the audience.
We’ve produced multiple large light festivals
spanning 40 acres, small intimate AV
concerts, hands on workshops, private
corporate events, event lighting & interactive
AV experiences. LUSIO's curator was hired
to curate and produce the largest
projection mapping video experience to
date in Seattle with the Let There Be Light
program that exhibited onto the 225 ft
headhouse of the Pier 62 silo in 2018. Link

Light Art is not new, but with new technologies it's
applications are expanding into new dimensions.
Most Light Art has a low environmental footprint
and is vast in it's creativity. Entire buildings can be
transformed into art exhibits without ever touching
the structure. Light Art also tends to be accessible,
playful, and inspiring.

Most light art installation is made for a gallery, a festival, or a private event. Rarely does
this form of art get seen in Seattle and never has it been showcased in such a large
setting. This will provide artists the opportunity to get their work seen and voices heard
by a wide demographic of people in curated but playful setting.
To make light art accessible
This form of art has started to arrive and percolate in the Pacific Northwest, but only if you
attend an event like Burning Man or the new Seattle Arts Fair, both which cost money to
attend. Lusio is a free family friendly event making it available to any person of any
demographic that wants to attend and have their senses delighted. Art should be
accessible to everyone.
To Play
To quote Heraclitus, "Lifetime is a child at play, moving pieces in a game. Kingship
belongs to the child." With all the advances in technology that make this type of art
possible, it's easy to forget technology can also be playful. It 's also easy to forget to play
as an adult! Playfulness has been proven to decrease stress, improve brain function,
stimulate creativity, promote connections, improve social skills, and positive well being.
On top of that, IT'S FUN! So bring those glow stick bracelets, led hulu hoops, wrap your
dog in L-wire, or just come as you are. Come play with us :)

In this proposal, we'll outline a multiple different event size options and budget
outlines with a goal to build the annual event into a large scale lighting festival
event in 2022.
GOALS
Renton is home to approx. 100,000 people and is a bustling space of commerce with a
gentle, small town vibe. By working together with local businesses and community
entities, the Lusio Lights experience has the opportunity to unite the community in an
entirely new fashion.
One of the reasons LUSIO events are so widely supported is because we promote
supporting PNW artists first and foremost. Light artists do not have many opportunities to
showcase their work so any opportunities we can offer them to get their art seen in public
spaces and pay them a livable wage is celebrated.
Art is vital for a happy and healthy life, but not everyone can afford to attend art events or
have art experiences very accessible in their lives.
Providing free, public art experiences and especially in light art form, allow any person of
any demographic access to the inspiration, happiness, and mental health benefits that art
can provide.
