PARK
THISAGREEMENT,datedforreferencepurposesonlyas______________,2022,isbyand
betweentheCityofRenton(the“City”),aWashingtonmunicipalcorporation,andWSPUSA,Inc.
(“Consultant”),aNewYorkcorporation.TheCityandtheConsultantarereferredtocollectively
inthisAgreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreementiseffective
asofthelastdatesignedbybothparties.
1.ScopeofWork:Consultantagreestoprovide2022StructuralConditionAssessmentfor
CoulonMemorialBeachParkandKennydaleBeachParkasspecifiedinExhibitA,whichis
attachedandincorporatedhereinandmayhereinafterbereferredtoasthe“Work.”
2.ChangesinScopeofWork:TheCity,withoutinvalidatingthisAgreement,mayorder
changestotheWorkconsistingofadditions,deletionsormodifications.Anysuchchanges
totheWorkshallbeorderedbytheCityinwritingandtheCompensationshallbe
equitablyadjustedconsistentwiththeratessetforthinExhibitAorasotherwisemutually
agreedbytheParties.
3.TimeofPerformance:ConsultantshallcommenceperformanceoftheAgreement
pursuanttotheschedule(s)setforthinExhibitA.AllWorkshallbeperformedbynolater
thanFebruary28,2023.
4.Compensation:
A.Amount.TotalcompensationtoConsultantforWorkprovidedpursuanttothis
Agreementshallnotexceed$124,900.00,plusanyapplicablestateandlocalsales
taxes.CompensationshallbebaseduponWorkactuallyperformedaccordingtothe
rate(s)oramountsspecifiedinExhibitA.TheConsultantagreesthatanyhourlyorflat
ratechargedbyitforitsWorkshallremainlockedatthenegotiatedrate(s)unless
otherwiseagreedtoinwritingorprovidedinExhibitA.Exceptasspecificallyprovided
herein,theConsultantshallbesolelyresponsibleforpaymentofanytaxesimposed
asaresultoftheperformanceandpaymentofthisAgreement.
B.MethodofPayment.Onamonthlyornolessthanquarterlybasisduringanyquarter
inwhichWorkisperformed,theConsultantshallsubmitavoucherorinvoiceinaform

specifiedbytheCity,includingadescriptionofwhatWorkhasbeenperformed,the
nameofthepersonnelperformingsuchWork,andanyhourlylaborchargeratefor
suchpersonnel.TheConsultantshallalsosubmitafinalbilluponcompletionofall
Work.PaymentshallbemadebytheCityforWorkperformedwithinthirty(30)
calendardaysafterreceiptandapprovalbytheappropriateCityrepresentativeofthe
voucherorinvoice.IftheConsultant’sperformancedoesnotmeettherequirements
ofthisAgreement,theConsultantwillcorrectormodifyitsperformancetocomply
withtheAgreement.TheCitymaywithholdpaymentforworkthatdoesnotmeetthe
requirementsofthisAgreement.
C.EffectofPayment.PaymentforanypartoftheWorkshallnotconstituteawaiverby
theCityofanyremediesitmayhaveagainsttheConsultantforfailureofthe
ConsultanttoperformtheWorkorforanybreachofthisAgreementbythe
Consultant.
D.NonͲAppropriationofFunds.Ifsufficientfundsarenotappropriatedorallocatedfor
paymentunderthisAgreementforanyfuturefiscalperiod,theCityshallnotbe
obligatedtomakepaymentsforWorkoramountsincurredaftertheendofthe
currentfiscalperiod,andthisAgreementwillterminateuponthecompletionofall
remainingWorkforwhichfundsareallocated.Nopenaltyorexpenseshallaccrueto
theCityintheeventthisprovisionapplies.
5.Termination:
A.TheCityreservestherighttoterminatethisAgreementatanytime,withorwithout
causebygivingten(10)calendardays’noticetotheConsultantinwriting.Intheevent
ofsuchterminationorsuspension,allfinishedorunfinisheddocuments,data,studies,
worksheets,modelsandreports,orothermaterialpreparedbytheConsultant
pursuanttothisAgreementshallbesubmittedtotheCity,ifanyarerequiredaspart
oftheWork.
B.IntheeventthisAgreementisterminatedbytheCity,theConsultantshallbeentitled
topaymentforallhoursworkedtotheeffectivedateoftermination,lessallpayments
previouslymade.IftheAgreementisterminatedbytheCityafterpartialperformance
ofWorkforwhichtheagreedcompensationisafixedfee,theCityshallpaythe
Consultantanequitableshareofthefixedfee.Thisprovisionshallnotpreventthe
Cityfromseekinganylegalremediesitmayhavefortheviolationornonperformance
ofanyoftheprovisionsofthisAgreementandsuchchargesduetotheCityshallbe
deductedfromthefinalpaymentduetheConsultant.Nopaymentshallbemadeby
theCityforanyexpensesincurredorworkdonefollowingtheeffectivedateof
terminationunlessauthorizedinadvanceinwritingbytheCity.

6. WarrantiesAndRightToUseWorkProduct:Consultantrepresentsandwarrantsthat
ConsultantwillperformallWorkidentifiedinthisAgreementinaprofessionaland
workmanlikemannerandinaccordancewithallreasonableandprofessionalstandards
andlaws.Compliancewithprofessionalstandardsincludes,asapplicable,performingthe
WorkincompliancewithapplicableCitystandardsorguidelines(e.g.designcriteriaand
StandardPlansforRoad,BridgeandMunicipalConstruction).Professionalengineersshall
certifyengineeringplans,specifications,plats,andreports,asapplicable,pursuantto
RCW18.43.070.Consultantfurtherrepresentsandwarrantsthatallfinalworkproduct
createdforanddeliveredtotheCitypursuanttothisAgreementshallbetheoriginalwork
oftheConsultantandfreefromanyintellectualpropertyencumbrancewhichwould
restricttheCityfromusingtheworkproduct.ConsultantgrantstotheCityanonͲ
exclusive,perpetualrightandlicensetouse,reproduce,distribute,adapt,modify,and
displayallfinalworkproductproducedpursuanttothisAgreement.TheCity’sorother’s
adaptation,modificationoruseofthefinalworkproductsotherthanforthepurposesof
thisAgreementshallbewithoutliabilitytotheConsultant.Theprovisionsofthissection
shallsurvivetheexpirationorterminationofthisAgreement.
7. RecordMaintenance:TheConsultantshallmaintainaccountsandrecords,which
properlyreflectalldirectandindirectcostsexpendedandWorkprovidedinthe
performanceofthisAgreementandretainsuchrecordsforaslongasmayberequiredby
applicableWashingtonStaterecordsretentionlaws,butinanyeventnolessthansix
yearsaftertheterminationofthisAgreement.TheConsultantagreestoprovideaccess
toandcopiesofanyrecordsrelatedtothisAgreementasrequiredbytheCitytoaudit
expendituresandchargesand/ortocomplywiththeWashingtonStatePublicRecordsAct
(Chapter42.56RCW).Theprovisionsofthissectionshallsurvivetheexpirationor
terminationofthisAgreement.
8. PublicRecordsCompliance:TothefullextenttheCitydeterminesnecessarytocomply
withtheWashingtonStatePublicRecordsAct,Consultantshallmakeaduediligentsearch
ofallrecordsinitspossessionorcontrolrelatingtothisAgreementandtheWork,
including,butnotlimitedto,eͲmail,correspondence,notes,savedtelephonemessages,
recordings,photos,ordrawingsandprovidethemtotheCityforproduction.Intheevent
Consultantbelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,at
Consultant’sownexpense,seekjudicialprotection.Consultantshallindemnify,defend,
andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaim
orlitigationrelatedtoaPublicRecordsActrequestforwhichConsultanthasresponsive
recordsandforwhichConsultanthaswithheldrecordsorinformationcontainedtherein,
ornotprovidedthemtotheCityinatimelymanner.Consultantshallproducefor
distributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimely
manner,unlessthoserecordsareprotectedbycourtorder.Theprovisionsofthissection
shallsurvivetheexpirationorterminationofthisAgreement.

9. IndependentContractorRelationship:
A. TheConsultantisretainedbytheCityonlyforthepurposesandtotheextentsetforth
inthisAgreement.ThenatureoftherelationshipbetweentheConsultantandtheCity
duringtheperiodoftheWorkshallbethatofanindependentcontractor,not
employee.TheConsultant,nottheCity,shallhavethepowertocontrolanddirectthe
details,mannerormeansofWork.Specifically,butnotbymeansoflimitation,the
Consultantshallhavenoobligationtoworkanyparticularhoursorparticular
schedule,unlessotherwiseindicatedintheScopeofWorkorwhereschedulingof
attendanceorperformanceismutuallyarrangedduetothenatureoftheWork.
ConsultantshallretaintherighttodesignatethemeansofperformingtheWork
coveredbythisagreement,andtheConsultantshallbeentitledtoemployother
workersatsuchcompensationandsuchotherconditionsasitmaydeemproper,
provided,however,thatanycontractsomadebytheConsultantistobepaidbyit
alone,andthatemployingsuchworkers,itisactingindividuallyandnotasanagent
fortheCity.
B. TheCityshallnotberesponsibleforwithholdingorotherwisedeductingfederal
incometaxorSocialSecurityorcontributingtotheStateIndustrialInsurance
Program,orotherwiseassumingthedutiesofanemployerwithrespecttoConsultant
oranyemployeeoftheConsultant.
C. IftheConsultantisasoleproprietorshiporifthisAgreementiswithanindividual,the
ConsultantagreestonotifytheCityandcompleteanyrequiredformiftheConsultant
retiredunderaStateofWashingtonretirementsystemandagreestoindemnifyany
lossestheCitymaysustainthroughtheConsultant’sfailuretodoso.
10. HoldHarmless:TheConsultantagreestorelease,indemnify,defend,andholdharmless
theCity,electedofficials,employees,officers,representatives,andvolunteersfromany
andallclaims,demands,actions,suits,causesofaction,arbitrations,mediations,
proceedings,judgments,awards,injuries,damages,liabilities,taxes,losses,fines,fees,
penalties,expenses,attorney’sorattorneys’fees,costs,and/orlitigationexpensestoor
byanyandallpersonsorentities,arisingfrom,resultingfrom,orrelatedtothenegligent
acts,errorsoromissionsoftheConsultantinitsperformanceofthisAgreementora
breachofthisAgreementbyConsultant,exceptforthatportionoftheclaimscausedby
theCity’ssolenegligence.
ShouldacourtofcompetentjurisdictiondeterminethatthisagreementissubjecttoRCW
4.24.115,(Validityofagreementtoindemnifyagainstliabilityfornegligencerelativeto
construction,alteration,improvement,etc.,ofstructureorimprovementattachedtoreal
estate…)then,intheeventofliabilityfordamagesarisingoutofbodilyinjurytopersons
ordamagestopropertycausedbyorresultingfromtheconcurrentnegligenceofthe

ConsultantandtheCity,itsofficers,officials,employeesandvolunteers,Consultant’s
liabilityshallbeonlytotheextentofConsultant’snegligence.
Itisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedin
thisAgreementconstituteConsultant’swaiverofimmunityundertheIndustrial
InsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.TheParties
havemutuallynegotiatedandagreedtothiswaiver.Theprovisionsofthissectionshall
survivetheexpirationorterminationofthisAgreement.
11. GiftsandConflicts:TheCity’sCodeofEthicsandWashingtonStatelawprohibitCity
employeesfromsoliciting,accepting,orreceivinganygift,gratuityorfavorfromany
person,firmorcorporationinvolvedinacontractortransaction.Toensurecompliance
withtheCity’sCodeofEthicsandstatelaw,theConsultantshallnotgiveagiftofanykind
toCityemployeesorofficials.ConsultantalsoconfirmsthatConsultantdoesnothavea
businessinterestoraclosefamilyrelationshipwithanyCityofficeroremployeewhowas,
is,orwillbeinvolvedinselectingtheConsultant,negotiatingoradministeringthis
Agreement,orevaluatingtheConsultant’sperformanceoftheWork.
12. CityofRentonBusinessLicense:UnlessexemptedbytheRentonMunicipalCode,t
ConsultantshallobtainaCityofRentonBusinessLicensepriortoperforminganyWork
andmaintainthebusinesslicenseingoodstandingthroughoutthetermofthis
agreementwiththeCity.

13. Insurance:Consultantshallsecureandmaintain:
A. Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000for
eachoccurrence/$2,000,000aggregatefortheTermofthisAgreement.
B. IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyor
indirectlyinvolveorrequireProfessionalServices,ProfessionalLiability,Errorsand
Omissionscoverageshallbeprovidedwithminimumlimitsof$1,000,000per
occurrence."ProfessionalServices",forthepurposeofthissection,shallmeanany
WorkprovidedbyalicensedprofessionalorWorkthatrequiresaprofessional
standardofcare.
C. Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelawsofthe
StateofWashington,shallalsobesecured.

D. CommercialAutomobileLiabilityforowned,leased,hiredornonͲowned,leased,hired
ornonͲowned,withminimumlimitsof$1,000,000peroccurrencecombinedsingle
limit,iftherewillbeanyuseofConsultant’svehiclesontheCity’sPremisesbyoron
behalfoftheCity,beyondnormalcommutes.
E. ConsultantshallnametheCityasanAdditionalInsuredonitscommercialgeneral
liabilitypolicyonanonͲcontributoryprimarybasis.TheCity’sinsurancepoliciesshall
notbeasourceforpaymentofanyConsultantliability,norshallthemaintenanceof
anyinsurancerequiredbythisAgreementbeconstruedtolimittheliabilityof
ConsultanttothecoverageprovidedbysuchinsuranceorotherwiselimittheCity’s
recoursetoanyremedyavailableatlaworinequity.
F. SubjecttotheCity’sreviewandacceptance,acertificateofinsuranceshowingthe
properendorsements,shallbedeliveredtotheCitybeforeperformingtheWork.
G. ConsultantshallprovidetheCitywithwrittennoticeofanypolicycancellation,within
two(2)businessdaysoftheirreceiptofsuchnotice.
14. Delays:Consultantisnotresponsiblefordelayscausedbyfactorsbeyondthe
Consultant’sreasonablecontrol.WhensuchdelaysbeyondtheConsultant’sreasonable
controloccur,theCityagreestheConsultantisnotresponsiblefordamages,norshallthe
ConsultantbedeemedtobeindefaultoftheAgreement.
15. SuccessorsandAssigns:NeithertheCitynortheConsultantshallassign,transferor
encumberanyrights,dutiesorinterestsaccruingfromthisAgreementwithoutthe
writtenconsentoftheother.
16. Notices:AnynoticerequiredunderthisAgreementwillbeinwriting,addressedtothe
appropriatepartyattheaddresswhichappearsbelow(asmodifiedinwritingfromtime
totimebysuchparty),andgivenpersonally,byregisteredorcertifiedmail,returnreceipt
requested,byfacsimileorbynationallyrecognizedovernightcourierservice.Timeperiod
fornoticesshallbedeemedtohavecommenceduponthedateofreceipt,EXCEPT
facsimiledeliverywillbedeemedtohavecommencedonthefirstbusinessdayfollowing
transmission.Emailandtelephonemaybeusedforpurposesofadministeringthe
Agreement,butshouldnotbeusedtogiveanyformalnoticerequiredbytheAgreement.

17. DiscriminationProhibited:Excepttotheextentpermittedbyabonafideoccupational
qualification,theConsultantagreesasfollows:
A. Consultant,andConsultant’sagents,employees,representatives,andvolunteers
withregardtotheWorkperformedortobeperformedunderthisAgreement,shall
notdiscriminateonthebasisofrace,color,sex,religion,nationality,creed,marital
status,sexualorientationorpreference,age(exceptminimumageandretirement
provisions),honorablydischargedveteranormilitarystatus,orthepresenceofany
sensory,mentalorphysicalhandicap,unlessbaseduponabonafideoccupational
qualificationinrelationshiptohiringandemployment,inemploymentorapplication
foremployment,theadministrationofthedeliveryofWorkoranyotherbenefits
underthisAgreement,orprocurementofmaterialsorsupplies.
B. TheConsultantwilltakeaffirmativeactiontoinsurethatapplicantsareemployedand
thatemployeesaretreatedduringemploymentwithoutregardtotheirrace,creed,
color,nationalorigin,sex,age,sexualorientation,physical,sensoryormental
handicaps,ormaritalstatus.Suchactionshallinclude,butnotbelimitedtothe
followingemployment,upgrading,demotionortransfer,recruitmentorrecruitment
advertising,layoffortermination,ratesofpayorotherformsofcompensationand
selectionfortraining.
C. IftheConsultantfailstocomplywithanyofthisAgreement’snonͲdiscrimination
provisions,theCityshallhavetheright,atitsoption,tocanceltheAgreementin
wholeorinpart.
D. TheConsultantisresponsibletobeawareofandincompliancewithallfederal,state
andlocallawsandregulationsthatmayaffectthesatisfactorycompletionofthe
project,whichincludesbutisnotlimitedtofairlaborlaws,worker'scompensation,
andTitleVIoftheFederalCivilRightsActof1964,andwillcomplywithCityofRenton
CouncilResolutionNumber4085.
18. Miscellaneous:Thepartiesherebyacknowledge:
A. TheCityisnotresponsibletotrainorprovidetrainingforConsultant.
B. Consultantwillnotbereimbursedforjobrelatedexpensesexcepttotheextent
specificallyagreedwithintheattachedexhibits.
C. Consultantshallfurnishalltoolsand/ormaterialsnecessarytoperformtheWork
excepttotheextentspecificallyagreedwithintheattachedexhibits.

D. Intheeventspecialtraining,licensing,orcertificationisrequiredforConsultantto
provideWorkhe/shewillacquireormaintainsuchathis/herownexpenseand,if
Consultantemploys,subͲcontracts,orotherwiseassignstheresponsibilitytoperform
theWork,saidemployee/subͲcontractor/assigneewillacquireandormaintainsuch
training,licensing,orcertification.
E. ThisisanonͲexclusiveagreementandConsultantisfreetoprovidehis/herWorkto
otherentities,solongasthereisnointerruptionorinterferencewiththeprovisionof
WorkcalledforinthisAgreement.
F. Consultantisresponsibleforhis/herowninsurance,including,butnotlimitedto
healthinsurance.
G. Consultantisresponsibleforhis/herownWorker’sCompensationcoverageaswellas
thatforanypersonsemployedbytheConsultant.
19. OtherProvisions:
A. ApprovalAuthority.EachindividualexecutingthisAgreementonbehalfoftheCity
andConsultantrepresentsandwarrantsthatsuchindividualsaredulyauthorizedto
executeanddeliverthisAgreementonbehalfoftheCityorConsultant.
B. GeneralAdministrationandManagement.TheCity’sprojectmanagerisAlanJ.Wyatt,
CapitalProjectsManager.InprovidingWork,Consultantshallcoordinatewiththe
City’scontractmanagerorhis/herdesignee.
C. AmendmentandModification.ThisAgreementmaybeamendedonlybyan
instrumentinwriting,dulyexecutedbybothParties.
D. Conflicts.IntheeventofanyinconsistenciesbetweenConsultantproposalsandthis
Agreement,thetermsofthisAgreementshallprevail.Anyexhibits/attachmentsto
thisAgreementareincorporatedbyreferenceonlytotheextentofthepurposefor
whichtheyarereferencedwithinthisAgreement.TotheextentaConsultant
preparedexhibitconflictswiththetermsinthebodyofthisAgreementorcontains
termsthatareextraneoustothepurposeforwhichitisreferenced,thetermsinthe
bodyofthisAgreementshallprevailandtheextraneoustermsshallnotbe
incorporatedherein.
E. GoverningLaw.ThisAgreementshallbemadeinandshallbegovernedbyand
interpretedinaccordancewiththelawsoftheStateofWashingtonandtheCityof
Renton.ConsultantandalloftheConsultant’semployeesshallperformtheWorkin
accordancewithallapplicablefederal,state,countyandcitylaws,codesand
ordinances.

F. JointDraftingEffort.ThisAgreementshallbeconsideredforallpurposesasprepared
bythejointeffortsofthePartiesandshallnotbeconstruedagainstonepartyorthe
otherasaresultofthepreparation,substitution,submissionorothereventof
negotiation,draftingorexecution.
G. JurisdictionandVenue.Anylawsuitorlegalactionbroughtbyanypartytoenforceor
interpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKing
CountySuperiorCourtfortheStateofWashingtonattheMalengRegionalJustice
CenterinKent,KingCounty,Washington,oritsreplacementorsuccessor.Consultant
herebyexpresslyconsentstothepersonalandexclusivejurisdictionandvenueof
suchcourtevenifConsultantisaforeigncorporationnotregisteredwiththeStateof
Washington.
H. Severability.Acourtofcompetentjurisdiction’sdeterminationthatanyprovisionor
partofthisAgreementisillegalorunenforceableshallnotcancelorinvalidatethe
remainderofthisAgreement,whichshallremaininfullforceandeffect.
I. SoleandEntireAgreement.ThisAgreementcontainstheentireagreementofthe
Partiesandanyrepresentationsorunderstandings,whetheroralorwritten,not
incorporatedareexcluded.
J. TimeisoftheEssence.TimeisoftheessenceofthisAgreementandeachandallof
itsprovisionsinwhichperformanceisafactor.Adherencetocompletiondatesset
forthinthedescriptionoftheWorkisessentialtotheConsultant’sperformanceof
thisAgreement.
K. ThirdͲPartyBeneficiaries.NothinginthisAgreementisintendedto,norshallbe
construedtogiveanyrightsorbenefitsintheAgreementtoanyoneotherthanthe
Parties,andalldutiesandresponsibilitiesundertakenpursuanttothisAgreementwill
beforthesoleandexclusivebenefitofthePartiesandnooneelse.
L. BindingEffect.ThePartieseachbindthemselves,theirpartners,successors,assigns,
andlegalrepresentativestotheotherpartytothisAgreement,andtothepartners,
successors,assigns,andlegalrepresentativesofsuchotherpartywithrespecttoall
covenantsoftheAgreement.
M. Waivers.Allwaiversshallbeinwritingandsignedbythewaivingparty.Eitherparty’s
failuretoenforceanyprovisionofthisAgreementshallnotbeawaiverandshallnot
preventeithertheCityorConsultantfromenforcingthatprovisionoranyother
provisionofthisAgreementinthefuture.Waiverofbreachofanyprovisionofthis

Agreementshallnotbedeemedtobeawaiverofanypriororsubsequentbreach
unlessitisexpresslywaivedinwriting.
N. Counterparts.ThePartiesmayexecutethisAgreementinanynumberof
counterparts,eachofwhichshallconstituteanoriginal,andallofwhichwilltogether
constitutethisoneAgreement.
INWITNESSWHEREOF,thePartieshavevoluntarilyenteredintothisAgreementasofthedate
lastsignedbythePartiesbelow.

INTRODUCTION
WSP USA is pleased to have the opportunity to provide the City of Renton (City) with the
following proposal for service for the Gene Coulon Memorial Beach Park and Kennydale Beach
Park in Renton, Washington. The project consists of structural condition assessment of seventeen
(17) structures in the Gene Coulon Memorial Beach Park, and four (4) structures at Kennydale
Beach Park.
PROJECT APPROACH
WSP has knowledge of the structures from the previous walkthroughs and work on the Gene
Coulon Memorial Trestle Bridge Replacement, Coulon Memorial Beach Park Rose Wall
Inspection. We will review all existing structural drawings, and inspection reports to understand
the each of the structures, any deficiencies previously observed, and previous repairs to the
structures. After review of the existing information WSP will meet with City of Renton Parks
Planning & Natural Resources (PPNR) and Parks Maintenance staff to review know concerns
and identify any special conditions at each of the parks.
Structural condition assessment Gene Coulon Memorial Beach Park and Kennydale Beach Park
will be completed per guidelines defined by the American Society of Civil Engineers (ASCE)
“Waterfront Facilities Inspection and Assessment Manual,” ASCE Manual No. 130 (2015).
Included in the inspections will be 100% Level I inspection (Visual and Tactile Inspection) of all
elements (steel, concrete, and timber), 10% Level II (Removal of Growth), and 5% Level III
(non-destructive or partially destructive) in-depth inspection of selected, accessible timber
elements that were suspected of having deterioration along the member. In areas where Level I
inspections reveal damage or deterioration a Level II or III inspection will be conducted to
evaluate the extent and depth of the damage. Partially destructive testing will be performed by
drilling the timber elements at representative locations, with subsequent plugging of the drilled
holes with treated plugs to prevent fungal decay. Dive inspection will primarily be conducted by
use of Scuba in four person teams in accordance with OSHA standards. Surface Supplied Air
(SSA) will be conducted on structures with limited egress and overhead obstructions in three
person teams in accordance with OSHA standards. Topside only inspection will be conducted
on structures not requiring dive inspection and completed in two person teams. All access will be
coordinated with parks staff, and the structures will be accessed as much as possible from the
WSP dive boat.
Based on findings from the inspections we will develop a condition assessment report that will
state element level ratings apply to each structural element, with a damage rating assigned to
each element inspected throughout the inspection. An overall condition assessment rating will be
assigned to each structure based on the element ratings, with consideration of the scope of
damage (total number of defects), severity of damage (type and size of defects), distribution of
damage, type of components affected, location of defect with respect to load demand and
serviceability. Each of the element and overall ratings have been standardized by ASCE Manual
130 ratings. Each facility, Gene Coulon Memorial Beach Park and Kennydale Beach Park will
have its own report with a common introduction and inspection procedure. At both facilities each
structure will be in a separate section and include an individual structure description, inspection
findings, repair recommendations (short-term, long-term, and ongoing), construction cost
estimates, and likely required environmental permitting requirements based on repair
recommendations.

SCOPE OF SERVICES
TASK 1: PROJECT MANAGEMENT
Task 1.1: Project Management and Coordination
WSP will manage and oversee team services for the project and coordination of the project team,
including budget control, invoicing, progress documentation, tracking and overseeing current
project status, and addressing unresolved issues.
Invoices will be prepared in conformance with the billing rates and classifications approved in
the contract. Invoices for time-and-materials work will include an attached breakdown of actual
hours, identifying staff and classification by task and direct non-labor costs and other
information detailed in the contract. Included on all invoices will be amount invoiced to date,
period invoice, balance remaining on the invoice, and description of services invoiced.

Task 1.2: Quality Assurance/Quality Control
WSP will prepare a project-specific QA plan and will perform QC reviews of all deliverables
noted in this proposal. QA/QC will be prepared and performed according to the WSP’s
established QA/QC protocol.
Deliverables
·QA/QC documentation will be maintained in the WSP’s project files and will be available for
review by the City.
Task 1.3: Kickoff, City Park Meeting, and Draft Report Meeting
Key WSP team members will attend up to 3 meetings that include a project kickoff, meeting
with PPNR and Parks Maintenance staff, and a draft report meeting.
Assumptions
·The kickoff meeting is assumed to be a one-hour long virtual meeting through either Zoom
or Microsoft Teams. This meeting will be attended by a maximum of three people from
WSP.
·The City Park Meeting will be held at each facility with PPNR staff and Parks Maintenance
staff. A maximum of two people from WSP will attend this meeting. If requested by the City
this meet can be a virtual meeting through either Zoom or Microsoft Teams.
·Draft report meeting assumed to be a two-hour long virtual meeting through either Zoom or
Microsoft Teams. This meeting will be attended by a maximum of three people from WSP.
Deliverables
·Comment resolution forms for comments received after City review of the draft inspection
reports, prior to the meeting. All documents will be in electronic format.

TASK 2: EXISTING DOCUMENTATION REIVEW/FIELD PREPARATION

and photos from previously completed inspections. Our focus will be to understand existing
features to efficiently perform the inspections. At this time, we will also prepare forms and
drawings that we can use to record field data.

inspection reports. If available AutoCAD drawings of the facilities will assist with
development of inspection drawings and report figures.

TASK 3: FACILITY CONDITION ASSESSMENT

Assumptions
·Bulkhead, and Pavilion & Understructure will be inspected by SSA methods (3-person team)
·Ivar’s & Kidd Valley structure will only be for the structural piles and pile caps since the
deck was replaced in 2018/2018. Inspection of the piles will be by SSA methods (3-person
team)
·North Beach Water Walk, Piles and Picnic Floats are scheduled to have the superstructure
replaced, and piles with protection wraps in 2022/2023, and does not require inspection, but a

bulkhead, and pier.

Bridge, North Beach Log Embankment, and Rose Wall
·All other structures not listed in the previous assumptions will be inspected by Scuba
methods, and the dive team will conduct topside inspection.

Task 3.2: Kennydale Beach Park Inspection
WSP will conduct a structural inspection above and below water for four structures in the
Kennydale Beach Park. These structures will include the following:

·South Bulkhead
·Pier and Piles
·Log Boom and Dolphins
Each of these structures, will have a routine inspection per the ASCE MOP 130, with with 100%
Level 1 inspection (Visual and Tactile Inspection) as reasonably accessible, 10% Level II
(Removal of Growth), and 5% Level III (steel thickness readings). Level III on timber elements
should only be conducted if there is indication of deterioration through soundings, feel or visual
indication.
Assumptions
·Underwater inspection of the structures will be conducted by Scuba methods (4-person
team), and the dive team will conduct the topside inspection.

TASK 4: CONDITION ASSESSMENT REPORTS
Based on Tasks 2 and 3, we will develop a report that includes an in-depth assessment of both

3. The report will summarize the findings, provide prioritized repair recommendations (short-
term, long-term, and ongoing), construction cost estimates, and likely required environmental

FEE
We propose to perform this work on a time-and-materials basis for a maximum fee of $107,800 (One
Hundred and Seven Thousand Eight Hundred Dollars) for the Gene Coulon Memorial Beach Park
inspection, and $17,100 (Seventeen Thousand One Hundred Dollars) for the Kennydale Beach Park
inspection, for a total maximum fee of $124,900 (One Hundred Twenty-Four Thousand Nine Hundred
Dollars) . This fee includes the cost of mobilization, inspection of structures in both parks,
development of a draft report, final report, City provided assessment sheets, and City provided photo
logs. We will not exceed this fee without written approval from the City. See the attachment for a
