HomeMy WebLinkAboutLeaseWIRELESSCOMMUNICATIONFACILITIESSITELEASEAGREEMENTWITHNEWCINGULARWIRELESSPCSTHISSITELEASEAGREEMENT(“Lease”,“Agreement”,or“LeaseAgreement”)ismadeasofthis________dayof_____________,2022,(the“EffectiveDate”)byandbetweentheCityofRenton,aWashingtonmunicipalcorporation(the“City”),andNewCingularWirelessPCS,LLC,aDelawarelimitedliabilitycompany,havingacorporatemailingaddressat1025LenoxParkBlvdNE,ThirdFloor,AtlantaGeorgia30319(“Lessee”).TheCityandLesseearesometimesreferredtocollectivelyinthisAgreementasthe“Parties”.Renton’sFacilitiesDivision(“Facilities”)isthecustodianoftheproperty.RECITALSWHEREAS,theCitysupportsincreasedavailabilityandimprovedcommunicationsservicesforitscitizensandbusinesses;andWHEREAS,theCity’sprimaryresponsibilityistoprovidemunicipalservicestoitscitizensandbusinessesandto leaseCityfacilitiestoprivatecommunicationcompaniesifsuchleasewillnotinterferewiththedeliveryofthosemunicipalservices;andWHEREAS,opportunitiesfortheCitytoleaseCitypropertyshouldbemarketedtoaccomplishthegreatestexposureandtoachievethebestvaluefortheCityanditsresidents;andWHEREAS,City-ownedpropertymustbeleasedatnolessthanfairmarketvalue;andWHEREAS,theCityownscertainimprovedrealpropertyandfacilitiesincludingbutnotlimitedwaterreservoirs,pumpstation,emergencypowergeneratorandrelatedappurtenanceslocatedat11500PugetDr.SE,RentonWashington,commonlyreferredtoasRollingHillssite,whichislegallydescribedinExhibitA,attachedandfullyincorporatedbyreferenceintothisLease(“Property”);andWHEREAS,theLesseeisengagedintheoperationofcommunicationsanddesirestoleasefromtheCity,andtheCityiswillingtoleasethatportionofthePropertywhichismarkedas“Lessee’sEquipmentFacilityArea”describedinExhibitB,attachedandfullyincorporatedbyreferenceintothisLease;andTERMSOFNON-EXCLUSIVELEASENOWTHEREFORE,forvaluableconsiderationthesufficiencyofwhichisacknowledgedandinconsiderationoftheterms,conditions,covenantsandperformancescontainedinthisLease,thePartiesmutuallyagreetoincorporatetheabove-notedRecitalsandagreeasfollows:1.TheCityRepresentstheFollowing:Pagelof34NewCingularWireless(AT&T)RollingHillsCellLeaseLAG-22-0073rdOctober
A.ItownsthePropertyandLessee’sEquipmentFacilityAreaandallappurtenancestothePropertyandEquipmentFacilityAreanotownedbyotherLessees;B.ItisfullyauthorizedtoenterthisLease;andC.TheindividualexecutingthisLeaseonbehalfoftheCityisauthorizedtobindtheCitytotheprovisionsofthisLease.2.AreasLeasedIEquipmentFacilityArea:A.TheCityleasestoLesseeatLessee’ssoleresponsibilityandexpense,anon-exclusiveportionoftheProperty,identifiedinthisLeaseasLessee’sEquipmentFacilityArea,(ExhibitB),togetherwithnon-exclusiveaccessrightstotheCity’sconduitsiftheconduitsareavailableasdeterminedsolelybytheCity,asfurtherdescribedinExhibitC,attachedandfullyincorporatedbyreferenceintothisLease,andaccessrightstoandfromLessee’sEquipmentFacilityAreathroughthePropertytothepublicright-of-way,sufficientforLessee’suse ofLessee’sEquipmentFacilityArea,asoutlinedinParagraph3ofthisLease.AnychangestothelocationofLessee’saccessright(describedinExhibitC)issubjecttotheCity’sapproval.B.LesseehasexaminedthePropertyandacceptsLessee’sEquipmentFacilityAreaandsurroundingProperty“asis”,initspresentconditionaspartoftheconsiderationofthisLease.3.PermittedUse:TheLesseemayuseLessee’sEquipmentFacilityAreaonlyfortheinstallation,operation,maintenance,replacement,modification,upgradeandremovalatLessee’ssoleresponsibilityandexpense,ofLessee’sun-staffedantennasiteequipment,tobereferredtoas“Lessee’sSiteEquipment”.TheSiteEquipmentonthePropertyshallcompriseonlythoseitemsdescribedonExhibitD,attachedandfullyincorporatedbyreferenceintothisLease.ThedefinitionofwhatisincludedasLessee’sSiteEquipmentinExhibitDmayonlybemodifiedbywrittenagreementoftheParties.LesseeshallnotusethePropertyforanyotherpurposewithouttheCity’spriorwrittenconsent,whichtheCitymaywithholdforanyreasonattheCity’ssolediscretion.4.EffectiveDate:AllreferencesinthisLeasetothe“EffectiveDate”,“AcceptanceDate”,“thedatehereof”,orsimilarreferencesshallbedeemedtorefertothedateonwhichtheCityhasexecutedandacknowledgedthisLease.5.Term:ThisLeaseshallcommenceon_______________(“CommencementDate”),andshallexpiretwenty(20)yearsfromsuchdateon__________________6.InitialStaffTime;Rent;SubsequentAdiustments;HoldoverRent&ChargesforLatePayment:Page2of 34New CingularWireless(AT&T)RollingHillsCellLease12/12/202212/12/2042
A.InitialStaffTime:Lesseeshallpayaone-timefeeintheamountofSevenThousand-FiveHundredDollars($7,500)withinthirty(30)daysfollowingtheEffectiveDateforinitialstafftimeinpreparingthisAgreement.ThisfeeshallbedeliveredormailedtotheaddressinParagraph6.Cbelow.Lessee may incuradditional fees,theamounttobedeterminedbytheCity,ifLesseerequestssignificantrevisionstoLessee’sEquipmentFacilityAreaand/oradditionalareawithintheProperty.B.AttheCity’sdiscretion,alicensedengineeroftheCity’schoiceshallreview,inspect,andapprovetheoriginalinstallationandanyfuturemodificationsandadditionstotheSiteEquipment.Lesseeshallbearthereasonablecostofsuchapproval andinspection.C.MonthlyRents:1.MonthlyRentistheamountsasdefinedinParagraph6.Dbelow,plusWashingtonLeaseholdExciseTax.LesseeisresponsibletopaytheLeaseholdExciseTaxeitherdirectlytotheStateandtoprovideproofofsuchpaymenttotheCityassetforthinParagraph7belowortopaytheLeaseholdExciseTaxdirectlytoCity.2.Rentpaymentsshallreference,“LAG-_-RollingHillsReservoirWirelessCommunicationsLease”,andshallbedeliveredelectronicallyasapprovedbytheCityofRentonFinanceDepartmentormailedto:CityofRenton FinanceDepartment1055SouthGradyWayRenton,Washington980573.RentforanypartialmonthatthebeginningorendofthetermofthisLeaseshallbeprorated.D.RentsDue:1.Commencing_____________,2022MonthlyRentforthecalendaryear2022shallbeTwothousand,eighthundreddollars,($2800)eachmonthinvoicedmonthlybytheCity,plusWashingtonLeaseholdExcise Tax,ifapplicable.2.TheMonthlyRentamountshallincreasethreepercent(3%)peryearcommencing____________,and foreachyearthereafter.E.TheCityretainstherighttoidentifyadditionalcharges/rentinaproportionalamount,foranyadditionalrequestsbyLesseeforleasespaceoutsideLessee’sEquipmentFacilityArea.TheCitymay,initssolediscretion, denysucharequestforanyreason.F.ReceiptofanyRentbytheCity,with knowledgeofanybreachofthisLeasebyLessee,orofanydefaultonthepartofLesseeintheobservanceorperformanceofanyoftheconditionsorcovenantsofthisLeaseshallnotbedeemedawaiverofanyprovisionofthisLease.Page3of34NewCingularWireless(AT&T)RollingHillsCellLease22 007December 1212-12-2023
G.IfaftertheendoftheInitialTermoranyRenewalTerm,asthecasemaybe, LesseecontinuestousethePropertywithoutenteringintoanewleasewiththeCity,and/ortheCityhasnotprovidedwrittennoticetoLesseethattheLeasewillnotberenewed,theLesseeshallbecomeaTenantonamonth-to-monthbasisonthesametermsandconditionsofthisLease,andpaymonthlyRentequivalenttotheMonthlyRentatthetimetheTermendsincludingtheannualthreepercent(3%)increaseinParagraph 6.0.3aboveH.Ifany sums payabletotheCityunderthisLeasearenotreceivedbytheCityonorbeforethefifth(5th)dayfollowingitsduedate,theLesseeagreestopayalatefeeof TwoHundredDollars($200)whichshallbedueandpayablewiththeRentpayment.ThereshallbeaTwenty-fiveDollars($25)feeassessedtotheLesseeifabankorotherfinancialinstitutionreturnsachecktotheCitywiththeindicationthatthecheckcannotbehonoredor indicatesinsufficientfundsforelectronicpaymentofRent.TheCityandLesseeagreethatsuchchargesrepresentafairandreasonableestimateofthecostsincurredbytheCitybyreasonoflatepaymentsanduncollectiblechecks,andthefailurebytheLesseetopayanysuchchargesbynolaterthanthirty(30)calendardaysafterLessee’sreceiptofwrittendemandforpaymentbytheCitytogetherwithreasonablesupportingdocumentationevidencingsuchchargesshallbeadefault underthisLease.TheCity’sacceptanceoflessthanthefullamountofanypaymentduefromtheLesseeshallnotbedeemedanaccordandsatisfaction,waiver,orcompromiseofsuchpaymentunlessspecificallyagreedtoinwritingbytheCity.7.Taxes,Assessments&Utilities:TheLesseeagrees topayalltaxesandassessmentswhicharetheresultofLessee’suseofthePropertyand/orwhichmaybecomealienonthe interestofLesseeinaccordancewithRCW79.44.010(Landssubjecttolocalassessments),asitexistsor maybeamended.Lesseeshallpayalltaxes,includingbutnotlimitedtoleaseholdexcisetaxes,whichmaybeleviedorimposedupontheinterestofLesseeorbyreasonofthisLease,unlessexemptunderRCW82.29A.130(Exemptions—Certainproperty),asitexists or may beamended,whichcopyofsuchexemptionrequiredtobeattachedtothisLease asExhibitE,orifsuchamountispaiddirectlytotheStateofWashington.Withinthirty(30)calendardaysofLessee’sreceiptoftheCity’swrittenrequest,LesseeshallprovidetotheCityevidenceofLessee’spaymentoftheWashingtonLeaseholdExciseTaxinwhich LesseehaspaiddirectlytotheStateofWashington.LesseeisresponsibleforandagreestopayforutilitiesthatserveLessee’sEquipmentFacilityAreaattheratechargedbytheservicingutilitycompany.8.Permits:Priortoperforminganyupgradesorconstructionwork withintheProperty,Lesseeshallsecureallnecessaryfederal,stateand/orlocallicenses,proofofagencyandpermits fortheconstructionandoperationoftheantennaandassociatedequipment(collectivelyreferredtohereinafteras“GovernmentApprovals”)atitssoleexpense.TheCityauthorizesLesseetomakeany andallapplicationsand/orsubmissionsnecessarytoobtainallGovernmentApprovalsfromallapplicablegovernmentaland/orregulatoryPage4 of 34NewCingularWireless(AT&T)RollingHillsCellLease
entitiesrequiredforconstructionoroperationoftheSiteEquipmentwithinLessee’sEquipmentFacilityArea.Tothe extentauthorizedbylaw,theCityagreestocooperatewithLessee,atnocosttotheCityotherthanadministrativecosts,inthesubmissionand/orprocessingofany suchapplications.9.Non-InterferencetoProperty:A.MultipleOccupants(City,lessees,tenantsorequivalents)(eachan“Occupant”)usethisEquipmentFacilityArea,Propertyadjacentright-of-wayandaccessareas.TheCitydesiresthatallOccupantswillworktogetherandnotcauseunreasonableinterferencewiththeotherOccupants’uses.LesseeshallnotuseLessee’sEquipmentFacilityArea,Property,adjacentright-of-way,oraccessareasinanywaythatmateriallyinterfereswithanyuse ofthePropertyforCitypurposesorotherOccupants,lessees,tenantsorequivalents.B.TheCitywillrequireotherOccupantsoutsideofthehistoricalusesofthePropertytoprovidethesameassurancesagainstinterferencewithanyOccupants’outsidethehistoricalusesoftheProperty,andwillworktoeliminateormitigateunreasonableinterferencewiththeoperationsofLesseecausedbyotherOccupants.10.RadioFrequencyInterferenceStudy(IfApplicable):A.Ifnecessaryforexistingwirelessfacilitiesandfuturewirelessfacilities-Lessee,atLessee’ssoleresponsibilityandexpense,shallperformallnecessarytestsorstudies,includingbutnotlimitedtoradiofrequencytest(s)todeterminethesuitabilityofLessee’sEquipmentFacilityAreaforitsintendeduse.Lesseeshall,inatimelymanner,providetheCitywithacompleteandaccuratecopyofanyandallsuchtestsorstudies.B.Ifnecessaryforexistingwirelessfacilitiesandfuturewirelessfacilities—aspartofthepermittingprocessalongwithstudiesandrequiredpermittingandpriortotheinstallationofSiteEquipment,Lessee,atLessee’ssoleresponsibility,shallconductaninterferencestudy.Pre-existingLessee(s)withcommunicationusescurrentlylocatedonthePropertyshallreviewtheresultsofthis study.IfasaresultoftheinterferencestudyitisdeterminedthatoperationofLessee’sSiteEquipmentwouldsignificantlyinterferewiththeoperationanduseofanyotherauthorizedcommunicationsfacilitiesontheSite,operatedbytheCity,otherpre-existingauthorizedcommunicationsfacilities,orotherpre-existingLessee(s),theLesseeortheCitymayterminatetheLeaseuponthirty(30)calendardays’noticetotheotherpartyandneitherpartyshallhaveanyfurtherobligationsorresponsibilitiesundertheLease,exceptforremovalofLessee’sSiteEquipmentandreturnofLessee’sEquipmentFacilityAreatoitsconditionpriortoinstallationof Lessee’sSiteEquipment.C.IfafterLesseeinitiatesoperationofitsSiteEquipment,theCityhasreasontobelievethatLessee’soperationofitsSiteEquipmenthascausedoriscausinganyelectrical,electromagnetic,radiofrequency,orotherinterferencewiththeoperationanduseofanyotherauthorizedcommunicationsfacilitiesontheProperty,whetheroperatedbytheCity,Lessee,oranotherpre-existingLesseewithrightspriorintimetoLessee,Page5of 34NewCirigularWireless(AT&T)RollIngHillsCellLease
Lesseeshallpromptlycommencecurativemeasuresuntiltheinterferencehasbeencorrectedtothereasonablesatisfactionoftheownerofthefacilitiessustaininginterference.Ifsuchinterferencehasnotbeencorrectedwithinsixty(60)calendardaysofLessee’sreceiptoftheinitialnoticefromtheCity,duringthesixty(60)daystheCitymay allowtheLesseetopowerdownthe equipmentcausingtheinterference(exceptforintermittenttesting)untilsuchinterferenceisremedied.IfLesseeisunabletoremedysuchinterferencewithinsuchsixty(60)dayperiod,LesseeortheCitymayterminatetheLeaseuponthirty(30)calendardays’noticetotheCityandLesseeshallnothaveanyfurtherobligationsorresponsibilitiesundertheLeaseexceptremovalofLessee’sSiteEquipmentandreturnofLessee’sEquipmentFacilityAreatoitscondition priortoinstallationofLessee’s SiteEquipment.D.Lesseeshallnotaffixormountanyantennas,devices,equipmentorrelatedmaterial,inanymannerorinanylocationwhichwouldcausedegradationintheoperationor use ofcommunicationssystemsat thePropertywhichservetheCityorotherpublicusers.Thiswouldincludebut notbelimitedtoimpactingthereceivedortransmittedsignalstrengthorpatternsofanysystems atthesiteservingtheneedsoftheCity.IfatanytimetheoperationofLessee’sSiteEquipmentinterfereswiththereceptionortransmissionofpublicsafety communications,followingreceiptofwrittennoticeofsuchinterference,Lesseeshallceaseoperationofthesite(exceptforintermittenttesting)until suchtimeastheinterferenceiscorrected.Intheevent theinterferencecannotbecorrectedwithinthirty(30)daysfollowingreceiptofsuchnotice,eitherpartymayterminatetheLeaseuponthirty(30)calendardays’noticetotheotherpartyandneitherpartyshallhaveanyfurtherobligations orresponsibilitiesundertheLease.LesseeagreestoprovidecontactinformationfortheNationalOperationsCenterthatcanremotelyshutoffLessee’sequipmentremotelyintheeventofanemergency.E.Intheeventtheoperationoruse ofcommunicationssystemsatthePropertywhichservetheCityorotherpublicuserscausesinterferencewithLessee’sequipment,CityagreestoreasonablycooperatewithLesseetoreducesuchinterference.IfsuchinterferencecannotbereducedtoLessee’ssatisfaction,Lessee mayterminatethisLeaseimmediatelyuponwrittennoticetoCityandLesseeshallnothave anyfurtherobligationsor responsibilitiesundertheLease.11.AccessandSecurityforanEquipmentFacilityAreaonProperty:A.Lesseeishereby grantedalimitedand non-exclusivelicensetoenterthePropertyformaintenance,operationand/orrepairofLessee’sEquipmentFacilityatthelocationsindicatedontheaccessplan,describedinExhibitC,orasfurthermodifiedtoprovideanalternativeaccessmethodtobeapprovedbytheCity,whichapprovalmaybewithheldforanyreason.B.Lesseeshallmakeitsbestefforttomaintain, repair,orreplaceLessee’sgroundequipmentduringNormalBusinessHours(8:00a.m.to4:30 p.m.).LesseeshallnotifytheCity’srepresentativeordesigneepriortoaccessingtheProperty.Facilitiesmay bereachedat(425)430-6605duringNormalBusinessHours.AccesstoLessee’sequipmentonPropertywillrequireforty-eight(48)hourspriornoticeto theCityforthePage6of 34NewCingularWireless(AT&T)RollingHillsCellLease
maintenance,repairorreplacementofsaidequipment.AccesstoPropertyshallbelimitedtoNormalBusinessHoursand workshallbedoneinamannerthatwillnotinterferewiththeCity’sprimaryuseoftheProperty.ShouldLesseedetermine,outsideofNormalBusinessHours,thatemergencyaccessisneededtoeitherthegroundequipmentortotheequipmentonProperty,LesseeshallnotifytheCitybycontactingtheRentonPoliceDepartmentat911whowillreferthecallertotheCityFacilities’on-callstaff.LesseeshallreimburseFacilitiesforcostsincurredfortheon-calltimetorespondtoanafter-hoursaccessrequest.C.TheCityshall,uponrequestofLessee,providealistofemergencytelephonenumbersknowntotheCityofthe otherlesseesoftheProperty.D.IntheeventofapublicsafetyemergencyattheProperty,theCityshallhavetherighttoturnofftheLessee’sequipmentwithoutpriornotification.TheLesseeshallensurethatanyswitchesforturningofftheLessee’sequipmentareproperly labeled,includeanemergencycontactphonenumber,andarereadilyaccessibletotheCity.TheCitywillendeavortonotifytheLesseeassoonaspossibleofanyemergencythatrequirestheCitytoturnoffLessee’sequipment.E.Intheeventofanyemergencyinwhich anyofLessee’stelecommunicationsfacilitieslocatedin,above,orunderany public wayorCity-ownedpropertybreaks,aredamaged,orifLessee’sconstructionareaisotherwiseinsuchaconditionastoimmediatelyendangertheproperty,life,health,orsafetyofanyindividual,Lesseeshallimmediatelytaketheproperemergencymeasurestorepairitsfacilities,tocureorremedythedangerousconditionsfortheprotectionofproperty,life,health,orsafetyofindividualswithoutfirstapplyingforandobtaininganypermitasrequiredbythisLease.However,thisshallnotrelieveLesseefromtherequirementofimmediatelynotifyingtheCitybytelephoneupon learningoftheemergencyandobtaininganypermitsnecessaryaftertheemergencywork.Lesseeshallapplyforallrequiredpermitsnot laterthan thesecondsucceedingdayduringwhichtheRentonCityHallisopenforbusiness.F.Intheeventofapublicemergency,suchas,but notlimitedto,roadfailure,evacuation,naturaldisasters, hazardoussubstancespills,andfatalaccidentsduringpublicuseattheProperty,Lessee’saccessmay,attheCity’sreasonablediscretion,betemporarilylimitedorrestricted;provided,thatanytemporarylimitationorrestrictioninLessee’saccessshallberestoredassoonasthecircumstancesshallallow,asdeterminedbytheCity.G.ForthesecurityoftheProperty,attheCity’sdiscretion,Lesseemayberesponsibletoprovideseparatesecurityfencing andgatetoLessee’sEquipmentFacilityArea.LesseewillprovidetheCity’sdesignatedFacilitiesstaffwithtwo(2)keysforemergencyaccesstoLessee’sEquipmentFacilityArea.TheCitymayatanytimeduringtheTermofthisLeasedeterminethatadditionalsecuritymeasuresareneededattheProperty.LesseeshallreimbursetheCityfortheCity’scostsinimplementingrevisedsecuritymeasures,totheextentthatadditionalcostsareincurreddueto thepresenceofLessee’sequipment.TheCityalsoretainstherighttoreviseaccessproceduresduringtheTermofthisLease.Page7of34New CingularWireless(AT&T)RollingHillsCellLease
LesseeshallcomplywithrevisedaccessrequirementssolongasaccessismaintainedaccordingtoprovisionsoftheLease.12.Utilities&Services:A.Anytime,withtwenty-four(24)hourswrittennoticetotheCity,Lesseeoritssurveyororcontractormay,atLessee’ssoleexpense,enteruponandsurveyLessee’sEquipmentFacilityAreaandtheCity’sabuttingandsurroundingpropertytotakemeasurements,makecalculations,reviewanyandallexistingeasements,propertyrestrictions,ifany,andnoteallotherinformationrelevanttoLessee’sassessmentofthesuitabilityofLessee’sEquipmentFacilityAreaforitspurposes.SaidaccessshallbewithinNormal BusinessHours.B.TheCityshallnotfurnishLesseewithelectricalserviceforLessee’sEquipmentFacilityArea.Lesseehasormayinstall,atitssolecostandexpense,anelectricalmeterandrunsuch utilitylinesasmaybereasonablynecessarytoprovide electricalservicetoLessee’sEquipmentFacilityArea,inalocationacceptabletotheCity,asdescribedinExhibitC.TheprovisionofsuchelectricallinesandserviceshallnotmateriallyinterferewiththeCity’snormaluseoftheProperty.TheCitywillnotencumberitspropertyforthebenefitoftheLesseetoprovidetheseservices.C.TheCityshallnotbeliableforanydamagestoanypersonorproperty,norshallLesseeberelievedfromanyofitsobligationsunderthisLease,asadirect orindirectresultoftemporaryinterruptionintheelectricalpowerprovidedtoLessee’sEquipmentFacilityAreawheresuchinterruptioniscausedbyactsofnatureorotheractsbeyondtheCity’scontrol.UndernocircumstancesshalltheCitybeliableforindirectorconsequentialdamagesresultingfromsuchaninterruption.D.TheCityshallnotberesponsibleforprovidingLesseewithanyinformationrelatingtoencumbrancesontheProperty,including,butnotlimitedtosetbacks,utilitiesoreasementsofanynature.E.Lessee may,iffeasibleandatitssoleexpense,installabackupgeneratorinalocationacceptabletotheCity,inordertoprovideelectrical servicetoLessee’sEquipmentFacilityAreaduringemergencysituationswhereelectricalpowerisnototherwiseavailable.Anyback-upgeneratormustbesodesignedandoperatedastonotexceedlocalnoiselevelstandardsoftheapplicableCityofRentonordinanceorotherapplicablelaws.Back-upgeneratorandassociated infrastructure,shallbeidentifiedtoLessee’splansand includedaspartoftheinitialdesign review.13.CompliancewithLaws:A.Lesseeshall,atalltimesandatitssoleresponsibilityandexpense,complywithallapplicablestatutesandordinances,orders,guidelines,policies,directives,rulesandregulationsofmunicipal,county,stateandfederalgovernmentalauthoritiesorregulatoryagencies(“Laws”)relatingtotheconstruction,operationand/ormaintenanceofLessee’sEquipmentFacilityAreaandadjacentAntenna,includingFCCregulationsforcompliancePage8of34New CingularWireless(AT&T)RollingHillsCellLease
withlimitsonhumanexposuretoradiofrequency(RF)emissions.Lesseeshalldefend,indemnifyandholdharmlesstheCityanditsemployeesandagentsagainstanyclaimsarisingfromanyviolationsbyLessee,itsagentsoremployees,ofanysuchLaws.TheindemnityprovisionofthisparagraphshallsurvivetheterminationorexpirationofthisLease.B.LesseeshallnotuseLessee’sEquipmentFacilityAreaforanyillegalpurposesorviolateanyapplicableLaws,norcreateorallowanynuisance orhazardousmaterials, nortrespassordoanyactonthePropertythatwouldincreasetheinsurancerates, nordeface,damageoroverloadtheProperty’sstructuralcomponents.14.AdvertisingDevices,Signs&Lighting:A.LesseeshallnotplaceanyadvertisingdevicesonorabouttheProperty.B.LesseeshallpostandmaintainonLessee’sEquipmentFacilityAreaappurtenanttheretoasignnolargerthan eighteeninches(18”)squaregivinganemergencytelephonenumber.NoothersignsarepermittedonorabouttheProperty.ExcludedfromthisrestrictionaresignsrequiredbytheFCC.AtnotimeshallLesseepostanysignontheCity’sPropertywithouttheCity’spriorwrittenpermission.15.Installation,Maintenance,andStewardship:A.AtthetimeofinstallationofLessee’sequipment,Lesseeshallpainttheequipmenttomatchthecoloroftheexistingsurface.Whennewequipmentisaddedorexistingequipmentisreplaced,itshallbepaintedtomatch.B.The LesseewillnotinterferewiththeCity’suseoftheProperty,norwillLesseeortheLessee’sequipmentcreateanelectricalcurrentorfieldthatwilldamagetheCity’sPropertyorcommunicationsequipmentorcapability.C.LesseewillnotweldtothePropertywithouttheCity’spriorwrittenconsent.D.WhentheCitydeterminesthatthePropertyisinneedofrepainting,theLesseeshallberesponsibleforallcostsassociatedwithpreparingandpaintingallcommunicationfacilities(conduit,mountingpoints,antennas,etc.),preparingandpaintingthePropertysurfacesundercommunicationfacilities,andpreparingand paintingthesurfacesfromthepointofthelowestmountedequipmenttothetopoftheofwheretheequipmentismounted.TheLesseeshallpayforcostsincurredbytheCityincludingbutnotlimitedtoengineering,andcontractpreparationandadministration.Suchcostswillbepaidwithinthirty(30)daysfollowingreceiptofaninvoicetogetherwithreasonablesupportingdocumentationevidencingsuchcosts.E.Priortoanyoperationinwhichearth,rock,orothermaterialonorbelowthegroundismovedorotherwisedisplacedtoaverticaldepthoftwelveinches(12”)orgreater,Lesseemustcallanundergroundutilitylocatingservicetoascertaintheexistenceofundergroundutilities.F.LesseemustcomplywithallprovisionofRCW19.122(Undergroundutilities).Page9of 34New CingularWireless(AT&T)RollingHillsCellLease
G.Lesseeshall,atitsownexpenseandatalltimes,keepLessee’sEquipmentFacilityAreaneatandcleanandinasanitaryconditionandkeepanduseLessee’sEquipmentFacilityAreainaccordancewithallapplicableLaws.Lesseeshallpermitnowaste,damageorinjurytoLessee’sEquipmentFacilityArea.LesseeshallmakesuchrepairsasarenecessarytomaintainLessee’sEquipmentFacilityAreainasgoodaconditionasexistsonthedateconstructionofLessee’sEquipmentFacilityAreaiscompleted,subjecttoreasonablewearandtear.H.TheCityshallhavenoobligationtomaintain orsafeguardLessee’sEquipmentFacilityArea,exceptthattheCityshallnotintentionallypermitaccesstoLessee’sEquipmentFacilityAreatoanythird-partywithoutthepriorapprovaloftheLessee,exceptasotherwiseprovidedinthisLease.I.Ifapplicable,LesseeshallmaintainthesurroundingEquipmentFacilityArealandscapeinstalledbyLesseepursuanttoitspermitsforconstructionofLessee’sEquipmentFacilityArea,inamannerandfrequencyconsistentwiththebalanceoftheProperty.SuchtasksandfrequenciesshallbedeterminedbytheCityofRentonUtility,followingfinaldesignandlandscapeplanapprovalasrequiredbyanysuchpermits.16.HazardousSubstances:A.Lesseeshallnotintroduceor useany suchsubstanceontheEquipmentFacilityAreainviolationofanyapplicablelaworregulation,norshallLessee allowanyofitsagents,contractorsoranyotherpersonunderitscontroltodothesame.B.Lesseewillbe solelyresponsibleforandwilldefend,indemnify,andholdtheCity,itsagents,andemployeesharmlessfromand againstanyandalldirectclaims,costs,andliabilitiesincludingreasonableattorneys’feesandcosts,arisingoutoforinconnectionwiththecleanuporrestorationofthepropertyassociatedwithLessee’suse,storage,or disposalofHazardousSubstancesortheuse,storage,ordisposal ofsuchsubstancesbyLessee’sagents,contractors,orotherpersonsactingunderLessee’scontrol.17.RepairsbytheCity;Inspection;IncreasedMaintenanceCosts:A.TheCityshallhavenodutytoLesseetomakeany repairsorimprovementstoLessee’sEquipmentFacilityAreaexceptthoserepairsnecessaryforthesafetyoftheLessee.TheCityoritsrepresentativesshallbeprovidedaccesstoLessee’sEquipmentFacilityAreauponnolessthantwenty-four(24)hours’noticetoLessee.B.Intheeventthatthe presenceofLessee’sSiteEquipmentonthePropertyorwithinLessee’sEquipmentFacilityArearesultsinincreasedmaintenanceorrepaircoststotheCity,Lesseeshall,withinthirty(30)calendardaysofwrittennotificationbytheCity,whichshallincludedocumentationevidencingsuchincreaseastheresultofLessee’suse,paytheCityfortheincrementalmaintenanceorrepaircosts incurredbytheCity.C.ImprovementsbytheCity-relocation,movingetc.Page10of34New CingularWireless(AT&T)RollingHillsCellLease
TheCitywillfromtimetotimeneedtomakeadditionalimprovements,repairsandrevisionstotheutilitysiteandProperty.Exceptforemergenciesassetforthabove,theCitywillprovidetheLesseewithnotlessthan180days’noticeofmajorrevisionsandmajorimprovementstobemadebytheCity.Lesseeshallremoveand/orrelocateitsfacilitiesatLessee’scostandatnocosttotheCity.TheLesseemustrelocatebythedatesetintheNoticetoRelocateoranothermutuallyagreedupondateinwriting.Lessee’sfailuretotimelyrelocateperthenoticeoragreeddatecanresultinLesseepayingforanyandalldamageanddelayclaimsoftheCityorcontractorsoftheCity.Uponcompletionofsuchrevisionsand/orimprovements,ifpossible,theLessee maybeallowedtowillrelocateitsequipmentbacktoLessee’sEquipmentFacilityArea.Iftheimprovements,repairsand revisionsare notcompatiblewiththeLessee’sEquipmentintheFacilityArea—thepartieswillworktowardsanagreedsolution,ifanagreedsolutioncannotbereachedLesseeortheCitymayterminatetheLeaseuponthirty(30)calendardays’noticetotheotherpartyandneitherpartyshallhaveanyfurtherobligationsorresponsibilitiesundertheLeaseexceptremovalofLessee’sSiteEquipmentandreturnofLessee’sEquipmentFacilityAreatoitsconditionpriortoinstallationofLessee’s SiteEquipmentorasotherwiseagreedbytheparties.18.Lessee’sSub-leasing&Assignment:A.Lesseemaynot sub-leaseorco-locateanyotherbroadcastequipmentwithinLessee’sEquipmentFacilityArea,withouttheCity’spriorexpresswritten consent.B.Assignment—NeitherthisLease,noranyrightscreatedbyit,maybeassigned,ortransferredwithouttheCity’spriorwrittenpermission.AnysuchassignmentshallbeinwritingonaformapprovedbytheCityandshallincludeanassumptionofthisLeasebytheassignee.C.Notwithstandingtheforegoing,LesseemayassignitsinterestinthisLease,withouttheCity’sconsent,toanyentitywhichcontrols,iscontrolledby,orisundercommoncontrolwithLessee,ortoanyentityresultingfrom anymergerorconsolidationwithLessee,ortoanypartnerormemberofLessee,ortoanypartnershipinwhichLesseeisageneralpartner,ortoanypersonorentitywhichacquiresfiftyonepercent(51%)ormoretheownershipofLesseeorfifty-onepercent(51%)ormoreoftheassetsof LesseeintheSeattle-Tacoma-EverettArea,ortoanyentitywhichobtainsasecurityinterestinasubstantialportionofLessee’sassets;provided,thattheassignmentincludesanassumptionofallobligationsof LesseeunderthisLeasebytheassignee;and providedfurther,thatLesseeshallprovidetheCitywithwrittennoticeoftheassignmentwithanupdatedcontactandbillingaddressalongwithacopyofsaidwritten assignmentandacopyoftheCertificateofInsuranceintheformrequiredbyParagraph25.,withinthirty(30)calendardayspriortotheeffectivedateoftheassignment.AnysuchassignmentshallnotservetoreleaseLesseefromitsobligationsunderthisLease,whichshallremaininfullforceandeffect forthedurationoftheTerm.D.TheCity’sconsenttooneassignmentshallnotwaivetherequirementofobtainingtheCity’sconsenttoanysubsequentassignment.Page11of 34NewCingularWireless(AT&T)RollingHillsCellLease
19.TheCity’sSub-leasing&Assignment:A.ShouldtheCitysell,lease,transfer,orotherwiseconveyalloranypartofthePropertythatisthesubjectofthisLeasetoanytransfereeotherthanLessee, suchtransfershallbesubjecttothisLease.B.SubjecttoParagraph9.A.andParagraph9.B.,theCityretainstherighttosubleaseorenterintoanytypeofagreementforanyportionofthePropertyforanyreason,includingbutnotlimitedto,co-locatingwirelessfacilities.C.SubjecttoParagraph9.A.andParagraph9.B.,theCityretainstherighttoenterintootherLeaseswithotherLessee’stoco-locatewithintheProperty,D.TheCitymaytransferandassignitsrightsand obligationsunderthisLeaseandnofurtherliabilityorobligationshallaccrueagainsttheCity,providedthattheassigneeortransfereeassumes,inwriting,alloftheCity’sobligationsunderthisLease,whichshallremaininfullforceand effect.20.TheCity’sReservationofRighttoMaintain&GrantUtilityFranchises&Permits:A.SubjecttoParagraph9.AandParagraph9.B,theCityreservestherightforutilityfranchise,licenseeandpermitholderstoenteruponthePropertytomaintainfacilitiesand,foritself,tograntutilityfranchises,licensesand/orpermitsacrosstheProperty;provided,thatsuchfranchises,licenses,orpermitsdonotmateriallyinterferewithLessee’sauthorizeduseofLessee’sEquipmentFacilityArea.SuchinstallationwillbeaccomplishedinsuchamannerastominimizeanydisruptiontoLessee.Thefranchise,licenseorpermitholderwillberequiredtorestorepaving,gradingandimprovementsdamagedbytheinstallation.B.Lesseewillnot disturbmarkersinstalledbyafranchise,license,orpermitholderandwillcontactthefranchise,license,orpermitholderpriortoanyexcavationinorderthatthefranchise,license,permitholdermaylocatetheutility.It isLessee’sresponsibilitytoprotectlegallyinstalledundergroundutilitiesfromdamagecausedbyitself,itscontractors,agentsandinvitees.C.LesseemustcomplywithRCW19.122.030(Noticeofexcavationtoownersofundergroundfacilities--One-numberlocatorservice--Timefornotice--Markingofundergroundfacilities—Costs)andmust subscribetotheone-calllocatorservice fortheareainwhichthePropertyresides.Failuretocomplyconstitutesmaterial breachofthisLease.21.Improvements,FixturesandPersonalProperty:A.PriortoinstallinganynewequipmentorotherimprovementsinoronthePropertyaftertheAcceptanceDateotherthanmerelymaintainingtheAntennaconfigurationidentifiedonExhibitD,andpriortomakinganymaterialchangesinsuchequipmentorintheexteriorappearance,sizeordesignofany suchequipmentortheimprovementsofthePropertythereafterduringthetermofthisLease,includinganyRenewalPeriod,LesseeshallsubmittotheCityforapprovalsuchinformationregardingtheproposedworkPage12of 34NewCingularWireless(AT&T)RollingHills CellLease
astheCitymayrequest,including,withoutlimitation,plansandspecificationsoftheplannedmodificationsandLessee’scriticalpathtimeschedule,fortheCity’swrittenapproval(attheCity’sdiscretion,theCitymayrequireanaddendumtothisagreementand monthlyrentaladjustmentfortheproject).PriortocommencingconstructionactivitiesontheEquipmentFacilityArea,LesseeshallsecureapprovalofaworkschedulebytheCityandallnecessarypermitsandapprovals.DuringanyconstructionactivitiesbyLesseeattheProperty,representativesoftheCityshallhavetherighttoinspectanyandallimprovementsandtorequirereasonablerevisionstoensurethattherespectiveusesofthePropertyandEquipmentFacilityAreaarecompatible.Notwithstandingtheforegoing,maintenance,repairs,like-kindorsimilarreplacementsofequipmentandmodificationsmadewithintheinteriorofanysheltersorbasestationequipmentshallnotbeconsidered“materialchanges”.B.TheCitymayatanytime,gouponthePropertytoinspectanyworkdonebyLesseetoinsure compliancewiththeapprovedplansandspecifications,torequirereasonablerevisionstoensurethattherespectiveusesofthePropertyarecompatibleorotherwise.Further,thisrightshallnotimpose anyobligationupontheCitytomakeinspectionstoascertainthesafetyofLessee’simprovementsortheconditionoftheLeasedProperty.22.DestructionoforDamagetoProperty,EquipmentFacilityAreaoranySiteStructures:A.IftheProperty, EquipmentFacilityArea,oranystructureonthePropertyisdestroyedordamagedbyfireorcasualtysoastorenderthePropertyand/orEquipmentFacilityAreawholly unfitforusebytheLessee,andifinthereasonablejudgmentoftheCitythedamagecannotberepairedwithinninety(90)calendardaysfollowingthedateofsuchdamage,eitherpartymayterminatethisLeaseuponwrittennoticeto the otherparty,andthisLeaseshallterminateonthedateofsuchnoticeandLesseeshallsurrenderLessee’sEquipmentFacilityAreatotheCitywithinninety(90)calendardays.Withinfifteen(15)calendardaysaftersuchdamage,theCityshallnotifyLessee astowhethertheCityexpectstocompletesuchrepairwithinninety(90)calendardays.IfLessee’sEquipmentFacilityAreaisdamagedbyfireorcasualty,but notrenderedwhollyunfitforuse,Lesseemayelectpromptlytorepairsuchdamage.TheCityshallnotbeliabletoLesseeforanyindirectorconsequentialdamagesincludingbut notlimitedtoinconvenience,annoyance,orlossofprofits,norforanyexpenses,oranyotherdamageresultingfromtherepairofsuchdamage,orfromanyrepair,modification,arranging,orrearrangingofanyportionofthePropertyorEquipmentFacilityAreafortheterminationofthisLeaseasprovidedherein.B.IntheeventthePropertyand/orEquipmentFacilityAreawillberebuiltand/orrepairedasoutlinedabove,theCityshallconsiderothertemporarylocationsonthePropertyattheCity’ssolediscretion.IfboththeCityandLesseeapproveanarea,Lesseemayconstruct,operateand maintain,atitssoleexpense,asubstitutewirelesscommunicationfacilityonthePropertyuntiltheSiteEquipmentisfullyrestoredandoperational.Duringtheuseofthetemporarylocation,RentshallcontinueandbepayabletotheCity.Page13of 34NewCingularWireless(AT&T)RollingHillsCellLease
23.Condemnation:IfalloranyportionofthePropertyorLessee’sEquipmentFacilityAreashallbetakenorcondemnedfor anypublicpurposesuchthattheLesseecannotuseitsSiteEquipmentonLessee’sEquipmentFacilityArea,eitherpartymayterminatethisLease.Allproceedsfromanytaking orcondemnationoftheSiteor EquipmentFacilityAreashallbelongandbepaidtotheCity.LesseeshallhaveallrightstoitsSiteEquipmentandpersonalproperty,whichshallnotbeincludedinanytakingorcondemnation.LesseeshallalsohavetherighttoclaimandrecoverfromthecondemningauthorityanyamountsrecoverablebyLesseeonaccountofany andalldamagetoTenant’sbusinessandanycosts orexpensesincurredbyTenantinmoving/removingitsequipment,personalproperty,equipment,andleaseholdimprovements.24.Fixtures:TheCityagreesthat,notwithstandinganyprovision ofstatutoryorcommonlaw,theSiteEquipmentandanyotherLesseeimprovementstoLessee’sEquipmentFacilityArea,includingbutnotlimitedtopersonal property,shallnotbecomeaffixedtoorapartofthePropertyoranystructureontheProperty,butshallremaintheexclusivepropertyoftheLessee.TheCityanditsemployeesandagents,shallnotbeliableinanymannerfor,oronaccountof,anylossordamagesustainedtoanypropertyofwhatsoeverkindstored,keptormaintainedinorabouttheProperty,exceptsuchclaimsorlossesthatmay becausedbytheCityoritagentsoremployees.Lesseeagrees tosavetheCityanditsemployeesandagentsharmlessonaccountofanyclaimsorliensimposedupontheSiteorEquipmentFacilityAreainconnectionwithalterationsorimprovementsthereto,conductedbyLesseeoronbehalfofLessee.25.Insurance:A.Lesseeshallsecureand maintain,atitssolecostandexpense,CommercialGeneralLiabilityinsurancewithminimumpolicylimitsof$1,000,000foreachoccurrence/$2,000,000aggregatefortheTerm ofthisAgreement.B.It isagreedthatontheLessee’scommercialgeneralliabilitypolicy,theCitywillbenamedasanAdditionalInsuredonanon-contributoryprimarybasis.TheCity’sinsurancepoliciesandself-insuranceshallnotbeasourceforpaymentofanyLesseeliabilitynorLessee’spropertylossordamage.C.SubjecttotheCity’sreviewandacceptance,acurrentcertificateofinsurancewiththe“CityofRenton”namedasthecertificateholder,showingtheminimumproperendorsements,shallbedeliveredtoandacceptedbytheCitybeforeexecutingtheworkofthis Agreement.AnupdatedcertificateshallbepromptlyprovidedtotheCityuponanypolicyexpirationforthedurationofthework.D.LesseeshallprovidetheCitywithwrittennoticeofanypolicycancellation,withintwo(2)businessdaysoftheirreceiptofsuchnotice.Page14of34New CingularWireless(AT&T)RollingHills CellLease

extensions.ThebondshallbeinaformacceptabletotheCity.Theperformancebondfor thisLeaseshallnotonlyindemnifytheCityfortheusualperformanceprovisionsofthisLease,butinadditionshallbeabondtoguaranteepaymentofanyandalltaxliabilityofanytype,kind,natureordescriptiondueasaresultofthisLease.ThebondshallalsoguaranteetheremovalofLessee’sSiteEquipmentandreturnofLessee’sEquipmentFacilityAreatoitsconditionpriortoinstallationofLessee’sSiteEquipmentshouldLesseefailtoremovesaidequipmentuponterminationoftheLease.SaidperformancebondshallbeissuedtotheCitypriortotheissuanceofanypermitsfortheconstructionofitsfacilitiesontheleasedpropertyandshallincludea90-calendardaycancellationclause.PriortoCityaccessingthebond,itshallfirstgiveLesseewrittennoticeofitsintentiontodosoandwiththatnoticeshallprovidetoLesseewrittendocumentationtoLesseeoftheloss,damageorexpenseforwhichCityseekscompensationfromthebond.IftheCitysousesorappliesanyportionoftheperformancebond,Lesseeshall,uponnotice,restoretheperformancebondtothefullamountabovespecified.B.IfLesseehasenteredintoaseparateleasewiththeCityforotherCityproperty,theCitywillconsiderpermittingLesseetoexpandLessee’sexistingperformancebondtoincludeallobligationsforaperformancebondunderthisLease,providedhowever,allrequirementsfortheperformancebondoutlinedinthisLeasearemet.28.Nondiscrimination:Lessee,foritself,itssuccessors,andassignsasapartoftheconsideration,doescovenantandagreetocomply withallcivilrightsandanti-discriminationrequirementsoffederal,stateorlocallawsapplicabletotheProperty,including,withoutlimitation,RCW49.60(Discrimination—Humanrightscommission)29.PerformancebyLessee:IfLesseedefaultsintheperformanceorobservationofanycovenantoragreementcontainedinthisLeasebeyondallapplicable noticeandcureperiods,theCity,withoutnoticeifdeemedbytheCitythatanemergencyexists,orifnoemergency,withthirty(30)calendardays’notice,maydirectLesseetostopwork andmayitselfperformorcausetobeperformedsuchcovenantoragreementandmayenteruponthePropertyforsuchpurpose.Suchanemergencyshallinclude,butnotbelimitedto,endangermentoflife,theProperty,orfailureof Lesseetoobtaininatimelymanneranyinsurance.LesseeshallreimbursetheCitytheentirecost andexpenseofsuchperformancebytheCitywithinthirty(30)calendardaysofthedateoftheCity’sinvoicetogetherwithreasonablesupportingdocumentationevidencingsuchcostandexpense.AnyactorthingdonebytheCityundertheprovisionsofthisparagraphshallnotbeconstruedasawaiverofanyagreementorconditionorperformancerequiredunderthisLease.30.RestorationofSitebyLesseeandRemovalofEQuipment:UpontheexpirationorpriorterminationofthisLease,LesseeshallrestoreLessee’sEquipmentFacilityAreatoequaltoorbetterthanitsconditionpriortoLessee’soccupancy,includingremovalofLessee’spersonalproperty/equipment,excludingPage16of 34New CingularWireless(AT&T)RollingHillsCellLease
reasonablewearandtearandinsuredcasualty.ThisworkistobedoneatLessee’ssoleexpenseandtotheCity’sreasonablesatisfaction.31.VacationofLeasedPremises:UponterminationofthisLease,Lesseeshallceaseitsoperationsonand/oruseofLessee’sEquipmentFacilityArea.IntheeventLesseefailstovacateLessee’sEquipmentFacilityAreafromthePropertywithinsixty(60)calendardaysofthedateoftermination,itshallbeliablefor anyandallcoststotheCityarisingfromsuchfailure.32.EquipmentDesign:A.The SiteEquipment,describedinExhibitD,usedwithinthePropertyshallbedesigned,sitedandscreenedasdescribedinExhibitD.B.TheCityretainstherighttoreviewandapprovethedesignandtypeofmaterialsusedtoconstructthestructurewithinLessee’sEquipmentFacilityAreatoensureitmeetstheCity’sneedswithintheProperty.Lesseeshallprovideanas-builtdrawingofLessee’sEquipmentFacilityAreaandSiteEquipmenttotheCitywithinfourteen(14)calendardaysofcompletingtheinstallation.C.UponrequestbytheCity,Lesseeshallinstallallundergroundconduits,includingbutnotlimitedtopowerandtelephone.LesseeshallberesponsibleforcoordinationwithotherlesseesonthePropertytoaccommodateundergroundinstallation.33.EquipmentModification:IfatanytimeduringthetermofthisLease,eitherpartybelievesthattechnologyhaschangedsuchthatmodificationstoorreplacementoftheSiteEquipmentwouldresultinbettercommunicationsfacilitiesforLessee,lessinterferencewithothercommunicationsfacilitiesontheProperty,orlessphysicallyoraestheticallyobtrusiveequipment,thepartiesshallmakeeveryreasonableefforttocooperatetoeffectuatesuchmodificationsorreplacement.34.UtilityReviewofPlans&ApprovalofContractors:Lesseeacknowledgesthefollowing:A.TheexecutionofthisLeasebytheCityshallinnowayconstitutereviewand/orapprovalbyotherapplicablejurisdictionsandpermittingauthorities.B.TheCityretainsauthorityforfurtherreview,modification,andapprovaloftheSiteEquipmentthroughouttheCity’spermitprocess.C.ThisLeaseshallbeexecutedafteranyright-of-way,and/orfranchiseagreementbutpriortoapplicationforanyothercitypermitsfor wirelesscommunicationsfacilitiesplacement.D.AfullyexecutedLeasebetweentheCityandLessee,and anyrequiredpermits arerequiredpriortoconstructionorinstallationoftheSiteEquipmentontheProperty.Page17 of 34NewOngularWireless(AT&T)RollingHillsCellLease

C.TheCityshallhavetherighttoterminatethisLease,uponthirty(30)calendardays’writtennoticetoLessee,withoutpenaltyorfurtherliabilitytoCity,upontheoccurrenceofanyofthefollowingevents:1.TheCitydeterminesthatLessee’sexerciseofitsrightsunderthisLeaseinterfereswiththeCity’suseofthePropertyand/orthestructuresonthePropertyforthelawfulmunicipalpurposesforwhichtheCityownsandadministerssuchstructures/site.2.TheCitydeterminesthatLessee’sexerciseofitsrightsunderthisLeaseinterfereswiththeuseofthePropertybyagovernmentalagencywithwhichtheCityhasanagreementtoprovideservicestotheCity,e.g.ValleyCommunications(911).CitywillnotexercisethisrightuntilitprovidesnoticeofinterferenceandprovidesLesseewiththeopportunitytocuresuchinterferencepursuanttothetermssetforthinParagraph10above.3.LesseedefaultsintheperformanceofanymaterialtermorprovisionofthisLeasethatisnotcuredwithinthirty(30)daysfollowingreceiptofwrittennoticeofsuchdefault.Ifanon-monetarydefault cannotreasonablybecuredwithina30-dayperiod,thisAgreementmaynotbeterminatedifLesseecommencesactiontocurethedefaultwithinthe30-dayperiod andproceedswithduediligencetofullycurethedefault.4.ThePropertyisdestroyedordamagedsoastosubstantiallyandadverselyaffecttheeffectiveusebyLesseeforLessee’sequipment,subjecttotheLessee’sdetermination(withinten(10)calendardays)ofwhether theequipmentcanberestoredorrebuilt.Lesseeshallhavetheoptionof installingatemporaryfacilitywhiletheabovedeterminationismade.SuchfacilityshallbesubjecttopriorreviewbytheCityandshallconformtoallcodes,facilityreview,andLawsimposedbyanyregulatoryagencywithjurisdictioninthematter.Paymentofthemonthlyrentshallcontinuethroughouttheevaluationandtemporaryinstallationperiod.D.LesseemayterminatethisLeaseuponthirty(30)calendarday’swrittennoticetotheCity,withoutpenaltyorfurtherliabilitytoCity,withoutpenaltyoffurtherliabilityasfollows:1.Theapprovalorconsentofanygovernmentalauthoritynecessaryfortheconstructionand/oroperationoftheSiteEquipmentiswithheld,revokedorterminated,orLesseedetermines,initssolediscretion,thatthecostofobtainingorretainingsuchapprovaliscostprohibitive;or2.LesseeatanytimedeterminesinitssolediscretionthatitdesirestodiscontinueuseofLessee’sEquipmentFacilityAreaforanyreason;or3.TheCitydefaultsintheperformanceofanymaterialtermorprovisionofthisLeasethatisnotcuredwithinthirty(30)daysfollowingreceiptofwrittennoticeofsuchdefault.Ifanon-monetarydefaultcannotreasonablybecuredwithina30-dayperiod,thisAgreementmaynotbeterminatedifCitycommencesPage19of 34NewCingularWireless(AT&T)RollingHillsCellLease
