PARTIAL TERMINATION AND RELEASE OF LEASE
TINS PARTIAL TERMINATION AND RELEASE OF LEASE (this "Partial
Termination and Release") is enteredYrito",as of the��day of May, 2005, by and
between LONGACRES PARK, INC a Washington corporation ("LPI"), and THE
BOEING COMPANY,:a Delaware corporation ("Boeing").
Recitals
Recital 1. LPI and Boeing entered into a Lease datedjuly 1, 1997, by which
LPI leased certain real property,described.in the Memorandum of Lease recorded in
the records of King County under.;recording aumber,9707030128 ("Leased Premises")
to Boeing ("Lease").
Recital 2. LPI and Boeing desire to terminate the Lease with respect to the
real property described on Exhibit A hereto (the "Released' Property") .and to fully and
forever release and discharge the Released Property from: the: Lease.
Agreement
:NOW, THEREFORE, for good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, LPI and Boeing hereby agree as
follows;-,
1. The Lease is hereby terminated with respect to the Released Property and
the Released Property Is fully. and forever released and discharged from the Lease.
2. For the sole purpose of clearing title, B.oeing hereby conveys and
quitclaims to LPI any intere"st that'Boeing holds in the Released Property.
3. From and after the date hereof, the: "Leased Premises" as defined in the
Lease shall exclude the Released Property:'
4. Except to the extent terminated and modified by this Partial Termination
and Release, the Lease shall remain in full force and effect in. accordance with its `` ..
terms.
