Grantee shall have the right 10 construct, operate, maintain, repair, replace, enlarge and use one or more cicc trre transmuismn and'or distribution lines over andror under the Easement Area together with all necessary or conventent appuneaances thereto, which may include but are not limited to the following: Oserhead facilities. Pulet with crossarms, braces, guys and anchors; electric trartsmission and distribution fines; ribcr optic cshfe, communication and signal lines; and transformers. b. Underground facdilies. Underground conduits, cables, vaults, manhules, switches and iransformers; sent buried or gruund mounted facilities such as pads, transformers and switches; fiber optic cable, cummumcntron and signal lines. Following the initial construction of fill or I ponion of its systems. Grantee may, from time to time, construct such additional facilities as it may require for its systems. 2. Co�liancc with Lairs and RuleL& f ranee shell It all times exercise its rights herein in compliance with all applicable laws and regulations. 1. Removal of Fill Material. In the event that Grantee encounters, or suspects that it has encountered any hazardous substances in the Easement Area in furtherance of its rights set forth in paragraph 1, Grantee shelf ccasc all otici stions and notify Grantor. If the encountered er suspected hazardous substances tic not the mutt of the acts or omissions of Grantee, Grantor steal I, al its own expense, determine if the material is hazardous, as determined by applicable law. If die material should prove to he haze ous, then the Grantor shall, at its own expense, remove, dispose, or otherwise handle rush hazardous substances, as necessary, in accordance with applicable law, or reroute the Easement Area, if possible. If hazardous substances are removed, Grantor also shrdl provide suitable substitute nonhazardous material to replace the removed materiel for Grantee to use in its operation, if necessary. Should the encountered or suspected material prove not to be hazardous, Grantee shell proceed with the operations at its own cost, with no recourse against the Grantor for the cost of schedule delays incurred due in the delay in operation. If the encountered or suspected hazardous substances are the result of the acts or omissions of Grantee, Grantor's characteriratiotl of the substances involved and any removal, disposal or other handling costs incurred in connection with the removal, disposal or handling of the hazardous substances will he at Grantee's expense, and Grantee shell have no recourse against Grantor for the cost of schedule delays incurred due in the delay in operation. Grantee shall make provisions tausfaccory to Grantor for continued access by Grantor along, over and across the Easement Area during periods in which Grantee is conducting construction or other act;v rots. In the event of an emergency requiring immediate acbon by either party for the protection of its facilities or other persons or property, such party may take such action upon such notice to the other parry as is reasonable under the enfcumstaaces. 6. Indemnity and Insurance. 6.1 Grantee agrees to telease, indemnify and hold harmless Grantor, The Hoeing Company (the parent corporation of Grantor), their ferpeaive corporate sffltsta, and their respective directors, officers, employees, agents, tenants and xpresentahves (UK'Indemmfied P.uties") from any and all actions, liabilities, demands, claims. suits, judgments, bens, awards, and damages of any kind or character .rhatsoever (hereinafter referred to as "Claims"). including claims for injury to of death of any person, loss of or damage to any property, and costs, expenses and reasonable auorneyt fees inLurred by Grantor in connection therewith (including costs in connection with establishing the right to indemnification hereunder), asserted or refusing directly or indirectly from, on account of, or in connection. with Grantee's negligence or willful misconduct in the operation, maintenance, use, of control of the Easement Area land improvements tenon.) or ih: »gkgence ar willful misconduct of any contractor providing geoids or services to Grants ('Contractor") or any Contractors personnel. The foregoing is not intended to require the Grantee to indemnify the Indemnified Panics with respect to any Claim to the extent that it was caused by the neghgencc or willful misconduct of the Indemnified Parties. With respect to all or any portion of the foregoing obligation which maybe held to be within the Q1 purview of RC W 4.24.115, such obligation shall apply only to the maximum extent permitted by RC 4.24.115. 6.2 Grantee shall carry and maintain, and shall ensure that any Contractor carries and maintains, NCommercial General Lability insurance with available limits of not lea than One Million Dollars ($1,000,000) per occurrence for bodily injury, including death. and property damage combined. One million Dollars (il.000,000) general aggregate. Such insurance shall be in a form and with usurers acceptable to Grantor and shall contain m coverage for all premises and operations, broad form property damage and contractual liability (including without Qj limitation, that specifically assumed hciria). Any policy wbich provides the isssurance required under this paragraph shall: (a) be endorsed to name "Longacra Park, Inc., TU Boeing Company and its subsidiaries and their respective directors, officers, employees, agents, attorneys and assigns" as additional insureds (hereinafter "Additional Insured') with respect to any liability *tit ng out ofGranicc 4 presence on the Property (or such Contactors presence as the case may be). (b) be endorsed to be primary to any insurance maintained by The Boring Company or Longacra Park, Inc., (c) contain a severability of interest provision in favor of the Additional insured and (d) contain it waiver of any rights of subrogretion against the Additional Insured. If licensed vehicles will be used in connection with this permit. Grantee shall carry and maintain, and shall ensure that any Contractor who out licensed vehicles in connection with this permit carries and maintsieu, Automobile Liability insurance covering all vehicles, whether owned, hired, rented, borrowed or otherwise, with limits of liability of not lets than One Million Dollars (S 1.000,000) per occurrence combined single limit for bodily injury and property damage. Grantee shall cover or maintain, and shall ensure that any Contractor coven or maintains, insurance in accordance with the applicable laws relating to workeW compensation, with respect to all of their respective employces working on or about the Property, regardless of wbedw such coverage of insurance is mandatoryor merely elective under the law. Grantee Shall not aeeas the Properly Unitas Grufft shall have tint provided for Grantors review said approval, a certificate of insurance reflecting full eompliwa with the requiremrnu set forth berain. Such certificate shall list Longacres Park, Inc. as certificate holder and shall be kept current and in compliance throughout the period of this permit and shall provide for thirty (30) days tidvwee wtitlen notice to Grantor in the evenl of cancellation. Tito insurance provisions in this Section 6.2 can be substituted with self-insurance. 7. Abandonment. Grantee shall have the right of reasonable access to the Easement Area over and across adjacent lands owned by Grantor it) enable Grantee to exercise its rights hereunder, provided that Grantee shall compensate Grantor for any damage to the Easement Area and/or such adjacent land; caused by the exercise of said right of access and the cost of any repairs resulting therefrom at the actual custurovy cost or much repair. 10. Easement Area Clearing and Maintenance. Grantee shall have the right to cat, remove and dispose of any and all brush, erns and other vegetation pretK dy existing upon the Easement Ara Grantee dull also have the right to control, on a continuing basis and by any prudent and reasonable meaner, the establishment and growth of bush, trees and otter vegetation upon the Easement Area which could. ?n the opinion of Gratce, imerfere with the exercise of orantt es rights herein or crate a hazard to Grantee's systems. Other than in an emergency. Trees Outside (:asement Area, Grantee shall have the right to cut, trim, remove and dispose of any won fixated on the Property outside the Eucment Area which could, in Grantee'e sole judgment, interfere with or create a hoard to Grantee's systems. Grantee shall, prior to the exetctae of such right, identify such uets and make a tessonable effort to give Grantor prior notice that such trees will be cut, trimmed, removed or disposed of (except that Grantee shall hive no obligation to identify such trees or give Grantor such prior notice when eras are cut, trimmed, removed or otherwise disposed of in response to emergency conditioro). Grantor shall be entitled to no compensation for trees cut, trimmed, removed or disposed of except for she actual market value of merchantable umber (if any) cut and removed from the Property by Grantee.
