MINUTES OF BOARD OF DIRECTORS SPECIAL MEETING
SEPTEMBER 6, 2022
Attending: Daryl Delaurenti, Elizabeth Stewart, Dan Clawson, Robert Wilson
Absent: Jessica Kelly, Colleen Lenahansen, Mike Lennox, Rhea Kimble, Amy Elizabeth Gorton,
Maryann DiPasquale
Location: Virtual meeting via Zoom
Call to order: The meeting was called to order at approximately 5:30 p.m.
New business:
(1) Appointment of Dan Clawson as Board President and Robert Wilson as Board Secretary
(2) Appoint chair of MMA committee
(3) Approve draft MOU
(4) Authorize Executive Committee to retain attorneys
Action:
(1) Motions to nominate Dan Clawson as Board President and Robert Wilson as Board Secretary were
made, seconded and passed,
(2) Motion to elect Dan Clawson as Board President was made and seconded. After debate, it was
decided that a quorum was not present and no vote was taken.
Adjournment: The meeting was adjourned at approximately 6:15 p.m.
Approval of Minutes: These Minutes were approved on October 25, 2022 by a quorum of Board
Members.
