1. GRANT OF EASEMENT, Grantor hereby grants and conveys to Grantee an
easement under, over and through a portion (the "Easement Area") of Grantor's Property, as
more particularly described on Exhibit "C" and shown in Exhibit "D" attached hereto, for the use
and benefit of Grantee's Property and for the purposes described herein.
2, GRANTEE'S PERMITTED USES, This Grant of Easement shall be used for th*
purposes of installing and maintaining a wall drainage system.
3. CONSTRUCTION. Grantee will be responsible for all costs and expenses

approvals) arising in connection with the design and construction of all improvements
requirA d to permit the permitted uses on, under and/or through the Easement Area,
Grantor agrees not to construct any improvements or undertake other activities on or
under the easement Area that would prohibit Grantee from exercising the permitted uses

4RESTORATION AND REPAIR AND TERMINATION- Following any
installation of improvements and the completion of wall construction for Grantee's

5. INDEMNITY. Grantee shall indemnify, defend and hold Grantor,
individually, its officers, employees, contractors, and agents, harmless from any and all
claims, liabilities, damages, excise taxes or expenses (including without limitation
Easement Area or breach of this Grant of Easement; provided, however, such indemnity
shall not apply in the event of Grantor's or its officers', employees', contractors', and/or
agents' gross negligence or breach of this Grant of Easement.
WAIVER. The failure of any party to demand strict performance to tht.
provisions of this Grant of Easement shall not be construed as a waiver of any provision
or the other party's obligation to perform any provision. A party may waive performance
of any provision only by a sign written agreement.

8, BINDING AGRE EMENT. Upon its execution by each party, this instrument shall
become binding and enforceable according to its provision. If more than one party is obligated to
perform an act by any provisions stated in this instrument, those parties shall be jointly and
severally liable and obligated for the performance of those acts. The rights and obligations of

cooperate in good faith to cause the results intended herein.
