All provisions in the basic agreement remain in effect except as expressly modified by this supplement.

Scope of Work

A. Project Description / Background
The City of Renton ("City") is currently preparing for the Right of Way (ROW) Acquisition effort
for the Downtown Circulation Project. The City has elected to supplement KPG's
("Consultant") existing contract to assist with the management of this effort. Universal Field
Services (UFS) will provide the ROW Acquisition Services for the project.
This contract amendment will serve as Supplement #3 and encapsulates KPG's additional
services required to manage and support the ROW acquisition effort that were not covered in
the Final Design Contract (Supplement 2). Additionally, attached to this scope of work is a
detailed scope of services and estimate provided by UFS.
B. Project Limits
The project limits as they relate to the ROW effort remain unchanged and include parcels
adjacent to the frontage improvements of the Main Avenue/S 2nd Street Intersection.
C. Project Assumptions
This scope of services was prepared based on the following assumptions:

required to acquire a title report and establish ROW boundaries for Parcel
7231500970.
❑ Property owner exhibits are added to this supplement.
❑ If required, Puget Sound Energy (PSE) real estate services will acquire easements
on their behalf. Only ROW coordination with PSE from the Consultant is required.

F. Scope of Work
Work Element 1 Project Management/ Coordination /Administration.
The estimated duration of the ROW Acquisition effort is 6 months.
1.1 The Consultant will provide continuous project management and oversight of UFS
for the duration of the ROW effort (estimate 6 months).
1.2 The Consultant will review UFS's invoicing and prepare monthly progress reports
identifying work completed in the previous month, work in progress, upcoming work
elements, and reporting of any delays, problems, or additional informational needs.
These reports will incorporate UFS's invoicing and submitted with the Consultant
invoices.
1.3 Coordinate with the ROW Team including preparation and attendance of up to four
(4) additional coordination meetings throughout the duration of the ROW effort.
1.4 The Consultant shall provide QA / QC reviews by senior staff of all major ROW
deliverables prior to submittal to the City.

Work Element 2 ROW Services and Property Owner Exhibits
This task covers the necessary effort to provide the City with ROW Acquisition Services,
develop property owner exhibits, and establish ROW and parcel lines for the parcel located
at the NE Corner of Bronson/Main (parcel# 7231500970). UFS has provided a detailed
scope and fee estimate for ROW Acquisition Services and these are referenced as Exhibit
G.
2.1 The Consultant will prepare up to 4 property owner exhibits to be utilized during
meetings with the property owners. The purpose of these exhibits is to give each
property owner a clear understanding of the ROW impacts along their frontage. The
exhibits will contain the following information:
Er Existing parcel features, ROW lines, and Parcel Lines
Er Proposed Frontage Improvements and dimensions where necessary
❑ Proposed ROW lines and easement lines
❑ Parcel name and number
❑ Scale, north arrow, and legend (in color)
2.2 The Consultant will research available records, order a title report, and prepare a
legal description and exhibit drawing to be used in the acquisition documents.

Scope of Work
Right of Way Acquisition Activities
According to the City of Renton(CITY),there are no federal funds participating in any phase of the project and it
is therefore assumed ROW certification through WSDOT is not required or desired by the CITY.To the greatest
extent practical, Right of Way Acquisition services will comply with Washington Administrative Code(WAC)468-
100—Uniform Relocation Assistance and Real Property Acquisition. Additional parcels or real property rights
other than shown in Table A below will require an amendment to this scope of work and related fee estimate. It
is assumed there are no occupants or personal property displaced as a result of this project.
This scope of work and associated fee estimate is based on the following:
1.) Discussions with City and KPG Engineering.
2.) Review of 30%Design Drawings.
3.) Review of limited public online owner/property information.
4.) Recent tour of project parcels impacted.
5.)Acquisition exhibits not available at this time.
Right-of-Way Acquisition Activities
Universal Field Services, Inc.will provide the following:
1. Title/Ownership Review- Obtain up to four(4) title reports from the CITY or KPG and perform reviews of
existing right of way and ownership information. Review special exceptions described in each title report to
determine the CITY's acceptance of title encumbrances at closing. Provide the CITY with Parcel Title Summary
Memos listing ownerships, title exceptions, etc.
Deliverables:
a) Prepare up to four(4) Parcel Title Summary Memos
2. Preparation and Administration - Discuss, strategize and coordinate overall process with CITY and KPG
Engineering staff. Attend project kickoff meeting and up to three (3) progress meetings — CITY office.
Progress meetings can be facilitated by conference calling if preferred. Provide up to six(6)monthly progress
reports indicating the work completed for the invoiced month,anticipated work for the following month,and
identify issues requiring the CITY's input or assistance. Provide sample acquisition documents for the CITY's
approval and use(i.e.offer letters,deeds,easements,escrow instructions,payment vouchers etc.).The CITY's
existing forms will be used if made available. Upon receipt of approved Just Compensation amounts(see Task
5 below), prepare parcel files to include fair offer letter and ancillary documents, a standard diary form
indicating all contacts with the owner, and other items necessary for negotiations.
Deliverables:
a) Attend Project Kickoff Meeting—CITY office
b) Attend three (3) Progress Meetings—CITY office
c) Provide six (6) Monthly Progress Reports
d) Prepare four(4) parcel acquisition files for negotiations

3.Public Outreach-Assist CITY in preparation of an"Introduction/Project Informational Letter"for delivery to
each property owner shown in Table A below. The letter will describe the purpose of the project,the project
schedule, identify the CITY's consultants (Universal Field Services and KPG)and the purpose of each firm.
Deliverables:
a) Sample "Introduction/ Project Informational Letter" for delivery by CITY to each property
owner.
4.True Cost Estimate—As part of the real property valuation process, UFS will develop a True Cost Estimate
(ICE)similar to the TCE format described in WSDOT's Local Agency Guideline Manual—Section 25 to include
all four(4) parcels shown in Table A below. Individual parcel worksheets will be prepared to estimate the
amount of just compensation using King County's adjusted assessed values and available comparable land
sales, including information obtained from available project acquisition exhibits..
The TCE will provide an estimated cost of all related Right of Way Acquisition expenses summarized in a
worksheet including: estimated just compensation to property owners; title and closing costs; and
negotiation consulting fees.
It is intended the CITY will review the TCE for budgetary purposes and subsequently approve authorizing UFS
to prepare three (3) "low value" finding worksheets and one (1) Appraisal and Appraisal review report
described in Task 5 below.
Deliverables:
a) True Cost Estimate.
5.Property Valuation-Based upon current design and discussions with project team,it is assumed the required
permanent and temporary real property rights for the project will not significantly or adversely impact the
three (3) of the four (4) parcel's future use. To estimate the amount of just compensation, in lieu of an
Appraisal, UFS will prepare three (3) "low value"finding worksheets,similar to a WSDOT's AOS worksheet
format,for said three(3) parcels. One(1)Appraisal and Appraisal Review report per WSDOT standards will
be prepared for the forth parcel. See Table A below depicting the valuation type for each parcel.
Completed Appraisal,Appraisal Review and Low Value Finding worksheets will be submitted to the CITY for
review and written approval setting the amount of just compensation to be offered each property owner.
If a property owner elects,an Appraisal report may be required for each of the three(3) parcels,subject to
CITY approval,together with a revised offer considered. Preparation of additional Appraisal and Appraisal
Review reports will impact the right of way schedule and budget. As such, an amendment to this scope of
work and related fee estimate would be required.
Assumptions: a) Properties are clean of hazardous materials.
b) Contact with property owners not required for completion of the True Cost Estimate
or individual"low value" finding worksheets..
c) Acquisitions for three of the four parcels will not significantly impact the property
owner's future use.
d) Adjusted assessed land values and readily available comparable land sales
will be the bases for calculating the "low value"finding worksheets.
e) Appraisers will be properly licensed by the State of Washington and pre-approved by
WSDOT Real Estate Services.
Deliverables:
a) Three(3) "Low Value" finding worksheets for the City's review and written approval.
b) One(1) Appraisal report per WSDOT standards for the City's review.
c) One (1) Appraisal Review report per WSDOT standards for the City's review and written
approval.

6.Acquisition Negotiation—Upon written approval from the CITY authorizing the estimated amounts of just
compensation, UFS will prepare the offer packages and promptly present each offer to purchase the real
property interests and negotiate in good faith to reach a settlement with each property owner.All offers will
be presented in person when at all possible.
Conduct real property acquisition negotiations of real property right(s) with the owner(s) and/or their
representative(s)of the parcels shown in Table A below. Negotiations will be conducted in accordance with
statutory and regulatory requirements to include:
Coordinate administrative settlement approvals with the CITY; Negotiate as necessary with lien holders,
assisting escrow in the closing process; Prepare and maintain parcel files to include fair offer letters,
acquisition documents, a standard diary form indicating all contacts with owner(s), and other items
necessary for negotiations.
Negotiations shall not be deemed to have failed until at least three significant meaningful contacts have
been made and documented with the property owner and/or their representative through direct personal
contacts. Out-of-area owner(s)will be contacted by telephone and by certified mail. If negotiations reach
an impasse, UFS will provide the CITY with written notification. The filing and cost of condemnation
proceedings shall be the responsibility of the CITY.
Assumptions: a) In addition to obtaining a Temporary Construction Easement (TCE)from Parcel 3 for
construction access purposes, it is the City's intent to acquire a small portion of the
parcel's most southerly real property currently encroaching public sidewalk/handicap
ramp. It is assumed the City will accept a Quit Claim Deed with no compensation paid
to the property owner.
Deliverables:
a) Acquisition negotiations with the owners of those parcels shown in Table A below.
b) Completed parcel files including completed records of all Right of Way Acquisition services.
7.Parcel Closeout—Escrow Closing-Upon securing required acquisition agreements and subject to the CITY's
current title clearing guidelines, UFS will submit the necessary acquisition documents and closing instructions
to the designated Title/Escrow Company. Work with the Title/Escrow Company in order to obtain release
documentation from the encumbrance(s) of public record that are not acceptable to the CITY in order to
provide clear title to the property being acquired. UFS will coordinate signatures on closing documents for
submittal to the CITY and payment(s)to the owner(s); coordinate with the Escrow/Title Company in filing
documents with King County.
Deliverable:
a) Completed original acquisition negotiation parcel files—four(4) each.
8. Right-of-Way Certification — Since there are no federal funds participating in the project, Right of Way
Certification through WSDOT Real Estate Services is not required or desired by the City.
