ADDENDUM
TO
REIMBURSEMENT AGREEMENT
THIS ADDENDUM TO THE REIMBURSEMENT AGREEMENT ("the Agreement"), dated
September 1, 2009, entered into by and between ALLSTREAM FIBER U.S. INC., a Delaware
corporation ("Allstream") having a principal place of business at 200 Wellington St W, Toronto,
ON, Canada M5V 3G2, and the CITY OF RENTON, a municipal corporation ("Reimbursor"),
Renton City Hall, 1055 S. Grady Way, 5th Floor, Renton, WA 98057, U.S.A., hereby adds the
following paragraphs to the Parties' Agreement, all other paragraphs, terms and conditions of
the Agreement remaining in full force and effect:
12. Governing Law and Severability. The Agreement shall be governed by the laws of
the State of Washington. If any term or provision of the Agreement, or application thereof shall
to any extent be 'invalid or unenforceable, the remainder of the Agreement shall not be
affected thereby, but shall be valid and enforced to the fullest extent permitted by law.
13. Jurisdiction and Venue. The parties agree jurisdiction shall be with the Superior
Court of the State of Washington and that the venue of any action or suit concerning the
Agreement shall be in the King County Superior Court and all actions or suits thereon shall be
brought therein.
IN WITNESS WHEREOF the Parties have executed this Addendum to the Reimbursement
Agreement as of the day, month and year below written.
