Dear Mr. Grudstein:
The City of Renton has finished reviewing your proposed lot line adjustment and is now
ready to approve and send the final version for recording. The following items will need
to be addressed prior to submitting mylars:
I. Note the vested owners' names and corporations associated with this lot line
adjustment in the "DEDICATION" block directly under the signature lines
(instead of using "NAME").
2. If a private storm drainage easement document between Hancheroff and
RML Property-Renton, LLC is to be recorded with the lot line adjustment,
then Exhibits A, Band C (legal descriptions) must be attached to said
easement document.
3. If there is to be another easement for parking and access for the benefit of
Lot A-1, then note on the drawing that it is "NEW" and "PRIVATE".
4. The reference to the private easement for sanitary sewer should also include
the word "NEW".
5. It would be best if all of the above referenced new, private easement
documents were to be recorded concurrently with the lot line adjustment
submittal.
Once the above-mentioned items have been addressed please submit two sets of original
signed mylars and a check for $18.96 made out to Velocity Express to my attention at the
sixth floor counter of City Hall.
Please verify that the mylars have been signed by all owners of record and have been
notarized with an ink stamp (not embossed). The ink stamp must be legible so that
King County will promptly record the lot line adjustment.
This decision to approve the proposed lot line adjustment is subject to a fourteen (14) day
appeal period from the date of this letter. Any appeals of the administrative decision
must be filed with the City of Renton Hearing Examiner by 5 :00 pm, March 4, 2008.

On May 8, 2006, the undersigned Princfpal of Geotech Consultants, Inc. met with you at the
proposed townhomes development property in Renton. The purpose of this visit was to observe
the existing site conditions and the soil conditions in a series of test pits. The recommendations
and conclusions presented in this report are professional opinions based on the observations made
during our site visit and on previous experience with other projects in the vicinity.
We were provided with a conceptual site plan for the project that included topographic information.
This plan was prepared by JM Architects and dated January 27, 2006. Based on the plan, we
understand that an existing, somewhat rectangular property is to be short-platted into two lots, the
larger lot being somewhat L-shaped. Most of the L-shaped lot is undeveloped, although a paved
driveway extends through it. The other lot, located at the northwestern corner of the rectangular
property, includes an existing building and transmission tower. This property will be left
unchanged. The driveway that extends through the L-shaped lot provides access to Eagle Ridge
Drive South. The L-shaped lot is to be developed with several townhome buildings and some
driveways. The site plan indicates that the buildings will be located on the northern-central and
southern portion of the property. No grading for the buildings and driveways were available at the
time this report was prepared.
If the scope of the project changes from what we have described above, we should be provided
with revised plans in order to determine if modifications to the recommendations and conclusions of
this report are warranted.
SITE CONDITIONS
SURFACE CONDITIONS
The L-shaped loi is located on the southern portion of Renton, adjacent to the easterr'I side of
Benson Road South. The existing Eagle Ridge Lodge development is located adjacent to the
eastern side of the project site. As noted above, although most of the lot is currently undeveloped,
a paved driveway extends from near the southeastern corner of lot to the northwestern side to
provide access for the office building that is to the northwest. Also, some utilities are located on the
property. Overall, the property slopes downward to the west or northwest. A large majority of the

property has an inclination greater than 15 percent. Most of the property has an inclination of less
than 40 percent. However, there are five distinct areas where inclinations exceed 40 percent.
These areas are: 1) at the northeastern side of the site below the Eagle Ridge Lodge, 2) near the
east-central portion of the site adjacent to the eastern side of the existing driveway, 3) at the
northwestern side of the site adjacent to the drlveway/parking lot of the office building development,
4) at the northwestern side of the site below and west of the existing driveway, and 5) at the
southeastern side of the site below the entrance of the existing driveway. The location of these
areas is shown on the attached site plan. It is apparent that Areas 1, 4, and 5 are steep areas
created by the filling of soil over the native ground, while Areas 3 and 4 were created by excavating
into the native ground. The vegetation cover north and east of the existing driveway and the office
building is mostly grass and blackberries with scattered trees, while the vegetation cover south and
west of the driveway and the office building is mostly blackberry vines and brushy trees.
SUBSURFACE CONDITIONS
Our understanding of the subsurface conditions at the site is based on our observations of 12 test
pits excavated by the client throughout the L-shaped property. The test pits were excavated using
a mini-excavator. In general, the test pits revealed loose to medium-dense, fill soil, topsoil, and or
native silty sand with gravel. This native soil then became medium-dense to dense, or denser, at
depths ranging from approximately 2.5 to 4.5 feet However, a large amount of loose fill soil was
revealed near the western-central portion of the site above Area 4. It appears likely that a ravine
previously existed in this area that was filled. We have attached a site plan with this report that
indicates, along with the test pit locations, the depth to the medium-dense to dense or denser
native soil.
CONCLUSIONS AND REC OMMEN DA TIONS
GENERAL
The L-shaped property is suitable for development, but some significant geotechnical
considerations regarding foundations are needed. With the exception of the filled ravine at the
west-central portion of the site, it appears that competent bearing soil is located within a reasonable
excavation depth of the ground surface Therefore, with the exception of the filled ravine area, it is
our opinion that conventional footing foundations should be adequate for the residential buildings.
If buildings are placed in the filled ravine areas, deep foundations consisting of drilled concrete
piers or driven steel piles will likely be needed. Additional explorations such as test borings would
be needed in the filled ravine area if buildings were to be placed there.
Based on the site soils, the City of Renton code indicates that slopes greater than 40 percent in
inclination are Protected Slopes and a High Landslide Hazard. Also, slopes 15 to 40 percent in
inclination are a Medium Landslide Hazard and a High Erosion Hazard. The code indicates that
Protected Slopes are not to be constructed on, but exceptions are available. One is an Exception
through Modification. This exception can be granted for grading to allow reconfiguration of
protected slopes created through private road installation or widening. As noted earlier, there are
five areas on the site that are sloped greater than 40 percent and thus are Protected Areas. It is
our professional opinion that development can be done in Areas 2, 3, and 5 because these steep
areas were created to constuct the driveway that extends through the site. We believe that the
steep slope of Area 4 should not be constructed on due to the amount of fill placed there. Area 1
does not qualify because the grading was not created for road installation.

The code also indicates that Medium and High Landslide Hazard areas, as well as High Erosion
Hazard areas, which encompasses all slopes greater than 15 percent on the site, can be built on if
the development: 1) will not increase the threat of the geological hazard to adjacent properties
beyond pre-development conditions; 2) will not adversely impact other critical areas; and 3) can be
safely accommodated on the site. It is our professional opinion that these three criteria are met at
this site for all areas inclined between 15 and 40 percent.
At this time the development is in the planning stage. We should be. advised once a final
development plan and grading plan is prepared in order to observe more soil explorations and/or
prepare a final geotechnical engineering study for this project.
EXCAVATIONS AND SLOPES
Excavation slopes should never destabilize existing upslope structures or exceed the limits
specified in local, state, and national government safety regulations. Based upon Washington
Administrative Code (WAC) 296, Part N, the loose to medium-dense fill and native soils at the
subject site would be classified as Type B, while the dense to very dense native soils at the subject
site would be classified as Type A. Therefore, slopes cannot be excavated at an inclination steeper
than 1 :1 or 0.75:1 (Horizontal:Vertical), respectively.
All permanent cuts into native soil and compacted fill soils should be inclined no steeper than 2: 1
(H:V). Water should not be allowed to flow uncontrolled over the top of any slope. Also, all
permanently exposed slopes should be seeded with an appropriate species of vegetation to reduce
erosion and improve the stability of the surficial layer of soil. Any disturbance to the existing slopes
outside of the building limits may reduce the stability of the slopes.
DRAINAGE CONSIDERATIONS
We recommend the use of footing drains at the base of all footings and backfilled, earth-retaining
walls. These drains should consist of 4-inch-diameter, perforated PVC pipe surrounded by at least
6 inches of 1-inch-minus, washed rock that is encircled with non-woven, geotextile filter fabric
(Mirafi 140N, Supac 4NP, or similar material). At its highest point, the perforated pipe invert should
be at least as low as the bottom of the footing, and it should be sloped for drainage. All roof and
surface water drains must be kept separate from the foundation drain system.
The excavation and site should be graded so that surface water is directed off the site and away
from the tops of slopes. Water should not be allowed to stand in any area where foundations,
slabs, or pavements are to be constructed. Final site grading in areas adjacent to the buildings
should be sloped at least 2 percent away from the building, except where the area is paved. Water
from roof, storm water, and foundation drains should not be discharged onto steep slopes; it should
be tightlined to a suitable outfall located away from the slopes.
LIMITATIONS
The conclusions and recommendations contained in this report are based on site conditions as they
existed at the time of our site visit. If the subsurface conditions encountered during construction
are significantly different from those anticipated, we should be advised at once so that we can

review these conditions and reconsider our recommendations where necessary. Unanticipated soil
conditions are commonly encountered on construction sites. Such unexpected conditions
frequently require making additional expenditures to attain a properly constructed project.
This report has been prepared for the exclusive use of Hancheroff Construction and its
representatives for specific application to this project and site. Our recommendations and
conclusions are based on the site materials observed and on previous experience with sites that
have similar observed conditions. The conclusions and recommendations are professional
opinions derived in accordance with current standards of practice within the limited scope of our
services. No warranty is expressed or implied.

Dear Mr. Grudstein:
City of Renton staff has completed the initial review of your proposed lot line adjustment. The
following request for changes by the Development Services Division will be necessary in order
for the City to approve your proposal:
1. Note the gross and net square footage of existing and revised lots (net reflects the
deduction of access easements).
2. Note the square footage ofland in cntical areas and critical area buffers.
3. Note the square footage ofland in private access easements.
4. Depict the location of existing critical areas on or adjacent to the site (wetlands, steep
slopes, etc.)
In addition to the above-mentioned comments, please see the enclosed memo requesting changes
from the Property Services Division. Once all changes have been made, please submit two
copies of the revised lot line adjustment the sixth floor counter of the Planning/Building/Public
Works Department at Renton City Hall. The revised plans will be routed for final review and
you will be notified when it is appropriate to submit the final mylars. If you have any questions

Bob Mac Onie and I have reviewed the above referenced lot line adjustment submittal and have
the following comments:
Comments for the Applicant:
Note the City of Renton land use action number and land record umber, LUA-07-089-LLA and
LND-30-0333, respectively, on the drawing. The type size used for the land record number
should be smaller than that used for the land use action number.
Remove the "PROPOSED LEGAL DESCRIPTION ... " blocks on Sheet 3 of 4. They are not
needed and were not reviewed. When this lot line adjustment submittal is recorded, the lots will
be described as "LOT A (or B) of City of Renton Lot Line Adjustment No. LUA-07-089,
recorded under King County Recording Number "
Note all easements, covenants and agreements of record on the drawing submittal, if any.
Note that the Eagleridge Estates Condominiums are located to the north of the subject lot line
adjustment properties.
All vested owners of the subject lot line adjustment need to sign the final lot line adjustment
submittal. Include notary blocks as needed.
Note that if there are easements, restrictive covenants or agreements to others (City of Renton,
etc.) as part of this subdivision, they can be recorded concurrently with the short plat. The lot line
adjustment submittal and the associated document(s) are to be given to the Project Manager as a
package. The recording number(s) for the associated document(s) are to be referenced on the lot
line adjustment drawing -provide spaces for said recording numbers.

Is the sanitary sewer easement public or private? If public, a city document (the Sanitary Sewer
Utilities Easement document) needs to be used for recording purposes (see the previous
paragraph). The applicant's surveyor needs to provide the legal description and map exhibit for
said document. NOTE: Easements cannot be created via the recording of this lot line adjustment.
Remove that portion of the two notes shown on Sheet 4 of 4 that state: "TO BE CREATED
UPON RECORDING OF THIS LOT LINE ADJUSTMENT". Do reference the King County
Recording Numbers on Sheet 4 of 4, and provide a space for said numbers
If the sanitary sewer easement is private, then the two lot line adjustment applicants need to
provide their own easement document, and either record concurrently with the lot line
adjustment, or as needed.
Also, there can be no parking and access easement created upon the recording of this lot line
adjustment (parking and access easement for the benefit of Lot A). If this is private easement
between the two property owners, then a private access and parking easement document needs to
be provided by the applicants and recorded with the lot line adjustment.
The parking and access easement for the benefit of Lot B is noted in the transmission line
easement area (Rec. No. 5687370) to the east of Lot B. Said easement area appears to be outside
the boundary line of the lot line adjustment, with a length of 125.0 feet. The width is not given.
Is another pri vale easement needed between the property owner to the east and the owner of
proposed Lot B? Would this overburden an existing easement recorded under Rec. No.
I 98411209003.
There is a pointer (arrow) to a transmission line easement area to the west of the 120' wide
transmission line easement (Rec. No. 5687370) in proposed Lot B. What are the dimensions of
said easement?
The private storm drainage easement agreement document between Hancheroff and RML
Property -Renton, LLC was not reviewed -the city does not review private documents. If it is to
be recorded with the lot line adjustment, Exhibit A, Exhibit B and Exhibit C (legal descriptions)
must be attached to said agreement document (not included in the document we received).
Reference said agreement document on the lot line adjustment submittal, and provide a space for
the recording number thereof.
It is suggested that the names of the new parcels be changed to something other than "A" or "B"
or" I" and "2". The subject properties can be easily confused with one another as more
subdividing and boundary line changes occur.

McCurry, as the case may be, may elect to convert their organizational fee, their development fee
and/or otherwise reimbursable expenses paid prior to closing into LLC Class B Units. If all
$5,100,000 is raised, Mr. McCurry, Mr. Grundstein and Gencare will be paid the organizational
fee and the development fee, and they will be reimbursed in full for any expenses they have
advanced to the Company. See "Use of Proceeds".
The aggregate number of Class B Units which shall be sold shall be I 02 unless otherwise
permitted by Article IV of the Operating Agreement. The Operating Agreement allows the
Managers to issue additional Units in excess of I 02 Units at a purchase price of $50,000 per Unit
if the proceeds of the sale of the additional Units are needed to pay construction cost overruns or
budget deficits incurred in connection with the purchase of the Property and/or the addition of 29
units to the Center.
After the sale of 102 Class B Units and any additional Units necessary to fund any
deficits, the Managers may elect to cause the Company to sell additional Class B Units at such
price and terms as is approved by the Managers; provided, that the Company will sell additional
Class B Units only if conventional financing is not available ( on commercially reasonable terms)
to further the LLC's business plan, and provided further that the additional Class B Units shall
not be sold for less than their fair market value as reasonably detennined by the Managers. Any
subsequent offering of Units shall be first offered pro rata to existing Class B Members, which
offer shall remain open for 30 days. See, Section 4.2, "Class B Members" and Section 4.3,
"Subsequent Offerings" of the Operating Agreement.
The Units will be offered and sold by Mr. Grundstein and Mr. McCurry, who will receive
no commissions or other direct remuneration in connection with such offers and sales. The LLC
may also retain the services of a member of the National Association of Securities Dealers, Inc.,
and/or persons who are not licensed securities brokers or salespersons, to offer and sell Units on
a "best efforts" basis and for an agreed-upon commission. Additionally, the Managers, in their
discretion, may issue one or more Class B Units to third parties in consideration of services
rendered in selling Units. All compensation paid to any such brokers or finders will be paid
directly by the LLC as an expense of the LLC, which will be paid out of the budget for the
Center. The aggregate commissions for sales of Class B Units in this offering will not exceed
$300,000. See "Use of Proceeds."
This offering will remain open until (i) the full subscription has been received; (ii) March
31, 2006; or (iii) the LLC elects to terminate the offering, whichever is earlier, subject to the
LLC's right to extend the subscription period for up to 90 additional days. If the offering is
terminated prior to subscription for the minimum aggregate offering amount of$3,750,000,
funds paid by investors will be returned with interest earned thereon, if any.
SUMMARY OF OPERATING AGREEMENT
OF THE LODGE OF EAGLE RIDGE, LLC
The Lodge at Eagle Ridge, LLC (the "LLC") is a Washington limited liability company
formed on March 15, 2005 for the purpose of acquiring and renovating the existing retirement
facility located at 1600 South Eagle Ridge Drive, Renton, Washington (the "Property"). The
Company is governed by an Operating Agreement, which is reproduced as Exhibit 1. Each

prospective investor should carefully review the Operating Agreement before investing in the
Company .
I. Management: Management of the LLC and the Center will be vested in Leon
Grundstein and Martin McCurry, as the Managers. The Managers shall devote such time and
attention to the business of the Company as may be reasonably necessary but nothing shall
prevent the Managers from engaging in the same or similar activities as the Company or from
participating in any other business venture. Additionally, the Managers have sole and exclusive
authority to manage the business and affairs of the Company, including but not limited to, the
power and authority to expend the capital and profits of the LLC, to borrow money, and to
conduct the sale of the Company property. The Managers, however, without the consent of the
Class B Members holding a majority of the Class B Units, or as otherwise provided by law, have
no authority to (i) do any act in contravention of the Operating Agreement; (ii) possess Company
property or assign Company property for other than a Company purpose or (iii) reinvest the
Company assets in a manner inconsistent with the LLC's objectives. The Company shall
indemnify the Managers and any of the Managers' Affiliates (as defined in the Operating
Agreement), to the fullest extent permissible under Washington law, from any and all liabilities
by reason of their participation in the management of the Company; provided that no person
shall be entitled to indemnification if the liability in question results from fraud, bad faith, gross
negligence or a material breach of the Operating Agreement. See Article II of Operating
Agreement, "Rights, Duties and Liabilities of Managers".
2. Capitalization: One hundred percent (100%) of the Class A Units are owned by
the Managers in consideration of One Hundred Dollars ($100.00). The percentage interests of
the Class B Members will be controlled by the Operating Agreement.
The Operating Agreement authorizes the sale of I 02 Class B Units at a subscription price
of$50,000 per Unit, except that the Managers may in their sole discretion reduce such minimum
as to any Class B Member and sell fractional Class B Units. Additionally, the Managers, in their
sole discretion, may issue one or more Class B Units to third parties in consideration of services
rendered in selling Units. Notwithstanding the foregoing, the Operating Agreement also allows
additional Class B Units to be issued if the proceeds of the sale of the additional Units are
necessary to pay cost overruns or budget deficits incurred in connection with the purchase of the
Property or the renovation of the Center. The Operating Agreement also allows the Managers
and/or Gencare, Inc. to receive Class B Units in exchange for funds previously expended by
them for the benefit of the Company, in lieu ofreimbursement for such expenses.
Section 4.3 of the Operating Agreement also provides that at any time after the sale of

Purpose: This lot line adjustment is being proposed to provide a landscaped buffer zone between
an assisted living facility and a proposed office and condominium development. It will also
allow the office and condominium development to site one of its buildings and parking areas
fifteen feet outside the existing 1.88 acre footprint. Owners of both properties have approved of
this plan as well as closing off a private access easement which runs from Eagle Ridge Drive
South down to Benson Hill Road. The closure of this road will provide additional security to the
assisted living facility as well as the proposed office condo project.
Current Uses: The current use of the Lodge property is for senior housing. The adjoining 1.88
acres is vacant.
Special Site Features: There are no wetlands or water bodies, less than I% of the proposed site
will have steep slopes of 12% or greater.
Proposed Future Uses: As described above.

STORM DRAINAGE EASEMENT AGREEMENT
THIS STORM DRAINAGE EASEMENT AGREEMENT is made this 2::"1 day or
March, 2007, by and between Robert M. Hanchcroff and Diane L. HancherolT
("'Grantor"), and
RML Property -Renton, L.L.C .. a Washington limited liability company ("Grantee").
RECITALS
A. Grantor is the owner of certain real property commonly known as 1620
Benson Road South in Renton, Washington, Tax Parcel No. 202305-9162_ legally
described on Exhibit A. attached hereto and incorporated herein by reference (the
"Grantor Property").
B. Grantee is the owner of certain real property adjacent to the ( irantur
Property and commonly known as 1500 Benson Road South in Renton_ Washington, Ta.,
Parcel No. 202305-9097, legally described on Exhibit B, attached hereto and incorporated
herein by reference (the "Grantee Property").
C. Grantee would like to acquire an easement over that portion of the Urantor
Property that is depicted on City of Renton Short Plat Number LUA-06-074-SHPL
recorded under King County Recording Number 20070308900006. as the area labdcd
"Drainage Easement for the mutual benefit of Lots A and B," which is legally described
on Exhibit C, attached hereto and incorporated herein by reference (the "Easement
Area")_ for a stormwater drainage system,
NOW, TIIEREl'ORE, for good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, Granlor and Grantee (collectively, the
"Parties'') agree as follows:
AGREEMENT
J _ Grant of Permanent Easement. Subject to the terms and conditions
herein, Grantor does hereby grant to Grantee, for the benefit of the Grantee Property_ a
perpetual non-exclusive easement for, over and across the Easement Arca for the
purposes of use of an existing storm water drainage system located on the Grantor
Property (the "Easement'} all for the benefit of and as an appurtenance to the Cirantee
Property.
2. Construction, Maintenance and Restoration. Grantor and Grantee shall
share in the costs of any necessary construction, maintenance, and restoration work on the
storm water drainage system located within the Easement Area. Grantor shall complete
any such work and the costs shall be allocated between the Parties by Grantor in its
reasonable discretion. Grantee shall pay its portion of any such costs within thi1ty (30)
days of receipt of an invoice for such costs from Grantor. If Grantee fails timely tn pay
such invoice, Grantor may terminate the Easement.
Compliance With Laws. Grantor and Grantee shall use the Easement
Area in compliance with the requirements of all applicable laws. statutes. ordinances.
codes and regulations now or hereafter made by any governmental authority with
jurisdiction over the Easement Arca.
4. lndcmnitv. Grantee shall fully and completely release. indemnify.
defend. and hold Grantor harmless from and against any and all past present. fi.1ture.
known. or unknown claims. losses and liabilities of any kind resulting from injuries
and/or damages that may be caused by or that in any way arise from Grantee· s or
Grantec·s agents. employees. licensees. or invitees exercise of the rights granted herein.
including as a result of or arising from any hazardous substances or materials (as such
terms or similar terms are defined in any applicable environmental law or ordinance)
released onto Grantor's Property or into the Easement Area l'rom Grantee·s Property. any
violation of any environmental law or ordinance. or any stonnwater runoff from
Grantee's Property to Grantor"s Property not properly conveyed through the Lascmcnt
Area.
5. Assignment; Successors. Except as specifically provided herein. this
Easement shall run with the land benefiting and burdening the owner ol'the Grantor
Prope11y and the owner of the Grantee Property in accordance with its terms.
6. General Terms.
6.1 Governing Law. This Agreement is intended to be performed in
the State of Washington. and shall be construed and enforced in accordance with the laws
thereof.
6.2 Counterparts. This Agreement may be executed in one or more
counterparts, each of which shall be deemed an original. but all of which together shall
constitute one and the same instrument.
6.3 No Third Party Beneficiaries. This Agreement shall 11ol conler an)
rights or remedies upon any person other than the Parties and their respcctiw heirs.
successors and assigns.
6.4 Waiver. Any waivers hereunder must be in writing. No delay or
omission on the part of any party in exercising any right shall operate as a waiwr of such
right or of any other right. The waiver by any party of any term. condition. or
requirement of this Agreement shall not constitute a waiver of any other term. condition.
or requirement hereof~ or constitute a waiver of the same tenn. condition or requirement
in any other instance.
6.5 Attornevs· Fees. In the event of any dispute regarding this
Agreement. the substantially prevailing party in such dispute (I itigation. appeal.
bankruptcy, or alternative dispute resolution) shall be entitled to recover its reasonable
attorneys· fees and expenses.
6.6 Authority. Each party signing below represents and warrants that it
has authority to execute this Agreement and to perform its obligations hereunder. and that
all necessary consents. approvals. resolutions and other actions relating thereto haw been
obtained. Each person signing on behalf of such party represents and warrants that he or
she has hccn duly authorized to ext:cute this Agreement on behalf of such party.
6. 7 Severabilitv. If any term or provision of this Agreement is deemed
unenforceable by a court of competent jurisdiction. that term or provision shal I be severed
and the remainder of this Agreement shall remain in full force and effect.
6.8 Amendments. This Agreement may not he varied or modified
except by a written amendment signed by all parties.
6.9 Entire Agreement. This Agreement and the exhibits attached
hereto and incorporated herein constitutes the entire agreement among the parties and
supersedes any prior understandings. agreements. or representations by or among the
parties. written or oral, to the extent they relate in any way to the subject matter hereof.
There are no representations, agreements, arrangements or understandings, oral or
written. between the parties relating to the subject matter of this Agreement which are not
fully expressed or incorporated herein.
