THIS ADDENDUM to Lease Agreement LAG #005-91 is effective as of March 1, 1992 and entered into this /7A, day of G � , 1992. RECITALS: WHEREAS, the City of Renton did, on October 17, 1991, approve the transfer of a portion of airport land then leased by the Boeing Employee Flying Association (BEFA) by Lease Agreement LAG 001-85 to Northwest Seaplanes, Inc., and WHEREAS, the City of Renton did also on October 17, 1991, approve the release of the Boeing Employee Flying Association (BEFA) from that portion of Lease Agreement LAG 001-85 which pertains to the basic ground lease of 71,320.98 square feet, said release to be effective upon the execution of a new lease between the City of Renton and Northwest Seaplanes, Inc., and WHEREAS, the City of Renton and the Lessee previously entered into Lease Agreement 005-91, dated November 14, 1991, with a term of twenty eight (28) years commencing on January 1, 1992 and terminating on December 31, 2019, for the lease of 71,320.98 square feet of unimproved real estate in an "as is" condition, said Lease establishing the monthly rental of One Thousand Seven Hundred Eighty Three Dollars and Three Cents ($1,783.03), computed at the annual rate of Thirty Cents ($0.30) per square foot, and WHEREAS, Lease Agreement 005-91 approved the construction of aircraft hangar(s), subject to review and approval by the City of Renton, and, in addition thereto, normal building and zoning permit approvals as required by law, and WHEREAS, Northwest Seaplanes, Inc. did, in order to locate a proposed T- hangar building a distance of seventy five feet North of the building located on the premises leased to Mr. Bruce Leven and commonly referred to as the 850 Building, subsequently request approval of the transfer of Eleven Thousand Four Hundred Eight Decimal Thirty Eight (11,408.38) square feet of the ground area included in Mr. Leven's Lease Agreement 001-88, to Northwest Seaplanes, Inc., and WHEREAS, Northwest Seaplanes, Inc. did further request that Mr. Bruce Leven be released from responsibility for the ground area so transferred to Northwest Seaplanes, Inc., and WHEREAS, the City of Renton did, on January 6, 1992, approve the transfer of 11,408.38 square feet from Mr. Bruce Leven's Lease Agreement LAG 001-88 to Northwest Seaplanes, Inc.'s Lease Agreement 005-91, and released Mr. Bruce Leven from responsibility for this lease area effective upon receipt, and approval by the City Attorney, of a written agreement between Mr. Bruce Leven and Northwest Seaplanes, and LAG 005-91 Addendum #01-92 WHEREAS, on January 28, 1992, the City Attorney did approve the written agreement between Mr. Bruce Leven and Northwest Seaplanes, Inc., dated January 23, 1992, and Lessee was notified by letter dated February 5, 1992 of the acceptance of said agreement. NOW, THEREFORE, IT IS HEREBY AGREED AND COVENANTED BY AND BETWEEN THE CITY OF RENTON AND NORTHWEST SEAPLANES, INC. AS FOLLOWS: WITNESSETH: 1. The Lessor and Lessee do hereby agree that the square footage of the Lessee's leased premises subject to this lease be increased from 71,320.98 square feet to 82,729.36 square feet, the result of the transfer to Lease Agreement LAG 005-91 of 11,408.38 square feet from Lease Agreement LAG 001-88, the new total leased premises area constituting the square footage as described by the legal description hereto attached and made a part hereof. 2. The Lessor and Lessee do hereby agree to a rental rate of Two Thousand Sixty Eight Dollars and Twenty Three Cents ($2,068.23) per month, computed at an annual rate of Thirty Cents ($0.30) per square foot, said rental rate to be effective as of March 1, 1992. 3. The Lessor and Lessee do hereby agree that Northwest Seaplanes, Inc. shall assume all lease obligations for the parcel so transferred as of March 1, 1992. 4. All other terms and conditions of the original Lease Agreement shall remain in full force and effect. NORTHWEST SEAPLANES, INC.
