HomeMy WebLinkAboutContractCAG-18-275 MEMORANDUM OF UNDERSTANDING BETWEEN REBUILDING TOGETHER SEATTLE AND CITY OF RENTON This memorandum of understanding (MOU), dated for reference purposes as November 1, 2018, is made by and between Rebuilding Together Seattle, a Washington nonprofit corporation (RTS), and the City of Renton, a Washington municipal corporation (the City). BACKGROUND 1. RTS is a non-profit organization that was established in 1989 and is part of the national Rebuilding Together organization (formerly Christmas in April). RTS is a volunteer, charitable group that repairs or rebuilds homes at no cost to low-income homeowners, particularly those who are elderly, disabled or families with children. 2. The City desires to engage with RTS for the Sunset Home Safety Assessment (Assessment) to conduct in -home evaluations of conditions in Renton's Sunset Area for owner -occupied residential properties. 3. This is a voluntary program for Sunset Area homeowners who can apply for an Assessment to be conducted on a space-, time-, and staff -available basis. Each assessment will be conducted by AmeriCorps VISTAs and staff from Rebuilding Together and the City, who will be looking for visible evidence of home health and safety issues. 4. The Assessment is designed to be conducted by even those without particular home inspection experience, skills, training, or knowledge. Neither party makes any representation to the other about the experience, skills, training, or knowledge of its volunteers or staff. AGREEMENT Based upon the Background above, and the mutual benefits RTS and the City will receive from this MOU, the sufficiency of which is hereby acknowledged, the parties now agree as follows. I. TERM This MOU takes effect on the date last signed below by the parties and ends on May 14, 2019, unless earlier terminated as provided in this MOU. II. PURPOSE The purpose of this MOU is to facilitate RTS and the City collaboratively carrying out the Assessment, with appropriate hold harmless protections for both parties. III. RTS shall: a. Provide AmeriCorps VISTA or other staff to carry out assessments. b. Indemnify, defend, and hold harmless the City, its officials, employees, and any other agents from any and all claims, injuries, causes of action, suits, liability, losses or expenses (including attorneys' fees and costs) arising from or in any way connected with RTS' participation in the Assessment. This term shall survive the termination of this MOU. IV. The City shall: a. Provide AmeriCorps VISTA staff to assist with assessments, if additional capacity is needed beyond the staff provided by RTS. b. Indemnify, defend, and hold harmless RTS, its affiliated organizations, officers, directors, employees, and any other agents from any and all claims, injuries, causes of action, suits, liability, losses or expenses (including attorneys' fees and costs) arising from or in any way connected with the City's participation in the Assessment. This term shall survive the termination of this MOU. V. It is mutually understood and agreed between the parties that: a. MODIFICATION — Modification within the scope of the MOU shall be made by mutual consent of the parties, by the issuance of a written modification signed and dated by both parties, prior to any changes being performed. b. TERMINATION — Either party may terminate this MOU early, by sending a written notice of termination, with at least 10 calendar days' notice. COUNTERPARTS — This MOU may be signed in counterparts which together constitute this one agreement.
