Sectian 1 ; There is hereby given and granted unto COLORC6IBLE, In�., a t]ash-
ington corporation, its suc�essors and assigns for a period of ten (10) years from the
; , taking effect of this Ordinance, the right, privil.ege, authority and franchise, all of

them being non-exclusive, to construct, operate, maintain and operate plans, works,

aerials and towers, and ail necessary/desirable appurtenances thereto, for the purchase�
� reception, transmission and distribution of 8 coaxial cable subscriber system for

! television signals and closed television circuit broadcests for non-radiating programs,
including but not limited to the right to construct, lay, �:xtend, masntain, renew,
remove, replace, repair, use and operate a coaxia2 cable and subscription system for

television signal distribution upon poles wherever possible, and otherwise underground
and all appurtenances and a enda es thereto under or on or across resent and futur

hereinafter described, for the purpose of distributing, supply�.ng and furnishing

Section 2: This f ranchise is ranted u on the ex ress
b p p provision that it shall

; not be deemed or held to be an exclusive f ranchise or permit and shall not in any manner

prevent the City of Renton from granting other or further f ranchises or permits in,
along� over, through, under, be2ow or across any of said right of ways, streets, avenues.
� and other public lands and properties of every type and C��rription; and such franchise�-

� and permit shall in::no way prevent or prohibit the City of Renton f rom using any of said /

I roads, right of ways, streets or other public properties or effect its jurisdiction
over them or any part of them, with full power to make all necessery changes, relocations,
repaira, maintenance, estabZishment, improvement, dedication o£ same as th� City may deem

f it, including the dedication, establishment, maintenance and improvement of a12 aew
, right of ways and thorou hfa
g res and other publ ic properties of every type. Grantee
agrees and covenants, at its soie cost and e�pense, to protect, support, temporarily

� safety, street vacations, dedications of new right of ways and the estaDZishment of
i.mprovement thereof� freeway construction, change of establishment of street grade or
� the construction of any public improvement or structure by any governmental agency
� acting in a governmental capacity, provided that Grantee sha7.I in all such cases have
the privilege to temporarily by-pass, in the authorized portion of the same stre�t or i
right of way, upon approval by the City of Renton, any section of its cable or appurtenances
�
to be so temporariZy disconnected or removed.
� Section 3: Grantee's facilities sha21 be so Zocated or relocated and so erected�
I
' so as to interfere as little as possib2e with traff ic or with such streets, avenues,
highways, bridges and other public places and egress from and ingress to abutting property,
provided, however, that Grantee shall not break up, block or disturb any street or other
public thoroughfare without prior written permission f rom the City, acting by and �hrough
and
its superintendent of streets. All such construction/installation work, whenever same
crosses any of the pub3ic properties, sha12 be done under the supervision of aad upon
i ; the inspection of the Superiatendettt of Streets or City Engineer and Grantee shall timely '
' suhmit unto the City Engineer, prior to any such work, detailed plans and specificati.ons
of any such proposed work. The location of any franchise3property in a street or other �
' ' public area �hall be subject to the approval of the City Engineer and such approval shall
be given in writing, and Grantee sha12 he subject to all applicable ordinances, regulations,

' permit or !£cense fees as provided for by the ordinances of the City of Renton from time
to t im�e.

Section �: During any period of construction all surface structures, if any,
ahall be erected and used i.n such places and positions within oa�iS public right of ways
and other public properties so as to interfere as little as poasible with the free passage
i
of traff ic and the f ree use of adjoining property, and Grantee shall at all times post
and maintein proper barricades during any such period of construction as required by the
, laws and statutes of the State of Washington. Any portion of the street so excavated
shall within a reasoneble time and as quickly as possible after said excavation be
restored and replaced by the Grantee at its sole cost and expense in at Zeast as good a
condition es it was immedistely prior to the time of such excavation, and a�l to be
pe rformed ia accordance with the applicable rules and regulations of the City Engineering
Department.
Section 5: Grantee, its successors and assigns, sha12 commence construction
� work under this franchise within one (1) year from and after the date of passage thereof,
and all such work sha12 be done and coarp�,et�d with the greate$t amount of dispatch so as to

� reduce any interfer�nce with vehicular enfl pedsstrisn traf�ic and the pubZic safety and i
welfare to a minimum. If Grantee has £ailed or neglected to commence such constraction
within said period of one (2) year, then all rights� privileges attd authorities here�n
granted shall cease and terminate and this Ordinance shali be of no f urther force and
eEfect.
Grentee covenants and agrees, f or itself, its successor�'snd assigns, that �
in the event of any neglect� failure, refusal or omission to comply with any of the terms, '
conditions and regulatioas of this franchise and the rules and ordinances of ttte City of
Rentan that the City may give notice af said dafau2t, and a.f such default has nat been
corrected or the canditians of this contract have not been complied with within thirty {34)
days af ter receipt af such notiee, then this f ranchise and aIZ rights accruing thereunder
shall be immediately subject to forfeiture and termination, at the option of City. Any
aotice provided hereun8er sha21 be sent by registered mai2 to Grantee at 400 Hoge Building,
' Seattl8, King Caunty, Washington.
Section 6; Grantee� its successors and assigr►s, hereby agrees and covenat�ts �
to pramptly repair any damage to �ity praperty of every type'and nature and all other ;
City unprovements caused by the failure of Grantee's work during th�, life of this franchise;
� Grar►tee sha12 camply with a12 ordinances and regulations of the City of Renton regarding
�
such excavat�on and whenever deemed neeessary by the City Engineer, shal2 be required ta
past a perfe�tnance bond in f�vor of the City warranting, among ather thi.t�gs, that such.
restoration work wi22 be dorie promptly and in a proper, workmanlike m�nner. °
Sectian 7: Grantea, its successors and assigns, agrees and covenants to indemnif y
and ha2d harcnless the City of Rentan from a�nd against anp and all l.iabiiitp, 2oss, cost, :

dam�ge, whether to person or property, ar expense of any ty� or nature which may accrne �
ta the City by re�asan of the construct�on, operation, maiaten�nce, repair and alteretic�n
of Grantee's facilities; prayided, howeaer, that in case aay suit or acfiian is instituted
e�snst the City by reaeon af any such damage or injury, the Citq shall cause written
notice thereof to be given unto Grantee and Grantee thereupan sha13 t�ave the duty ta
defend any such suit or action, without cost or expense to the City.
Section f'� The City of Renton reserves unto itself the right and power at
a21 times to reasaaably regulate in tha public interest and f or the public welfare the
exercise of a13 franchise rights granted herein.
Section 9: Grantee sha12 have na reccaurse whatever against �he City o€ Renton 1
f or �ny Iass, costs, expense ar damage arising out o� any provision or rsquirement o€
thi� franchise ar the enforceraent thereof. No privilege nor ex�mption is granted or '
conferred unto Grantee by this Franehise except those specif ica#�ly prescribed herein,

Section 10: In the event Lhe use of anq Franchised property £s �rmattentiy
discontinued, or nc franchise h�s been abtait�ed therefar upon exgiration of this �'ranchise, ,

or within thirty days ef ter any tercnination af this Franchise, then Grantee shall prompt�p;
remove from the sLreets and ather praperties all of its facilities, ather than any the
City may permit to be tempararily or perfnanently s�bandaned. .
Sectian 13: Grantee shall, be€ore construction, file a good an8 sufficient tsond
in the penal sum af $lU,Q40.00 in favar af the City ef Rentan executed by a suretp campany I
authorized and +qu�ali£ied to do business ia the atate af Washingtor�, conditioned upon the
faithful performance af a21 duties and obl3.gations to be performed by the Grantee under �
the terms af this Qrd�,�;��ce, it�c2udi.ng the payatent of a31 grass rev�ttue payments i.mposec#
by the terms of this C3rdinance� and the remaval of said system, ar►d includ£ng rep�ir
and restaration of streets, and �11 gublic uti2ities of every type and nature incident to

all work ddne by the Grantee pursaant to the terms of this franchise, and such boad ta be
renewed by Lt� Grantee annaally and kept in f ull f arce and effect at aIl t3.mes during
the }.i.fe of this franchise.
Section 12: At all titt�s duri�g the ].ife af this franchise, Grantee sha22
promptly and without discri.minaticn furnish its services ta the resi.dents af the City af
Renton who request the same and agree ta abi�e by Grantee's reasanab7�e rules and
regttlations, ta2evision receptian cammensurat�: wittt that whi�h is available under ar�y
obtaizzable coax%al cable system, and sha22 acquire, caastruct, maintaini equip and
operate all necessary facilities for the reception, transmission and distributian and
sale of television signals for the benefit and convenience of all of said users, and
Grantee sha21 make gro�npt extensic►ns af existing �,�eilit£es as map be required by one
ar mors custamers ar prosgective customers provided th�t if the revenues to be der�ved
from sueh exten�iot►s shai2 nat afford a fair and reasonable return on the cos�s o�
providing anc� rendering the reqttired service, then Grantee is permitted to and �.8 hereby
authorized to levy such aervice charges or ather arrangements as will enable Grantee to
earn a �air aad re$so�abls return on .the cost of prcvi8ing and rendering the requfred
service. In further consideratien of Grantor granting thia franchisc: unta Grante�,

� � Section 13; Grantee sha12 forfeit all rights and privileges conferred by tteis
OrdiaBhct�, sz�d �his O�rdin�ri�e shall be null and void and of no farce and effect whatever
unless' Grantee shall, bef ore cammencing construction of any part of said caaxial cab2e
system, f ile with the City Clerk praper evidence that it has in full f arce and effect
and shall keep in ftall farce and effeet dnring the 2i.fe o€ this €ranchise, public I
liability insurance with covera�ge o€ not less thar� $204,04d.OQ per �rson, $300,Uf?Q.00
per accident and progerty datnage liability of not less than $50,0OO.Op.
Sectiaa iG: This Ordinance shall be vaid if Grantee��sh�ll not within thirty (30) j
, days af the adcptian af this Ordir,8nce f ile its written acceptance t�hereof wa.th the Clerk j
of the City of Ret�ton. All costs -of publicatian for said franchise shall be barnr�, in ��
addition to �12 ather fess, by Grantee.
Section 15: Zn any area ar district of the City which has been or ���el� here�
af ter be designated as the area or district in which telephane, telegraph �nd electric
wires or other utility lsnes sha�l be laid underground, or ia whieh area ar distriet any
part of seid utility lines are be ing placed underground by private develogera cr other
parties, then in any snch event, Grantee•s coaxial ceble shall likewise be installed and
msintained undergrottncl and a17. such installation to be promptly dqne at the sale cost and
expense of GranEee.
Section 16: A11 wark done by the Grantee pursuant to this f ranchise shail be
in full compli.ance with the National Electrical Sa£sty Gade and all applicable laws
of the State of Washington and ordinances af the City of Rentoa. In the event that
Grantee fails at any time to furnish any required safeguards, signs, signals and/or lights
or tc� premptly repair any c3aaxage to City utilities or pramptly backfi2l excavstions as
requried by any 2sw, ardinance or regulation, then th� City reserves the right ta proceed
as shall be reqnired Co so comply, and in such event the Grantee agrees ��d covenants
ta promptZy re%mburse the City f or all expenses of such work.
Sectian 27: Z� the raising or moving of cables or wires a.s required by any
third party at any tiate to ereable use of the streets, ar other public ri�ht of ways or
properties, such party shall make written �pplication at leest f ive �5} daps i.n advance
of suah requi.red use, and Grantee sha12 ra%se or move said cabies, wires and/or ather �
equigment at the expense csf such �pplicant. �
Section 18: Grantee sha22 pay unta the City of Rentcn, quarter2y on ar bef are
the lOth day af each April, July, October and January a sum equal to f onr. percent C4�)
of the gross revenues received by the Grantee f ram its customers w�thin the corporate
2imits of the City of Rentan as now or hereaf ter f ixed and established f or service
renderec3 custome�s t�hrough the coaxial c�b2e snd Grantee's related services, f or each I

� minimum annual 'fran�hise fee of �750.00. In conputing the gross revenue received from the
� operation of Grantee, charges made and Paid for reimbursement �or the installation of con;
' neCtion �aork�to customers shall not be considered gross incoMe. Grantor, or its authorized
a�ent, shall have the right, at all reasonable times, to ins�ect the books and records of the
• Grantee for the purpose of ascertaining accuxately the actual gross recei�ts of Grantee and
Grantee shall furnish promptly unto the City, ivitll each such �ayment, a statement, duly �
eertified, of such gross recei�ts upon which payment is based. Provided hotvever that if :
, Grantee introduces, operates, or maintains closed television circuit hxoadcasts resulting�in
a dif£erent rate Lo subscribers therefor, then the City, at its option, shall have the right
to renegotiate the rates and amounts srecified in this section, relative to such broadcas�s.
Section 19: Grantee by acceptance hereof agrees and covenants to observe, perform
and keep all the agreements, undertalcings and conditions hereof to be observed, performed '
and kept by Grantee. All of the terr►s, pxovisions and conditions hereof shall inure to arid
be binding upon the respective successors and assigns of both Grantor and Grantee. The
franchise and all rights granted hereunder shall not be sold, assigned or tr�nsferred by �he
Grantee without the rrior �eritten consent of the City Council of the City of Renton.
Section 20: In the event that Grantee has fully and faithfu2ly complied with all
the terms and conditions of this franchise, then Grantee has the option to renew the same �
for two successive five year periods upon the termination of the original ten (10) year
period, provided however that the City reserves the right to alter, modify and change the
fees and method of payment hereinabove �rovided for in paragraph SecLion I8.
Sectior_ 2I: If, during the term of this franchise, or any extension thereaf, th�
City shall acquire by purchase or condemnation any of Grantee's property or assets main-
tained ox used hereunder, no greater sum shali be alloived for the value vf the rights herein
granted, in addition to all other elements affecting the value of such purchase or condemned
property, than the actual cost of obtaining the franchise. �
