Page ..... 2 .... of Resolution h PAGE 1 7-1-38 . ,f SODIUM VAPOR LIGHTING CONTRACT The Puget Sound Power & Light Company, herein called "Company," and .............. ..... =................... .�...............................of......................... `....... ..................... , herein called "Purchaser," agree as follows: FIRST: TYPE OF SERVICE. This contract covers sodium vapor lighting service only. SECOND: DELIVERY. In consideration of the mutual promises .herein given, the Company agrees for a period of..............consecutive years, beginning ................... Auguit...�T,2 `t............... 19.4., to reserve for and furnish to Purchaser, and Purchaser agrees -during said period to buy from the Company exclusively, at the rates herein fixed, all electrical energy required or used to operate Purchaser's sodium vapor lighting installation or additions thereto or renewals thereof, and Purchaser further agrees to energize said ,installation only with electrical energy purchased from the Company hereunder. Service for lamps at the rates herein mentioned shall be available only to lamps installed on existing distribution poles of the Company. The Company reserves the right to specify whether service will be of the series type or of the multiple type. 2. The Purchaser shall pay for and furnish to the Company the lighting fixtures complete with accessories, including lamps and mounting brackets. Ownership of the equipment so furnished by the Purchaser shall remain the property of the Purchaser. 3. The Company shall at its own expense install the fixtures provided by the Purchaser, but shall not be required to extend its overhead wires over 500 feet to serve each fixture. Extra poles and the installation thereof required to serve fixtures within said 500 foot distance will be paid for by the Purchaser. No underground wiring will be furnished by the Company. 4. All equipment furnished by the Purchaser shall be subject to approval by the Company, and shall conform to such specifications as the Company may have in effect from time to time. Purchaser shall, upon demand, install the proper apparatus to operate such equipment at a power factor of 85% or more. 5. When lamps burn out they shall be promptly replaced by the Company with lamps of standard pattern and of a type in general use for sodium vapor lighting. For failure to do so within twelve hours after notice, the monthly charge for such lamps shall be reduced in proportion to the period of such delay. 6. The Purchaser shall pay for replacement of parts damaged or broken by third parties due to accident or otherwise. 7. If at any time after the original installation of the light, the Purchaser shall decide to have the location changed, the Company shall make the change at the expense of the Purchaser when notified in writing to do so. 8. The sodium vapor lighting service provided for in this contract shall be furnished each night continuously from dusk to dawn. 7.42 SODIUM VAPOR LIGHTING CONTRACT—PAGE 2 FOURTH: RATES. The Purchaser agrees to pay each month the following rate applicable to this service, the same being in accordance with Schedule 53 of the Company's Electric Tariff No................., filed with the Department of Public Service of the State of Washington: $48 per lamp per year for each 10,000 lumen sodium vapor lamp. The rate included in this contract and as given above is subject to change in accordance with the laws of the State of Washington and administrative regulation thereunder, and whenever in accordance therewith a new schedule of rates for the same class of service is made effective by the Company the Purchaser shall thereafter pay in accordance with the new rates; provided, if the new rates are higher than the rate herein fixed, the Purchaser shall be entitled to cancel this contract within thirty (30) days of the effective date of the new rate. FIFTH: BILLING. Bills shall be rendered monthly based on one -twelfth the annual rate above shown and shall be payable on or before the 15th day of each succeeding calendar month. SIXTH: SERVICE INTERRUPTIONS. The Company shall use reasonable diligence to furnish uninterrupted service and shall not be liable for any interruptions caused by strikes and/or other labor disputes, accidents or acts of God, or any cause beyond the control of the Company, or'by the necessity for making repairs or changes in the Company's equipment and facilities, and the Purchaser waives and shall not assert any claims against the Company for damages to the Purchaser caused by any suspension, interruption, failure or curtailment of service by the Company under this agreement attributable in any manner to national war emergency, including voluntary cooperation by the Company in any method of operation or in any program recommended or requested by civil or military authorities. No temporary interruption shall cancel this contract. No charge shall be made for service during the period of any interruption unless the Purchaser is responsible therefor. SEVENTH: CANCELLATION. The Company shall have -the right to cancel this contract if any part of the Company's property used for the rendition of this service is taken by eminent domain or if it can no longer be maintained by reason of franchise expiration and the inability of the Company to secure a renewal thereof. EIGHTH: RENEWAL. This contract shall be binding upon the parties hereto, their successors and assigns, respectively, and shall remain in full force and effect for the term of years mentioned in paragraph SECOND hereof and shall be considered renewed for a like term and from term to term of like duration thereafter unless a written notice to the contrary is given by either party to the other at least thirty (30) days prior to the expiration of the term of the contract or any then existing renewal thereof.
