HomeMy WebLinkAboutContractr (ED CAG -13 -148 CITY OF RENTON CONTRACT AGREEMENT THIS AGREEMENT is made as of the 6� day of 1 2013, between the CITY OF RENTON, a municipal corporation of the State o Was ington, hereinafter referred to as `. "CITY" and Absco Alarms, Inc., hereinafter referred to as "CONTRACTOR," to Upgrade Existing Video Surveillance System and add new cameras at designated locations. Avigilon cameras and supporting equipment, no substitutes, Renton Henry Moses Aquatic Center, 1719 Maple Valley Highway, Renton. The City and Contractor agree as set.forth below. 1. Scope of Services. The Contractor will provide all material and labor necessary to perform all work described in the Proposal which is included with this Agreement as Attachment "A 2. Changes in Scope of Services. The City, without invalidating the Contract, may order changes in the Services consisting of additions, deletions or modifications, the Contract Sum being adjusted accordingly. Such changes in the work shall be authorized by written Change Order signed by the City and the Contractor. 3. Time of Performance. The Contractor shall commence performance of the Contract no later than ten (10) calendar days after Contract's final execution, and shall complete the full performance of the Contract not later than sixty 60 calendar days from the date of commencement. 4. Term Of Contract. The Term of this Agreement shall end at completion of the enclosed scope of work. This Agreement may be extended to accomplish change orders, if required, upon mutual written agreement of the City and the Contractor. S. Contract Sum. The total amount of this Contract is the sum of $68,689.35, which includes Washington State Sales Tax. 6. Retainaee in Lieu of Bond. In lieu of a performance bond, the City will retain 50% of the contract amount for a period of 45 (forty -five) days after Final Acceptance of the work (only for contracts $35,000 or less). 7. Method of Payment. Payment by the City for the Services will only be made after the Services have been performed and a voucher or invoice is submitted in a form acceptable to the City. Payment of the initial 50% will be made in the next pay cycle of the Renton Finance Department after receipt of such voucher or invoice (pay cycles are approximately bi- weekly). The remaining 50% will be paid forty -five (45) days after Final Acceptance. The City shall have the right to withhold payment to the Contractor for any work not completed in a satisfactory manner until such time as the Contractor modifies such work so that the same is satisfactory. 8. Payment. Payment by the City for the Services will only be made after the Services have been performed and a voucher or invoice is submitted in the form specified by the City. Payment will be made approximately thirty (30) days after receipt of such voucher or invoice. The City shall have the right to withhold payment to the Contractor for any work not completed in a satisfactory manner until such time as the Contractor modifies such work so that the same is satisfactory or if appropriate Prevailing Wage documents are not included. 9. Employment. The Contractor's employees are not employees of the City of Renton. 10. Assignment and Subcontract. The Contractor shall not assign or subcontract any portion of this Contract without express written consent of the City of Renton. 11. Record Keeping and Reporting. The Contractor shall maintain accounts and records which properly reflect all direct and indirect costs expended and services provided in the performance of this Agreement. The Contractor agrees to provide access to any records required by the City. 12. Hold Harmless. The Contractor shall indemnify, defend and hold harmless the City, its officers, agents, employees and volunteers, from and against any and all claims, including claims from third parties, losses or liability, or any portion thereof, including attorneys fees and costs, arising from injury or death to persons, including injuries, sickness, disease or death to Contractor's own employees, or damage to property occasioned by a negligent act, omission or failure of the Contractor. 13. Insurance. The Contractor shall maintain throughout the duration of this contract the following insurance requirements: General Liability insurance in the amount of $1,000,000 per occurrence /$2,000,000 aggregate; Professional Liability insurance in the amount of $1,000,000 per claim; Automobile Liability in the amount of $1,000,000 per accident; and proof of Workers' Compensation coverage. The City of Renton will be name as a Primary and Non - Contributory Additional Insured on the insurance policy and an endorsement stating such shall be provided. 14. Compliance with Laws. The Contractor and all of the Contractor's employees shall perform the services in accordance with all applicable federal, state, county and city laws, codes and ordinances. 15. Conflicts. In the event of any inconsistencies between contractor proposals and this contract, the City of Renton contract shall prevail. The Contractor and any subcontractor(s) must comply with the State prevailing wage requirements. The Contractor must file an Intent To Pay Prevailing Wage at the beginning of the project and an Affidavit of Wages Paid at the end of the project with the Washington State Department of Labor and Industries, http: / /www.ini. wa.gov /TradesLicensing /PrevWage /default.asp. The information set forth below is intended to be a framework for discusion around project work efforts and is subject to change. It is anticipated that project requirements will by mutually defined and /or detailed written specifications finalized if the proposed Scope of Work is approved. Project schedules and cost estimates contained herein are based upon information provided to date and are subject to change. This proposal is based on Design done on two walk thru with Greg Stroh, Dennis Conte and Doug Brierley. Overview of Issues / Needs Assessment The City of Renton would like to improve the quality of the video coverage at the City's Aquatic Center and the surrounding parking lots to create a safer place for all. Scope of Work / Desired Outcome ABSCO will provide the following for the City of Renton's Aquatic center; Camera 1 +2 -ABSCO will install two 8MP -180 cameras on a pole at the NE corner of the main pool covering the pool area and lounge area. Camera 3- ABSCO will install a 5MP Bullet Camera looking East Parking lot. Camera 4- ABSCO will install a 5MP Bullet Camera looking at the East Parking lot. Camera 5- ABSCO will install a 16 MP camera looking at the South parking lot. Camera 6- ABSCO will install a 8MP camera looking at the first row of the west parking lot. Camera 7- ABSCO will install a 8MP camera looking and the second row of parking in the west lot. Camera 8- ABSCO will install a 8MP camera looking at the third row of the west parking lot. Existing Cameras 9 -16 Connect existing analog cameras using three Avigilon Encoders to the system. Provide NVR with Gateway License Inclusions • Low voltage permits applicable to ABSCO's scope listed in this proposal are included in the price. • Price includes providing the listed equipment only. Any additional equipment is to be on a time and material basis. • Price includes the termination of all field devices provided by ABSCO listed in this proposal. Prior to termination of field devices, all circuits must be complete and free of grounds, shorts, and metered for end -of -line resistor (if applicable). To complete circuit, all circuit splices must be made within NEC standards (minimum six inches of cable length). • Price includes start up and test of the, listed devices provided by ABSCO in this proposal. • Price includes 2 hours of training of the end user on site. Additional training is to be on time and material basis. Exclusions • Underground, overhead and /or any other cabling between buildings is to be provided by others and is not included in this scope. • ABSCO does not warrant any customer - provided equipment. Additional labor required to repair faulty equipment will be billed as a separate invoice. LAN connection to be located within three feet of head - end location. • Price does not include the provision or installation of conduit, boxes, or wire of any kind. Customer to terminate cabling at head end and device location and test network connectivity prior to ABSCO installation of cameras. • Patching and painting are to be done by others and are not part of this scope. • City of Renton will provide all of the cabling to the cameras Limitation • All required lifts are to be furnished by others for ABSCO use as necessary, and are not included in ABSCO's proposal. • All work to be performed during ABSCO Alarms normal working hours of 7:00 AM - 5:00 PM, Monday through Friday (excluding holidays). Any labor required outside of these hours will be billed as a separate change order. • Price is based on reusing existing wiring. If existing wiring cannot be reused or contains faults, additional labor and material will be billed on a separate invoice on a time and material basis. Price We propose to provide the above listed Scope of Work for the sum of: $62,730.00 plus tax This proposal may be withdrawn by ABSCO Alarms, Inc. if not accepted within 30 days. Warranty The warranty on the listed equipment and labor shall be void if a person of firm other than ABSCO Alarms, Inc. or a contractor authorized by ABSCO Alarms Inc. performs any work identified within the original scope of work of this contract. All equipment provided by ABSCO Alarms Inc. has a warranty of one year from the date of invoice. THIS WARRANTY EXCLUDES ALL COVERAGE FOR CONSEQUENTIAL DAMAGES AND IS GIVEN IN LIEU OF ALL OTHER EXPRESS WARRANTIES OR IMPLIED WARRANTIES OF FITNESS, HABITABILITY, OR MERCHANTABILITY OR OTHERWISE PROVIDED UNDER THE LAWS OF WASHINGTON.
