MEMORANDUM OF UNDERSTANDING
THIS MEMORANDUM OF UNDERSTANDING ( "Memorandum ") made this a6 day of
-T ,, 2013, (the "Effective Date "), by and between The Boeing Company, a Delaware
Corporation ( "Boeing ") and the City of Renton, a non - charter code city organized under RCW
35A and a State of Washington municipal corporation, ( "Renton "), regarding Boeing's future
dedication to Renton of the right -of -way on Parcel No: 0886610020 ( "Lot 20 "). Renton and
Boeing are at times collectively referred to as the "Parties ".
WHEREAS, Boeing and Renton have agreed to enter into an understanding in which
Boeing will dedicate certain right -of -way to Renton at such time as Renton has completed its
final design of the Logan Avenue North improvement project (the "Dedication ").
WHEREAS, Renton has issued to Boeing a building permit (no. B120396) for the
construction of a- parking lot on Lot 20 ( "the Permit "), which includes Conditions of Approval
requiring Boeing to dedicate to Renton certain rights -of -way along the frontage of Logan
Avenue and N. 6th Street.
WHEREAS, Boeing has dedicated to Renton certain rights -of -way along the frontage of
N. 6th Street, satisfying Condition 3 under Plan Review Conditions of Approval Part 2, as
defined in the Permit.
WHEREAS, Renton has agreed that upon the mutual execution of this Memorandum,
Renton shall perform a Final Inspection and issue a Certificate of Occupancy for the project
authorized under the Permit.
NOW, THERFORE, in consideration of the recitals, which are incorporated by reference,
the Parties agree to the following terms and conditions under which Boeing shall make the
Dedication to Renton.
1. Upon completion of final design of the Logan Avenue North improvement project
Renton shall send written notice ( "Dedication Notice ") to Boeing requesting that
Boeing make the Dedication to Renton. Included with such notice shall be a legal
description and map depicting the area to be dedicated to Renton, the area so
described and depicted to be limited to the area required by Renton for purposes of
the Logan Avenue North improvement project.
2. Within 30 days after Renton's receipt of the Dedication Notice, Boeing shall deliver
to Renton a Deed of Dedication in recordable form duly executed by Boeing.
3. Notices under this Memorandum shall be sent to the following addresses:
