Grantor, for and in consideration of the sum of Ten Dollars ($10) paid by Crrantee, and other valuable consideration, receipt of which is hereby acknowledged, does hereby grant, bargain, sell, convey, and warrant unto Grantee, its successors and assigns, an easement for an underground water line with necessary appurtenances (hereinafter collectively refened to as the "Faciliiies''}, under, through, and across certain praperty i��ing �ounty, Washington, as described in Exhibit "A," attached hereto and incorporated by reference, which exhibit has been initialled by Crrantor. � For the purpose of constructing, installing, repairing, replacing, operating and maintaining the � Facilities, together with the right of reasonable ingress and egress thereto. This easement is SO granted subject to the following terms and conditions: � 1. Grantee agrees to hold harmless and indemnify Grantor, its officers, employees and agents, from and against all claims for damages, demands or causes of action, whether to persons or property, that are in any manner incident to the exercise of the privileges granted herein to �; Grantee, its successors or assigns, or in any manner directly or indirectly arise out of the `� construction, installation, repair, replacement, operation or maintenance of the Facilities, and upon notice to Grantee, Grantee shall accept and defend the same at the sole cost of Grantee and sha1I sa±isfv�.r_y ju��nent should such claim, demand or cause of action be determined adversely � to Grantor, its officers, employees or agents. This obligation shall not include such claims, costs, � damages, or expenses which may be caused by the sole negligence of Grantor, its officers, �.n employees or agents. �'Y_ �a �� �� 3. Grantee shall be solely responsible for ensuring that the Facilities are protected against any +�4 ;a possible stray current interference from any source whatsoever, including, without limitation, �; Grantar's gas(natural, artificial, or mixed) lines, facilities, appurtenances a.nd related equipment �' and structures. This easement shall not be deemed an exclusive one nor shall Grantor be prohibited from , gantin�permission to others to occupy portions of the easement where such uses are not inconsistent with the easement granted to Grantee. 5. Grantor reserves the right to use said easement for purposes which will not interfere with Grantee's full enjoyment of the rights hereby granted. 6. This easement shall run with the land described herein, and shall be binding upon the parties, their heirs, successors in interest and assigns. 7. By its acceptance of this utilities easement, Grantee agrees to concunently release the easement previously granted to it by Grantor, which easement was recorded on or about July 1, 1977,under Recorder's Number 7'707011009, Records of King County, Washington.
