The Grantee shall have the � nonexclusive right of ingress and egress over the lands described in the easements thereto without � :' prior institution of any suit or proceedings of law. r�- 'y � n / � �r CL o U:SW23RD.ST:OPLCESMT Page 1 of 3 FORM 03 0000/bh/CA2-21-97 �v ru � �:] w m I The aforementioned easements are subject to the following terms and conditions: Prior to commencing construction,the Grantee shall submit for the review of the Grantor the detailed plans, specifications,and profiles of the intended work. All work shall be subject to the approval of the Grantor,which shall not be unreasonably withheld. Grantee facilities must maintain a minimum clearance of 1 foot from Grantor facilities. A representative of the Grantor shall be on-site at all times when work is taking place in the vicinity of the Grantor's facilities. The Grantee shall, upon completion of any work within the property covered by the easement,restore the surface of the easement,and any improvements disturbed or destroyed during execution of the work,as nearly as practicable to the condition they were in immediately before commencement of the work or entry by the Grantee. Should any consent or permission be required from those holding existing easements affecting portions of the drainage easement to authorize or permit the installation by Grantee of its storm drainage culvert and related appurtenances, such consent or permission shall be obtained by Grantee, at its sole cost and expense. Grantee shall indemnify and hold Grantor harmless from any and all liability,damages,costs or expenses, including reasonable attorney's fees,for injury or damage either to persons or property from any cause whatsoever resulting from the granting of this easement and the installation and maintenance of Grantee's facilities. The easements are granted subject to existing easements nor shall it interfere with the existing petroleum pipelines and appurtenances of the�'iratitor which iun througi�the cirainage easernent. Th� rights reserved by the Grantor shall be paramount and superior to the rights herein granted to the Grantee. In the event Grantor's use of said lands requires any change,relocation,removal or modification of Grantee's facilities installed on said lands,Grantee shall within 120 days of demand of Grantor change,relocate,remove or modify such facilities to accommodate Grantor's use at Grantee's sole cost and expense. Grantee does hereby indemnify and hold Grantor harmless of and from any cost,expense or damage to Grantee's facilities located on said lands or the loss of use � therefore by Grantee by reason of the use of said lands by Grantor in the exercise of the rights herein � reserved. Provided,however,in the event Grantor shall require the removal of facilities installed on +�*� said lands by Grantee, Grantor shall convey to Grantee an alternate location for such removed � facilities of the same width as the easement herein granted; subject,however,to the reservations and � conditions herein stated. � This easement shall run with the land described herein,and shall be binding upon the parties,their � heirs, successors in interest and assigns. Grantor covenants that they are the lawful owners of the above properties and that they have a good and lawful right to execute this agreement.
