OF BUILDING DEPARTMENT #8232 ` 91/0 x 9 41427 1A SOUTHGATE OFFICE PLAZA - PHASE III CASHs# ****9.00 HOLD HARMLESS AGREEMENT This Hold Harmless Agreement ("Agreement") is entered into this 3rd day of April 1991 by and between Stonehenge III Limited Partnership, a Washington Limited Partnership, Vyzis Canpany, Managing General Partner ("Owner") , and the City of Renton ("City") regarding Southgate Office Plaza - Phase III. 1. BACKGROUND. Owner intends to construct office building III on property located in the State of Washington, County of King, at 2101 Lind Ave. S.W., Renton, Washington, and legally described on Exhibit A attached hereto and incorporated herein by this reference (the "Property") . A portion of the Property is located in a 100 year flood plain. Owner intends to develop and build a 5 story office building III ("the Building") on the Property as a part of a project identified as Southgate Office Plaza (the Project) File No. SA-068-90 in the files of the City of Renton, Washington. The City of Renton has reviewed the Project and, as part of its review, Cthe City has required the Owner to locate the Facility a ,a+ minimum of one foot above the defined 100 year flood plain '4 elevation, and indemnify the City against possible flood damage, on the terms set forth in this Agreement. O C 2. INDEMNIFICATION. Owner shall indemnify and hold the City harmless frau any and all claims by any party arising out of flood damage to the Facility or other improvements placed on the Property by Owner as part of the Project. 3. AMENDMENT. This Agreement may not be changed, waived, discharged, amended, modified or terminated except upon written agreement of all parties. 4. BINDING EFFECT. This Agreement shall be binding upon and inure to the benefit of the respective parties, and their legal representatives, successors, assigns, heirs and personal representatives. 5. APPLICABLE LAW. This agreement shall be governed by, and construed in accordance with, the laws of the State of Washington.
