WebLinkAboutContractCAG-17-225MEMORANDUMOFAGREEMENTThisMemorandumofAgreement(“Agreement”)ismadeandenteredintobyandbetweenKingCountyParksandRecreationDivision(“KingCounty”),theCityofBellevue,theCityofKirkland,theCityofRedmond,theCityofRenton,theCityofWoodinville,PugetSoundEnergy,SoundTransitandtheEastsideGreenwayAlliance(hereinafierreferredtoindividuallyas“Party”orcollectivelyas“Parties”)toestablishfundingcommitmentsforacooperativeregionalbrandingeffortfortheEastsideRailCorridor.RECITALSWHEREAS,atitsSeptember2016meeting,theEastsideRailCorridor(ERC)RegionalAdvisoryCouncil(RAC)reachedconsensustomoveforwardwithrebrandingtheEastsideRailCorridor;WHEREAS,theRACPrincipalStaffTeam(PST),hasdevelopedacollaborativeregionalprocessandrationaleforrebrandingtheERC(“Project”);WHEREAS,theProjectprovidesanopportunityforthePartiestodevelopabrandthatpromotesthesharedvisionforthecorridorandalignswellwitheffortstobuildandbrandcorridorsegments;WHEREAS,allotherprotocolsandresponsibilitiesformanagementoftheProjectareoutlinedinExhibitA;WHEREAS,thePartiesrecognizethebenefitofsharingcostsfortheProjectandwishtodividethosecostsproportionatelybetweentheParties,accordingtoproportionateownershiporstakeinthecorridor,asoutlinedinExhibitBattachedhereto;WHEREAS,thePartiesidentifyKingCountyasleadagencyforcontractprocurementandadministration;WHEREAS,theCitiesofBellevue,Kirkland,Redmond,Renton,andWoodinvillearenon-charteroptionalmunicipalcodecitiesincorporatedunderthelawsoftheStateofWashington,withauthoritytoenactlawsandenterintoagreementstopromotethehealth,safetyandwelfareoftheircitizensandforotherlawfulpurposes;WHEREAS,SoundTransitisaregionaltransitauthoritycreatedpursuanttochapters81.104and21.112RCWwithallpowersnecessarytoimplementahighcapacitytransitsystemwithinitsboundariesinKing,Pierce,andSnohomishCounties;WHEREAS,KingCountyhastheauthoritytoenterintothisAgreementpursuanttotheKingCountyCharter;WHEREAS,PugetSoundEnergy,Inc.isaWashingtoncorporation(“PSE”);WHEREAS,theEastsideGreenwaysAlliance(“EGA”)isanallianceofnon-profitorganizationstoadvancetheplanning,funding,design,constructionanduseoftheERC;1 NOWTHEREFORE,THEPARTIESHEREBYAGREEASFOLLOWS:1.PURPOSEThepurposeofthisAgreementistosetforththemutualrights,responsibilitiesandobligationsofthePartiesrelatedtothefundingoftheProject.2.DURATIONOfTHEAGREEMENTThisAgreementiseffectiveuponexecutionbythePartiesandshallremainineffectuntilthePartieshavepaidKingCountyinfullfortheirshareoftheProjectcosts,inaccordancewiththepaymentprovisionsofSection3.3unlessterminatedsooner,asprovidedherein.ThePartiesanticipatetheProjectwillbecompletedbyJune30,2018.3.RESPONSIBILITIES3.1.LeadAgency.KingCountyshallactastheleadagencyfortheProject.Exceptasotherwiseprovidedherein,KingCountyshallberesponsibleforprocurementandcontractmanagement,completionoftheProject,andrecordsmaintenancefortheProject.3.2.Invoicing.KingCountyshallsubmittoeachPartyoneinvoicefortheirrespectiveproportionatesharesoftheProject’sconsultantfeesforreimbursementtoKingCountyParksandRecreationDivision.KingCountyshallbillthePartiesfortheirindividualshareswithin30daysofreceiptofthefinalinvoicefromtheConsultant.3.3Payment.ThePartiesshalleachreimburseKingCountyfortheirshareoftheConsultantcostsfortheProject,accordingtotheindividualproportionateamountsindicatedforeachParty,includingcontingency,asshowninExhibitB.Paymentsshallbesenttotheaddressnotedontheinvoicewithin30daysofreceipt.3.4Costs.CostsdepictedinExhibitBareestimatedingoodfaithbytheParties.KingCountyshallmonitorConsultantinvoicingandadherencetotheestablishedscopeofservices.IntheeventthatthePartiesagreetoanincreaseinscopeorConsultantcosts,KingCountyshallnegotiateanamendmenttotheConsultantcontractinaccordancewiththedirectionunanimouslyagreedbytheParties.TheamendedincreasedcostsshallthenbeproportionatelysharedamongstthePartiesandaddedtothereimbursementobligationsforeachPartyunderSubsection3.3,inaccordancewithproportionatesharesestablishedinExhibitB.4.WITHDRAWALOfAPARTYFROMTHISAGREEMENT4.1WithdrawalofParty.EachParty,withtheexceptionoftheLeadAgency,foritsconvenienceandwithoutcauseorforanyreasonwhatsoever,maywithdrawfromparticipationinthisAgreementbyprovidingwrittennoticetotheLeadAgencyandallotherPartiesnotlessthanfifteen(15)calendardayspriortotheeffectivedateoftermination.ThewithdrawingPartyshallremainresponsibleforitsshareoftheConsultantcostincurredupthroughthedateofitseffective2 6.GENERALLEGALPROVISIONS6.1.CompliancewithLaws.KingCountyshallcomplywithallapplicablefederal,state,andlocallaws,regulations,andordinancesapplicabletotheworkandservicesperformedunderthisAgreement.6.2.Parties.ItisunderstoodandagreedthatthisAgreementissolelyforthebenefitofthePartiesheretoandgivesnorighttoanyotherparty.NojointventureorpartnershipisformedasaresultofthisAgreement.NoemployeesoragentsofanyPartyoranyParty’sContractorsorsubcontractorsshallbedeemed,orrepresentthemselvestobe,employeesoftheotherParties.6.3.LawsandVenue.ThisAgreementshallbeinterpretedinaccordancewiththelawsoftheStateofWashingtonineffectonthedateofexecutionofthisAgreement.TheSuperiorCourtofKingCountyinSeattle,WashingtonshallhaveexclusivejurisdictionandvenueoveranylegalactionarisingunderthisAgreement.6.4.Headings.SectiontitlesorotherheadingscontainedinthisAgreementareforconvenienceonlyandshallnotbepartofthisAgreement,norbeconsideredinitsinterpretation.6.5.Counterparts.ThisAgreementmaybeexecutedinanynumberofcounterparts,eachofwhichshallbeanoriginal,butsuchcounterpartsshallconstituteoneandthesameinstrument.6.6.NoThird-PartyBeneficiaries.ThisAgreementisenteredintosolelyforthemutualbenefitoftheParties.ThisAgreementisnotenteredintowiththeintentthatitshallbenefitanyotherpersonandnoothersuchpersonshallbeentitledtobetreatedasathird-partybeneficiaryofthisAgreement.6.7.NoWaiver.NeitherpaymentnorperformancebyaPartyshallbeconstruedasawaiveroftheotherParty’srightsorremediesagainsttheParty.failuretorequirefullandtimelyperformanceofanyprovisionatanytimeshallnotwaiveorreducetherighttoinsistuponcompleteandtimelyperformanceofsuchprovisionthereafter.6.8.EntireAgreement.ThisAgreementshallconstituteallterms,conditions,andprovisionsagreeduponbythePartieshereto.NomodificationoramendmentofthisAgreementshallbevalidoreffectiveunlessevidencedbyanagreementinwritingsignedbyallParties.6.9.Interpretation.ThisAgreementisandshallbedeemedjointlydraftedandwrittenbyeachofthePartiestoit,anditshallnotbeconstruedorinterpretedagainstanyofthePartiesoriginatingorpreparingit.6.10.Severability.IfanyprovisionsofthisAgreementareheldinvalidbyacourtofcompetentjurisdiction,theremainderofthisAgreementshallnotbeaffectedtherebyifsuchremainderwouldthencontinuetoservethepurposesandobjectivesoriginallycontemplated.4 6.11.HoldHarmlessandIndemnification.Totheextentpermittedbystatelaw,andforthelimitedpurposessetforthinthisAgreement,eachPartyshallprotect,defend,holdharmlessandindemnifytheotherParties,theirofficers,electedofficials,agentsandemployees,whileactingwithinthescopeoftheirdutiesassuch,fromandagainstanyandallclaims(includingdemands,suits,penalties,liabilities,damages,costs,expenses,orlossesofanykindornaturewhatsoever)causedbyorarisingoutofanynegligentactoromissionorwillfulmisconductoftheParty’sperformanceunderthisAgreement.TheprovisionsofthissubsectionshallsurviveandcontinuetobeapplicabletoanyPartyexercisingtherightofterminationpursuanttoSection4.5 EXHIBITAREGIONALBRANDNGSTRATEGYfortheEastsideRailCorridor(ERC) REGIONALBRANDINGSTRATEGY/7TINfortheEastsideRailCorridor(ERC)(LENWAYAttheSeptember2016ERCRegionalAdvisoryCouncil(RAC)meeting,ERCstakeholdersreachedconsensusthattheEastsideGreenwayAllianceshouldcoordinateeffortsamongstakeholdersinordertomoveforwardwithrebrandingtheEastsideRailCorridor.TheERCPrincipalStaffTeam(PST),whichincludestheEGA,hasdevelopedthefollowingprocessandrationalefortheEGAre-brand.Asproposed,there-brandwouldinvolveandbecollaborativelyfundedbyRACentities.Therebrandingprojectwillresultinanagreeduponvision,name,andvisualidentity,plusdirectionsforapplicationofthatidentity,forexampleinsignageandwayfinding.WhyCollaborativelyDevelopaRegionalBrandNow?•Toshapethepublicvisionofthecorridorandmanageexpectationsduringconstruction.Theanticipatedusesofthecorridorincludetrail,transit,andutilitiesandtheseusesmaytakeyearstoimplementinthecorridor.Developingabrandthatcommunicatestheseuseswillhelptomanagecommunityexpectationsduringthelengthyconstructionprocessasitevolvesovertime.•Toensurethatanewnameandbrandforthecorridormeetsallstakeholderneedsandexpectations.KingCounty(KC)willopenitsfirstsegmentoftheinterim(gravel)ERClaterthisyear.Withlong-standingagreementamongtheRACentitiesthatanewnameisneeded,KCmustmoveforwardwiththerenamingsoon.Thiscollaborativeregionalbrandprovidesanopportunityforallowners,easementownersandunderlyingjurisdictionstodevelopabrandthatcomplementsthejurisdictions’respectiveandsharedvisionsforthecorridorandeffortstobuildandbrandtheircorridorsegments.•Tobuildmomentumandbuzzaroundthecorridor—whichcantranslateintothefundingneededtobuildit.Comingtogethertocommissionaregionalbrandwilldemonstratetopotentialpublic/privatefundersthatthetrailisasharedregionalpriority.Aregionalnamewillhelpowners—bothindividuallyandcollectively—topointtocohesion,whichislookeduponfavorablybyfunders.•Tobuildpublicandcorporatesupport.Therebrandprocesswillincludeengagingthepublicalongtheway.Thiswillserveasanopportunitytoeducatethebusinesscommunity,communityleadersandresidentsaboutdevelopmentofthecorridor.Lackofabrandallowsotherstocontinuetoperceivetheprojectasnotrealortoodistanttowarrantattentionortoshapepublicperceptionofthecorridorinwaysthatdon’tsupportthesharedvision.WhatMusttheRegionalBrandCommunicate?•Themulti-usevisionofthecorridor,includingtrail,transit,andutilities•Theregionalsignificanceofthecorridorasadestinationforeconomicdevelopment•Itsopportunitytopromoterecreationaltourism•Thetransportation,recreation,publichealth,andenvironmentalbenefitsofthecorridor•Theaccessibilityofthefacilitytoallusers•ThatthecorridorispartoftheKingCountyRegionalTrailssystem,andthattheCrossKirklandCorridorandRedmondCentralConnectorarenestedbrandsandsegmentswithinthecorridor•Potentiallyotherissues,identifiedbytheconsultantandthestakeholdersduring“discovery”projectphase.HowwilltheRegionalBrandbeFunded?UsingascopeofworkdevelopedinconsultationamongthePST,andcostestimatesprovidedbythreebrandingContactAllianceCo-Leads:\/icyClarkeatCascadeBicycleClub&GraceBergmanatTheTrustforPublicLandVickyccascade.org,(360)731-4467IfGrace.Bergman©tpLorg.(206)274-2912 consultants,theEGAestimatesneedingabasecontractof$60,000,withanadditional$15,000contingencyavailable.Thistotals$75,000tofundtheprojectamongERCstakeholders,includingcorridorowners,easementowners,adjacentjurisdictions,andtheEGA.Attachedisamethodforallocatingapercentageofthebrandingfeetoeachstakeholder.Thefundingbreakdownisbaseduponpermileownership;permilestakeholderjurisdictionatareducedpercentagepermile;andeasementholderandnon-ownerpercentages.HowandWhenwilltheRegionalBrandBeDeveloped?TheEGArecommendshiringabrandingconsultanttodevelopthebrandatthedirectionofandinclosecollaborationwithprojectfundersandRACmembers.ThefollowingprocesshasbeendevelopedincollaborationwiththePSTandinconsultationwithseveralPugetSoundareaandnationalbrandconsultingfirms.Thebrandingeffortisestimatedtotakearoundsixmonthsfromthedateofcontractexecution.ThegoalistobegintheworkassoonasfundingisinplaceandRACmemberentitieshavecommunicatedandcommittedresourcescommensuratewiththeirlevelofinterestinparticipatingintheproject.1.TheprojectwillbeginwithpostinganREPonKingCounty’swebsiteandwillfollowpublicprocurementrequirements.2.Followingprocurementguidelines,ascoringgroupof5-7PSTMembers,limitedtoonememberperagencyororganization,shallbeidentifiedandwillmeettoreviewreceivedproposalsandselectfirmsforinterviews.3.Thescoringgroupwilltheninterview,scoreandranktheproposersagainstthepreviouslyagreeduponscoringcriteriathatwaspublishedintheoriginalREP.4.TheproposerwillthenworkwiththePSTtoprepareascopeofworknottoexceed$60,000.Withthehelpoftheproposer,thebrandingexpert,thatscopewillidentifyappropriateforumsforinputbytheRAC,thePSTandthepublic.5.ThescopewillthenbepresentedtotheRACforapproval.6.PendingRACapproval,KingCountywillproceedtocontracting.7.Thebrandingfirmwillthenexecutetheagreeduponscope.TheEGA,inclosecoordinationwithKingandthescoringgroup,willbetheprimarypointofcontactwiththebrandingagency.KingCountywillalsodesignatesomeoneresponsibleforadministeringthecontractandinvoicing.8.TheRACwillbethefinaldecisionmakeronallbrandingmaterials.AnticipatedDeliverables1.Nameforthecorridor2.SummaryVisionstatement,suchasatagline,tocapturethevisionofthecorridorforthegeneralpublic(thisvisionstatementisnotintendedtoreplacetheRACvision)3.Brandedlogo,includingapplicationsatdifferentscales4.Designguidelinesdemonstratingtheapplicationofbrandidentityona.Allapplicabletrailsignage(kiosks,informationalsignage,wayfindingsignage,andothersmallsignageasdeterminedbytheconsultantincoordinationwiththebrandingsubgroup)b.Awebsiteandelectronicnewslettersc.BrochuresandprintmaterialsContactAlIiancOoLeads:VickyCiareatCascadeBicceClub&GraceBergmanatTheTrustorPuhcLandVickvccascade.org.(360)7314467/1Grace.Bergmantprg,(206)274-.2912
