HomeMy WebLinkAboutP 9301150938 r AFTER RECORDING RETURN TO: Eric J.Thoman,General Counsel Valley Medical Center 400 South 43rd Street Renton,WA 98055 STREET USE PERMIT COMES NOW the City of Renton, a non-charter code City under w the laws of the state of Washington, and in consideration of participation in LID No. 329 does hereby grant to Public Hospital District No. 1, a public hospital district organized under the laws - of the state of Washington, a street use permit to use the subsurface tunnel and the adjacent ramps and service roads, beginning on the south to the west of Davis Road under S.W. 43rd to its connection with the hospital district ' s property to the north, rn as more particularly described in Exhibit "A, " attached hereto, and illustrated in Exhibit "B" attached hereto, both such Exhibits being incorporated herein by reference as if fully set forth. § This permit shall be for the duration of 50 years and shall be irrevocable for that period of time, except for abandonment by tr.) the hospital district. F U7 O Lf') It is understood between the parties that the principal and Oprimary use of the tunnel will be by the hospital district ' s employees, patrons, invitees, agents, vendors, contractors, and cy, those using the tunnel as a means of access to and from hospital district property for which this right-of-way permit has been granted. That being the case, the hospital district agrees to indemnify, defend, and hold harmless the City of Renton, its officers, elected officials, employees and agents from and against any and all claims, damages, penalties, fines, judgments and expenses including attorney' s fees, asserted against indemnitees by a third party from, or arising out of, the use of the tunnel, its ramps and associated service roads . The parties hereby agree that the tunnel has not been designed or built to public street standards and that fact shall not in any way affect this ,indemnity. The City of Renton shall periodically maintain, repair, reconstruct, alter, modify, or otherwise exert its control over this tunnel as is permitted under state law. The City of Renton will give the hospital district notice of any actions it wishes to take that would impair the hospital district ' s use of this tunnel . Realizing that the City may not maintain and repair the tunnel to the extent desired by the hospital district, the hospital district is hereby granted the right and authority to conduct maintenance and repairs on the tunnel, to the extent it desires, subject only to the prior approval of the City of Renton, which will not unreasonably be withheld. Any such repairs and maintenance will be at the expense of the hospital district. Should the tunnel suffer from such a state of disrepair that it is deemed to be unsafe for use, and neither the City of Renton or the hospital district has funds available and budgeted for necessary repairs and maintenance to make the tunnel safe for use as determined by the City, then the STREET USE PERMIT - 1 City of Renton shall have the right to close the tunnel and revoke this street use permit, despite its otherwise irrevocable character. 2 DATED THIS j14 day of , 199/.
