INDEMNITY AND HOLD HARMLESS AGREEMENT
This Agreement is entered into as of d' 9-19P-1
between The Boeing Company, a Delaware corporation, having
its principal place of business at Seattle, Washington,
acting through its division, Boeing Commercial Airplane
Company ("Boeing" ) , and the City of Renton, Washington
("Renton") , a municipal corporation.
RECITALS
A. Renton owns and operates the Renton Municipal
Airport ("Airport") . Renton responds to emergency
situations ("Emergencies" ) as they arise at the Airport.
B. Boeing has labor and equipment which, when and if
available, can respond to Airport Emergencies.
C. Renton would like Boeing to assist it in
responding to Airport Emergencies.
D. Boeing is willing to assist Renton in responding
to Airport Emergencies (at no cost to Renton) when in
Boeing' s sole discretion, it has the available time, labor,
and equipment.
E. Therefore, Boeing and Renton agree as follows:

AGREEMENTS
1 . Renton shall indemnify and hold harmless Boeing,
its assignees, and each employee of Boeing or its assignees
from and against all claims, liabilities, damages, losses,
and judgments, including attorneys ' fees, costs and expenses
incident thereto, for injury to or death of any person or
persons, other than an employee of Boeing or its assignees ,
or for loss of or damage to any property arising out of or
in any way connected with the response or failure to respond
to Airport Emergencies by Boeing, its assignees, or any
employee of Boeing or its assignees and whether or not
arising in tort or occasioned in whole or in part by the
fault or negligence of Boeing, its assignees or any
employees of Boeing or its assignees.
2. Nothing in this Agreement shall obligate Boeing to
respond to any Airport Emergencies or to respond to any
request to render assistance at the Airport, whether made by
Renton or any other person or entity.
IN WITNESS WHEREOF, each of the parties hereto has
executed this Indemnity and Hold Harmless Agreement as of
the day and year first written above.
