Re: Transfer of Contracts from Public Engines, Inc. to Motorola Solutions, Inc and Billing
Updates
Dear Sir or Madam, •
As you know, Public Engines, Inc (Public Engines) was acquired by Motorola Solutions,
Inc. (Motorola Solutions) over three years ago. At the end of the year, Motorola Solutions is
completing a reorganization of legal entities which is designed to streamline how you do business
with Motorola Solutions. As part of that reorganization, Motorola Solutions will now be the legal
counterparty to your agreement. Motorola Solutions will assume all of the rights and obligations
under your current agreement, and continue to provide the same products and services you
receive from Public Engines currently.
What you need to know
• The delivery of this letter to you represents notice of the assignment of your agreement
effective December 31, 2018, seeking your consent.
• New invoice distribution method and tax certification verification will be required for all
customers.
• Assignment of the agreement to Motorola Solutions, Inc. will not alter the performance of
services and all terms and conditions of the agreement will remain in full force and effect.
What we are requesting from you
• Assignment Acknowledgement: Please have an authorized representative of the company
execute this letter in the space indicated below, email a PDF copy of the fully executed
document to MOTSEl@motorolasolutions.com, and mail one original of the fully executed
document to us at the address indicated below within 10 days of the date of this letter to
acknowledge receipt of the notice. If a response to this letter is not received by December
31, 2018, we will consider such as your approval and acknowledgement.
• Billing Updates: Motorola Solutions customers will receive an email invoice instead of a
mailed copy. Please provide an email address to use for distribution of invoices in the
space indicated below. Motorola Solutions invoices will provide updated details for
submitting payments (checks and wire transfers).
• Tax certification verification: Please confirm your tax certification status by providing us
with a copy of your tax certificate.
• System Updates: Please update your systems as necessary in preparation for the
Restructuring to include Motorola Solutions as a new supplier or customer(as applicable).
Information you may need in order to update your systems is provided on Schedule A to
this letter.
