Purpose This Agreement for the Provision of Services ("Agreement") is made on February 12, 2020, by and between Washington Progress Fund ("WPF") and the City of Renton (jointly,the "Partners")for the purpose of achieving the various aims and objectives relating to the 2020 Census ("Project"). The City of Renton enters into this agreement for the sole purpose of implementing the Census Ambassador program and to follow through on the tasks, deliverables, timeline, and budget outlined in the approved grant application submitted to the Washington State Office of Financial Management(OFM). 2. Obligations of the Partners The Partners agree to work together to ensure that there is united, visible, and responsive leadership of the Project and to demonstrate financial, administrative, and managerial commitment to the Project by means of the following individual services. 3. Cooperation and Deliverables a. Services to be rendered by Washington Progress Fund are as follows: i. Draft Agreement and Census Ambassador contract template. ii. Administer payment to each of 35 Census Ambassadors selected and managed by the City of Renton on determined pay schedule. iii. Track contracts and W9s for all paid Census Ambassadors. iv. Produce 1099s for all paid Census Ambassadors as required by law. v. Provide the City of Renton with itemized invoices for reimbursement of payments to Census Ambassadors managed by the City of Renton, and associated administrative costs of WPF calculated at a flat rate of$3,815. b. Services to be rendered by the City of Renton are as follows: i. Recruit,train, and manage 35 Census Ambassadors. ii. Facilitate completion of contracts and W9s by Census Ambassadors. iii. Coordinate payment schedule with WPF. iv. Track individual hours for each Census Ambassador and communicate hours and pay amounts to WPF to fulfill agreed payment deadlines. v. Pay invoices provided by WPF in full no more than 30 days after receipt of invoice. vi. Facilitate Census Ambassadors completion of deliverables, including the following: a. Ensure Census Ambassadors attend all training, and check-ins requested by the City of Renton Census Program Manager. 1 b. Track Census Ambassadors completion of 2020 Census outreach activities such as: i. Encourage census participation from Renton residents and historically undercounted populations ii. Staff Questionnaire Assistance Centers iii. Participate at 'Get Counted Events', community events and/or informational tables iv. Engage with community organizations interested in sharing census information or being a Questionnaire Assistance Center c. Complete other public awareness activities to promote participation in the 2020 Census. d. Oversee and approve Monthly Reports per Census Ambassador, documenting hours worked and brief summary of activities conducted for each of the three payments. 4. Use of Funds The funds associated with this Agreement are to be used only for the purpose described in the approved application to OFM,for the Services and Deliverables described and during the term specified in this Agreement. If changes or amendments to the term are needed,please submit a request to jessica@washingtonprogress.org. In addition, A. No funds may be used for any political campaign, to carry on propaganda or otherwise attempt to influence legislation by any governmental body. B. Partners are responsible for maintaining adequate supporting records consistent with generally accepted accounting practices. C. While the funds are restricted for use for the purposes described in this Agreement,the Agreement and the award of funds shall not be deemed to be contingent or conditioned upon the accomplishment of any specific or measurable barrier, unless the condition is specifically identified in Section 3. 5. Communications Strategy From time to time,Washington Progress Fund may issue press releases,social media announcements,and other communications to describe the Project, Partners, grantees, and grants made related to the 2020 Census and the associated partners. Grantees and Partners are also encouraged to make public announcements on their own, especially when such notices might stimulate additional support or help spread the word about census- related efforts. Communications about the funding should be announced as a grant from the Office of Financial Management. Marketing of the vision and any media or other public relations contact should always be consistent with the aims of the Project. 6. Indemnity No liability will arise or be assumed between the Partners as a result of the Agreement.The City of Renton shall indemnify, defend, and hold WPF harmless from and against any and all liability to any third party for or from loss, damage or injury to persons or property in any manner arising out of, or incident to, the performance of this Agreement, including the planning,acquiring, constructing, equipping or use of the project,or the planning, arranging, implementing, sponsoring or conducting of any program or activity by the grantee. In no case shall 2 WPF be liable to the City of Renton or any third party for consequential damages.All grant awards are made in accordance with current and applicable laws and pursuant to the Internal Revenue Code, as amended, and the regulations issued hereunder. 7. Dispute Resolution In the event of a dispute between the Partners,a dispute resolution group will convene consisting of the senior- most staff of each of the Partners involved in this Project. The dispute resolution group may receive for consideration any information it thinks fit concerning the dispute. The Partners agree that a decision of the dispute resolution group will be final. In the event the dispute resolution group is unable to make a compromise and reach a final decision, it is understood that neither party is obligated to enter into any binding contract to complete the Project. 8. Term The arrangements made by the Partners by this Agreement shall remain in place from February 12, 2020 until July 31,2020.The term can be extended only by written agreement of both Partners. 9. Notice Any notice or communication required or permitted under this Agreement shall be sufficiently given if delivered in person or by certified mail, return receipt requested,to the address set forth on page one of this document or to such other address as one party may have furnished to the other in writing. Electronic communication is permitted if affirmed with an electronic signature by both parties. 10.Assignment This Agreement is between the listed Partners. Neither party may assign or transfer the responsibilities or agreement made herein without the prior written consent of the non-assigning party,which approval shall not be unreasonably withheld. 11. Entire Agreement This Agreement constitutes the entire agreement of the Partners concerning the subject matter hereof and supersedes all prior agreements, understandings and proposals in connection therewith. This Agreement may be amended or supplemented in writing, if the writing is signed by both Partners. 12. Understanding It is mutually agreed upon and understood by and among the Partners of this Agreement that: a. Each Partner will work together in a coordinated fashion for the fulfillment of the Project. b. In no way does this agreement restrict involved Partners from participating in similar agreements with other public or private agencies,organizations,and individuals. c. To the extent possible,each Partner will participate in the development of the Project. d. Nothing in this Agreement shall obligate any Partner to the transfer of additional funds.Any endeavor involving reimbursement or contribution of funds between the Partners of this Agreement will be handled in accordance with applicable laws, regulations,and procedures.To the extent that it is required, such endeavors will be outlined in separate agreements outside the terms of this Agreement. 3 1 e. Any Intellectual Property created in relation to the Project while this Agreement is in effect is the joint property of both Partners. Neither Partner will be restricted on its use upon termination or conclusion of this Agreement. f. This Agreement is not intended to and does not create any right, benefit, or trust responsibility. g. This Agreement will be effective upon the signature of both Partners. h. Any Partner may terminate its participation in this Agreement by providing written notice to the other Partner.
