HomeMy WebLinkAboutAdden 2 LAG 14-006 Addendum 2-20 ADDENDUM No 2 TO LEASE AGREEMENT LAG-14-006 (Amazing Grace Lutheran) THIS ADDENDUM/AMENDMENT No.2 to Lease Agreement LAG 14-006 is effective as of March 9, , 2020 ("Effective Date") by and between the City of Renton ("City" or "Landlord""), a Washington municipal corporation, and Amazing Grace Lutheran Church ("School" or "Tenant.") a Washington non-profit corporation. The City and Tenant are referred to collectively in this Agreement as the "Parties." RECITALS: WHEREAS, under lease LAG 14-006, effective October 2, 2014, and Addendum/Amendment No. 1 in 2016, the City of Renton has leased to Amazing Grace Lutheran Church (Tenant),the use of certain spaces(First and Third Floors of the building) in the Property commonly known as 200 Mill Ave S, Renton, WA(the "Property") for the purposes of a school; and WHEREAS,the Tenant wishes to expand its use in the Property to include portions of the Fourth Floor approximately 3,771 ft2 (square feet) "as-is" and to be wholly responsible for the costs of all tenant improvements, the permitting and any consequential costs associated or related to the tenant improvements. Tenant understands that the City is in negotiations to sell the Property and that the building in which they are located will likely be demolished in the future with no further opportunity for lease extensions beyond the Termination Date. NOW, THEREFORE, IN CONSIDERATION OF THE TERMS AND CONDITIONS HEREIN CONTAINED AND FOR OTHER GOOD AND VALUABLE CONSIDERATION, THE RECEIPT AND SUFFICIENCY OF WHICH IS HEREBY ACKNOWLEDGED, LANDLORD AND TENANT AGREE TO AMEND THE LEASE AS SET FORTH BELOW: 1. Premises: A. The Tenant shall expand its use in the Property to include portions of the Fourth Floor approximately three thousand seven hundred seventy one square feet (3,771 ft2)"as-is" . B. The Commencement Date of the Fourth Floor use is March, 2020. LAG-14-006 Amendment No.2 Page 1 of 6 LAG 14-006 Addendum 2-20 2. Term: As of the Effective Date above,the Lease for all floors (First, Third and Fourth) shall be in full force and effect and co-terminus until July 31, 2022 ("Termination Date"). Any extensions past July 31, 2022 must be by written agreement. 3. Monthly Rent: Commencing upon the Effective Date of Addendum No. 2: A. First Floor Monthly Base Rent paid monthly(per Addendum No. 1): 1. Through August 31, 2020: Twenty-one dollars and zero cents ($21.00) annual rent amount per square foot for eight thousand six hundred seventy-seven square feet(8,677 ft2) 2. Beginning September 1, 2020 Twenty-one dollars and 50 cents ($21.50) annual rent amount per square foot for eight thousand six hundred seventy-seven square feet(8,677 ft2). 3. Beginning September 1, 2021 Twenty-two dollars and zero cents ($22.00) annual rent amount per square foot for eight thousand six hundred seventy-seven square feet(8,677 ft2). B. Third Floor Monthly Base Rent paid monthly(per Addendum No. 1): *Presently as of the date of this letter the Parties are in Months 37-48 for the Third Floor. 1. Through July 31, 2020 Nineteen dollars and zero cents ($19.00) annual rent amount per square foot for five thousand nine hundred ninety- two square feet (5,992 ft2) 2. Beginning August 1, 2020 Nineteen dollars and fifty cents ($19.50) annual rent amount per square foot for five thousand nine hundred ninety- two square feet (5,992 ft2). 3. Beginning August 1. 2021 Twenty dollars and zero cents ($20.00) annual rent amount per square foot for five thousand nine hundred ninety- two square feet (5,992 ft2). *Per Addendum No. 1, Tenant shall pay Landlord base monthly rent during the Lease Term according to the following schedule: LAG-14-006 Amendment No.2 Page 2 of 6 LAG 14-006 Addendum 2-20 Lease Year (Stated in Years or Months) Base Monthly Rent Amount per ft2 Months 01—03 (not listed in Add No 1) Months 04- 12 $17.50 Months 13- 24 $18.00 Months 25-36 $18.50 Months 37- 48 $19.00 Months 49-60 $19.50 Months 61-72 $20.00 C. Fourth Floor Monthly Base Rent paid monthly: 1. Beginning March 9, 2020 Fifteen dollars and zero cents ($15.00) annual rent amount per square foot for three thousand seven hundred seventy one square feet (3,771 ft2). * with an annual increase of$0.75 per square foot March 9 each year the anniversary date of this addendum. 2. Beginning March, 2021 Fifteen dollars and seventy five cents ($15.75) annual rent amount per square foot for three thousand seven hundred seventy one square feet (3,771 ft2). 3. Beginning March 2022 Sixteen dollars and fifty cents ($16.50) annual rent amount per square foot for three thousand seven hundred seventy one square feet (3,771 ft2). 4. Parking: A. Tenant shall have the right to use up to thirty-five (35) unreserved, non- exclusive use parking stalls (the Allotted Parking Spaces) in the parking lot (the "Parking Lot") at no additional cost during Building business hours (7 a. m.to 6 p. m.,weekdays); provided, however that Tenant may use more than the Allotted Parking Spaces outside of Building hours at no additional cost. The Tenant and Tenant's employees and invitees may utilize the Parking Lot subject to the reasonable rules and regulations adopted by Landlord from time to time, in common with other tenants of and visitors to the Building on a first-come, first-served, non-exclusive use, non- guaranteed basis. LAG-14-006 Amendment No.2 Page 3 of 6 LAG 14-006 Addendum 2-20 B Landlord reserves the right at any time to grant similar nonexclusive use to other tenants, to promulgate rules and regulations relating to the use of the parking areas, including reasonable restrictions on parking by all tenants and their employees and invitees, to designate or re-designate specific spaces for the use of any tenants, to make changes in the parking layout from time to time, and to establish reasonable time limits on parking. Overnight parking is prohibited, and any vehicle violating this or any other vehicle regulation adopted by Landlord is subject to removal at the owner's expense. C. If the Tenant has trouble finding parking spaces in the thirty-five (35) unreserved, non-exclusive use parking stalls (the Allotted Parking Spaces) in the parking lot (the "Parking Lot") at the Landlord's sole discretion the Parties may enter a written addendum as to the additional costs and the number of the reserved, exclusive parking spaces the Landlord is willing to reserve for the Tenant. The Tenant will be responsible for all costs associated with the conversion of the parking spaces to reserved exclusive use, including but not limited to signage and enforcement. 5. Tenant Improvements: A. Tenant is responsible for all costs of its tenant improvements. B. Tenant is responsible for all consequential building costs, including but not limited to, permitting, inspecting, testing, and any additional improvements or costs to the Property caused by the tenant improvements that serve common areas or other tenants (e.g., electrical, fire safety, etc.), C. Tenant is responsible to pay, in addition to rent, an operational/maintenance cost basted on tenant improvements, for supervision of tenant improvements, pursuant to the City's agreement with the management company for the Property, Kidder Mathews. D. Tenant agrees that it will be responsible for complying with all laws, maintaining safe conditions and coordinating its tenant improvement work with Kidder Mathews. Any tenant improvements shall be performed by a contractor approved by the City.The City will approve Forma Construction. *Forma Construction is not the exclusive choice allowed to Tenant. F. The City will not warranty any defects in the tenant improvements and Tenant shall be responsible for any repairs and/or maintenance of the tenant improvements. G. Insurance: In addition to the insurance provisions in the Lease, in relation to the Proposed Tenant improvements, Tenant shall be insured for damage resulting from liability of Tenant or any of Tenant's agents or employees with General Liability insurance with minimum policy limits of$1,000,000 for each occurrence/$2,000,000 aggregate for the term of this Letter of Intent. Tenant may be requested to furnish to City proof of insurance in the forms and amounts satisfactory to City. 6. All other terms and conditions of the Lease, insofar as they are not inconsistent herewith, shall remain in full force and effect.
