CITYOFRENTON,WASHINGTONRESOLUTIONNO.4409ARESOLUTIONOFTHECITYOFRENTON,WASHINGTON,AUTHORIZINGTHESUBMISSIONOFANAPPLICATIONFORGRANTFUNDINGASSISTANCEFORLANDANDWATERCONSERVATIONFUND(“LWCF”)PROJECTSTOTHERECREATIONANDCONSERVATIONFUNDINGBOARDASAPPROVEDINTITLE54,U.S.C.SECTION200305,79A.25RCW,WAC286ANDOTHERAPPLICABLEAUTHORITIESFORTHEGENECOULONMEMORIALBEACHPARKTRESTLEBRIDGEREPI.ACEMENTPROJECT.WHEREAS,theCityofRenton(the“City”)hasadoptedacomprehensiveParks,RecreationandNaturalAreasPlanthatincludesreinvestmentandmajorreplacementsinGeneCoulonMemorialBeachParkincludingthereplacementoftheTrestleBridge(the“Project”);andWHEREAS,theCityhasadoptedaTrailsandBicycleMasterPlanwhichidentifiestheexistingpedestriantrailofwhichtheTrestleBridgeisacriticalcomponentandidentifiesGeneCoulonMemorialBeachParkasanassetanddestination;andWHEREAS,underprovisionsoftheLWCFprogram,stategrantassistanceisrequestedbytheCitytoaidinfinancingthecostoffacilityredevelopment;andWHEREAS,theCityconsidersittobeinthebestpublicinteresttocompletetheprojectdescribedintheapplication;NOWTHEREFORE,THECITYCOUNCILOFTHECITYOFRENTON,WASHINGTON,DORESOLVEASFOLLOWS:SECTIONI.TheCityintendstoapplyforfundingassistancemanagedbytheRecreationandConservationOffice(“RCO”orthe“Office”)fortheabove“Project.”1 RESOLUTIONNO.4409SECTIONII.TheCityauthorizesthefollowingpersonsorpersonsholdingspecifiedtitles/positions(andsubsequentholdersofthosetitles/positions)toexecutethefollowingdocumentsbindingtheCityontheProject:GrantDocumentNameofSignatoryorTitleofPersonAuthorizedtoSignGrantapplication(submissionParksPlanningManagerthereof)______________________jectcontact(day-to-dayParksPlanningManageradministeringofthegrantandommunicatingwfththeRCO)_________________RCOGrantAgreementMayor(Agnt______________________________________Agreementamendments--LMYr__________________________________AuthorizingpropertyandrealMayorestatedocuments(NoticeofGrant,DeedofRightorAssignmentofRightsifapplicable).Theseareitemsthataretypicalrecordedonthepropertywiththecounty.---____________Theabovepersonsareconsideredan“authorizedrepresentative(s)/agent(s)”forpurposesofthedocumentsindicated.TheCityshallcomplywitharequestfromtheRCOtoprovidedocumentationofpersonswhomaybeauthorizedtoexecutedocumentsrelatedtothegrant.SECTIONIll.TheCityhasreviewedthesampleRCOGrantAgreementontheRecreationandConservationOffice’sWEBSITEat:https://rco.wa.gov/wp-content/uploads/2019/06/SampleProjAgreement.pdf.TheCityunderstandsandacknowledgesthatifofferedanagreementtosigninthefuture,itwillcontainanindemnificationandlegalvenuestipulationandothertermsandconditionssubstantiallyintheformcontainedinthesampleAgreementandthatsuchtermsandconditionsofanysignedAgreementshallbelegallybindingonthesponsoriftheCity’srepresentative/agent2 RESOLUTIONNO.4409entersintoanAgreementonourbehalf.TheOfficereservestherighttorevisetheAgreementpriortoexecution.SECTIONIV.TheCityacknowledgesandwarrants,afterconferringwithitslegalcounsel,thatitsauthorizedrepresentative(s)/agent(s)havefulllegalauthoritytoactandsignonbehalfoftheCityfortheirassignedrole/document.SECTIONV.GrantassistanceiscontingentonasignedAgreement.EnteringintoanyAgreementwiththeOfficeispurelyvoluntaryonthepartoftheCity.SECTIONVI.TheCityunderstandsthatgrantpoliciesandrequirementsvarydependingonthegrantprogramappliedto,thegrantprogramandsourceoffundingintheAgreement,thecharacteristicsoftheproject,andthecharacteristicsoftheCity.SECTIONVII.TheCityfurtherunderstandsthatpriortotheCity’sauthorizedrepresentative(s)/agent(s)executinganyofthedocumentslistedabove,theRCOmaymakerevisionstoitssampleAgreementandthatsuchrevisionscouldincludetheindemnificationandthelegalvenuestipulation.TheCityacceptsthelegalobligationthattheCityshall,priortoexecutionoftheAgreement(s),conferwiththeCity’sauthorizedrepresentative(s)/agent(s)astoanyrevisionstotheprojectAgreementfromthatofthesampleAgreement.TheCityalsoacknowledgesandacceptsthatiftheCity’sauthorizedrepresentative(s)/agent(s)executestheAgreement(s)withanysuchrevisions,alltermsandconditionsoftheexecutedAgreementshallbeconclusivelydeemedtobeexecutedwiththeCity’sauthorization.SECTIONVIII.AnygrantassistancereceivedwillbeusedforonlydirecteligibleandallowablecoststhatarereasonableandnecessarytoimplementtheProject.3 RESOLUTIONNO.4409SECTIONIX.Ifmatchisrequiredforthegrant,theCityunderstandsthattheCitymustcertifytheavailabilityofmatchatleastonemonthbeforefundingapproval.Inaddition,theCityunderstandsitisresponsibleforsupportingallnon-cashmatchingsharecommitmentstothisprojectshouldtheynotmaterialize.SECTIONX.TheCityacknowledgesthatifitreceivesgrantfundsmanagedbytheOffice,theOfficewillpaytheCityononlyareimbursementbasis.TheCityunderstandsreimbursementbasismeansthattheCitywillonlyrequestpaymentfromtheOfficeaftertheCityincursgranteligibleandallowablecostsandpaythem.TheOfficemayalsodetermineanamountofretainageandholdthatamountuntilallprojectdeliverables,grantreports,orotherresponsibilitiesarecomplete.SECTIONXl.TheCityacknowledgesthatanypropertyownedbytheCitythatisdeveloped,renovated,enhanced,orrestoredwithgrantassistancemustbededicatedforthepurposeofthegrantinperpetuityunlessotherwiseallowedbygrantprogrampolicy,orOfficeinwritingandpertheAgreementoranamendmentthereto.SECTIONXII.Thisresolution/authorizationisdeemedtobepartoftheformalgrantapplicationtotheRCO.SECTIONXIII.TheCitywarrantsandcertifiesthatthisresolution/authorizationwasproperlyandlawfullyadoptedfollowingtherequirementsoftheCityandapplicablelawsandpoliciesandthattheCityhasfulllegalauthoritytocommitittothewarranties,certifications,promisesandobligationssetforthherein.4
