Generator Pad Dear Thomas: As you requested, we are sending you a fee proposal for the above referenced project. SCOPE: Structural Engineering Services, including design and contract documents, for the design of a new pad and canopy for a new emergency generator installation at this site. We base our fee on discussions with you. Pending information includes whether or not this pad needs to be supported on a pile foundation with a structural slab, instead of a slab on grade. We have outlined two scenarios below. The fees below include construction support. Construction support consists of review of submittals and response to RFI’s. Site visits, if needed, would be on a Time and Materials Basis. Date Date President C ONSULTING E NGINEERS TERMS AND CONDITIONS ("Attachment A") Peterson Strehle Martinson, Inc. (the Firm) shall perform the services outlined in this agreement for the stated fee arrangement. Unless otherwise noted, the Agent named on the front of this Agreement is hereinafter referred to as the client, and the Owner is deemed to be the owner of the property for which the services are to be rendered and is the Agent's client. CONTRACT INITIATION This agreement commences when signed by the Client and returned to the Firm. All Terms and Conditions will apply if this agreement is sent to the Client and, at the request of the Client, the Firm commences work on the project, even if this agreement is not signed and returned. ACCESS TO SITE Unless otherwise stated, the Firm will have access to the site for activities necessary for the performance of the services. The Firm will take precautions to minimize damage due to these activities, but have not included in the fee the cost of restoration of any resulting damage. CONSTRUCTION SAFETY AND SITE VISITS The Firm will have no control over jobsite safety or safety programs, and does not have authority to stop work. All site visits are for reviewing conformance to the design, not for means and methods. Site visits are for general conformance only, and are not a substitute for inspections by the Special Inspections Agency or municipality. The Firm shall have no responsibility for Contractor’s failure to construct in accordance with plans and specifications. FEE The total fee, unless listed as "lump sum," shall be understood to be an estimate, and shall not be exceeded by more than ten percent without written approval of the Client. Where the fee arrangement is to be on an hourly basis, the rates shall be those that prevail at the time the services are rendered. 2020 hourly rates are as follows: Principal $235.00 CAD Drafter $110.00 Project Manager $180.00 REVIT Modeler $120.00 Senior Engineer $165.00 Administration $80.00 Engineer $140.00 BILLINGS/PAYMENTS Invoices for the Firm's services shall be submitted, at the Firm's option, either upon completion of such services or on a monthly basis. Invoices shall be payable within 30 days after the invoice date. If the invoice is not paid within 30 days the Firm may, without waiving any claim or right against the Client and without liability whatsoever to the Client, terminate the performance of the service. Retainers shall be credited on the final invoice. LATE PAYMENTS Accounts unpaid 60 days after the invoice date may be subject to a monthly service charge of 1.5% on the then unpaid balance (18% true annual rate), at the sole election of the Firm. In the event any portion or all of an account remains unpaid 90 days after billing, the Client shall pay all costs of collection, including reasonable attorney's fees. RESPONSIBILITY FOR CONSTRUCTION COST No construction cost limit shall be established as a condition of this agreement. If Owner wants assurances of probable construction cost, Owner will retain an independent cost estimator. INDEMNIFICATION To the extent addressed in the Client's Agreement with the Owner, the Owner shall indemnify and hold harmless the Firm and all of its personnel from and against any and all claims, damages, losses and expenses (including reasonable attorney's fees) arising out of or resulting from the performance of the services, provided that any such claims, damage, loss or expense is caused in whole or in part by the negligent act or omission and/or strict liability of the Owner, anyone directly or indirectly employed by the Owner (except the Firm), or anyone for whose acts any of them may be liable. C ONSULTING E NGINEERS RISK ALLOCATION To the extent addressed in the Client's Agreement with the Owner, and in recognition of the relative risks, rewards and benefits of the project to both the Owner and the Firm, the risks have been allocated such the Owner agrees that, to the fullest extent permitted by law, the Firm's total liability to the Owner for any and all injuries, claims, losses, expenses, damages or claim expenses arising out of this agreement from any cause, or causes, shall not exceed $50,000. Such causes include, but are not limited to the Firm's negligence, errors, omissions, strict liability, indemnity or contribution, and breach of contract. All causes of action between the Owner or Client and the Firm shall be deemed to accrue, and the applicable statute(s) of limitation shall commence to run, no later than the date on which the Firm last performs services pursuant to the Contract. TERMINATION OF SERVICES This agreement may be terminated by the Client or the Firm should the other fail to perform its obligations hereunder. In the event of termination the Client shall pay the Firm for all services rendered to the date of termination, all-reimbursable expenses, and reimbursable termination expenses. OWNERSHIP OF DOCUMENTS AND USE OF DOCUMENTS All documents produced by the Firm under this agreement shall remain the property of the Firm and may not be used by the client for any other endeavor without the written consent of the Firm. The Owner waives, and shall indemnify the engineer against, claims and damages arising from the Owner’s use of the drawings and specifications on any other project unless the F irm has been engaged to perform services related to that project. APPLICABLE LAW Unless otherwise specified, this agreement shall be governed by the laws of the State of Washington.
