WebLinkAboutContractENTRYAGREEMENTThisEntryAgreement(“Agreement”)ismadeasoftheEffectiveDate(definedinSection7.R.below)byandbetweenCiTYOFRENTON,amunicipalcorporationoftheStateofWashington(“Renton”or“Licensee”),andKINGCOUNTY,ahomerulechartercountyandpoliticalsubdivisionofthetheStateofWashington(“Owner”).LicenseeandOwneraresometimesreferredtohereincollectivelyasthe“Parties”orindividuallyasa “Party.”RECITALSOwnerownscertainrealproperty(“Property”)describedbelow.LicenseeacknowledgesthatthePropertywasthesubjectofaforeclosureorderoftheKingCountySuperiorCourtandtheOwneracquiredtheRealPropertyintrust forthetaxingdistrictsbydeedbyvirtueofRCW84.64.200intaxtitlestatusastheresultofnoqualif,’ingbidsbeing receivedatataxforeclosuresale.InconnectionwithitspotentialpurchaseoftheProperty,LicenseewishestogainaccesstothePropertyforthepurposesdescribedbelow.OwneriswillingtograntLicenseeaccesstothePropertyonthetermsandconditionsofthisAgreement.ThePropertyisdescribedasfollows:ParcelAddresses:N4ths,NE8thSt,SE160thSt,I10thP1SEParcelNumbers:072305-9098,102305-9427,202305-9018,292305-91201.GrantofLimitedLicense.A.OwnerherebygrantstoLicensee,togetherwithitsRepresentativesasdefinedbelow,anon-exclusivelicenseofreasonableaccesstothePropertyforaperiodofsixty(60)daysfromtheEffectiveDate(the“Term”),forthepurposeofcompletingtheactivitieslistedinExhibitA(collectivelythe“SiteStudy”).Licenseewillnotpermitanyotherpersonorentity,exceptLicenseesdulyauthorizedrepresentatives,employees,agents,contractors,subcontractors,consultantsandindependentcontractors(collectively“Representatives)toenterorusetheProperty.ThisAgreementshallexpireatendofthe Termifnotterminatedearlier,andfromandaftersuchdateLicenseeshallceasealluseofthePropertyforpurposesnototherwiseauthorized.B.BeforecommencingtheSiteStudy,LicenseewillcoordinatewithOwner’sDesignatedRepresentativelistedinSection2below.Licenseeisexpresslyforbiddentoundertakeanynew,different,oradditionalactivitiesorpurposesonthePropertyotherthantheSiteStudycontemplatedonExhibitA,exceptwithOwner’spriorwrittenconsent,whichconsentmaybewithheldinOwner’ssoleandabsolutediscretion.Tothemaximumextentpracticable,Licenseeshallusecommerciallyreasonableeffortstoavoid,minimize,andmitigatetheimpactofitsSiteStudyactivitiesonOwner’sandthepublic’suseoftheProperty.C.IfrequestedbyOwner,Licenseewillprovideacopyofanalysisand/orreportsgeneratedbythirdpartyconsultantsrelatedtotheSiteStudytoOwneratnocostorexpensetoOwner,provided,however,thatsuchcopieswill beprovidedbyLicenseewithoutrepresentationorwarrantyofanykind,expressofimplied.Withoutlimitingtheforegoingrepresentations,LicenseefurthercovenantsthatiftheSiteStudysuggestsorreasonablycouldbeinterpretedtosuggesttheexistenceofanunreportedviolationofanyEnvironmentalLaws,thenLicenseeshallnotindependentlyreportsuchviolation,excepttotheextentLicenseeisrequiredtoreportbyapplicablelaw,butinanyeventshallPageloflOCAG-21-016 promptlynotif,’Owner’sDesignatedRepresentativebyphoneorinperson.ForpurposesofthisAgreement“EnvironmentalLaws”include,butarenotlimitedto,theWashingtonStateHazardousWasteManagementAct,RCW70A.300,theModelToxicsControlAct,RCW70A.305,theResourceConservationandRecoveryAct,42U.S.C.§6901,et.seq.,theCleanAirAct,42U.S.C.§7401,etseq.,theFederalWaterPollutionControlAct,33U.S.C.§1251,etseq.,theEmergencyPlanningandCommunityRighttoKnowAct,42U.S.C.§11001,etseq.,theComprehensiveEnvironmentalResponse,CompensationandLiabilityAct,42U.S.C.§9601,etseq.,and theOilPollutionControlAct,33U.S.C.§2701.etseq.D.IfLicenseelearnsoffactsthatleadittobelievethatitoranyRepresentativehasuncoveredanyarchaeologicalorculturalresourceatanypointintheSiteStudy,Licenseeshallcauseallworkatandadjacenttothediscoverysitetocease,shallpromptly notifyOwner’sDesignatedRepresentativeandshallworkwithOwnertosecurethediscoverylocation.Ifhumanremainsareencountered,treatthemwithdignityandrespectatalltimes.Covertheremainswithatarporothermaterials(notsoilorrocks)fortemporaryprotectioninplaceandtoshieldthemfrombeingphotographed.Donotcall911orspeakwiththemedia.ImmediatelycontactOwner’sDesignatedRepresentativebyphoneorinperson.2.Contacts;NoticeofEntry.A.Priortoaccessingthe expensesandcosts(includingreasonableattorney’sfeesandcosts)(collectively,“Claims”)ofeverykindanddescriptionandforanypersonalinjuryorlosstoordamageordestructionofpropertyarisingoutoforrelatingtoLicensee’sexerciseofitsrightsunderthisAgreementorthecompletionoftheSiteStudybyLicenseeoritsRepresentativesB.Theforegoingindemnificationisspecificallyandexpresslyintendedtoinclude,butisnotlimitedto,allClaimsagainstOwnerbyanemployeeorformeremployeeofLicenseeoritsRepresentatives,totheextentsuchClaimarisesoutoftherightsgrantedunderthisAgreement;andLicenseeexpresslywaives,asrespectOwneronly,allimmunityandlimitationonliabilityunderanyindustrialinsuranceactincludingTitle51RCW,to theextentnecessarytoprovideOwnerwithacompleteindemnityfortheactionsofLicensee’sRepresentativespursuantto3A.above.D.ThisSection3andtheindemnitiescontainedhereinhavebeenthesubjectofspecificnegotiationbetweenthePartiesandthisSection3andtheindemnitiescontainedhereinshallsurvivetheexpirationorterminationofthisAgreement.4.LicenseeInsurance.A.Licenseeshallmaintain,andcauseanyconsultant,contractororsubcontractorhiredtoprovideworkorservicesinconnectionwiththedevelopmentoftheSiteStudytomaintainthefollowingminimuminsuranceduringtheTerm:(i)Commercialgeneralliabilityinsuranceinanamountnotlessthan$1,000,000combinedsinglelimitperoccurrenceand$2,000,000aggregatecoveringanyclaim,personalinjuryorpropertydamage,includingcoverageforcontractualliability,arisinginconnectionwiththepresenceofLicenseeoritsRepresentativesoranyoftheirrespectiveofficers,agentsoremployeesontheProperty;(ii)Businessautomobileliability(owned,hiredornon-owned)coveringtherisksofbodilyinjury(includingdeath)andpropertydamage,includingcoverageforcontractualliability,withalimitofnotlessthan$1,000,000peroccurrence;(iii)Employer’sliabilityinsurancewithlimitsofnotlessthan$1,000,000peroccurrence;and(iv)Worker’scompensationinsurance(asrequiredbylaw).B.Allsuchcommercialgeneralandautomobileliabilityinsuranceshall:(i)BeendorsedtonameOwnerasanadditionalinsured;(ii)Beendorsedtoprovidethatitisprimarywithandnon-contributingwith,anyinsurancemaintainedbyOwner;(iii)ContainaseverabilityofinterestprovisioninfavorofOwner;(iv)ContainawaiverofanyrightsofsubrogationagainstOwner;and(v)BeissuedbyaninsurancecompanyauthorizedtodobusinessintheStateofWashingtonwithaBest’sratingofnotlessthanA:Vlll.Page3of10 C.TheinsurancecoverageandlimitssetforthhereinshallbedeemedtobeminimumcoverageandlimitsandshallnotbeconstruedinanywayasalimitationonLicensee’sdutytocarryadequateinsuranceorliabilityforlosses,claims,liabilitiesordamagesarisingunderthisAgreementorLicensee’sconductoftheSiteStudy.D.UponwrittendemandbyOwner,LicenseeshalldelivertoOwnercopiesofallrelevantinsurancepoliciesorcertificatesandendorsementsofinsuranceverifyingsuchcoverage.5.Liens.Licenseeshallnotsufferorpermitanylien,charge,securityinterestorencumbrance(collectively,“Liens”)arisingunderthisAgreementorrelatingtotheImprovementstobefiledagainsttheProperty.IfanysuchLienisfiled,Licenseeshall,withinthirty(30)daysfollowingtheLicenseebecomingawareofsuchattachment,removeanddischargeanyandallsuchLiens.LicenseereservestherighttocontestthevalidityoramountofanysuchLieningoodfaithprovidedthat,withinthirty(30)daysafterthedateonwhichLicenseebecomesawareofsuchLien,LicenseedischargessuchLienofrecordorrecordsabondwhicheliminatessaid LienasanencumbranceagainsttheProperty.Licenseeshallindemnify,protect,defendandholdOwnerharmlessfromandagainstallliabilities,losses,damages,expensesandcosts(includingreasonableattorneys’feesandcosts)incurredinconnectionwithanysuchLiens,whichindemnificationshallsurvivetheexpirationorterminationofthisAgreement.6.DisputeResolution.ThePartiesshallusethefollowingdisputeresolutionprocessastoanydisputearisingbetweenthemandrelatingtothisAgreementorLicensee’sexerciseoftheprivilegesgrantedherein.Provided,thatLicensee’spaymentornonpaymentofanymoneyorsumsdueinconsiderationofOwner’sexecutionofthisAgreementshallnotbesubjecttodisputeresolutionunderthisSection6:A.DisputesArisingDuringtheTerm.(i)IfadisputearisesregardingthisAgreementthentheconcernedPartyshallpromptlynotifytheotherParty’sDesignatedRepresentative,inwriting.Thenoticeshallidentifytheactoromissionandthespecificterm(s)oftheAgreementatissue.(ii)ThePartywhoseactionsoromissionsareatissueshallrespondtothenoticeinwritingtothecomplainingPartywithinfive(5)businessdays.TheresponseshallstatetheParty’spositionaswellaswhat,ifany,correctiveactiontherespondingPartymayagreetotake.(iii)ThecomplainingPartyinitiatingtheprocessshallreplytotheotherPartyinwritingwithinfive(5)businessdaysofreceiptoftheresponse,indicatingeithersatisfactionordissatisfactionwiththeresponse.Ifsatisfied,anycorrectiveactionshallbetakenwithinfive(5)businessdaysofthereceiptoftheinitiatingParty’sreply.Ifnotsatisfied,thedisputeshallmovetothenextstep.(iv)IfthePartiescannottimelyresolvethedisputeatthestafflevelthenthecomplainingPartyshallelevatethemattertotheSuziMorris,SeniorVicePresidentofLicenseeandtheCapitalDivisionDirectorofKingCountyMetroPage4of10 Transit.TheCapitalDivisionDirectorofKingCountyMetroTransitandSuziMorris,SeniorVicePresidentshallpromptlymeet(bytelephoneorotherremotedeviceifnecessary)todiscussandattempttoresolvethematter.B.DisputesArisingor PersistingAftertheTerm.(i)Ifadisputearisesafterthe Term,orifthePartiesareunabletoresolveadisputeduringtheTerm,thenthePartiesshallinitiallyfollowthedisputeresolutionprocesssetforthinParagraph6.A,above.IfthePartiesareunabletoresolvethedisputethroughthatprocessthenthePartiesmaymediatethedispute.Anymediationbetweenthe PartiesconcerningthisAgreementshallbesubmittedtomediationundertheCommercialMediationProceduresoftheAmericanArbitrationAssociationunlessthePartiesagreeinwritingtouseotherrules.IfthePartiestoadisputecannotagreeontheselectionofamediatorwithinten(10)days,eitherPartymayimmediatelyrequesttheappointmentofamediatorinaccordancewiththegoverningmediationrules.MediationshalloccuratanylocationinSeattle,Washingtonthatthemediatormaydesignate.Themediationshallincludetheexchangeofwrittenclaimsandresponses,withsupportinginformation,atleastten(10)dayspriortotheactualmediation.EachpartyshallpayV2ofthemediationexpense.ThePartiesshallconcludemediationproceedingswithinsixty(60)daysafterthedesignationofthemediator.Ifmediationproceedingsdonotresolvethedisputewithinsuchperiod,andifthePartiesdonotmutuallyagreetoanextensionofsuchperiod,thenaPartymaycommencelitigationwithrespecttothedispute.(ii)Alternatively,thePartiesmay,bywrittenagreement,submitanyparticularclaimordisputetobindingarbitrationfollowingtheAmericanArbitrationCommercialArbitrationRules,provided,thatintheeventtheindividualarbitratorsselectedbythePartiescannotagreetoaunanimousaward,thenthethirdarbitratorappointedbythetwoparty-selectedarbitratorsshallrendertheawardaloneafterconsiderationoftherespectiveParties’arbitrators.7.GeneralTermsandConditionsA.CompliancewithLaws;PropertyDamage.WhileontheProperty,LicenseewillcomplywithandwillcauseallRepresentativestocomplywithallapplicablelaws,regulations,rules,andpolicies.LicenseeanditsRepresentativeswillberesponsibleforanydamagedonetothePropertybyLicenseeoritsRepresentativesandwillpaythecostofrepairingandrestoringthePropertytoasgoodaconditionasexistedbeforeLicensee’soritsRepresentative’sentryontotheProperty.B.Default.InadditiontoanyotherrightofearlyterminationofthisAgreementinfavorofOwner,ifLicenseeviolatesordefaultson RESPECTTOATERMINATIONOFTHISAGREEMENT.ASAMATERIALINDUCEMENTFOROWNERTOENTERINTOTHISAGREEMENT,LICENSEEHASAGREEDTHATITHASNORECOURSEAGAINSTOWNERFORANYDECISIONMADEBYOWNERTOTAKEWHATEVERACTIONOWNERDEEMSNECESSARYANDAPPROPRIATEWITHRESPECTTOTHEPROPERTY,INCLUDINGKINGCOUNTY’SRIGHTTOTERMINATETHISAGREEMENTINITSSOLEANDABSOLUTEDISCRETIONASPROVIDEDFORINTHISSECTION7.B.LICENSEEHEREBYWAIVESTRIALBYJURY.LICENSEEUNDERSTANDSTHATOWNERWOULDNOTHAVEENTEREDINTOTHISAGREEMENTWITHOUTTHERIGHTOFUNILATERALTERMINATIONUNDERTHISSECTION7.BANDASSUCHINTHEEVENTTHATLICENSEEATTEMPTSTOCONTESTORCONTESTSOWNER’STERMINATIONOFTHISAGREEMENTEITHERINACOURTOFLAWORINANOTHERFORUM,THENTHISAGREEMENTSHALLAUTOMATICALLYTERMINATEWITHOUTANYFURTHERACTIONNECESSARYBYEITHERPARTY;ANDTHEFILINGOFANYSUCHCONTESTACTIONSHALLSERVEASLICENSEE‘SNOTICEOFIMMEDIATETERMINATION.C.AssuranceofPerformance.IntheeventofadefaultintheperformanceofanyobligationunderthisAgreementwhichremainsuncuredformorethanten(10)daysafterdemand,OwnermayrequestandLicenseeshallprovideadequateassuranceofthefutureperformanceofallobligationsunderthisAgreement.TheadequacyofanyassuranceshallbedeterminedaccordingtocommerciallyreasonablestandardsforlessorsofrealpropertyintheCountyofKing,StateofWashington.Adequateassuranceshallinclude,butnotbelimitedto,adepositinescrow,aguaranteebyathirdpartyacceptabletoOwner,asuretybond,oraletterofcreditfromareputablelenderintheSeattlemetropolitanarea.License&sfailuretoprovideadequateassurancewithinten(10)daysofOwner’srequestshallconstituteamaterialbreachandOwnermayinitsdiscretionterminatethisAgreement.D.Non-Waiver.ThePartiesherebyagreethatnowaiverofanyconditionorcovenantinthisAgreementoranybreachthereof,shallbetakentoconstitutewaiverofanysubsequentbreach.E.Attorney’sFeesandCosts.IfeitherPartybringsanactiontoenforcethetermsofthisAgreement,inanysuchactionthesubstantiallyprevailingpartyshallbeentitledtoanawardofitsreasonableattorneys’feesandreasonablecosts.Saidcostsandattorneys’feesshallinclude,withoutlimitation,costsandattorneys’feesincurredinanyappealorinanyproceedingsunderanypresentorfuturefederalbankruptcy,forfeitureorstatereceivershiporsimilarlaw.F.GoverningLaw.ThisAgreementisissuedunderandgovernedbythelawsoftheStateofWashington,whichshallbecontrollinginanydisputethatariseshereunder,withoutreferencetoitsconflictsoflawrulesorchoiceoflawprovisions.ActionspertainingtothisAgreementshallbebroughtinKingCountySuperiorCourt,KingCounty,Washington.Page6of10 G.Severability.AllprovisionsofthisAgreementareseverableandtheinvalidityorunenforceabilityofanyprovisionshallnotaffectorimpairthevalidityorenforceabilityoftheremainingprovisions.H.Amendment.ThisAgreementmaybeamendedormodifiedonlybywritteninstrument,executedbythePartiesheretoortheirsuccessorsorassigns.Headings.TheheadingsusedhereinareforconvenienceonlyandarenottobeusedininterpretingthisAgreement.J.EntireAgreement.ThisAgreementanditsexhibitorexhibitscontainstheentireagreementofthePartiesandsupersedesanypriorwrittenororalagreementswithrespecttothemattersdescribedherein.K.Counterparts.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedtheoriginal,butwhichtogethershallconstituteoneandthesameinstrument.L.Construction.ThePartiesherebyacknowledgeandagreethat:(i)EachPartyheretoisofequalbargainingstrength;(ii)EachPartyhasactivelyparticipatedinthedrafting,preparationandnegotiationofthisAgreement;(iii)EachPartyhasconsultedwithitslegalcounselandsuchotherprofessionaladvisorsassuchPartyhasdeemedappropriate,orhadtheopportunitytodosoinrelationtoanyandallmatterscontemplatedunderthisAgreement;(iv)EachPartyanditscounselandadvisorshavereviewedthisAgreement,or hadtheopportunitytodoso;(v)EachPartyhasagreedtoenterintothisAgreementfollowingsuchreviewandtherenderingofsuchadvice;and(vi)AnyruleofconstructiontotheeffectthatambiguitiesaretoberesolvedagainstthedraftingpartiesshallnotapplyintheinterpretationofthisAgreement,oranyportionhereof,oranyamendmentshereto.Page7of10 M.Survival.AnytermsandprovisionsofthisAgreementpertainingtorights,dutiesorobligationsextendingbeyondtheexpirationorterminationofthisAgreement,andallobligationsaccruedpriortotheendoftheTerm,shallsurvivethe endoftheTerm.N.PowersofKingCounty.NothingcontainedinthisAgreementshallbeconsideredorinterpretedtodiminishthegovernmentalor policepowersofOwner.0.Non-Waiver.ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbeconstruedas awaiverorlimitationofthatParty’srightsubsequentlytoenforceandcompelstrictcompliancewitheveryprovisionofthisAgreement.P.LegalRelations.Nothingcontainedhereinshallmake,orbedeemedtomake,LicenseeandOwnerapartnerofoneanotherandthisAgreementshallnotbeconstruedascreatingapartnershiporjointventure.ThisAgreementshallcreatenoright,duty,orcauseofactioninanypersonorentitynotapartytoit.Q.SingularandPlural.Whereverthecontextshallsorequire,thesingularshallincludethepluralandthepluralshallincludethesingular.R.EffectiveDate.ThisAgreementshallbeeffectiveandtheTermshallcommenceasofthedateexecutedbyOwner.CITYOFRENTONaWashingtonmunicipalcorporationMartinPastuchaPublicWorksAdministratorDATE:2OZ-iPage8of10
