HomeMy WebLinkAboutContractAGREEMENTFORCONSTRUCTIONENGINEERINGSUPPORTTHISAGREEMENT,datedforreference purposesonlyasJanuary20,2021,isbyandbetweentheCityof Renton(the“City”),aWashingtonmunicipalcorporation,andKPG,P.S.(“Consultant”),WashingtonCorporation.TheCityandtheConsultant arereferredtocollectivelyinthisAgreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreementiseffectiveasofthelastdatesignedbyboth parties.1.ScopeofWork:ConsultantagreestoprovideConstructionEngineeringSupportasspecifiedinExhibitA,whichisattachedandincorporatedhereinandmayhereinafterbereferredtoasthe“Work.”2.ChangesinScopeof Work:TheCity,withoutinvalidatingthisAgreement,mayorderchangestotheWorkconsistingofadditions,deletionsormodifications.AnysuchchangestotheWorkshallbeorderedbytheCityinwriting andtheCompensationshallbeequitablyadjustedconsistentwiththerates setforthinExhibitBorasotherwisemutuallyagreedbytheParties.3.TimeofPerformance:ConsultantshallcommenceperformanceoftheAgreementpursuanttotheschedule(s)setforthinExhibitC.AllWorkshall beperformedbynolaterthanFebruary28,2022.4.Compensation:A.Amount.TotalcompensationtoConsultantfor WorkprovidedpursuanttothisAgreementshallnot exceed $30,175.60,plusanyapplicablestateandlocalsalestaxes.CompensationshallbepaidbaseduponWorkactuallyperformedaccordingtotherate(s)oramountsspecifiedinExhibitB.TheConsultantagreesthatanyhourlyorflatratechargedbyitforitsWorkshallremainlockedatthenegotiatedrate(s) unlessotherwiseagreedtoinwritingor providedinExhibitB.Exceptasspecificallyprovidedherein,theConsultantshallbesolelyresponsibleforpaymentofanytaxesimposedasaresultoftheperformanceandpaymentofthisAgreement.B.MethodofPayment.OnamonthlyornolessthanquarterlybasisduringanyquarterinwhichWorkisperformed,theConsultantshallsubmitavoucherorinvoiceinaformspecifiedbytheCity,includingadescriptionofwhatWorkhasbeenperformed,thenameofthepersonnelperformingsuchWork,and any hourlylaborchargerateforsuchpersonnel.TheConsultantshall,alsosubmitafinalbilluponcompletionofallCAG-21-025 Work.Paymentshall bemadebytheCityforWorkperformedwithinthirty(30)calendardaysafterreceiptandapprovalbytheappropriateCityrepresentativeofthevoucherorinvoice.IftheConsultant’sperformancedoesnotmeettherequirementsofthisAgreement,theConsultantwillcorrectormodifyitsperformancetocomplywiththeAgreement.TheCitymaywithholdpaymentfor workthatdoesnotmeet therequirementsofthisAgreement.C.EffectofPayment.PaymentforanypartoftheWorkshallnotconstituteawaiverbytheCityofanyremediesitmayhaveagainsttheConsultantforfailureoftheConsultanttoperformtheWorkorforanybreachofthisAgreementbytheConsultant.D.Non-AppropriationofFunds.IfsufficientfundsarenotappropriatedorallocatedforpaymentunderthisAgreementforanyfuturefiscalperiod,theCityshallnotbeobligatedtomakepaymentsforWorkoramountsincurredaftertheendofthecurrentfiscalperiod,andthisAgreementwillterminateuponthecompletionofallremainingWorkforwhichfundsareallocated.NopenaltyorexpenseshallaccruetotheCityintheeventthisprovisionapplies.5.Termination:A.TheCityreservestherighttoterminatethisAgreementatanytime,withorwithoutcausebygivingten(10)calendardays’noticetotheConsultantinwriting.Intheeventofsuchterminationorsuspension,allfinishedorunfinisheddocuments,data, studies,worksheets,modelsandreports,orothermaterialpreparedbytheConsultantpursuanttothisAgreementshallbesubmittedtotheCity,ifanyarerequiredaspartoftheWork.B.IntheeventthisAgreementisterminatedbytheCity,theConsultantshallbeentitledtopaymentforallhoursworkedtotheeffectivedateoftermination,lessallpaymentspreviouslymade.IftheAgreementisterminatedbytheCityafterpartialperformanceof Workforwhichtheagreed compensationisafixedfee,theCityshallpaytheConsultantanequitableshareofthefixedfee.ThisprovisionshallnotpreventtheCityfrom seekinganylegalremediesitmayhavefortheviolationornonperformanceofanyoftheprovisionsofthisAgreementandsuchchargesduetotheCityshallbedeductedfromthefinalpaymentduetheConsultant,NopaymentshallbemadebytheCityforanyexpensesincurredorworkdonefollowingtheeffectivedateofterminationunlessauthorizedinadvanceinwritingbytheCity.6.WarrantiesAndRightToUseWorkProduct:ConsultantrepresentsandwarrantsthatConsultantwillperformallWorkidentifiedinthisAgreementinaprofessionalandworkmanlikemannerandinaccordancewithallreasonableandprofessionalstandardsandlaws.Compliancewithprofessionalstandardsincludes,asapplicable,performingthe0PAGE20F1O WorkincompliancewithapplicableCitystandardsorguidelines(e.g.designcriteriaandStandardPlansforRoad,BridgeandMunicipalConstruction).Professionalengineersshallcertifyengineeringplans,specifications,plats,andreports,asapplicable,pursuanttoRCW18.43.070.ConsultantfurtherrepresentsandwarrantsthatallfinalworkproductcreatedforanddeliveredtotheCitypursuanttothisAgreementshallbetheoriginalworkoftheConsultantandfreefromanyintellectualpropertyencumbrancewhichwouldrestricttheCityfromusingtheworkproduct.ConsultantgrantstotheCityanon-exclusive,perpetualrightandlicensetouse,reproduce,distribute,adapt,modify,anddisplayallfinalworkproductproducedpursuanttothisAgreement.TheCity’sorother’sadaptation,modificationoruseofthefinalworkproductsotherthanforthepurposesofthisAgreementshallbewithoutliabilitytotheConsultant.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.7.RecordMaintenance:TheConsultantshallmaintainaccountsandrecords,whichproperlyreflectalldirectandindirectcostsexpendedandWorkprovidedintheperformanceofthisAgreementandretainsuchrecordsforas long asmayberequiredbyapplicableWashingtonStaterecordsretentionlaws,butinanyeventnolessthansixyearsaftertheterminationofthisAgreement.TheConsultantagreestoprovideaccesstoandcopiesofanyrecordsrelatedtothisAgreementasrequiredbytheCitytoauditexpendituresandchargesand/ortocomplywiththeWashingtonStatePublicRecordsAct(Chapter42.56RCW).TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.8.PublicRecordsCompliance:TothefullextenttheCitydeterminesnecessarytocomplywiththeWashingtonStatePublicRecordsAct,ConsultantshallmakeaduediligentsearchofallrecordsinitspossessionorcontrolrelatingtothisAgreementandtheWork,including,but notlimitedto,e-mail,correspondence,notes,savedtelephonemessages,recordings,photos,ordrawingsandprovidethemtotheCityforproduction.IntheeventConsultantbelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,atConsultant’sownexpense,seekjudicialprotection.Consultantshallindemnify,defend,andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaimorlitigationrelatedtoaPublicRecordsActrequestforwhichConsultanthasresponsiverecordsandforwhichConsultanthaswithheldrecordsorinformationcontainedtherein,ornotprovidedthemtotheCityinatimelymanner.ConsultantshallproducefordistributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimelymanner,unlessthoserecordsareprotectedbycourtorder.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.9.IndependentContractorRelationship:A.TheConsultantisretainedbytheCityonlyforthepurposesandtotheextentsetforthinthisAgreement.ThenatureoftherelationshipbetweentheConsultantandtheCityduringtheperiodoftheWorkshallbethatofanindependentcontractor,not0PAGE3OF10 employee.TheConsultant,nottheCity,shallhavethepowertocontrolanddirectthedetails,mannerormeansofWork.Specifically,but notbymeansoflimitation,theConsultantshallhavenoobligationtoworkanyparticularhoursorparticularschedule,unlessotherwiseindicatedintheScopeofWork orwhereschedulingofattendanceorperformanceismutuallyarranged duetothenatureoftheWork.ConsultantshallretaintherighttodesignatethemeansofperformingtheWorkcoveredbythisagreement,andtheConsultantshallbeentitled toemployotherworkersatsuchcompensationandsuchotherconditionsasitmaydeem proper,provided,however,thatanycontractsomadebytheConsultantistobepaidbyitalone,andthatemployingsuchworkers,itisactingindividuallyandnotas anagentfortheCity.B.TheCityshallnotberesponsibleforwithholdingorotherwisedeductingfederalincometaxorSocialSecurityorcontributingtotheStateIndustrialInsuranceProgram,orotherwiseassumingthedutiesofanemployerwithrespecttoConsultantoranyemployeeoftheConsultant.C. IftheConsultantisasoleproprietorshiporifthisAgreementiswithanindividual,theConsultantagreestonotifytheCityandcompleteanyrequiredformiftheConsultantretiredunderaStateofWashingtonretirementsystemandagreestoindemnifyanylossestheCitymaysustainthroughtheConsultant’s failuretodoso.10.HoldHarmless:TheConsultantagreestorelease,indemnify,defend,andholdharmlesstheCity,electedofficials,employees,officers,representatives,andvolunteersfromanyandallclaims,demands,actions,suits,causesofaction,arbitrations,mediations,proceedings,judgments,awards,injuries,damages,liabilities,taxes,losses,fines,fees,penalties,expenses,attorney’sorattorneys’fees,costs,and/orlitigationexpensestoorbyanyandallpersonsorentities,arisingfrom,resulting from,orrelatedtothenegligentacts,errorsoromissionsoftheConsultantinitsperformanceofthisAgreementorabreachofthisAgreementbyConsultant,exceptforthatportionoftheclaimscausedbytheCity’ssolenegligence.ShouldacourtofcompetentjurisdictiondeterminethatthisagreementissubjecttoRCW4.24.115,(Validityofagreementtoindemnifyagainstliabilityfornegligencerelativetoconstruction,alteration,improvement,etc.,ofstructureorimprovementattachedtorealestate...)then,intheeventofliabilityfordamagesarisingoutof bodilyinjurytopersonsordamagestopropertycausedbyorresultingfromtheconcurrentnegligenceoftheConsultantandtheCity,itsofficers,officials,employeesandvolunteers,Consultant’sliabilityshallbeonlytotheextentofConsultant’s negligence.ItisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedinthisAgreementconstituteConsultant’s waiverofimmunityundertheIndustrial0PAGE4OF10 InsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.ThePartieshavemutuallynegotiatedandagreed tothiswaiver.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.11.GiftsandConflicts:TheCity’sCodeofEthicsandWashingtonStatelawprohibitCityemployeesfromsoliciting,accepting,orreceivinganygift,gratuityorfavor fromanyperson,firmorcorporationinvolvedinacontractortransaction.ToensurecompliancewiththeCity’sCodeofEthicsandstatelaw,theConsultantshallnotgiveagiftofanykindtoCityemployeesorofficials.ConsultantalsoconfirmsthatConsultant doesnothaveabusinessinterestoraclosefamilyrelationshipwithanyCityofficer oremployeewhowas,is,orwillbeinvolvedinselectingtheConsultant,negotiatingoradministering thisAgreement,orevaluatingtheConsultant’sperformanceoftheWork.12.CityofRentonBusinessLicense:TheConsultantshallobtainaCityofRentonBusinessLicensepriortoperforminganyWorkandmaintainthebusinesslicenseingoodstandingthroughout regardingStatebusinesslicensingrequirementscan befoundat:http://dor.wa.gov/doing-business/register-my-business13.Insurance:Consultantshallsecureandmaintain:A.Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000 foreachoccurrence/$2,000,000aggregatefortheTerm ofthisAgreement.B.IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyorindirectlyinvolveorrequireProfessionalServices,ProfessionalLiability,ErrorsandOmissionscoverageshallbeprovidedwithminimumlimitsof$1,000,000peroccurrence.“ProfessionalServices”,forthepurposeofthissection,shallmeananyWorkprovidedbyalicensedprofessionalorWorkthatrequiresaprofessionalstandardofcare.C.Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelaws oftheStateofWashington,shall alsobesecured.D.CommercialAutomobileLiabilityforowned,leased,hiredornon-owned,leased,hiredornon-owned,withminimumlimitsof$1,000,000peroccurrencecombinedsinglelimit,iftherewillbeanyuseofConsultant’svehiclesontheCity’sPremisesbyoronbehalfoftheCity,beyondnormalcommutes.0PAGE5OF1O E.ConsultantshallnametheCityasanAdditionalInsuredonitscommercialgeneralliabilitypolicy onanon-contributoryprimarybasis.TheCity’sinsurancepoliciesshallnotbeasourceforpaymentofanyConsultantliability,norshallthemaintenanceofanyinsurancerequiredbythisAgreementbeconstruedtolimittheliabilityofConsultanttothecoverageprovidedbysuchinsuranceorotherwiselimittheCity’srecourse toanyremedyavailable atlaworinequity.F.Subject totheCity’sreviewandacceptance,acertificateofinsuranceshowingtheproperendorsements,shallbedeliveredtotheCitybeforeperformingtheWork.G.ConsultantshallprovidetheCitywithwrittennoticeofanypolicycancellation,withintwo(2)businessdaysoftheirreceiptofsuchnotice.14.Delays:ConsultantisnotresponsiblefordelayscausedbyfactorsbeyondtheConsultant’sreasonablecontrol.WhensuchdelaysbeyondtheConsultant’sreasonablecontroloccur,theCityagreestheConsultantisnotresponsiblefordamages,norshalltheConsultantbedeemedtobeindefaultoftheAgreement.15.SuccessorsandAssigns:NeithertheCitynortheConsultantshallassign,transferorencumberanyrights,dutiesorinterestsaccruing fromthisAgreement withoutthewrittenconsentoftheother.16.Notices:AnynoticerequiredunderthisAgreementwillbeinwriting,addressedtotheappropriatepartyattheaddresswhichappearsbelow(asmodifiedinwriting fromtimetotimebysuchparty),andgivenpersonally,byregisteredorcertifiedmail,returnreceiptrequested,byfacsimileorbynationallyrecognizedovernight courierservice.Timeperiodfornoticesshallbedeemedtohavecommenceduponthedateofreceipt,EXCEPTfacsimiledeliverywillbedeemedtohavecommencedonthefirstbusinessdayfollowingtransmission.Emailandtelephonemaybeused maritalstatus.Suchactionshallinclude,but notbelimitedtothefollowingemployment,upgrading,demotionortransfer,recruitmentorrecruitmentadvertising,layoffortermination,ratesofpayorotherformsofcompensationandselectionfortraining.C.IftheConsultantfailstocomplywithanyofthisAgreement’snon-discriminationprovisions,theCityshallhavetheright, orinpart.D.TheConsultantisresponsibletobeawareofandincompliancewithallfederal,stateandlocallawsandregulationsthatmayaffectthesatisfactorycompletionoftheproject,whichincludesbutisnotlimitedtofairlaborlaws,worker’scompensation,andTitleVIoftheFederalCivilRightsActof1964,andwillcomplywithCityofRentonCouncilResolutionNumber4085.18.Miscellaneous:Thepartiesherebyacknowledge:A.TheCityisnotresponsibletotrainorprovidetrainingfor Consultant.B.Consultantwillnotbereimbursedforjobrelatedexpensesexcepttotheextentspecificallyagreedwithintheattachedexhibits.C.Consultantshallfurnishalltoolsand/ormaterialsnecessarytoperformtheWorkexcepttotheextentspecificallyagreedwithinthe attachedexhibits.D.Intheeventspecialtraining,licensing,orcertificationisrequiredforConsultanttoprovideWorkhe/shewillacquireormaintainsuchathis/herownexpenseand,ifConsultantemploys,sub-contracts,orotherwiseassignstheresponsibilitytoperformtheWork,saidemployee/sub-contractor/assigneewillacquireandormaintainsuchtraining,licensing,orcertification.0PAGE7OF10 ofWorkcalledforinthisAgreement.F.Consultantisresponsibleforhis/herowninsurance,including,butnotlimitedtohealthinsurance.G.Consultantisresponsibleforhis/herownWorker’sCompensationcoverageaswellasthatforanypersonsemployedbytheConsultant.19.OtherProvisions:A.ApprovalAuthority.EachindividualexecutingthisAgreementonbehalfoftheCityandConsultantrepresentsandwarrantsthatsuchindividualsaredulyauthorizedtoexecuteanddeliver thisAgreementonbehalfoftheCityorConsultant.B.GeneralAdministrationandManagement.TheCity’sprojectmanagerisJaredMcDonald,SurfaceWaterUtilityEngineer.InprovidingWork,ConsultantshallcoordinatewiththeCity’scontractmanagerorhis/herdesignee.C.AmendmentandModification.ThisAgreementmaybeamendedonlybyaninstrumentinwriting,dulyexecutedbybothParties.D.Conflicts.IntheeventofanyinconsistenciesbetweenConsultant proposalsandthisAgreement,thetermsofthisAgreementshallprevail.Anyexhibits/attachmentstothisAgreementareincorporatedbyreferenceonlytotheextentofthepurposeforwhichtheyarereferencedwithinthisAgreement.TotheextentaConsultantpreparedexhibitconflicts withthetermsinthebodyofthisAgreementorcontainstermsthatareextraneoustothepurposeforwhichitisreferenced,thetermsinthebodyofthisAgreementshallprevailandtheextraneous termsshallnotbeincorporatedherein.E.GoverningLaw.ThisAgreementshallbemadeinandshallbegovernedbyandinterpretedinaccordancewiththelaws oftheStateofWashingtonandtheCityofRenton.ConsultantandalloftheConsultant’semployeesshallperformtheWorkinaccordancewithallapplicablefederal,state,countyandcitylaws,codesandordinances.F.JointDraftingEffort.ThisAgreementshall beconsideredforallpurposesaspreparedbythejointeffortsofthePartiesandshallnotbeconstruedagainstone partyortheotherasaresultofthepreparation,substitution,submissionorothereventofnegotiation,draftingorexecution.0PAGE8OF1O G.JurisdictionandVenue.AnylawsuitorlegalactionbroughtbyanypartytoenforceorinterpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegionalJusticeCenterinKent,KingCounty,Washington,oritsreplacementorsuccessor.ConsultantherebyexpresslyconsentstothepersonalandexclusivejurisdictionandvenueofsuchcourtevenifConsultantisaforeigncorporationnotregisteredwiththeStateofWashington.H.Severability.Acourtofcompetentjurisdiction’sdeterminationthatanyprovisionorpartofthisAgreementisillegalorunenforceableshallnotcancel orinvalidatetheremainderofthisAgreement,whichshallremaininfullforceandeffect.SoleandEntireAgreement.ThisAgreementcontainstheentireagreementoftheParties andanyrepresentationsorunderstandings,whetheroralorwritten,notincorporatedareexcluded.J.TimeisoftheEssence.TimeisoftheessenceofthisAgreementandeachandallofitsprovisionsinwhichperformanceisafactor. AdherencetocompletiondatessetforthinthedescriptionoftheWorkisessentialtotheConsultant’sperformanceofthisAgreement.K.Third-PartyBeneficiaries. NothinginthisAgreementisintendedto,norshallbeconstruedtogiveanyrights orbenefitsintheAgreementtoanyoneotherthantheParties,andalldutiesandresponsibilitiesundertakenpursuanttothisAgreementwillbeforthesoleandexclusivebenefitofthePartiesandnooneelse.L.Binding Effect.ThePartieseachbindthemselves,theirpartners,successors,assigns,andlegalrepresentativestotheotherpartytothisAgreement,andtothe partners,successors,assigns,andlegalrepresentativesofsuchotherpartywithrespecttoallcovenantsoftheAgreement.M.Waivers.Allwaiversshallbeinwritingandsignedbythewaivingparty.Eitherparty’sfailureto enforceanyprovisionofthisAgreementshallnotbeawaiverandshallnotpreventeithertheCityorConsultantfromenforcingthatprovision oranyotherprovisionofthisAgreementinthefuture.WaiverofbreachofanyprovisionofthisAgreementshallnotbedeemedtobeawaiverofanypriororsubsequentbreachunlessitisexpresslywaivedinwriting.N.Counterparts.ThePartiesmayexecutethisAgreementinanynumberofcounterparts,eachofwhichshallconstituteanoriginal,andallofwhichwilltogetherconstitutethisoneAgreement.0PAGE90F1O •Estimateddurationforthisprojectisassumedtobe140WorkingDaysofconstructioncontract.•Projectmanagementfortheconstructionengineersupportphasewillhavea12-monthdurationTask2ConstructionEngineeringSupport(Limited)2.1TheConsultantshallprovideon-callsupport,whichmayinclude,attendingpreconstructionmeeting,reviewofsubmittals,supportforchangesindesign,changeorderandRFIsupport,interpretationofplansandspecifications,andotherservicesonanasrequestedbasis.Specifictasksareanticipatedtoinclude:•PreconstructionServices:Assistancewithutilitycoordination,coordinationwithCityfieldandadministrativestaff,attendanceatpreconstructionmeetingandothersupportasrequestedbytheCityinpreparationforconstruction.•Fieldand/orVideoconferenceConstructionMeetings:OnanasrequestedbasisbytheCity,attendconstructionmeetingsorotherprojectmeetingsattheconstructionsitetoreview,inconjunctionwiththeCity,theContractor’sprogressandconstructionscheduleand/orspecificdesignitem.Weeklyattendanceisnotanticipatedfortheprojectduration.Providefeedbackandfollowupasappropriate.•Submittals:ReviewandcommentontheContractor’ssubmittalsasrequested,includingshopdrawingsasrequested.•InterpretationofPlansandSpecifications:ProvidetechnicalassistancetoclarifyandinterpretthecontractdocumentsattherequestoftheCity.AssisttheCityinansweringContractorquestions.Respondtorequestsforinformation(RFIs),preparerequestsforquotation(RFQs),andprepareconstructionfielddirectives(CFD5)asrequested.•ChangeOrderAssistance:IntheeventthattheprovisionsoftheContractDocumentsneedtoberevised,preparethenecessaryrevisionstothedrawingsandspecifications.Task2Deliverables:•Documentationasrequestedinsupportofon-callconstructionengineeringsupportTask2Assumptions:aTheactualassistanceneededduringtheconstructionperiodisunknownatthistime,andthereforeaprovisionalbudgetallowanceofapproximately$25,484isincludedfortask2.Effortsbeyondthisamountwillbeconsideredextra(beyondscope)workandwillbeauthorizedseparatelybytheCityviaamendmentorothercontractasmaybeappropriate.•CoordinationandcommunicationwillcomefromtheCityofRentonProjectManagerCityofRentonNE16th—JeffersonAvenueNEStormwaterGreenConnectionsProjectConstructionEngineeringSupportKPGProjectNumber:201512December2020
