6013CITYOFRENTON,WASHINGTONORDINANCENO.6013ANORDINANCEOFTHECITYOFRENTON,WASHINGTON,GRANTINGEXTENETSYSTEMS,INC.,ADELAWARECORPORATIONAUTHORIZEDTODOBUSINESSWITHINTHESTATEOFWASHINGTON,ITSAFFILIATES,SUCCESSORSANDASSIGNS,THERIGHT,PRIVILEGE,ANDAUTHORITYTOINSTALLCOMMUNICATIONSFACILITIES,SPECIFICALLYFIBEROPTICCABLEANDRELATEDAPPURTENANCES,UNDER,ALONG,OVER,BELOW,THROUGHANDACROSSTHESTREETS,AVENUESANDALLEYSOFTHECITYOFRENTONWITHINTHEPUBLICRIGHT-OF-WAYOFRENTON.THECITYCOUNCILOFTHECITYOFRENTON,WASHINGTON,DOORDAINASFOLLOWS:SECTIONI.DefinitionsForthepurposesofthisFranchiseandAttachment1,whichisfullyincorporatedbyreference,thefollowingdefinedterms,phrases,wordsandtheirderivationsshallhavethemeaningprovidedbelow.Whennotinconsistentwiththecontextinwhichthewordisused,wordsusedinthepresenttenseincludethefuture,wordsinthepluralincludethesingular,wordsinlowercaseshallhavetheirdefinedmeaningevenifthewordsarenotcapitalized,andwordsinthesingularincludetheplural.Undefinedwordsshallbegiventheircommonandordinarymeaning.1.1Administrator:MeanstheAdministratorofRenton’sPublicWorksDepartmentordesignee,oranysuccessorofficeresponsibleformanagementofRenton’spublicproperties.1.2ConstructorConstruction:Meanstoconstruct,remove,replace,repair,and/orrestoreanyFacility,andmayinclude,butarenotlimitedto,diggingand/orexcavatingtoconstruct,remove,replace,repair,andrestorepipeline(s)and/orFacilities.1 ORDINANCENO.60131.3Cost:Meansanycosts,fees,orexpenses,includingbutnotlimitedtoattorneys’fees.1.4y:Meanscalendarday(s)unlessotherwisespecified.1.5FacilityorFacilities:Means,collectivelyorindividually,anyandalltelecommunicationtransmissionanddistributionsystems,includingbutnotlimitedto,poles,wires,lines,conduits,ducts,cables,braces,guys,anchorsandvaults,switches,fixtures,andcommunicationsystems;andanyandallotherequipment,appliances,attachments,appurtenancesandotheritemsnecessary,convenient,orinanywayappertainingtoanyandalloftheforegoing,whetherthesamebelocatedacross,above,along,below,in,over,through,orunderground.Facilitiesdonotincludeanynoise-creatingequipmentwithintherangeofhumanhearing.1.6Franchise:Meansthisordinanceandanyrelatedamendments,attachments,exhibits,orappendices.1.7FranchiseArea:MeansallpresentandfutureRentonRights-of-Wayforpublicroads,alleys,avenues,highways,streets,andthroughways(includingtheareaacross,above,along,below,in,over,through,orundersucharea),laidout,platted,dedicated,acquiredorimproved,and;allcity-ownedutilityeasementsdedicatedfortheplacementandlocationofvariousutilitiesprovidedsucheasementwouldpermitFranchiseetofullyexercisetheprivilegegrantedunderthisFranchisewithintheareacoveredbytheeasement,withoutinterferingwithanygovernmentalfunctionsorotherfranchisesoreasements.2 ORDINANCENO.60131.8Franchisee:MeansExteNetSystems,Inc.,aDelawarecorporationauthorizedtodobusinesswithintheStateofWashington,anditsrespectivesuccessorsandassigns,andwhenappropriate,agents,contractors(ofanytier),employees,officersandrepresentatives.1.9HazardousSubstance:Meansanyandallhazardous,toxic,ordangeroussubstance,material,waste,pollutant,orcontaminant,includingallsubstancesdesignatedundertheResourceConservationandRecoveryAct,42U.S.C.§6901etseq.;theComprehensiveEnvironmentalResponse,CompensationandLiabilityAct,42U.S.C.§9601etseq.;theHazardousMaterialsTransportationAct,49U.S.C.§5101etseq.;theCleanWaterAct,33U.S.C.§1251etseq.;theCleanAirAct,42U.S.C.§7401etseq.;theToxicSubstancesControlAct,15U.S.C.§2601etseq.;theFederalInsecticide,Fungicide,RodenticideAct,7U.S.C.§136etseq.;theWashingtonHazardousWasteManagementAct,RCWChapter70A.300,andtheWashingtonHazardousWasteCleanup-ModelToxicsControlAct,RCWChapter70A.305,astheyexistormaybeamended;oranyotherLaws.Theterm“HazardousSubstance”shallalsobeinterpretedtoincludeanysubstancewhich,afterreleaseintotheenvironment,willormayreasonablybeanticipatedtocausedeath,disease,injury,illness,abnormalities,behavioralabnormalities,stuntedorabnormalgrowthordevelopment,orgeneticabnormalities.1.10Laws:Meansanyfederal,state,ormunicipalcode,statute,ordinance,decree,executiveorder,governmentalapproval,permit,regulation,regulatoryprogram,order,rule,publishedspecification,publicstandard,EnvironmentalLaw,orgovernmentalauthority,thatrelatetotelecommunicationsservices,includingbutnotlimitedto47U.S.C.§101,et.seq.(TelecommunicationsActof1996),RCW19.122(UndergroundUtilities),WAC480-80(UtilitiesGeneral—TariffsandContracts),RCW35.99(Telecommunications,CableTelevisionService—Use3 ORDINANCENO.6013ofRight-ofWay),WACChapter296-32(SafetyStandardsforTelecommunications),RCWChapter80.36(Telecommunications),WACChapter480-120,et.seq.,(TelephoneCompanies),RCWChapter35.96(ElectricandCommunicationFacilities—ConversiontoUnderground),andanyrelatedLaws.AllreferencestoLawsshallmeanastheyexist,maybeamendedorcreated.1.11Parties:MeanstheCityofRentonandExteNetSystems,Inc.1.12PublicProperties:Meanspresentand/orfuturepropertyownedorleasedbyRentonwithinRenton’spresentand/orfuturecontroland/orjurisdictionalboundaries.1.13PublicWays:Meansanyhighway,street,alley,sidewalk,utilityeasement(unlesstheiruseisotherwiserestrictedforotherusers),orotherpublicRights-of-WayformotorvehiclesoranyotherusesunderRenton’scontroland/orinitsjurisdictionalboundaries,consistentwithRCW47.24.020(Jurisdiction,control-Exception)and47.52.090(Cooperativeagreements—Urbanpublictransportationsystems—Titletohighway—Trafficregulations—Undergroundutilitiesandovercrossings—Passengertransportation—Stormsewers—Citystreetcrossings).1.14Rights-of-Way:Meansthesurfaceandspaceacross,above,along,below,in,over,throughorunderanystreet,alley,avenue,highway,lane,roadway,sidewalk,thoroughfare,court,easementandsimilarPublicProperty,PublicWays,andareawithintheFranchiseArea.1.15Tariff:HasthemeaningprovidedinWAC480-80-030(Definitions),orsuchsimilardefinitiondescribingrateschedules,rulesandregulationsrelatingtochargesandserviceasmaybeadoptedbytheregulatoryauthoritywithjurisdiction,underthelawsoftheStateofWashington,overpublicservicecompaniesand/orcompetitivetelecommunicationservicecompanies,andsuchcompetitivecompaniesmustfiletariffsinaccordancewithWACChapter480-80.(WAC480-120-026(Tariffs)).4 ORDINANCENO.60131.16WUTC:MeanstheWashingtonUtilitiesandTransportationCommissionorsuchsuccessorregulatoryagencyhavingjurisdictionoverpublicserviceand/ortelecommunicationservicecompanies.1.17Work:Meanstoconstruct,excavate,install,maintain,removeand/orrepairby,for,oratFranchisee’srequest.SECTIONII.Purpose2.1Authority:UnderRCW35A.47.040,Renton’sCityCouncilmaygrantornotgrantafranchise.2.2Conditions:ThepurposeofthisFranchiseistodelineatetheconditionsrelatingtoFranchisee’suseoftheFranchiseAreaandtocreateafoundationforthePartiestoworkcooperativelyinthepublic’sbestinterestsafterthisordinancebecomeseffective.ThisFranchiseisgrantedsubjecttoRenton’slanduseauthority,publichighwayauthority,policepowers,franchiseauthority,andanyothercaselaw,statutoryorinherentauthority,andisconditioneduponthetermsandconditionsprovidedinthisFranchise,andFranchisee’scompliancewithallLaws.2.3RiskandLiability:ByacceptingthisFranchise,FranchiseeassumesallrisksorliabilitiesrelatedtotheFranchise,withnoriskorliabilityconferreduponRenton.ThisFranchiseisgrantedupontheexpressconditionthatRentonretainstheabsoluteauthoritytograntotherorfurtherfranchisesinanyRights-of-WayandanyFranchiseArea.Thisandotherfranchisesshall,innoway,preventorprohibitRentonfromusinganyofitsFranchiseArea,oraffectitsjurisdictionoverthemoranypartofthem,andRentonretainsabsoluteauthoritytomakeallchanges,relocations,repairs,maintenance,establishments,improvements,dedicationsor5 ORDINANCENO.6013vacationsofsameasRentonmayseefit,includingthededication,establishment,maintenanceandimprovementofallneworexistingRights-of-Way,PublicPropertyorPublicWays.SECTIONIII.PrivilegesConveyed3.1FranchiseGranted:PursuanttotheTelecommunicationActof1996§253(c),RMCChapter5-19andthelawsoftheStateofWashingtonincluding,butnotlimitedto,RCW47.24.020(Jurisdiction,control-Exception),RCW47.52.090(Cooperativeagreements—Urbanpublictransportationsystems—Titletohighway—Trafficregulations—Undergroundutilitiesandovercrossings—Passengertransportation—Stormsewers—Citystreetcrossings),RCW35A.47.040(Franchisesandpermits—Streetsandpublicways),RCW35.22.280(Specificpowersenumerated),RCW35.99.020(Permitsforuseofright-ofway),andRCW80.36.040(Useofroad,street,andrailroadright-ofway—Whenconsentofcitynecessary),andanyrelatedlaws,RentongrantstoFranchisee,anditssuccessorsandassigns(subjecttoandasprovidedforinSectionVI,AssignmentandTransferofFranchise),underthisFranchise’stermsandconditions,theprivilegetoinstall,construct,operate,maintainandimproveitsFacilities,togetherwithallnecessaryequipmentandappurtenances,fortheprovisionoftelecommunications,telecommunicationsdistributionservices,privateline,andinternetaccessservices,withintheexistingFranchiseArea,suchlandsbeingmoteparticularlydescribedinAttachment1whichisattachedandfullyincorporatedbyreferenceintotheFranchise.Withoutaseparatefranchiseagreement,FranchiseeshallnothavetheprivilegetoprovidecableservicesintheCityofRenton.3.2LimitedFranchise:ThisFranchiseconveysalimitedprivilegeastotheFranchiseAreainwhichRentonhasanactualinterest.ItisnotawarrantyoftitleorinterestintheFranchiseArea.ThisprivilegeshallnotlimitRenton’spolicepowers,anystatutoryorinherentauthority,6 ORDINANCENO.6013jurisdictionoveritsproperty,FranchiseArea,Rights-of-Way,oritszoningorlanduseauthority.ThetermsandconditionsofthisFranchiseshallnotbeconstruedtoapplytoFacilitieslocatedoutsideoftheFranchiseArea.ThisFranchisedoesnotconferuponFranchiseeanyprivilegetoinstalloruseanyFacilitiesoutsidetheFranchiseArea,includingCity-ownedorleasedpropertiesoreasements.3.3PrincipalUseLimitation:ThisFranchiseshallnotauthorizeaprincipaluseoftheFranchiseAreaforpurposesotherthanfortelecommunications,telecommunicationsdistributionservices,privateline,andinternetaccessservices.TheFranchiseemayuseitsFacilities’excesscapacity,however,Franchiseemaynotuse,convey,leaseorshareexcessspacewithintheFranchiseArea.3.4FranchiseisNon-Exclusive:AsdetailedinSectionVIII,below,Rentongrantsthisnon-exclusiveFranchisetoFranchiseetooperate,maintainandimproveitsexistingFacilitiesasatelephonebusinessand/orserviceprovider(asthosetermsareusedinRCW35.21.860).3.5Acknowledgement:Franchiseeacknowledgesandwarrantsbyitsacceptanceofthegrantedprivileges,thatithascarefullyreadandfullycomprehendsthetermsandconditionsofthisFranchise.Franchiseeacceptsallreasonablerisksofthemeaningoftheprovisions,termsandconditionsoftheFranchise.FranchiseefurtheracknowledgesandstatesthatithasfullystudiedandconsideredtherequirementsandprovisionsofthisFranchise,andbelievesthatthesameareconsistentwithallLaws.IfinthefutureFranchiseebecomesawarethataprovisionofthisFranchisemaybeunlawfulorinvalid,itwillnotusesuchpotentialinvaliditytounilaterallyignoreoravoidsuchprovision.Instead,FranchiseewillpromptlyadviseRentonofthepotential7 ORDINANCENO.6013invalidityorillegality,andthePartieswillmeetwithinthirty(30)daysandendeavorjointlytoamendthisFranchisetocuretheinvalidityorillegality.3.6EnforceableContract:FranchiseespecificallyagreestocomplywiththeprovisionsofanyapplicableLaws,astheyexistormaybeamended.TheexpresstermsandconditionsoftheFranchiseconstituteavalidandenforceablecontractbetweentheParties,subjecttoanyLaws.3.7ExistingFacilitiesOutsideFranchiseArea:ExistingFacilitiesinstalledormaintainedbyFranchiseeinaccordancewithpriorfranchiseagreementsonpublicgroundsandplaceswithinRenton(butwhicharenotapartoftheFranchiseAreaasdefinedbythisFranchise)maybemaintained,repairedandoperatedbyFranchiseeatthelocationwheresuchFacilitiesexistasoftheeffectivedateofthisFranchiseforthetermofthisFranchise;provided,however,thatnosuchFacilitiesmaybeenlarged,improvedorexpandedwithoutRenton’spriorreview,writtenconsent,andapprovalpursuanttotheprovisionsofanyapplicableLaws.SECTIONIV.Term4.1LengthofTerm:EachoftheprovisionsofthisFranchiseshallbecomeeffectiveuponFranchisee’sacceptanceofthetermsandconditionsofthisFranchiseandtheCityCouncil’spassageofthisordinance,andshallremainineffectforten(10)years,unlessitisterminatedpursuanttoSectionXVII,Termination,Violations,andRemedies.Atanytimenotmorethantwo(2)yearsnorlessthanonehundredandeighty(180)daysbeforetheexpirationoftheFranchiseTerm,FranchiseemaymakeawrittenrequestandRentonmayconsider,atitssolediscretion,renewingthisFranchiseforanadditionalfive(5)yearrenewalperiod,unlesseitherparty8 ORDINANCENO.6013expressesitsintentioninwritingtoterminatethisFranchiseattheconclusionoftheten(10)yearterm.4.2ExtensionuponExpiration:IfthePartiesfailtoformallyreneworterminatetheFranchisepriortotheexpirationofitstermoranyextension,theFranchiseshallbeextendedonayear-to-yearbasisuntiltheFranchiseisrenewed,terminatedorextended.SECTIONV.RecoveryofCosts5.1AdministrativeFee:PursuanttoRCW35.21.860(1)(b),RentonmaychargeFranchiseeanadministrativefeetorecoverallactualadministrativeexpensesincurredbyRentonthataredirectlyrelatedtoreceivingandapprovingapermit,licenseandthisFranchise,toinspectplansandconstruction,orforthepreparationofadetailedstatementpursuanttoSEPA(RCWChapter43.21C).WhereRentonincursactualadministrativeexpenses,includingbutnotlimitedtofees,expenses,and!orcostsforattorneys,consultants,staffandtheCityAttorneyDepartment,forrevieworinspectionofactivitiesundertakenthroughtheauthoritygrantedinthisfranchise,FranchiseeshallpaysuchexpensesdirectlytoRenton.RentonshallprovideFranchiseewithanitemizedinvoiceidentifyingtheadministrativeexpensesincurred.Rentonemployeetimeshallbecalculatedbasedontheirrateofsalary,includingapplicableovertime,benefitsandreasonableoverhead,andallothercostswillbebilledbasedonanactualcostbasis.5.2UtilityTax:PursuanttoRCW35.21.870(Electricity,telephone,naturalgas,orsteamenergybusiness—Taxlimitedtosixpercent—Exception)andRCW35.21.860(1)(a),RentonmayimposeautilitytaxonFranchiseeconsistentwiththeutilitytaximposedonothersimilarlysituatedtelephonebusinessesorserviceproviders.9 ORDINANCENO.60135.3FranchiseFee:PursuanttoRCW35.21.860(Electricity,telephone,ornaturalgasbusiness,serviceprovider—Franchisefeesprohibited—Exceptions),RentonmayonlyimposeafranchisefeeoranyotherCostofwhatevernatureordescriptionuponFranchiseeasisconsistentwithfederallaw.5.4CostofPublication:FranchiseeshallbeartheentireCostofpublicationofthisordinance.5.5PermitFee:FranchiseeshallbesubjecttoallpermitfeesassociatedwithactivitiesundertakenthroughtheauthoritygrantedinthisFranchiseorunderLaws.5.6EmergencyFee:FranchiseeshallpromptlyreimburseRentonforanyandallCostsincurredbyRentonwhilerespondingtoanyemergencyinvolvingpublicsafety.5.7Reimbursementperiod:FranchiseeshallreimburseRentonwithinforty-five(45)daysofRenton’ssubmittalofanitemizedbillingforreasonablyincurredCosts,itemizedbyproject,forFranchisee’sproportionateshareofallactual,identifiedexpensesincurredbyRentoninplanning,constructing,installing,repairing,altering,ormaintaininganyCityfacilityduetothepresenceinthePublicWayofFranchisee’sFacilities.SECTIONVI.AssignmentandTransferofFranchise6.1Assignment:Franchiseemaynotassign,disposeof,lease,sell,transfer,orpermittobeforfeitedthisFranchise,eitherinwholeorinpart,withoutthewrittenconsentoftheCityCouncilofRentonbypassageofanordinanceorresolution.SuchconsentshallnotbedeemedtowaiveanyofRenton’srightstosubsequentlyenforceFranchiserelatednon-complianceissuesthatexistedatorbeforeRenton’sconsent.Anytelecommunicationsassigneeortransfereeshall,atleastthirty(30)dayspriortothedateofanyassignmentortransfer,filewrittennoticeofthe10 ORDINANCENO.6013assignmentortransferwithRenton,togetherwithitswrittenacceptanceofalloftheFranchisetermsandconditions.TheFranchisetermsandconditionsshallbebindingupontheParties’respectiveassignsandsuccessors.Notwithstandingtheforegoing,FranchiseemaypledgetheFranchiseforsecuritypurposesonlywiththeCityCouncil’sconsent,andconsentshallberequiredforFranchiseetotransfertheFranchiseorFacilitiestoacreditor.TherightsofanytransfereearesubjectatalltimestothetermsandconditionsofthisFranchise,andnotransfereewillhaveanygreaterrightsunderthisFranchisethantherightsofFranchisee.6.2Acceptance:IfRentonconsents,withinthirty(30)daysofthatconsent,FranchiseeshallfilewithRentonawritteninstrumentevidencingsuchsale,assignmentortransferofownership,withtheassignee(s)ortransferee(s)acceptanceoftheFranchiseandallofitstermsandconditions.SECTIONVII.CompliancewithLaws-ReservationofPowersandAuthority7.1Compliance:IneveryaspectrelatedtothisFranchise,includingbutnotlimitedtoallWork,FranchiseeshallcomplywithallapplicableLaws,whetherspecificallymentionedinthisFranchiseornot.7.2IncorporationofRMC5-19,TelecommunicationsLicensesandFranchises:Theconditions,provisions,requirementsandtermsandofRMCChapter5-19arefullyincorporatedbyreferenceintothisFranchise,unlessthisFranchiserequiressomethingdifferent.7.3LegitimateMunicipalInterest:AstomatterssubjecttothetermsandconditionsofthisFranchise,ifRentondeterminesduringtheFranchisetermthattheassertionofalegitimatemunicipalinterestisprohibitedbyapplicationoffederalorstatelaw,thenastosuchmatterandsuchmunicipalinterestandconsistentwithitslegalobligations,Franchiseeshall11 ORDINANCENO.6013cooperatewithRentoninagoodfaithefforttoaddresssuchmunicipalinterest.Inthiscontext,neitherPartyshallinvokethisFranchiseasabasistoassertthatitsconsiderationofagivenissueisexcusedbyoperationofthedoctrinesofestoppelorwaiver.7.4ReferencetoSpecificLaworOrder:UponareasonablyjustifiedwritteninquirybyRenton,Franchiseeshallprovideaspecificreferencetothefederal,state,orlocallawortheWUTCorderoractionestablishingabasisforFranchisee’sactionsrelatedtoaspecificFranchiseissue.SECTIONVIII.Non-exclusiveFranchise8.1Non-exclusive:Asprovidedinsubsection3.4,thisFranchiseisnon-exclusive,andasaresult,RentonexpresslyreservestherighttograntotherorfurtherfranchisesortousetheFranchiseAreaitself;providedthatsuchusesdonotunreasonablyinterferewithFranchisee’suseandplacementofitsFacilitiesinanyRights-of-Wayand/oranyFranchiseArea.8.2Renton’sUseofFranchiseArea:ThisFranchiseshallnotprevent,prohibit,limitoraffectRenton’suseoftheFranchiseArea,consistentwiththisFranchise;orRenton’sjurisdictionovertheFranchiseArea.ThePartiesagreethatRentonreservesandretainsallofitsstatutory,inherentandotherpowersandfranchiseauthority,astheyexistorshallexist.SECTIONIX.Permits,ConstructionandRestoration9.1FreePassageofTraffic:FranchiseeshallatalltimesmaintainitsFacilitieswithintheFranchiseAreasoasnottounreasonablyinterferewiththefreepassageoftraffic,pedestriansortheuseandenjoymentofadjoiningproperty.FranchiseeshallatalltimespostandmaintainproperbarricadesandcomplywithallapplicableLaws,safetyregulationsandstandardsduringsuchperiodofconstruction.12 ORDINANCENO.60139.2PermitApplicationRequired:Exceptintheeventofanemergency,Franchiseeshallfirstobtainallrequireddocumentationandapprovals,includingpermitsfromRentontoperformWorkonFranchisee’sFacilitieswithintheFranchiseArea.Thepermitapplicationshallcontaindetailedplans,mapsandspecificationsshowingtheposition,depthandlocationofallsuchFacilitiesinrelationtoexistingFranchiseArea,collectivelyreferredtoasthe“Plans.”ThePlansshallspecifytheclassandtypeofmaterialandequipmenttobeused,mannerofexcavation,construction,installation,backfill,erectionoftemporarystructuresandfacilities,erectionofpermanentstructuresandfacilities,trafficcontrol,trafficturnoutsandroadobstructions,andallothernecessaryinformation.FranchiseeshallsubmittoRentonas-builtplansand,whenavailable,digitalfacilitylocationdatainaformatcompatiblewithRenton’sgeographicinformationsystem.SuchWorkshallonlycommenceupontheissuanceofrequitedpermits,andpaymentoftheassociatedfees,whichpermitsshallnotbeunreasonablywithheldordelayedaftersubmissionofacompleteapplication.FranchiseeshallfurtherinformRentonofanytimeordatethatFranchiseeisperformingWorkwithintheFranchiseAreatoallowRentontoinspectsuchwork.9.3BoringRequired:WorkinvolvingundergroundingofFranchisee’sfacilitieswithinCitystreetsshallbeaccomplishedthroughboringratherthanopentrenchingwheneverreasonablyfeasible.FranchiseewillCCTVallRentonownedsewerandstormdrainlinesontheboringroutefollowingcompletionoftheboringworkandpriortoactivatingthefacilitybeingconstructedtoverifythattheseRentonownedlineswerenotdamagedbytheboringwork.UponrequestfromFranchisee,RentonmayallowforothermethodstomeettherequirementasmaybeapprovedbyRentonaspartofpermitting.13 ORDINANCENO.60139.4FacilityPlacement:ThePartiesintendthatthespecificlocationofFacilitieswithintheFranchiseArea(andsimilarfacility-relatedmattersofaspecificnaturerequiringdetailedcase-by-caseanalysis)istobedeterminedinaccordancewithapplicableLaws(including,withoutlimitation,rightsofappeal).9.5LateralSupport:WheneverWorkonFacilitieshavecausedorcontributestoaconditionthatintheCityofRenton’ssoledeterminationwouldsubstantiallyimpairorsubstantiallyimpairsthelateralsupportoftheFranchiseArea,RentonmaydirectFranchisee,atFranchisee’ssoleexpense,totakesuchactionsasarereasonablynecessarywithintheFranchiseAreatorepairand/ornotimpairthelateralsupport.IfFranchiseefailsorrefusestotakepromptaction,orifanemergencysituationrequiresimmediateaction,RentonmayentertheFranchiseAreaandtakeanyactionnecessarytoprotectthepublic,anyPublicWay,PublicProperty,andRights-of-Way,andFranchiseeshallbeliabletoRentonforallcosts,fees,andexpensesresultingfromthatnecessaryaction.Thisprovisionshallsurvivetheexpiration,revocationorterminationofthisFranchiseforaperiodoffive(5)years.9.6LimitsonConstruction:Nopark,publicsquare,golfcourse,streetRights-of-Wayorpublicplaceoflikenatureshallbebored,trenched,excavatedordamagedbyFranchiseeifthereisasubstantiallyequivalentalternative.ThedeterminationoftherebeingasubstantiallyequivalentalternativeshallbeatthesoledeterminationofRenton.9.7BondRequirement:BeforeundertakinganyoftheWorkauthorizedbythisFranchise,asaconditionprecedenttotheRenton’sissuanceofanypermits,Franchiseeshall,upontheRenton’srequest,furnishabondexecutedbyFranchiseeandacorporatesuretyauthorizedtooperateasuretybusinessintheStateofWashington,insuchsumasmaybeset14 ORDINANCENO.6013andapprovedbyRentonassufficienttoensureperformanceofFranchisee’sobligationsunderthisFranchise.Franchiseeshallpostaperformancebondintheamountoftwenty-fivethousanddollars($25,000)thatshallremainineffectforthetermofthisFranchise.ThebondshallbeconditionedsothatFranchiseeshallobserveallthecovenants,terms,andconditionsandshallfaithfullyperformalloftheobligationsofthisFranchise,andtorepairorreplaceanydefectiveWorkormaterialsdiscoveredintheFranchiseArea.ThebondshallensurethefaithfulperformanceofFranchisee’sobligationsundertheFranchise,including,butnotlimitedto,Franchisee’spaymentofanypenalties,claims,liens,orfeesdueRentonthatarisebyreasonoftheoperation,construction,ormaintenanceoftheFacilitieswithintheFranchiseArea.Franchiseeshallpayallpremiumsorothercostsassociatedwithmaintainingthebond.Additionally,ifRentondeterminesthattheperformancebondisinadequatetoensureFranchisee’sperformanceofaproject,FranchiseeshallpostanyadditionalbondsrequiredtoguaranteeperformancebyFranchiseeinaccordancewiththeconditionsofanypermitsand/ortherequirementsofthisFranchise.InlieuofaseparatebondforroutineindividualprojectsinvolvingworkintheFranchiseArea,FranchiseemaysatisfyRenton’sbondrequirementsbypostingasingleon-goingperformancebondinanamountapprovedbyRenton.9.8Workmanship:AllWorkdonebyFranchiseeoratFranchisee’sdirectionoronitsbehalf,includingallWorkperformedbycontractorsorsubcontractors,shallbeconsideredFranchisee’sWorkandshallbeundertakenandcompletedinaworkmanlikemannerandinaccordancewiththedescriptions,plansandspecificationsFranchiseeprovidedtoRenton,andbewarrantedforatleasttwo(2)years.Franchisee’sactivities(includingworkdoneatFranchisee’sdirectionoronitsbehalf)shallnotdamageorinterferencewithotherfranchises,15 ORDINANCENO.6013licenses,utilities,drainsorotherstructures,ortheFranchiseArea,andshallnotunreasonablyinterferewithpublictravel,parkuses,othermunicipaluses,adjoiningproperty,andshallnotendangerthesafetyoforinjurepersonsandproperty.Franchisee’sWorkshallcomplywithallapplicableLaws.9.9MaterialandInstallationMethods:AsaconditionofreceivingtheprivilegetoWorkwithintheFranchiseArea,FranchiseeshallassumefullresponsibilityforusingmaterialsandinstallationmethodsthatareinfullcompliancewithCitystandardsandshallverifythisbythesubmittalofdocumentationofmaterialsandtestingreportswhenrequestedbyRenton.Allcostsforperformingon-sitetesting,suchascompactiontests,shallbebornebyFranchisee.9.10DamageDuringWork:IncaseofanydamagecausedbyFranchisee,orbyFranchisee’sFacilitiestoFranchiseArea,FranchiseeagreestorepairthedamagetoconditionsthatmeetorexceedrequirementsestablishedbytheDepartmentofTransportation,atitsowncostandexpense.Franchiseeshall,upondiscoveryofanysuchdamage,immediatelynotifyRenton.Rentonwillinspectthedamage,andsetatimelimitforcompletionoftherepair.IfRentondiscoversdamagecausedbyFranchiseetotheFranchiseArea,RentonwillgiveFranchiseenoticeofthedamageandsetareasonabletimelimitinwhichFranchiseemustrepairthedamage.IntheeventFranchiseedoesnotmaketherepairasrequiredinthissection,Rentonmayrepairthedamage,toitssatisfaction,atFranchisee’ssoleexpense.9.11MemberofLocatorService:FranchiseeshallcontinuouslybeamemberoftheStateofWashingtononenumberlocatorserviceunderRCW19.122(UndergroundUtilities)oranapprovedequivalent,andshallcomplywithallapplicableLaws.16 ORDINANCENO.60139.12RestorationRequirements:FranchiseeshallafterWorkonanyofFranchisee’sFacilitieswithintheFranchiseArea,restorethesurfaceoftheFranchiseAreaandanyotherpropertywithintheFranchiseAreawhichmayhavebeendisturbedordamagedbysuchWork.AllrestorationofRights-of-Way,sidewalksandotherimprovementsoramenitiesshallconformtoRMC9-7(Road,BridgeAndMunicipalConstructionStandards),RMC9-10-11(TrenchRestorationAndStreetOverlayRequirements)andCityofRentonStandardDetailsineffectatthattime,andmustbewarrantedforatleasttwo(2)years.Restorationshallincludealllandscaping,irrigationsystemsandtrees.RentonshallhavefinalapprovaloftheconditionoftheFranchiseAreaafterrestorationpursuanttoapplicableLaws,astheyexistormaybeamendedorsuperseded,providedthatsuchprovisionsarenotinconflictorinconsistentwiththeexpresstermsandconditionsofthisFranchise.9.13SurveyMonuments:AllsurveymonumentswhicharedisturbedordisplacedbyFranchiseeinitsperformanceofanyworkunderthisFranchiseshallbereferencedandrestoredbyFranchisee,inaccordancewithWAC332-120(SurveyMonuments—RemovalorDestruction),andotherapplicableLaws.9.14FailuretoRestore:IfitisdeterminedthatFranchiseehasfailedtorestoretheFranchiseAreainaccordwiththissection,RentonshallprovideFranchiseewithwrittennoticeincludingadescriptionofactionsRentonbelievesnecessarytorestoretheFranchiseArea.IfFranchiseefailstorestoretheFranchiseAreainaccordwithRenton’snoticewithinthirty(30)daysofthatnotice,Renton,oritsauthorizedagent,mayrestoretheFranchiseAreaatFranchisee’ssoleandcompleteexpense.TheprivilegegrantedunderthissectionshallbeinadditiontoothersprovidedbythisFranchise.17 ORDINANCENO.60139.15SeparatePermitApprovalNeededForNewTelecommunicationsLines:ThelimitedprivilegesgrantedunderthisFranchiseshallnotconveyanyprivilegetoFranchiseetoinstallanynewtelecommunicationslinesorFacilitieswithoutRenton’sexpresspriorwrittenconsent,includingforexample,permitsasprovidedforinthisSectionIX.SECTIONX.CoordinationandSharedExcavations10.1Coordination:ThePartiesshallmakereasonableeffortstocoordinateanyWorkthateitherPartymayundertakewithintheFranchiseAreatopromotetheorderlyandexpeditiousperformanceandcompletionofsuchWork,andtominimizeanydelayorhindrancetoanyconstructionworkundertakenbythemselvesorutilitieswithintheFranchiseArea.Ataminimum,sucheffortsshallincludereasonableanddiligenteffortstokeeptheotherPartyandotherutilitieswithintheFranchiseAreasinformedofitsintenttoundertakeWork.FranchiseeandRentonshallfurthereachexerciseitsbesteffortstominimizeanydelayorhindrancetoanyconstructionworkeithermayundertakewithintheFranchiseArea.AnyassociatedcostscausedbyanyconstructiondelaystoRentonortoanycontractorworkingforRentonduetoFranchisee’sfailuretosubmitandadheretoFranchisee’splansandscheduleinrelocatingorinstallingFranchiseefacilitiesshallbethesoleresponsibilityofFranchisee.Franchiseeshall,atRenton’srequest,alsoattendconstructionmeetingspertainingtoperformanceofWorkwithintheFranchiseAreaandshalldesignateacontactpersontoattendsuchmeetings.10.2JointUseTrenches:IfFranchiseeorRentonshallcauseexcavationstobemadewithintheFranchiseArea,thePartycausingsuchexcavationtobemadeshallaffordtheother,uponreceiptofawrittenrequesttodoso,anopportunitytousesuchexcavation,providedthat:(a)suchjointuseshallnotunreasonablydelaytheworkofthePartycausingtheexcavationtobe18 ORDINANCENO.6013made;and(b)suchjointuseshallbearrangedandaccomplishedontermsandconditionssatisfactorytobothParties.10.3JointUsePolicies:ConcerningtheFranchiseArea,duringtheFranchiseTerm,RentonmayadoptpolicieswhichencouragejointuseofutilityfacilitieswithintheFranchiseArea.FranchiseeshallcooperatewithRentonandexploreopportunitiesforjointuseoftheFranchiseAreautilityfacilitiesthatareconsistentwithapplicableLawsandprudentutilitypractices.SECTIONXl.HazardousMaterials11.1WrittenApprovalRequired:InmaintainingitsFacilities(including,withoutlimitation,vegetationmanagementactivities),FranchiseeshallnotapplyanyHazardousSubstance,pesticide,herbicide,orotherhazardousmaterialwithintheFranchiseAreawithoutpriorwrittenapprovalofRenton.Rentonwillnotunreasonablywithholdapproval,butsuchapplicationmustbeinconformancetotheaquiferprotectionregulationsofRenton.IfFranchiseeshallfirstobtainRenton’sapprovaltoapplyaspecificproductinaccordancewithadefinedprocedureonanongoingbasisthroughouttheFranchiseArea,itshallnotthereafterbenecessaryforFranchiseetoobtainRenton’sapprovaloneachoccasionsuchproductisappliedinaccordancewithsuchprocedure.FranchiseeshallnotifyRentonofanyaccidentbyFranchiseeinvolvingFranchisee’suseofHazardousSubstanceswithintheFranchiseArea.11.2ReleaseofHazardousSubstance:UponnoticeordiscoveryofasignificantreleaseofanyHazardousSubstancecausedbyFranchiseeorexpresslyauthorizedbyFranchiseetooccurupontheFranchiseAreaandFacilitiescoveredbythisFranchise,FranchiseeshallnotifyRentonwithintwenty-four(24)hoursofdiscovery.IftheencounteredorsuspectedHazardousSubstancesarenottheresultoftheactsoromissionsofFranchisee,Rentonshall,atitsown19 ORDINANCENO.6013expense,determineifthematerialishazardous,inaccordancewithapplicableLaws.Ifthematerialisfoundtobehazardous,Rentonshall,atitsownexpense,ifpossibleremove,dispose,orotherwisehandlesuchHazardousSubstances,asnecessary,inaccordancewithapplicableLaws.IfHazardousSubstancesareremoved,Rentonalsoshallprovidesubstitutenonhazardoussubstance(s)toreplacetheremovedsubstanceforFranchiseetouseinitsoperation,ifnecessary.UponapprovalbyRentontoproceed,Franchiseeshallproceedwiththeoperationsatitsowncost,withnorecourseagainstRentonforthecostofscheduledelaysincurredduetothedelayinoperation.IftheencounteredorsuspectedHazardousSubstanceswithintheFranchiseAreaaretheresultofFranchisee’sactsoromissions,Renton’scharacterizationofthesubstancesinvolvedandanyremoval,disposal,orotherhandlingcostsincurredinconnectionwiththeremoval,disposal,orhandlingofthehazardoussubstanceswillbeatFranchisee’ssoleexpense.Franchiseeshallbesolelyresponsibleforanyexpenseorcostrelatedtoenvironmentalmitigationrequirementsimposed,byoperationofapplicableLawsorotherwise.SECTIONXII.EmergencyWork-PermitWaiver12.1PromptResponseRequired:IntheeventofanyemergencyinvolvingdamagedFranchiseeFacilitieslocatedinorundertheFranchiseArea,orifFranchisee’sFacilitieswithintheFranchiseAreaposeanimmediatedangertotheproperty,life,healthorsafetyofanyindividual,Franchiseeshall,uponreceiptofnotificationfromRentonoftheexistenceofsuchcondition,immediatelytakethoseactionsasarenecessarytocorrectthedangerouscondition.12.2PermitDeferred:IfanemergencyoccursthatrequiresFranchisee’simmediateactionfortheprotectionofFacilities,Renton’spropertyoranyindividual’sproperty,life,healthorsafety,Franchiseemayactimmediatelytocorrectthedangerousconditionwithoutfirst20 ORDINANCENO.6013obtaininganyrequiredpermitsolongas:(1)FranchiseenotifiestheRentonRegionalFireAuthoritythroughthedispatchsystemoftheemergency;and(2)FranchiseeinformsRenton’spermittingauthorityofthenature,location,andextentoftheemergency,andtheworktobeperformed,priortocommencingtheworkifsuchnotificationispractical,orwheresuchpriornotificationisnotpractical,FranchiseeshallnotifyRenton’spermittingauthorityonthenextbusinessday;and(3)suchpermitisobtainedbyFranchiseeassoonaspracticablefollowingcessationoftheemergency.12.3PublicServiceObligations:Nothinginthissectionisintended,norshallitbeconstrued,asahindrancetoFranchisee’sabilitytotakesuchactionsasitdeemsnecessarytodischargeitspublicserviceobligationsinaccordancewiththelawsoftheStateofWashington.Nothinginthissectionisintended,norshallitbeconstrued,aspreventingRentonfromrecoveringfromFranchisee,ifotherwisesoentitledinaccordancewithapplicableLaws,anyextraordinarycostsinrespondingtoanemergencysituationinvolvingFranchisee’sFacilities.SECTIONXIII.RecordsofInstallation13.1FutureConstructionPlans:UponRenton’swrittenrequest,FranchiseeshallprovidetoRentoncopiesofanyplanspreparedbyFranchiseeforpotentialimprovements,relocationsandconversionstoitsFacilitieswithintheFranchiseArea;provided,however,anysuchplanssosubmittedshallbeforinformationalpurposesonlyandshallnotobligateFranchiseetoundertakeanyspecificimprovementswithintheFranchiseArea,norshallsuchplanbeconstruedasaproposaltoundertakeanyspecificimprovementswithintheFranchiseArea.13.2As-BuiltDrawings:UponRenton’swrittenrequest,andatnocosttoRenton,FranchiseeshallprovidetoRentoncopiesofdrawings,maps,andrecordsinusebyFranchisee21 ORDINANCENO.6013showingthelocationofitsFacilitiesatspecificlocationswithintheFranchiseArea.Astoanysuchdrawingssoprovided,FranchiseedoesnotwarranttheaccuracyofthedrawingsassuchFacilitiesareshownintheirapproximatelocation.13.3DesignLocates:UponRenton’swrittenrequest,inconnectionwiththedesignofanypublicworksproject,FranchiseeshallverifythelocationofitsundergroundFacilitieswithintheFranchiseArea.13.4DisclosuretoThird-Parties:Anydrawingsand/orinformationconcerningthelocationofFranchisee’sFacilitiesprovidedbyFranchiseeshallbeusedbyRentonsolelyformanagementoftheFranchiseArea.Rentonshalltakeallprudentstepsreasonablynecessarytopreventunnecessarydisclosureordisseminationofsuchdrawings,maps,recordsand/orinformationtoanyThird-PartywithoutthepriornoticetoFranchisee,unlesstheThird-Partyisanauthorizedgovernmentalentityofanytierorapublicrecordsrequestor.RentonwillprovideFranchiseewithnoticeofanypublicrecordsrequestforFranchiseepaperworkassoonasreasonablypracticable.13.5UtilityLocates:Notwithstandingtheforegoing,nothinginthissectionisintended(norshallbeconstrued)torelieveeitherPartyoftheirrespectiveobligationsarisingunderapplicableLawswithrespecttodeterminingthelocationofutilityfacilities.SECTIONXIV.UndergroundingofFacilitiesUndergroundingRequiredforNewFacilities:ConsistentwithRMC4-6-090.C(Applicability),allnewFacilitiesinstalledwithintheFranchiseAreaduringthetermofthisFranchiseshallbelocatedunderground,consistentwiththeRMC,unlessitisunfeasibleinRenton’sreasonableestimationforittobedone;providedthatinstallationofwires,cables,22 ORDINANCENO.6013conduitsandsimilarequipmentwillbepermittedandinstalledpursuanttotheprovisionsofanyapplicableLaws,andsubjecttoandaccordancewithanyapplicableTariffsonfilewiththeWUTC.Inareaswhereallexistingtelecommunicationsandcablefacilitiesarelocatedaboveground,FranchiseemayinstallitsFacilitiesaboveground.AnynewFacilitiestobelocatedabovegroundshallbeplacedonexistingutilitypoles.NonewutilitypolesshallbeinstalledinconnectionwithplacementofnewabovegroundFacilities.SECTIONXV.RelocationofFranchiseeFacilities15.1RelocationRequired:RentonshallhavepriorandsuperiorrighttotheuseoftheFranchiseAreafortheconstruction,installation,maintenanceandrepairofitsutilities,improvementsandinfrastructure,andcapitalimprovementprojects,andshouldanyconflictarisewithRentonfacilities,Franchiseeshall,atitsowncostandexpense,conformtoRenton’sutilities,improvementsandinfrastructureandcapitalimprovementprojects,providedthat,wheneverRentonundertakes(orcausestobeundertaken)anypublicworksimprovementwithintheFranchiseArea,andsuchpublicworksimprovementnecessitatestherelocationofFranchisee’sthenexistingFacilitieswithintheFranchiseArea,Rentonshall:a.ProvideFranchiseewithreasonablepriornoticeofRenton’sintenttoinitiateapublicworksimprovement,andifapplicable,writtennoticerequestingsuchrelocation;andb.ProvideFranchiseewithcopiesofpertinentportionsofRenton’splansandspecificationsforsuchpublicworksimprovement.15.2FranchiseeRelocationPlans:Afterreceiptofsuchnoticeandsuchplansandspecifications,FranchiseeshallsubmittheFranchiseeplandrawingsfortherelocationofthe23 ORDINANCENO.6013FranchiseeFacilitiestoRentonwithinareasonableandagreedupontimeinadvanceofthepreparationofRenton’sfinalplansandspecificationsforincorporationintoRenton’sconstructionplans.FranchiseeshallcompletetherelocationworkinareasonableandagreedupontimeperiodtopreventdelaytoRenton’sproject.FranchiseeshallrelocatesuchFacilitieswithintheFranchiseAreaatnochargetoRenton,exceptthatifRentonpaysfororreimbursestherelocationcostsofanothertelecommunicationsutility,undermateriallyidenticalcircumstances,itshallpayfororreimburseaproportionateshareofFranchisee’srelocationcosts.TherelocationcompletiondatewillbeincludedinRenton’swrittenrequestforsaidrelocationtoFranchisee.FranchiseeshallbesolelyresponsibleforanyassociatedcostcausedbyanyconstructiondelaystoRenton’sprojectduetoFranchisee’sfailuretocomplywithFranchisee’splansandscheduleinrelocatingorinstallingFranchisee’sFacilities.15.3EmergencyRelocationofFacilities:IntheeventanemergencyposingathreattopublicsafetyorwelfarerequirestherelocationofFranchisee’sFacilitieswithintheFranchiseArea,RentonshallgiveFranchiseenoticeoftheemergencyassoonasreasonablypracticable.Uponreceiptofnotice,FranchiseeshallrespondassoonasreasonablypracticabletorelocatetheaffectedFacilities,atFranchisee’ssoleexpense.15.4Third-PartyConstruction:Wheneveranypersonorentity,otherthanRenton,requirestherelocationofFranchisee’sFacilitiestoaccommodatetheworkofsuchpersonorentitywithintheFranchiseArea;or,RentonrequiresanyThird-Partytoundertakework(otherthanworkundertakenatRenton’scostandexpense)withintheFranchiseAreaandsuchworkrequirestherelocationofFranchisee’sFacilitieswithintheFranchiseArea,FranchiseemayconditionsuchrelocationtorequiresuchpersonorentitytomakepaymenttoFranchisee,ata24 ORDINANCENO.6013timeandupontermsacceptabletoFranchiseeforanyandallcostsandexpensesincurredbyFranchiseeintherelocationofFranchisee’sFacilities.15.5Third-PartyConstructionofCityIdentifiedProject:AnyconditionorrequirementimposedbyRentonuponanyThird-Party(including,withoutlimitation,anyconditionorrequirementimposedpursuanttoanycontractorinconjunctionwithapprovalsorpermitsobtainedpursuanttoanyzoning,landuse,constructionorotherdevelopmentregulation)whichrequirestherelocationofFranchisee’sFacilitieswithintheFranchiseArea,thenFranchiseeshallrelocateitsFacilities;provided,however,intheeventRentonreasonablydeterminesandnotifiesFranchiseethattheprimarypurposeofimposingsuchconditionorrequirementuponsuchThird-PartyistocauseorfacilitatetheconstructionofapublicworksprojecttobeundertakenwithinasegmentoftheFranchiseAreaonRenton’sbehalfandconsistentwithRenton’sCapitalInvestmentProgramoritsTransportationImprovementProgram;ortheTransportationFacilitiesProgram,thenonlythosecostsandexpensesincurredbyFranchiseeinreconnectingsuchrelocatedFacilitieswithFranchisee’sotherFacilitiesshallbepaidtoFranchiseebysuchThird-Party,andFranchiseeshallotherwiserelocateitsFacilitieswithinsuchsegmentoftheFranchiseAreainaccordancewithsubsection15.1.15.6Alternatives:AstoanyrelocationofFranchisee’sFacilitieswherebythecostandexpenseistobebornebyFranchisee,Franchiseemay,afterreceiptofwrittennoticerequestingsuchrelocation,submitinwritingtoRentonalternativestorelocationofitsFacilities.UponRenton’sreceiptfromFranchiseeofsuchwrittenalternatives,RentonshallevaluatesuchalternativesandshalladviseFranchiseeinwritingifoneormoreofsuchalternativesaresuitabletoaccommodatetheworkwhichwouldotherwisenecessitaterelocationofFranchisee’s25 ORDINANCENO.6013Facilities.Inevaluatingsuchalternatives,RentonshallgiveeachalternativeproposedbyFranchiseefairconsiderationwithdueregardtoallfactsandcircumstanceswhichbearuponthepracticalityofrelocationandalternativestorelocation.IfRentondeterminesthatsuchalternativesarenotappropriate,FranchiseeshallrelocateitsFacilitiesasprovidedinsubsection15.1.15.7Non-FranchiseArea:NothingshallrequireFranchiseetobearanycostorexpenseinconnectionwiththelocationorrelocationofanyFacilitiesexistingunderbenefitofeasementorotherrightsnotarisingunderthisFranchise.15.8IndemnityforDelay:Franchiseeshallindemnify,holdharmless,andpaythecostsofdefendingRentonagainstanyandallThird-Partyactions,claims,damages,liabilities,orsuitsfordelaysonRenton’sconstructionprojectsarisingfromorcausedbyFranchisee’sfailuretoremoveorrelocateitFacilitiesinatimelymanner,thoughFranchiseeshallnotbeliablefordamagesduetodelaysthatwereoutofFranchisee’sreasonableorexpectedcontrol.SECTIONXVI.AbandonmentandDiscontinuanceofFranchisee’sFacilities16.1Notification:FranchiseeshallnotifyRentonofanyabandonmentorcessationofuseofanyofitsFacilitieswithinsixty(60)daysaftersuchabandonmentorcessationofuse.AnyplanforabandonmentorremovalofFranchisee’sFacilitieswithintheFranchiseAreamustbefirstapprovedbytheAdministrator,andallnecessarypermitsmustbeobtainedpriortosuchWork.16.2Removal:IntheeventofFranchisee’sabandonmentorpermanentcessationofuseofanyportionofitsFacilities,oranyportionoftheFranchisedArea,Franchiseeshall,withinonehundredandtwenty(120)daysaftertheabandonmentorpermanentcessationofuse,26 ORDINANCENO.6013removetheFacilitiesatFranchisee’ssoleexpense.However,withRenton’sexpresswrittenconsent,Franchiseemay,atFranchisee’ssolecostandexpense,securetheFacilitiesinsuchamannerastocauseittobeassafeasisreasonablypossible,byremovingalllines,conduitsandappurtenances,incompliancewithallLaws,andabandontheminplace,providedthatanyabovegroundFacilitiesshallberemovedatFranchisee’ssoleexpense.16.3Restoration:IntheeventoftheremovalofalloranyportionoftheFacilities,totheextentreasonablypossible,FranchiseeshallrestoretheFranchiseAreatoitpre-installationorbettercondition.SuchrestorationworkshallbedoneatFranchisee’ssolecostandexpenseandtoRenton’sreasonablesatisfaction.IfFranchiseefailstoremoveorsecuretheFacilitiesand/orfailstorestorethepremisesortakesuchothermutuallyagreeduponaction,Rentonmay,afterreasonablenoticetoFranchisee,removetheFacilities,restorethepremisesortakesuchotheractionasisreasonablynecessaryatFranchisee’ssoleexpenseandRentonshallnotbeliableforanydamages,lossesorinjuries.ThisremedyshallnotbedeemedtobeexclusiveandshallnotpreventRentonfromseekingajudicialorderdirectingFranchiseetoremoveitsFacilities.16.4AdministrativeorAbandonmentFees:Renton’sconsenttoFranchisee’sabandonmentofFacilitiesinplaceshallnotrelieveFranchiseeoftheobligationand/orcoststoremove,alterorre-securesuchFacilitiesinthefutureintheeventitisreasonablydetermined,asadjudgedinRenton’ssolediscretion,thatremoval,alterationorre-securingtheFacilitiesisnecessaryoradvisableforthehealth,safety,necessityand/orconvenienceofthepublic,inwhichcaseFranchiseeshallperformsuchworkitssoleexpense.27 ORDINANCENO.601316.5SurvivalofProvisions:ThePartiesexpresslyagreethattheprovisionsofthissectionshallsurvivethetermination,expiration,orrevocationofthisFranchise.SECTIONXVII.Termination,Violations,andRemedies17.1Termination:litheFranchiseTermexpiresandifeitherPartystatesthatitdoesnotwishtorenew,extendand/orcontinuetheFranchise,thisFranchiseshallbeterminatedasoftheexpirationdate.17.2TerminationbyBreach:IfFranchiseemateriallybreachesorotherwisefailstoperform,complywithanyofthetermsandconditionsofthisFranchise,orfailstomaintainanyrequiredlicense,permitorapproval,andfailstocuresuchbreachorfailurewithinthirty(30)daysofRentonprovidingFranchiseewithwrittennoticespecifyingwithreasonableparticularitythenatureofanysuchallegedbreachorfailure,or,ifnotreasonablycapableofbeingcuredwithinthirty(30)days,withinsuchotherreasonableperiodoftimeasthePartiesmayagreeupon,RentonmayterminatethisFranchise,withoutanypenalty,liability,costordamages.17.3CityCouncilTermination:ThisFranchiseshallnotbeterminatedexceptuponamajorityvoteoftheCityCouncil,afterreasonablenoticetoFranchisee(whichnoticeshallbegivenatleastthirty(30)daysbeforethehearing)andanopportunitytobeheard,providedthatifexigentcircumstancesnecessitateimmediatetermination,thehearingmaybeheldassoonaspossibleafterthetermination.17.4DiscontinueOperations:IftheFranchiseisterminated,FranchiseeshallimmediatelydiscontinueoperationofFacilitiesthroughtheFranchiseArea.Insuchcircumstances,eitherPartymayinvokethedisputeresolutionprovisionsinSectionXVIII.Alternatively,eitherPartymayelecttoseekreliefdirectlyintheUnitedStatesDistrictCourtfor28 ORDINANCENO.6013theWesternDistrictofWashington,inSeattle,Washington,orintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegionalJusticeCenter,Kent,Washington,inwhichcasethedisputeresolutionrequirementsshallnotbeapplicable.OnceFranchisee’sprivilegehasterminated,FranchiseeshallcomplywithFranchiseprovisionregardingremovaland/orabandonmentofFacilities.17.5RentonRetainsRightforAction:Renton’sfailuretoexerciseaparticularremedyatanytimeshallnotwaiveRenton’srighttoterminate,assesspenalties,orassertanyequitableorlegalremedyforanyfuturebreachordefaultbyFranchisee.17.6FranchiseeLiabilityandObligation:TerminationshallnotreleaseFranchiseefromanyliabilityorobligationwithrespecttoanymatteroccurringpriortosuchtermination,andshallnotreleaseFranchiseefromanyobligationtoremoveandsecureitsFacilitiesandtorestoretheFranchiseArea.17.7lnunctiveRelief:ThePartiesacknowledgethatthecovenantssetforthinthisFranchiseareessentialtothisFranchise,and,butforthemutualagreementsofthePartiestocomplywithsuchcovenants,thePartieswouldnothaveenteredintothisFranchise.ThePartiesfurtheracknowledgethattheymaynothaveanadequateremedyatlawiftheotherPartyviolatessuchcovenant.Therefore,inadditiontoanyotherrightstheymayhave,thePartiesshallhavetherighttoobtaininanycourtofcompetentjurisdictioninjunctiverelieftorestrainanybreachorthreatenedbreach,ortospecificallyenforceanyoftheFranchisecovenantsshouldtheotherPartyfailtoperformthem.17.8Renton’sRemedies:InadditiontothetermsofthisFranchise,orrightsthatRentonpossessesatlaworequity,Rentonreservestherighttoapplyanyremedy,includingbut29 ORDINANCENO.6013notlimitedtothosedetailedinSectionsXVIII—XXbelow,aloneorincombination,intheeventFranchiseeviolatesanymaterialprovisionofthisFranchise.TheremediesprovidedforinthisFranchisearecumulativeandnotexclusive;theexerciseofoneremedyshallnotpreventtheexerciseofanotheroranyrightsofRentonatlaw,inequity,orbystatutes,unlessspecificallywaivedinthisFranchiseorinadocumentsignedbybothparties.SECTIONXVIII.DisputeResolution18.1NoticeofDefault:IfthereisanyallegeddefaultastoperformanceunderthisFranchise,RentonshallnotifyFranchiseeinwriting,statingwithreasonablespecificitythenatureoftheallegeddefault.Withinten(10)daysofitsreceiptofsuchnotice,FranchiseeshallprovideawrittenresponsetoRentonacknowledgingreceiptofnoticeandstatingFranchisee’sresponse.Franchiseehasthirty(30)days(“cureperiod”)fromthedateofthenotice’smailingto:a.RespondtoRenton,contestingRenton’sassertion(s)astothedisputeoranyallegeddefaultandrequestingameetinginaccordancewithsubsection18.2,or;b.Curetheallegeddefault,or;c.NotifyRentonifFranchiseecannotcuretheallegeddefaultwithinthirty(30)days,duetothenatureofthedefault.Notwithstandingsuchnotice,FranchiseeshallpromptlytakeallreasonablestepstobegintocuretheallegeddefaultandnotifyRentoninwritingandindetailastotheactionsthatFranchiseewilltakeandtheprojectedcompletiondate.Insuchcase,Rentonmaysetameetinginaccordancewithsubsection18.2.18.2Meeting:Ifanyallegeddefaultisnotcuredorifasubsection18.1meetingisrequested,RentonshallpromptlyscheduleameetingbetweenthePartiestodiscusstheallegeddefault.RentonshallnotifyFranchiseeofthemeetinginwritingandthemeetingshalltakeplace30 ORDINANCENO.6013notlessthanten(10)daysafterFranchisee’sreceiptofnoticeofthemeeting.EachPartyshallappointarepresentativewhoshallattendthemeeting,representtheirparty’sinterests,andwhoshallexercisegoodfaithtoreachanagreementonanyallegeddefaultand/oranycorrectiveactiontobetaken.Anydispute(includinganydisputeconcerningtheexistenceoforanycorrectiveactiontobetakentocureanyallegeddefault)thatisnotresolvedwithinten(10)daysfollowingtheconclusionofthemeetingshallbereferredbytheParties’representativesinwritingtotheParties’seniormanagementforresolution.Ifseniormanagementisunabletoresolvethedisputewithintwenty(20)daysofreferral(orsuchotherperiodasthePartiesmayagreeupon),eachPartymaypursueresolutionofthedisputethroughSectionXIX,Arbitration,ofthisFranchise.Allnegotiationspursuanttotheseproceduresfortheresolutionofdisputesshallbeconfidentialandshallbetreatedascompromiseandsettlementnegotiationsforpurposesofthestateandfederalrulesofevidence.18.3AdditionalResolutionOptions:If,attheconclusionofthestepsprovidedforinsubsections18.1and18.2above,RentonandFranchiseeareunabletosettlethedisputeoragreeupontheexistenceofadefaultorthecorrectiveactiontobetakentocureanyallegeddefault,RentonorFranchisee(asFranchiseemayhaveauthoritytodoso)may:a.lakeanyenforcementorcorrectiveactionprovidedforbyLaw,includingthecitycode;providedsuchactiondoesnotconflictwiththisFranchise’sprovisions,and/or;b.Demandarbitration,pursuanttoSectionXIXbelow,fordisputesarisingoutoforrelatedtoSectionsIll,GrantofFranchise(orsuchothersectionswithrespecttotheexistenceofconflictsorinconsistencieswiththeexpresstermsandconditionsofthisFranchiseandanyapplicableLaws);XIII,RecordsofInstallation;XIV,Undergroundingof31 ORDINANCENO.6013Facilities(exceptaspreemptedbyWUTCauthority);andXV,RelocationofFranchiseeFacilities(excludingprojectdelayclaimsexceedingthirtythousanddollars($30,000))ofthisFranchise(the“ArbitrationClaims”),and/or;c.Byordinance,declareanimmediateforfeitureofthisFranchiseforabreachordefaultofanymaterial,non-ArbitrationClaims,obligationsunderthisFranchiseand/or;U.TakeanyactiontowhichitisentitledunderthisFranchiseoranyapplicableLaws.18.4ContinuationofObligations:UnlessotherwiseagreedbyRentonandFranchiseeinwriting,RentonandFranchiseeshall,continuetoperformtheirrespectiveobligationsunderthisFranchiseduringthependencyofanydispute.SECTIONXIX.Arbitration19.1RulesandProcedures:ThePartiesagreethatanydispute,controversy,orclaimarisingoutoforrelatingtoArbitrationClaims,shallbereferredforresolutiontotheAmericanArbitrationAssociationinaccordancewiththerulesandproceduresinforceatthetimeofthesubmissionofarequestforarbitration.19.2Discovery:Thearbitratorsshallallowappropriatediscoverytofacilitateafair,speedyandcost-effectiveresolutionofthedispute(s).ThearbitratorsshallreferencetheWashingtonStateRulesofCivilProcedurethenineffectinsettingthescopeandtimingofdiscovery.TheWashingtonStateRulesofEvidenceshallapply.ThearbitratorsmayenteradefaultdecisionagainstanyPartywhofailstoparticipateinthearbitrationproceedings.19.3CompensatoryDamages:Thearbitratorsmayawardcompensatorydamages.,includingconsequentialdamages.Suchdamagesmayinclude,butshallnotbelimitedto:allcostsandexpensesofmaterials,equipment,supplies,utilities,consumables,goodsandother32 ORDINANCENO.6013items;alldirectlyrelatedcostsandexpensesofanystaff;allcostsanddirectexpensesofanylabor(including,butnotlimitedto,laborofanycontractorsand/orsubcontractors);allprearbitrationcostsandexpensesofconsultants,attorneys,accountants,professionalandotherservices,asoutlinedinSection19.5below;andalltaxes,insurance,interestexpenses,directlyrelatedoverheadandgeneraladministrativecostsandexpenses,andothercostsandexpensesofanykindincurredinconnectionwiththedispute.Thearbitratormayawardequitablereliefinthosecircumstanceswheremonetarydamageswouldbeinadequate.19.4Award:Anyawardbythearbitratorsshallbeaccompaniedbyawrittenopinionsettingforththefindingsoffactandconclusionsoflawrelieduponinreachingthedecision.Theawardrenderedbythearbitratorsshallbefinal,bindingandnon-appealable,andjudgmentuponsuchawardmaybeenteredbyanycourtofcompetentjurisdiction.19.5EachParty’sCosts:Exceptasprovidedinsubsection19.7below,eachPartyshallpaythefeesofitsownattorneys,expensesofwitnesses,andallotherexpensesandcostsinconnectionwiththepresentationofsuchParty’scaseincluding,withoutlimitation,thecostofanyrecords,transcriptsorotherthingsusedbythePartiesforthearbitration,copiesofanydocumentsusedinevidence,certifiedcopiesofanycourt,propertyorcitydocumentsorrecordsthatareplacedintoevidencebyaParty.19.6ArbitrationCosts:Exceptasprovidedinsubsection19.7below,theremainingcostsofthearbitration,includingwithoutlimitation,feesofthearbitrators,costsofrecordsortranscriptspreparedforthearbitrator’suseinthearbitration,costsofproducingthearbitrator’sdecisionandadministrativefeesshallbeborneequallybytheParties.33 ORDINANCENO.601319.7CostsforMultipleArbitrations:Notwithstandingtheforegoingsubsections19.5and19.6,intheeventeitherPartyisfoundduringthetermofthisFranchisetobetheprevailingpartyinanytwo(2)arbitrationproceedingsbroughtbysuchpartypursuanttothisSectionXIX,thensuchpartyshallbeentitledtorecoverallreasonablyincurredCosts,includingattorneys’fees,foranysubsequentarbitrationbroughtbytheminwhichtheyarefoundtobetheprevailingpatty.19.8TranscriptCosts:IntheeventaPartymakesacopyofanarbitrationproceedingtranscriptforitsuseinwritingapost-hearingbrief,oranarbitrationdecisioncopytoappendtoalawsuittoreducetheawardtojudgment,etc.,thenthatPartyshallbearthecost,excepttotheextentsuchcostmightbeallowedbyacourtascourtcosts.SECTIONXX.AlternativeRemediesNoprovisionofthisFranchiseshallbedeemedtobartherightofRentonorFranchiseetoseekorobtainjudicialrelieffromaviolationofanyFranchiseprovisionoranyrule,regulation,requirementordirectivepromulgatedfornon-ArbitrationClaims.NeithertheexistenceofotherFranchiseremediesnortheuseofsuchremediesshallbarorlimittherightofRentonorFranchiseetorecovermonetarydamagesforviolationsbytheotherParty,ottoseekandobtainjudicialenforcementoftheotherParty’sobligationsbymeansofspecificperformance,injunctiverelieformandate,oranyotherremedyatlaworinequity.SECTIONXXI.AmendmentstoFranchiseThisFranchisemayonlybeamendedbywritteninstrument,signedbytheParties,specificallystatingthatitisanamendmenttothisFranchiseandisapprovedandexecutedinaccordancewithStateofWashingtonlaws.Withoutlimitation,andunlessrequiredbyanyLaws,34 ORDINANCENO.6013thisFranchiseshallgovernandsupersedeandshallnotbealtered,limited,supplementedorotherwiseamendedbyanypermit,approval,license,agreementorotherdocumentrequiredbyorobtainedfromRentoninconjunctionwithFranchisee’sexerciseorfailuretoexerciseanyandallbenefits,privileges,obligationsordutiesinandunderthisFranchise,unlesssuchpermit,approval,license,agreementorotherdocumentspecifically:a.ReferencesthisFranchise;andb.StatesthatitsupersedesthisFranchisetotheextentitcontainstermsandconditionswhichalter,limit,supplementorotherwiseamendthetermsandconditionsofthisFranchise.IntheeventofanyconflictorinconsistencybetweentheprovisionsofthisFranchiseandtheprovisionsofanysuchpermit,approval,license,agreementorotherdocument,exceptasexpresslyrequiredbyLawsand/orsupersededbysuchpermit,approval,license,agreementorotherdocument,theFranchiseprovisionsshallcontrol.SECTIONXXII.Indemnification22.1Renton:InSectionsXXIIandXXIII,“Renton”meanstheCityofRenton,anditselectedofficials,agents,employees,officers,representatives,consultants(ofanylevel),andvolunteers.22.2IndemnificationbyFranchisee:Franchiseeshallindemnify,defend,andholdharmlessRenton,fromandagainstanyandeveryThird-Partyaction,claim,cost,damage,death,expense,harm,injury,liability,orlossofanykind,inlaworinequity,topersonsorproperty,includingreasonableattorneys’andexperts’feesand/orcostsincurredbyRentoninitsdefense,arisingoutoforrelatedto,directlyorindirectly,toFranchisee’sWorkorabandonmentofFacilities,orfromtheexistenceofFranchisee’sFacilities,andtheproductscontainedin,35 ORDINANCENO.6013transferredthrough,anysignalsoremissionsfromtheFacilities,releasedorescapedfromtheFacilities,includingthereasonablecostsofassessingsuchdamagesandanyliabilityforcostsofinvestigation,abatement,correction,cleanup,fines,penalties,orotherdamagesarisingunderanyLaws,including,butnotlimitedto,EnvironmentalLaws,andanyaction,claim,cost,damage,death,expense,harm,injury,liability,orloss,topersonsorpropertywhichiscausedby,inwholeorinpart,andonlytotheextentof,thewillfullytortiousornegligentactsoromissionsofFranchiseeoritsagents,contractors(ofanytier),employees,representativesortraineesrelatedtoFranchisee’sgrantedFranchiseprivileges.IfanyactionorproceedingisbroughtagainstRentonbyreasonofFranchisee’sFacilities,FranchiseeshalldefendRentonatFranchisee’ssoleexpense,providedthat,foruninsuredactionsorproceedings,defenseattorneysshallbeapprovedbyRenton,whichapprovalshallnotbeunreasonablywithheld.ThetermsofthissectionshallnotrequireFranchiseetoindemnifyRentonagainstandholdharmlessRentonfromclaims,demandsorsuitsbaseduponRenton’snegligentorwillfulconduct,andprovidedfurtherthatiftheclaimsorsuitsarecausedbyorresultfromtheconcurrentnegligenceof(a)theFranchisee’sagents,officers,oremployeesand(b)Renton,thisprovisionwithrespecttoclaimsorsuitsbaseduponsuchconcurrentnegligenceshallbevalidandenforceableonlytotheextentofFranchisee’snegligenceorthenegligenceofFranchisee’sagentsoremployeesexceptaslimitedinthisFranchise.22.3EnvironmentalIndemnification:Franchiseeshallindemnify,defend,andsaveRentonharmlessfromandagainstanyandeveryThird-Partyaction,claim,cost,damage,death,expense,harm,injury,liability,orloss,eitheratlaworinequity,topersonsorproperty,including,butnotlimitedto,costsandreasonableattorneys’andexperts’feesincurredbyRenton,arising36 ORDINANCENO.6013directlyorindirectlyfrom:(a)Franchisee’sbreachofanyenvironmentalLawsorLawsapplicabletotheFacilities,or(b)fromanyreleaseofahazardoussubstanceonorfromtheFacilities,or(c)otheractivityrelatedtothisFranchisebyFranchisee.Thisindemnityincludes,butisnotlimitedto,(a)liabilityforagovernmentalagency’scostsofremovalorremedialactionforHazardousSubstances;(b)damagestonaturalresourcescausedbyHazardousSubstances,includingthereasonablecostsofassessingsuchdamages;(c)liabilityforanyotherperson’scostsofrespondingtoHazardousSubstances;(d)liabilityforanyinvestigation,abatement,correction,cleanup,costs,fines,penalties,orotherdamagesarisingunderanyLaws;andfe)liabilityforpersonalinjury,propertydamage,oreconomiclossarisingunderanystatutoryorcommon-lawtheoryorLaws.22.4Title51Waiver:Franchisee’sindemnificationobligationspursuanttothissectionshallincludeassumingpotentialliabilityforactionsbroughtbyFranchisee’sownemployeesandtheemployeesofFranchisee’sagents,representatives,contractors(ofanytier)eventhoughFranchiseemightbeimmuneunderRCWTitle51fromdirectsuitbroughtbysuchemployees.ItisexpresslyagreedandunderstoodthatthisassumptionofpotentialliabilityforactionsbroughtbytheaforementionedpersonsislimitedsolelytoclaimsagainstRentonarisingbyvirtueofFranchisee’sexerciseoftheprivilegessetforthinthisFranchise.TheobligationsofFranchiseeunderthissectionhavebeenmutuallynegotiatedbytheParties,andFranchiseeacknowledgesthatRentonwouldnotenterintothisFranchisewithoutFranchisee’swaiverofimmunity.Totheextentrequiredtoprovidethisindemnificationandthisindemnificationonly,FranchiseewaivesitsimmunityunderTitle51RCWasprovidedinRCW4.24.115(Validityofagreementtoindemnifyagainstliabilityfornegligencerelativetoconstruction,alteration,improvement,etc.,...).37 ORDINANCENO.6013performedbyFranchiseeandtheblanketadditionalinsuredendorsementshallbeincludedwithonthecertificateofinsuranceorcertificationofself-insurance.23.4PrimaryInsurance:Franchisee’sinsuranceshallbeprimaryinsurancewithrespecttoRenton.AnyinsurancemaintainedbyRentonshallbeinexcessofFranchisee’sinsuranceandshallnotcontributewithit.FranchiseeshallgiveRentonthirty(30)dayspriorwrittennoticebycertifiedmail,return-receiptrequested,ofsuspension,cancellation,ormaterialchangeincoverage.23.5Cancellation:Uponreceiptofnoticefromitsinsurer(s)FranchiseeshallprovidetheCityofRentonwiththirty(30)dayspriorwrittennoticeofcancellation.Intheeventofcancellationoradecisionnottorenew,FranchiseeshallobtainandfurnishtoRentonevidenceofreplacementinsurancepoliciesmeetingtherequirementsofthissectionbeforethecancellationdate.23.6CertificatesandEndorsements:FranchiseeshallfurnishRentonwithcertificatesofinsuranceevidencingthecoverageorself-insurancerequiredbythissectionuponacceptanceofthisFranchise.ThecertificatesandblanketadditionalinsuredendorsementshallbesignedbyapersonauthorizedbytheinsurertobindcoverageonitsbehalfandmustbereceivedandapprovedbyRentonpriortothecommencementofanyWork.23.7SeparateCoverage:Franchisee’sinsuranceshallcontainaclausestatingthatcoverageshallapplyseparatelytoeachinsuredagainstwhomclaimismadeorsuitisbrought,exceptwithrespectstothelimitsoftheinsurer’sliability.23.8Survival:TheindemnityandinsuranceprovisionsunderSectionsXXIIandXXIIIshallsurvivetheterminationofthisFranchiseandshallcontinueforaslongasFranchisee’s41
