4429CITYOFRENTON,WASHINGTONRESOLUTIONNO.4429ARESOLUTIONOFTHECITYOFRENTON,WASHINGTON,AUTHORIZINGTHEMAYORANDCITYCLERKTOENTERINTOANINTERLOCALAGREEMENTWITHKINGCOUNTYENTITLEDINTERWCALCOOPERATIONAGREEMENTBETWEENKINGCOUNTYANDTHECITYOFRENTONFORCONSERVATIONFUTURES-FUNDEDOPENSPACEACQUISITIONPROJECTS.WHEREAS,theCityandKingCountyareauthorized,pursuanttoRCWChapter39.34,theInterlocalCooperationAct,toenterintoaninterlocalgovernmentcooperativeagreement;andWHEREAS,theCityenteredintoaninterlocalcooperationagreement,underchapter39.34RCW,withKingCountyonJune5,1990,CityagreementnumberCAG-029-90(“originalAgreement”)whichprovidesfortheacquisitionofmoniesthroughtheConservationFuturesLevyFundforthepurposeofacquiringopenspace;andWHEREAS,theoriginalAgreementwasamendedseveraltimestoaddnewprojects;andWHEREAS,theoriginalAgreement,whichrequiresthatpropertiesacquiredwithConservationFuturesproceedsbemaintainedasopenspaceinperpetuity,willremainineffectwithanindefinitetermfortheprojectsforwhichConservationFuturesproceedsweredisbursed;andWHEREAS,theCityandKingCountywishtoenterintoanewinterlocalcooperationagreementforfutureprojectsinordertoaddtermsfortheuseofbondproceedsforcertainprojects,achieveconsistencybetweentheagreementandtheKingCountyCode,andmakeothertechnicalchanges;NOW,THEREFORE,THECITYCOUNCILOFTHECITYOFRENTON,WASHINGTON,DORESOLVEASFOLLOWS:1 INTERLOCALCOOPERATIONAGREEMENTBETWEENKINGCOUNTYANDTHECITYOFRENTONFORCONSERVATIONFUTURES-FUNDEDOPENSPACEACQUISITIONPROJECTSTHISINTERLOCALCOOPERATIONAGREEMENTisagrantagreemententeredintobetweentheCITYOFRENTON(“City”)andKINGCOUNTY(“County”).ArticleI.RecitalsOnFebruary27,1989,theKingCountyCouncilpassedOrdinance$867,whichestablishedaprocesstoallocatetheproceedsoftheConservationFuturesFund.OnSeptember21,1989,theKingCountyCouncilpassedOrdinance9128.whichestablishedaConservationFuturesLevyFundtoprovideforthereceiptanddisbursementofConservationFuturestaxlevyproceedsandestablishedconditionsforuseoftheFund,includingconditionscoveringallowablecostandexpenses.OnJuly21,2003,theKingCountyCouncilpassedOrdinance14714,authorizingfundingallocationproceduresforKingCountyConservationFuturestaxlevycollectionsandamendingOrdinance$867,Section2,asamended.TheConservationFuturesAdvisoryCommitteehasrecommendedanallocationofConservationFuturesproceedstospecificprojectsfromtheConservationFuturesLevyFundfollowingnotificationtothecitiesthatproceedswereavailable,provisionofanopportunityforthecitiestorespondandreceiptbythecommitteeofrequestsforfunding,altpursuanttoOrdinance8867,asamendedbyOrdinance14714.Startingin1990andthrough2017,theKingCountyExecutive,asauthorizedbytheKingCountyCouncil,executedInterlocalCooperationAgreementswiththecitiesof Auburn,Bellevue,BlackDiamond,Bothell,Burien,Carnation,Covington,DesMoines,Duvall,Enumclaw,FederalWay,Issaquab,Kenmore,Kent,Kirkland,LakeForestPark.MercerIsland,Milton,Newcastle,NormandyPark,NorthBend,Pacific.Redmond,Renton,Sammamish,Seattle,Shoreline,SnoqualmieandTukwila,andVashonParkDistrict.Manyoftheseagreementswereamendedovertimetoaddnewprojects.TheexistingtnterlocalCooperationAgreementsremaininplacewithanindefinitetermfortheprojectsforwhichConservationFuturesproceedsweredisbursed.Theagreementsrequirethepropertiestobemaintainedasopenspaceinperpetuity.TheKingCountyCouncil,byOrdinance1897$,hasapprovedanewInterlocalCooperationAgreementforfutureprojectsinordertoaddtermsfortheuseofbondproceedsforcertainprojects.achieveconsistencybetweentheagreementandtheKingCountyCode,andmakeothertechnicalchanges.Pursuanttochapter39.34RCW,thepartiesagreetothefollowing:ArticleIt.Definitions1.OpenSpaceTheterm‘openspace”or‘openspaceland”means:(a)anylandareasodesignatedbyanofficialcomprehensivelanduseplanadoptedbyanycityorcountyandzonedaccordingly:or(b)anylandarea.thepreservationofwhichinitspresentusewould(i)conserveandenhancenaturalorscenicresources,or(ii)protectstreamsorwatersupply,or(iii)promoteconservationofsoils,wetlands,beachesortidalmarshes,or(iv)enhancethevaluetothepublicofabuttingorneighboringparks.forests.wildlifereserves,naturalreservationsorsanctuariesorotheropenspace.or(v)enhance2 recreationalactivities,or(vi)preservehistoricsites,or(vii)preservevisualqualityalonghighway.road,andstreetcorridorsorscenicvistas,or(viii)retaininitsnaturalstatetractsoflandofnotlessthanoneacresituatedinanurbanareaandopentopublicuseonsuchconditionsasmaybereasonablyrequiredbythelegislativebodygrantingtheopenspaceclassification,or(c)anylandmeetingthedefinitionoffarmsandagriculturalconservationundersubsection(8)ofRCW84.34.020.Asaconditionofgrantingopenspaceclassification,thelegislativebodymaynotrequirepublicaccessonlandclassifiedunder(b)(iii)ofthissubsectionforthepurposeofpromotingconservationofwetlands.2.ProjectTheterm“Project”meansthespecificprojectsdescribedinExhibitAoraddedbyfollow-onamendmentstodisburseproceedsptirsuanttoSection8.2ofthisagreement.3.ConservationFuturesThetermConservationFutures”meansdevelopmentalrightswhichmaybeacquiredbypurchase,gift,grant,bequest,devise,leaseorotherwise,exceptbyeminentdomain,andmayconsistoffeesimpleoranylesserinterest,developmentright,easement,covenant,orothercontractualrightnecessarytoprotect,preserve,maintain,improverestore,limitfutureuseof,orotherwiseconserveopenspaceland,allinaccordancewithchapter84.34RCWandK.C.C.chapter26.12.ArticleIII.PurposeoftheAgreement3 ThepurposeofthisagreementistocreateacooperativearrangementbetweentheCityandtheCountyrelatingtotheProjectandtodefinethetermsandconditionsgoverningbothparties’obligationscreatedbythisagreement.ArticleIV.TermofAreernentThisagreementshallbecontinuedinfullforceandeffectandbindinguponthepartiesheretouponexecutionoftheagreementbybothparties.Thetermsoftheagreementshallbeindefinite.TheagreementwillbeterminatediftheCityisunableorunwilling:1)toexpendtheproceedsprovidedthroughthisagreement;2)tosatisfythematchingrequirementscontainedinthisagreement;and3)uponreimbursementbytheCitytotheCountyofaltunexpendedproceedsprovidedbytheCountypursuanttothisagreementinthemannerandamountsdescribedbelowandpaymentofallamountsduepursuanttoSection8.1.ArticleV.ConditionsofAgreementSection5.1--ProjectDescriptions.ProceedsavailablepursuanttothisagreementmaybeusedonlyfortheProjectslistedinExhibitA,suchsubstitutedProjectsasmaybeapprovedbytheCountyassetforthbelow,orProjectsaddedbyfollow-onamendmentstodisburseproceedspurscianttoSection8.2ofthisagreement.AllCountyfundedProjectsmustmeetopenspacecriteriaasdescribedinchapter84.34RCWandK.C.C.chapter26.12.Section5.2--UseofProceeds.ProceedsprovidedtotheCitypursuanttothisagreementaswellasmoneysprovidedbytheCityasmatchpursuanttothisagreementmaybeusedonlytopaycapitalcostsrelatedtopropertyacquisition.Thosecostsinclude4 appraisals,titlesearches,negotiations,administrativeoverhead,andthecostofactualacquisitionorpurchaseoptions,andallothercostsmeetingtherequirementsofK.C.C.26.12.010.TheCityshallhavethepropertyvaluedbyanappraisalperformedbyanindependentstate-certifiedrealestateappraiserwithacurrentgeneralrealestateappraiserlicense,andreviewedbyanindependentstate-certifiedgeneralrealestateappraiser.InrequestingreimbursementofproceedsfortheProject,theCityshalldemonstratetotheCountycompliancewiththisSection5.2.Proceedsutilizedpursuanttothisagreementmaynotbeusedtopurchaselandobtainedthroughtheexerciseofeminentdomain.Section5.3--Completion/Substitution/DeletionofProjects.TheCityshallcompletetheProjectdescribedinSection5.1ofthisAgreementwithinatwoyearperiodfromtheeffectivedateoftheCountyordinanceappropriatingfundingfortheProject.IftheCitydoesnotmeetthistwoyearrequirement.unlesstheCitydemonstratestotheAdvisoryCommitteeacompellingreasonforcontinuanceofCITfundingfortheProjectbeyondthetwo-yearlimitorareprogrammingrequestistimelyapprovedasprovidedforbelow,theCountyshallbereleasedfromanyobligationtofundtheProject,andtheCountyinitssolediscretionmayreallocatesuchproceedsforotherprojectsinotherjurisdictions.TheCitymaysubmitspecificrequestsforprojectreprogrammingtotheCountyforitsapprovalwithinthetwoyearperiod.Allprojectsproposedforreprogrammingmustmeetopenspacecriteriaasdescribedinchapter84.34RCWandK.C.C.chapter26.12,besubmittedforrecommendationbytheCounty’sAdvisoryCommitteeoritssuccessor,andbeapprovedbyactionoftheKingCountyCouncil.All5 reprogrammingrequestsshallbesubmittedtotheCounty’sDepartmentofNaturalResourcesandParks,OpenSpaceAcquisitionsUnit,oritssuccessor.Section5.4--EminentDomain.IfanyProjectrequirestheexerciseofeminentdomaintoacquiretheproperty,allproceedsprovidedpursuanttothisagreementplusaccruedinterestonsuchproceedsshallbereprogrammedasprovidedinthisagreementorrepaidtotheCounty.ArticleVI.ResponsibilitiesoftheCitySection6.1--MatchingRequirements.Exceptforacquisitionsofpropertyinterestsinopportunityareas,asdefinedbyK.C.C.26.12.003,anyProjectfundedbyConservationFuturesLevyproceedsshallbesupportedbytheCityinwhichtheProjectislocatedwithamatchingcontribution,whichisnolessthantheamountofConservationFuturesLevyproceedsallocatedtotheProject.Thiscontributionmaybeintheformofcash,landmatchwithavaluationverifiedbyanappraisalbyanindependentstate-certifiedrealestateappraiserwithacurrentgeneralrealestateappraiserlicense,orthecashvalue,excludingKingCountyconservationfuturescontributions,ofotheropenspacesacquiredwithintheprevioustwoyearsfromthedateofsubmittaloftheapplicationbytheCity.Theappraisal,tobereviewed,shallhavebeenperformedwithintwoyearsoftheapplicationdeadlinesetfortheannualallocationofconservationfuturestaxlevyproceedsunderwhichthePropertyreceivedfunding.Propertiesconsideredaslandmatchorcashvalueofotheropenspaceacquisitionsshouldbedirectlylinkedtothepropertyunderapplication.AnyCitymatch,otherthancash.shallrequireCounty6 approval.CountyapprovalandCountyacceptanceoftheCity’smatchwillbetransmittedinwritingtotheCitybytheCounty’sDesignatedRepresentative.Section6.2--Reporting.AllproceedsreceivedpursuanttothisagreementandaccruedinteresttherefromwillbeaccountedforseparatelyfromallotherCitymoneys,accountsandmoneys.UntilthepropertydescribedintheProjectisacqLliredandallproceedsprovidedpursuanttothisagreementhavebeenexpended,theCityshallprovidethereportsrequiredbyK.C.C.26.12.035.Section6.3--DispositionofRemainingProceeds.IftheCitydoesnotexpendallproceedsobligatedtobeprovidedthroughthisagreementandnosubstituteprojectisrequestedorapprovedastotheexcessproceeds,suchproceeds,ifheldbytheCity,shallberefundedtotheCounty.Forpurposesofthissection,“proceeds”shallincludeallmoneysobligatedtobeprovidedbytheCountyplusinterestaccruedbytheCityonsuchmoneys.AnyproceedsinexcessofthoserequiredtobeprovidedbytheCountyfortheactualcostsoftheProjectshallremainwiththeCountyforuseinitssolediscretion.Section6.4--MaintenanceinPerpetuity.ExceptasprovidedinthisSection6.4,theCity,andanysuccessorininterest,agreetomaintainpropertiesacquiredwithproceedsprovidedpursuanttothisagreementasopenspaceinperpetuityand,asreqLliredbytheCounty,toincludeintherealpropertyrecordsnoticeofthisrestriction.ProjectscarriedoutbytheCityinwholeorinpartwithfundsprovidedforunderthetermsofthisagreementshallnotbetransferredorconveyedexceptbyagreementwithanagencyornonprofitorganizationasdefinedinK.C.C.26.12.003,whichshallprovidethattheland7 orinterestinlandshallbecontinuedtobeusedforthepurposesofK.C.C.chapter26.12,andinstrictconformancewiththeusesauthorizedunderchapter84.34RCW.TheCityshallnotchangethestatusoruseofpropertiesacquiredwithproceedsprovidedpursuanttothisagreementunlesstheCityprovidesequivalentlandsorcashinexchangeforthelandtobechangedtoadifferentuse.Thelandshallbevaluedinitschangedstatusoruse,andnotbaseduponitsvalueasopenspace,andthereplacementlandorpaymentamountmustbeapprovedbytheCounty.IfrequestedbytheCounty,atitsowncosttheCitywillprovidetheCountyanappraisalperformedwithinthepreviousyearbyanindependentstate-certifiedrealestateappraiserwithacurrentgeneralrealestateappraiserlicense.ThevalueestablishedbytheappraisalwillnotbebindingontheCounty.IftheCotintyapprovesreplacementland,theCityshallcompletethereplacementwithinoneyearofapproval.IftheCountyapprovescashreimbursement.theCityshallpaytheCountywithin90daysofapproval.Section6.5—TaxCovenants.TheCityacknowledgesthatproceedsprovidedbytheCountyforaProjectmaybeproceedsoftax-exemptbonds(the“Bonds”)subjecttocertainrequirementsoftheInternalRevenueCodeof1986,asamended(the‘TaxCode”),includinganyimplementingregulationsandanyadministrativeorjudicialinterpretations.TheCitywillcomplywithTaxCoderequirements,includingthosesetforthinExhibitB.whichisincorporatedherein,applicabletoBond-financedProjectsidentifiedinExhibitA.whichisincorporatedherein,aswellasBond-financedProjectsidentifiedinsubsequentamendmentstothisagreement.ArticleVII.ResponsibilitiesoftheCounty8 Subjecttothetermsofthisagreement,theCountywillprovideConservationFuturesTaxLevyproceedsintheamountsandfortheProjectsidentifiedinExhibitAaswellasinthoseamountsandforthoseProjectsidentifiedinscibsequentamendmentstothisagreement.TheCitymayrequestadditionalproceeds;however,theCountyhasnoobligationtoprovideproceedstotheCityinexcessoftheamountshowninExhibitA.TheCountyassumesnoobligationforfuturesupportoftheProjectdescribedhereinexceptasexpresslysetforthinthisagreement.ArticleVIII.OtherProvisionsSection8.1--HoldHarmlessandIndemnification.A.TheCountyassumesnoresponsibilityforthepaymentofanycompensation,fees,wages,benefitsortaxestooronbehalfoftheCity,itsemployees,contractorsorothersbyreasonofthisagreement.TheCityshallprotect,indemnifyandsaveharmlesstheCounty,itsofficers.agentsandemployeesfromanyandallclaims,costandwhatsoeveroccurringorresultingfrom:I)theCity’sfailuretopayanycompensation,fees,wages,benefitsortaxes;and2)thesupplyingtotheCityofwork,services,materialsorsuppliesbyCityemployeesoragentsorothercontractorsorsuppliersinconnectionwithorinsupportofperformanceofthisagreement.B.TheCityfurtheragreesthatitisfinanciallyresponsibleforandwillrepaytheCountyallindicatedamountsfollowinganauditexception.whichoccursduetothenegligentorintentionalactsofthisagreementbytheCity,itsofficer,employees,agentorrepresentativesarisingoutoftheperformanceofthetermsofthisagreement.9 C.TheCityshallprotect,indemnifyandsaveharmlesstheCountyfromanyandallcosts,claims,judgments,orawardsofdamages,arisingoutoforinanywayresultingfromthenegligentactsoromissionsoftheCity,itsofficers,employeesoragentsintheperformanceofitsobligationsunderthetermsofthisagreement.forthepurposesofthisagreementonly,theCityagreestowaivetheimmunitygranteditforindustrialinsuranceclaimspursuanttoTitle51RCWtotheextentnecessarytoextenditsobligationsunderthisparagraphtoanyclaim,demand,orcauseofactionbroughtbyoronbehalfofanyemployee,includingjudgments.awardsandcostsarisingtherefromincludingattorney’sfees.D.Totheextentpermittedbylaw,andexcepttotheextentcausedbythesolenegligenceoftheCounty,theCityagrees,atitsexpense,topay,andtoindemnifyandholdtheCounty,itsofficers,employeesoragentsharmlessof,fromandagainst,anyandallclaims.damages.demands,losses.liens.liabilities,penalties.fines,taxes.lawsuitsandotherproceedingsandcostsandexpenses(includingattorneys’fees)ofeveryconceivablekind,characterornaturewhatsoever,arisingdirectlyorindirectlyfromoroutof,orinanywayconnectedwithanyexaminationorauditofanyBondissuedtofinanceorrefinancecostsofanyBond-financedProjectidentifiedinExhibitAaswellasBond-financedProjectsidentifiedinsubsequentamendmentstothisagreementbytheInternalRevenueService,oranydeterminationbytheInternalRevenueServiceoracourtofcompetentjurisdictionthattheinterestonanysuchBondisorshouldbesubjecttofederalincometaxation;provided,however,thattheCityshallnotbeliableforanypaymentmadebytheCountywithrespecttoanysettlementofanysuchexaminationor10 audit,orofanyotherproceedingrelatedthereto,enteredintowithouttheconsentoftheCity.Section8.2--Amendment.Thepartiesreservetherighttoamendormodifythisagreement.AmendmentsormodificationstodisburseproceedsapprovedbytheCountyCouncilmustbebywritteninstrumentsignedbythepartiessubstantiallyintheformofExhibitC.OtheramendmentsalsomustbeapprovedbytherespectiveCityandCountyCouncils.Section8.3--ContractWaiver.Nowaiverbyeitherpartyofanytermorconditionofthisagreementshallbedeemedorconstruedtobeawaiverofanyothertermorcondition,norshallawaiverofanybreachbedeemedtoconstituteawaiverofanysubsequentbreachwhetherofthesameordifferentprovisionofthisagreement.Nowaivershallbeeffectiveunlessmadeinwriting.Section8.4--Entirety.Thisagreementisthecompleteexpressionofthetermsheretoandanyoralrepresentationsorunderstandingsnotincorporatedareexcluded.Thisagreementmergesandsupersedesallpriornegotiations,representationsandagreementsbetweenthepartiesrelatingtotheProjectandconstitutestheentireagreementbetweentheparties.Thepartiesrecognizethattimeisoftheessenceintheperformanceoftheprovisionsofthisagreement.INWITNESSWHEREOF,authorizedrepresentativesofthepartiesheretohavesignedtheirnamesinthespacessetforthbelow:11
