4436CITYOFRENTON,WASHINGTONRESOLUTIONNO.4436ARESOLUTIONOFTHECITYOFRENTON,WASHINGTON,AUTHORIZINGTHEMAYORANDCITYCLERKTOENTERINTOAMENDMENTNO.2TOTHEWASHINGTONMULTI-CITYBUSINESSLICENSEANDTAXPORTALAGENCYINTERLOCALAGREEMENT.WHEREAS,theCityandtheCitiesofBellevue,DesMoines,Everett,LakeForestPark,Seattle,andTacoma(collectivelythe“Parties”)areauthorized,pursuanttoRCWChapter39.34,theInterlocalCooperationAct,toenterintointerlocalgovernmentcooperativeagreements;andWHEREAS,theCitiesofBellevue,Everett,Seattle,andTacomaenteredintoaninterlocalagreementwiththeWashingtonMulti-CityBusinessLicenseandTaxPortalAgencyd/b/a“FileLocal,”effectiveMarch1,2014(the“ILA”);andWHEREAS,Section13.goftheILA,providingamethodforallocatingcostsamongtheparticipatingcitiesfortheyears2014-2021,wasamendedonJune12,2017;andWHEREAS,theCityofLakeForestParkandtheCityofRentonjoinedtheILAin2017and2018,respectively,withtheCityofRentonjoiningviaauthoritydelegatedbytheCityCouncilinResolutionNo.4335;andWHEREAS,thePartiesdesiretofurtheramendSection13.goftheILAtorevisehowcostsareallocatedamongthePartiesduringtheyears2022-2024,sothattheallocationmethodusedinyears2014-2021maycontinuetobeusedthrough2024;NOW,THEREFORE,THECITYCOUNCILOFTHECITYOFRENTON,WASHINGTON,DORESOLVEASFOLLOWS:1 1RESOLUTIONNO.2021-0123AResolutionoftheWashingtonMulti-City4BusinessLicenseandTaxPortalAgency5ExecutiveBoardregardinganAmendmentofthelnterlocalAgreementtoExtendUseofHistoricalTransactionCounts.89Whereas,theWashingtonMulti-CityBusinessLicenseandTaxPortalAgency10(“Agency”)wasoriginallyestablishedunderthelnterlocalAgreementByandBetweenthe11CitiesofBellevue,Everett,Seattle,andTacoma,datedMarch1,2014(“Interlocal12Agreement”);and1314Whereas,Section13.g.oftheInterlocalAgreementwasamendedin2017via15ResolutionFL2017-04toprovidethat,fortheyears2014-2021,theallocationofAgencycostsamongtheOriginalPrincipalsshallgenerallybebasedon2012transactioncountsofeachOriginalPrincipalassetforthinExhibitAtotheInterlocalAgreement,andtofurther16providethat,beginningin2022andafterward,Agencycostsshallbeallocated17amongtheOriginalPrincipalsbasedontheactualnumberoftransactionsprocessed18throughthePortalforeachofsuchcity;and1920Whereas,duetovariouscity-specificfactorsassociatedwithimplementationof21thePortalintheOriginalPrincipalcities,theOriginalPrincipalshavedeterminedthat22convertingtouseofactualtransactioncountsasthebasisforallocatingAgency23costsbeginningin2022wouldbeinequitable,andthatcontinuingtouse201224historicaltransactioncountsoftheOriginalPrincipalsforanadditionalthreeyears,25through2024,wouldbeapreferablewaytoallocateAgencycosts;and2627Whereas,Section18.e.oftheInterlocalAgreementrequiresthatanychangesto28thecontributionresponsibilitiesofPrincipalcitiesmustbeapprovedbythelegislative29authoritiesofallPrincipals;ResolutionNo.FL2021-01Page1of2 AMENDMENTNO.2TOTHEWASHINGTONMULTI-CITYBUSINESSLICENSEANDTAXPORTALAGENCYINTERLOCALAGREEMENTBYANDBETWEENTHECITIESOFBELLEVUE,EVERETT,SEATTLE,ANDTACOMAThisAmendmentmodifiesthatcertainWashingtonMulti-CityBusinessLicenseandTaxPortalAgencyInterlocalAgreement,datedMarch1,2014(“ILA”),enteredintobyandbetweentheCitiesofBellevue.Everett,Seattle,andTacoma(collectively,the“OriginalPrincipals”),andasamendedbyAmendmentNo.1thereto,pursuanttoFileLocalResolutionNo.FL2017-04.adoptedonJune12,2017.WHEREAS,Section13.g.oftheILA,asamendedonJune12,2017,pursuanttoFileLocalResolutionNo.fL2017-04,providesamethodforallocatingAgencycostsamongtheParticipatingCitiesfortheyears2014-2021;andWHEREAS.thePrincipals(thecitiesofBellevue,DesMoines,Everett,LakeforestPark,Renton,Seattle,andTacoma)nowdesiretofurtheramendSection13.g.oftheILAtorevisehowAgencycostsareallocatedamongParticipatingCitiesduringtheyears2022-2024,sothattheallocationmethodusedinyears2014-2021maycontinuetobeusedthrough2024;andWHEREAS,Section18oftheILAallowsamendmentstotheILA,andspecificallyallowsamendmentsaffectingthecontributionresponsibilitiesofthePrincipals,solongassuchamendmentsareapprovedbythelegislativeauthoritiesofallPrincipals;NOWTHEREFORE,thePrincipalsherebyagreetoamendtheILAasfollows:I.Section13.g.oftheILAisherebyamendedtoreadasfollows:g.CostAllocationandCostRecoveryPrinciples.ThePORTALAGENCYbudgetshallbegenerallyallocatedbetweenctllParticipatingCitiesbasedonthenumberofTransactionsprocessedforeachCityonthePortal.Inyears2011through2024,thenumberofTransactionsfortheOriginalPrincipalsshallbebasedon2012historicalactttalpre-PortaluseTransactionCounts(assetjörthinExhibitA).Inyears2014through2021,theCityTransactionCountforanyotherParticipatingCityshallbebasedonthemostrecenthistoricaldcitaforthatCitypriortoitjoiningthePortal.fromandafter2022,theallocationamongotherParticipatingCitieswillbedeterminedbyconsideringtheactualnumberofTransactions(iftheCityhadjoinedbefore2022),historicaltaxandlicenseinformation,andtheexperienceoftheOriginalPrincipalsastohowquicklybusinesseshaveadopteduseofthePortalsinceitslattnch.ThedetailsofthecostallocationcalculationshallbesetforthinthePortalOperationsPolicy.NothinginthisAgreementshallbeconstruedtoprohibittheExecutiveBoardfromincludingfactorsinadditiontothenumberofCityTransactionsinthecostallocationformulasasbetweenParticipatingCities,sotongastheprimalybasisforallocationremainstheCityTransactioncottnt.2.AllothertermsoftheILAremaininfullforceandeffect.//Pagelof3
