Please verify that the mylar has been signed by all owners of record and that the mylar has been notarized with an ink stamp (not embossed). The ink stamp must be legible so that King County will promptly record the lot line adjustment. When the appropriate signatures have been obtained, please submit the original signed mylar and a check for the courier service to me at the sixth floor counter of City Hall. The check will need to be made out to CD&L for one of the following amounts (depending on the delivery time preferred): • 1-hour service ($20.55)-1:00 PM deadline to City Clerk • 2-hour service ($16.55)-12:00 PM deadline to City Clerk • 4-hour service ($12.45)-10:00 AM deadline to City Clerk The City cannot release the mylars to be held in escrow. However, we can hold on to the mylars until it is appropriate to forward them to the County where the recording of the lot line adjustment and ownership transfers can be coordinated to occur in sequence of each other. When instructed to do so, I will forward the lot line adjustment to the county per the courier service timeframe you have selected from above. The courier service will deliver the mylars to the recording office (room 311) at the King County Administration Building. From this point, the mylars will be circulated to various county departments for the appropriate approvals (allow for 24 hours to complete the routing). It would be best to include instructions with the lot line adjustment that specify either: 1) that the recording office is to contact (a person designated by you) for further instructions as soon as the mylars have completed routing and are ready for recording; or 2) that the recording office is to contact the designated person as soon as the lot line adjustment is recorded. You will need to advise me of the timing involved and how you would like to proceed, including critical dates and contact person(s). Ownership transactions, if any, should occur after the lot line adjustment has been recorded. This will ensure that all of the information regarding property ownership listed on both, the lot line adjustment drawing and the application forms, is accurate. 3. Please make the following changes so that we may approve your proposal: 1. Please note the buildings on proposed Lot 1 are to be demolished. 2. Note the City of Renton land use action number (LUA-99-007-LLA) and the City's land record number (LND-30-0183) on the drawings, preferably in the upper right-hand corner of the drawing sheets. The type size used for the land record number should be smaller than that used for the land use action number. 3. Alan and Fong Louie are noted as owners of Parcels F, G and H, per the Master Application, but they are not listed as owners on sheet 1 of 4 under the Declaration block. 4. Show the index information on sheet 1 of 4 per WAC 332-130-050(1)(iv)(A). 5. The legal description for"Parcel G” is incomplete (sheet 2 of 4). 6. The legal description for Parcel "E" excepts that portion condemned via Superior Court Case No. 742566. Did said Court Clause include, as part of the condemnation, a triangular piece (dimensioned as 36.01 feet along the southeasterly side of Parcel "E") between NE Sunset Blvd. and NE 12th Street? 7. The King County Assessors map for Parcel "C" indicates that an action of some kind may have affected (or does affect) the southerly 5 feet of said Parcel C. Determine if the legal description needs further review and/or revision, as a result of this possible action. 8. The City of Renton no longer requires legal descriptions for the new lots; therefore, the legals for the "proposed" lots were not reviewed. 9. The only approval and signature needed for the City of Renton is the City of Renton Administrator, Planning/Building/Public Works Department. Remove the approval block for the Development Services Division Manager(sheet 1 of 4). 10. Note that if there are restrictive covenants, agreements or easements to others (City of Renton, etc.) as part of this subdivision, they can be recorded concurrently with the lot line adjustment. The lot line adjustment document and the associated document(s) are to be given to the City Clerk's office as a package. The lot line adjustment shall have the first recording number. The recording number(s) for the associated document(s) will be referenced on the lot line adjustment in the appropriate location(s). 16. Is the proposed 15' wide water easement private or City-held? If City-held, note the previous paragraph. Also, what is the length of the easement? 17. If new easements are shown for the benefit of future owners of the proposed lots, then include the following statement,juxtaposed to the subject easement(s) "Area for private easement for(water, sewer stub, gas, access, etc.)." Since the new lots created via this lot line adjustment are under common ownership at the time of recording, there can be no easements until such time as ownership of one of the lots is conveyed to others, together with and/or subject to specific easement rights. 18. Also, add the following Declaration of Covenant language on the face of the subject drawing, if the previous paragraph applies. DECLARATION OF COVENANT The owner of the land embraced within this lot line adjustment, in return for the benefit to accrue from this subdivision, by signing heron covenants and agrees to convey the beneficial interest in the new easements shown on this lot line adjustment to any and all future purchasers of the lots, or of any subdivisions thereof. This covenant shall run with the land as shown on this lot line adjustment. Once the above changes have been made, please submit two copies of the revised lot line adjustment to me for review. This easement is for the purpose of ingress and egress only and sh 311 not confer any right to park motor vehicles. Each Property shall have its own se)arate and independent vehicle parking areas sufficient to satisfy the requirements of ocal zoning. 3. ..ture of Easements. Each and all of the easements and rights granted or created in this Section 2 are appurtenances to the respective Property and none of the easements and rights may be transferred, assigned or encumbered except as an appurtenance to such Property. For the purposes of the easements and rights, the Property benefitted will constitute the dominant estate, and the particular Property which respectively is burdened by such easements and rights will constitute the servient estate. Each of the easements and rights contained in this Agreement (whether affirmative or negative in nature) is made for the direct mutual and reciprocal benefit of each Property, and will create mutual equitable servitudes upon each Property in favor of every other Property. 4. Incidental Temporary Encroachments. In addition to the foregoing, and, in cc nnection with the work performed within each Property, the Owners agrees that in idental encroachments upon Parking Areas may occur during construction activities as a result of the use of construction equipment and contractor's vehicles resulting in to inporary obstruction of portions of the Parking Areas, all of which are permitted hereunder, so long as their use is kept within reasonable requirements of construction work expeditiously pursued. 5. No Barriers in Parking Areas. No walls, fences or barriers, of any sort or kind, sE• all be constructed or maintained in the Parking Areas, or any portion thereof, by an O Amer which shall prevent or impair the use or exercise of any of the easements granted herein, or the free access and movement, including, without limitation, pedestrians and vehicular traffic between the various Properties. No Owner or occupant of a Property shall charge any fee for parking in the Parking Areas. Subject tc the foregoing, an Owner may use or permit the use of its Parking Area for any lawful purpose, including outdoor sales of merchandise, so long as such activities do not cause the customers of any business conducted on its Property to park their vehicles on the adjoining Property. 6 JVlaintenance and Cleaning. Drug Store Restriction. No part of the Property shall be occupied or used for the purposes of a business, trade or profession which requires or has a license or permit to conduct a pharmacy, or which employs or is required to err ploy a registered or licensed pharmacist, nor for the conduct of any store, business, trade or profession which is called, labeled, named or is commonly known or referred to as a "drug store," "pharmacy" or "apothecary." The foregoing restriction shall become vo d and of no further force or effect upon the permanent cessation for a period ex seeding twelve (12) consecutive months (excluding force majeure events, or remodeling or alteration of the PayLess Property) of a pharmacy or drug store on the P�yLess Property. Notwithstanding the foregoing, so long as a supermarket containing nc less than 30,000 square feet is operated on the Property, a pharmacy department which employs a registered or licensed pharmacist may be operated th13rein. 8. Term of Agreement. This Agreement shall become effective as of the date first h€reinabove written and shall continue in perpetuity unless otherwise terminated by mutual agreement of the parties (the "Term"). 9. Authcuity to Convey. Each Owner warrants that it is authorized to grant the easements and restrictions herein, and that the grant of the easements and restrictions does not constitute a breach of any agreement binding upon either party. 1C1. Notices. All notices given pursuant to this Agreement shall be in writing and mast be given by personal delivery, by United States mail or by United States express mail or other established express delivery service (such as Federal Express), postage or delivery charge prepaid, return receipt requested, addressed to the person and address designated below or, in the absence of such designation, to the person and address shown on the then current real property tax rolls in the County in which the Property is located. (b) For the purposes of this Agreement. the term receipt shall mean the earlier of any of the following: The date of delivery of the notice or other document as shown on the return receipt; ii. The date of actual receipt of the notice or other document by the person or entity specified pursuant to this section; or iii. In the case of refusal to accept delivery or inability to deliver the notice or other document, the earlier of (A) the date of the attempted delivery or refusal to accept delivery, (B) the date of the postmark on the return receipt, or (C) the date of receipt of notice of refusal or notice of nondelivery by the sending party. 11. Miscellaneous. (a) Covenants Running with the Land. This Agreement, including all terms, covenants and conditions herein, shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors, assigns and personal representatives. This Agreement and shall, in all respects, constitute covenants running with the land, enforceable at law and in equity, and servitudes burdening the properties enforceable in equity. (b) ptire Agreement; Merger. This Agreement, including all exhibits hereto (which are hereby incorporated herein by reference for all purposes), contains the full and final agreement between the parties hereto concerning the subject matter of this Agreement and all preliminary negotiations and agreements of the parties are merged herein. This Agreement shall not be changed or modified in any manner other than by a written amendment or modification executed by all the parties hereto. (c) Headings. All sections and/or paragraph headings, titles or captions contained in this Agreement are for convenience only and shall not be deemed a part of this Agreement and shall not in any way limit or amplify the terms and provisions of Declaration of Restriction and Grant of Easements Page 4 NE C 12th St&Sunset Blvd, Renton,WA RA#5203re10 12J1/98 this Agreement. (d) Partial Invalidity. If any provision of this Agreement or the application thereof to any person or circumstance shall be deemed invalid or unenforceable, the rerrainder of this Agreement and its application to other persons or circumstances shall not be affected by such partial invalidity but shall be enforced to the fullest extent per pitted by law as though such invalid or unenforceable provision was never a part her;of. (e) Enforcement. Any party to this Agreement or any successor in interest the'eof shall have the right to enforce the terms of this Agreement through an action for injunctive or declaratory relief. The right of injunction shall be in addition to all of the remedies set forth in this Agreement or otherwise provided by law. (f) Applicable Law. This Agreement shall be construed in accordance with the laws of the State of Washington. (g) Construction and Interpretation. It is agreed and acknowledged by the parties to this Agreement that the provisions of this Agreement have been arrived at through negotiation, and that each of the parties hereto has had a full and fair opportunity to revise the provisions of this Agreement and to have such provisions reviewed by legal counsel. Therefore, the normal rule of construction that any ambiguities are to be resolved against the drafting party shall not apply in construing or intorpreting this Agreement. (h) Default. If either party fails to undertake any action required hereunder or iiolates any of the restrictions or covenants herein (the "defaulting party") , which is no. cured within 30 days (or if such condition is of such a nature that it cannot be reriedied within such time period, if the defaulting party fails to undertake such cure within such time period and thereafter continuously and diligently pursue to completion a cure thereof) after receipt of written notice from the other party (the "curing party"), then the curing party may (but shall not be obligated to) undertake such action and recover the costs thereof, plus interest thereon at the rate of ten percent (10%) per an ium from the date of expenditure until paid in full. (i) Indemnification. Each Owner shall protect, indemnify, defend and hold free and harmless the other Owners, and their agents, servants, employees, officers and directors, from and against any and all loss, damage, liability, cost or expense, inc luding, without limitation, attorneys' fees, reasonable investigative and discovery costs, court costs and all other sums which such other Owners, their agents, servants, employees, officers and directors may incur, pay, or become obligated to pay on ac::ount of any, all and every demand or claim, or assertion of liability, or any claim or action founded thereon arising or alleged to have arisen out of any occurrence on the De,:laration of Restriction and Grant of Easements Page 5 NEi: 12th St&Sunset Blvd, Renton,WA RA45203reIo 12/1/98 IV ind 9mnifying Owner's Property whether such claim or claims, action or actions, be for damages, injury to person or property, including the property of the indemnified Owner, or death of any person, made by any person, group or organization, whether employed by any of the Owners hereto or otherwise. In the event of any litigation or arbitration by the parties hei eto or their successors, the prevailing party shall be entitled to reimbursement of coats and attorney fees and expenses from the non-prevailing party or parties. (k) Counterparts. This Agreement may be executed in one or more identical counterparts, and as so executed by all parties hereto, shall constitute a single instrument for purposes of the effectiveness of this Agreement. (I) Becordgtion. This Agreement shall be recorded with the King County Recorder's office.
