Grantor is the fee owner of certaan property in the City of Renton which is being developed with a corporate headquarters and practice facility£or#he Seattle 3eahawks professional football te�n,which named the Virginia Mason Athletic Center("VMAC'�. B. Grantor is the ground lessor of said property to Football Northrx+est LLC("FNW'�. C. In conjunctaon with the deve]opment of VMAC,Grantee will be providing domestic water service and fire flow water service to the VMAC facilities. D. Crrantor and FNVV wish to grovide ttiis Easerae�t to Grantee City of Rentan for the location of,maintennance o�and access to the damestic water and fire flow water service to the VMAC as described in this Easement Now,therefore,for good and vaIuable consideration,the receipt and sufficiency of which is hereby acknovc+ledged,the parties agree as fallows: II. AGREEMENTS � 1. Grant of Easemen� GTantox hereby grar►ts,bargains,sells and conveys ta Grantee,its successars and assigns,a perpetual,nonexclusive easement for domesfiic water and fxre flow water utility purposes over,under,tbrough,across aad upon the easement area as legally described at Exhibit A hereto and shown for informataanal piup�ses on the sketch at Exhibit B attached hereto(the"Easement Area"),for the purpase of reconstcvcting,repairing,replacing, operati�g and main#ain�ing the domestic vcrater and fire flow water utility pipelines,meters,and associaeed pumps and appurteaances necessary and convenient to serve the VMAC,and including right of ingress and e�ress thereto with�ut prior institution of any suit or praceedings of law as described below. 2. Use of Easement. Grantee shall icee�p Grantee's domestic water and fire flow water utility facilities in good and serviceable condition. Grantor,its empioyees,contractozs,and agents shall . not use the Easement Area in any vc�ay that damages Grantee's property or the impzovements located thereon. 3. Mainienance. Grantee shall be responsible for maintenance and all eosts of maintenance of Grantee's domestic water and fire flow water utility facilities. ,All repairs sha11 he made in compliance with al3 applicable laws,ardinances,codes and regalati�ns. Except for emergencies, Grantee shall give reasonable notice to Grantor or FNW of any maintenance or repair activities and shall schedule maintenance and zepair activit'ses in consultat.ion wzth Grantor or FNW in sas��axi.t 2 , . � . ��order to.minimize inconvenience to Grantor or FNW's nse of the Easement Area or ahutting � �property.. Any restorarion shall be cansistent with the capping and institu#ional oontrols reyuirrd by the W ashington State Department of Ecology requirements imposed pursuant to Prospective Puzc�aser Conscnt Decree Order No.17E92TGN335 as aaaended(the"Consent Decree"). 4. New Structures. After the initiai cons�on,Grantee shall not enlarge arny siructures in the Easement Area without the express writxen consent of Grrantor,which consent shatl not be unreasonably be denied or delayed. 5. Reservation of 4ther Ri ts. Grantar retains,reserves and shall continue to enj oy the use of the Basement Area for any and all putposes rvhich do not unreasonably interfere with the rights granted to Grantee herein. Without limiting the generalit�of the foregoing,Grantee shall not a. Erect or maintain any buildings within the Easement Area; b. Plant trees or other vegetation with deep ro�t patterns that would likely cause damage ta the utilities within the Easement Area; c. With the exception of the accessory parking lots, sidewalks,driveways,professzonal football practice fields,the irrigation systems for those practice fields as pernutted by the City of Renton in portions of the Easement Area,and with thc exception of the barri.ers and otlaer requi�rements of the Consent Decree,Grantor shall not develap,landscape or beautify the Easement Asea i�n any way that would unreasonably increase the costs to Grantee of restoring the Easement Area and any private improvemenfs therein; d. Perforzn construction activities that would distuzb the campaction of or unearth Grantee's stonn system utility facilities;or e. Blast within fifteen(15)feet of the Easement Area. 6. Liens. Grantee shall not allow any liens or encumbrances of any kind whatsoevez upon the Easement Area. 7. Goveining,Law. This Easement shall be governed by tlae laws of the State of Washington. 8. Binding Effect. The easements and covenauts herein shall nm with the land anci be bindin$ . upon and inure to the benefit of the parties hereto,and their respective successors in interest� g, pmendments. This Easement may not be modified ar amended withaut prior written approval of the parties hereto,or their respective successors or assigns. ]0. Authoritv. All parties exeeuting this Easement in a representative capacity covenant that all necessary approvals have been granted by any body required to provide them with the authority to enter into this Easement. sosra2i.i 3 s 11..Attornevs Fees. In the event either party believes the other party is in default under the terms o�this Easement,the party shall provide notice and reasonable opportunity to cure to the a�legetlly defaul�ing party. The parties shall meet and attempt#o resolve any alleged tiefault prior to filing suit. If after notice and opporhznity to cure,a party seeks to enforce this Easement in court,fhe mast pxevailing party in such action shall be cntitled to its reasonable attorneys fees, expert fees,and costs incurred both during initial suit and on any appeal.
