WebLinkAboutContractfCAC—023—90IMarch29,1990INTERLOCALCOOPERATIONAgreementBETWEENKINGCOUNTYANDTHECITYOFRentonOPENSPACEACQUISITIONPROJECTSThisInterlocalCooperationAgreementisenteredintobetweentheCityofRenton(“City11)andKingCounty(ticountyl!)ArticleI.RECITALSOnNovember7,1989,KingCountyvotersapprovedtheissuanceofBondstofinancetheacquisition,construction,development,andimprovementofpublicgreenspaces,greenbelts,openspace,parksandtrailsandanexcesspropertytaxlevytopaytheprincipalandinterestonsuchBonds.TheballotpropositionwasauthorizedbyKingCountyOrdinanceNo.9071.ProjectstobefundedfromBondProceedsincludeKingCountyProjects,CityofSeattleProjectsandSuburbanJurisdictionProjects.PriortothedistributionofBondProceedsbytheCountytoaneligiblejurisdiction,OrdinanceNo.9071requiresexecutionofanInterlocalCooperationAgreementcontainingprovisionsnecessarytosatisfyapplicablefederaltaxlawsandrequlationsandtomakecertainotherprovisions.PursuanttoKingCountyOrdinanceNo.9071,andWashingtonStatuteChapter39.34,thepartiesagreeasfollows:—1—901—319.AG CArticleII.DEFINITIONS.2.1.Agreement.ThisInterlocalCooperationAgreementbetweentheCountyandtheCityregardingthedistributionofProceedsfromthesaleofBondsforpublicgreenspaces,greenbelts,openspace,parksandtrails,asdescribedandauthorizedbyOrdinanceNo.9071andtheBondOrdinance.2.2.BondOrdinance.TheordinanceorordinanceswhichareadoptedbytheKingCountyCouncilauthorizingtheissuanceandsaleofBondstofinancetheProjectsauthorizedbyOrdinanceNo.9071orsubsequentlyapprovedbytheCounty.2.3.BondProceeds.TheprincipalproceedsreceivedfromthesaleofBondsandanyearningsreceivedfromtheinvestmentthereof.ThetermshallnotincludeaccruedinterestontheBondspaidbytheoriginalpurchaseroftheBonds.2.4.BondRedemptionFund.TheCountyfunddesignatedbyordinanceforthepurposeofpayingtheprincipalofandinterestonanyBondsissuedbytheCounty.2.5.Bonds.Anybonds,notesorotherevidenceofindebtednesssoldpursuanttotheBondOrdinanceandanyrefundingbondsissuedinlieuthereof.2.6.CapitalCosts.Theterm“capitalcosts”shallbeconstruedconsistentwiththeterm“capitalpurposes”inArticleVII,§2(b)oftheWashingtonStateConstitution.Thetermshallnotincludethereplacementofequipment.ThetermmayincludepaymentforallcostsrelatedtothecarryingoutofProjects,includingwithoutlimitation,realestateappraisal,legaland-—2—90l—3l9.AG *C,C,acquisitioncosts;makingqualifiedreimbursements;payingnecessarydesign,engineering,constructionandProjectadministrationexpenses;staffingcostsoftheCitizensOversightCommittee;payinginterestonanyinterimfinancingpendingthereceiptofBondProceeds;andpayingthecostsandexpensesincurredinissuingtheBondsoradministratingtheplanninganddistributionofBondProceeds.2.7.CitizensOversightCommittee.TheOpenSpaceCitizensAdvisoryCommittee,whichwasestablishedfollowingenactmentoftheElectionOrdinanceandpassageofthebondpropositionauthorizedthereintoreviewandreporttotheKingCountyCouncilonasemi-annualbasisregardingthestatusandimplementationofapprovedProjects.ThecommitteeisalsoresponsibleforrecommendingtotheKingCountyCouncilconcerningreallocationsofBondProceedswhenavailableforneworrevisedProjects.2.8.ChiefFinancialOfficer.ThepersonservingaschieffinancialofficeroftheCounty’sOfficeofFinancialManagementortheperson’ssuccessor.2.9.Code.TheInternalRevenueCodeof1986asamended,togetherwith,allapplicableregulations.2.10.TheElectionOrdinance.KingCountyOrdinanceNo.9071.2.11.OpenSpace.Theterm“openspace”or“openspaceland”means(a)anylandareasodesignatedbyofficialcomprehensivelanduseplanandadoptedbyacityorcountyand•—3—901—319.AG Czonedaccordinglyor(b)anylandarea,thepreservationofwhichinitspresentusewould(1)conserveandenhancenaturalorscenicresources,or(ii)protectstreamsorwatersupply,or(iii)promoteconservationofsoils,wetlands,beachesortidalmarshes,or(iv)enhancethevaluetothepublicofabuttingandneighboringparks,forests,wildlifereserves,naturalreservationsorsanctuariesorotheropenspace,or(v)enhancerecreationalactivitiesor(vi)preservehistoricsitesor(vii)retaininitsnaturalstate,tractsoflandnotlessthanfiveacressituatedinanurbanareaandopentopublicuseonsuchconditionsasmaybereasonablyrequiredbythelegislativebodygrantingtheopenspaceclassification.2.12.Pro-iect.Projectsforacquisition,construction,developmentandimprovementofpublicgreenspaces,greenbelts,openspace,parksandtrailsasauthorizedintheElectionOrdinanceorassubsequentlyapprovedbyKingCounty.2.13.ProjectCategories.ProjectsallocatedwithinoneofthreeexistingcategoriesauthorizedintheElectionOrdinance.ThecategoriesincludeCountyProjects,SeattleProjectsandsuburbanjurisdictionProjects.2.14.QualifiedReimbursements.ReimbursementsofadvancesforProjectcostsmadeaftertheenactmentoftheElectionOrdinancefromotherfundsinanticipationofthereceiptofBondProceedsasevidencedbywrittenrecordsmadecontemporaneouslywithsuchadvancesandinaformacceptabletotheChiefFinancialOfficer.—4—901—319.AG CC2.15.Taxable.Bonds.BondstheinterestonwhichisincludedinthegrossincomeofrecipientsthereofbyreasonofthefailuretocomplywithapplicablerequirementsoftheCode.2.16.TaxExemptBonds.Bondstheinterestonwhichisnotincludedinthegrossincomeoftherecipientsthereofbyreasonofsection103(a)oftheCodeof1986asamended.ArticleIII.TERNOFAGREEMENT.ThisAgreementshallbeeffectivewhenexecutedbybothpartiesandshallremainineffectfortwenty(20)yearsfollowingthedateofissuanceofBondsfortheProjects,orthetermofsaidBonds,whicheverislonger,unlessterminatedearlierpursuanttothisAgreement.ArticleIV.CONDITIONSOFAGREEMENT.Section4.1.Pro-jectDescription/UseofBondProceeds.BondProceedsmadeavailabletotheCitypursuanttothisAgreementmaybeusedtodefraytheCapitalCostsofProjects..pursuanttotheElectionOrdinanceandthisAgreement.TheProjectscurrentlyapprovedbytheCountyarelistedinAttachmentA,whichisincorporatedhereinbyreference.Section4.3.ProiectImplementation.ProjectimplementationshallbeassetforthinAttachmentB,whichisincorporatedhereinbyreferenceorassetforthinapprovedmodificationstotheimplementationschedulesetforthinAttachment3.Thepartiesrecognizethatdelayinimplementation—5—901—319.AG CofProjectswilljeopardizethefinancialviabilityoftheProjectsascurrentlyapprovedandthetaxexemptstatusofinterstontheBonds.TheCity,therefore,certifiesthatastoitsProjects,ithasrevieweditsrealpropertyacquisitionprocedures,commitstoallreasonableactionandwillproceedwithduediligencetoensurethatitsProjectsareexpeditiouslycompletedinaccordancewiththeProjectImplementationschedule,andthatitwillgivehighestprioritytothosepropertieswherethereisaparticularthreatofconversiontoamoreintensiveuseorincreasesinacquisitioncosts.Section4.3.MaintenanceinPerpetuity.TheCityandanysuccessorininterest,agreetomaintainthelandsandfacilitiesconstitutingtheProjectsacquiredwithBondProceedsprovidedpursuanttothisAgreement,theElectionOrdinanceandtheBondOrdinanceforthepurposessetforthhereininperpetuity.IftheCitychangesthestatusoruseoflandsorfacilitiesacquiredwithBondProceedspursuanttothisAgreementtoanyotherpurposeoruse,theCityshallpaytheCountyanamountacceptabletotheCountyincashtoprovideforreplacementoftheopenspacelandorfacilitiesorsubstituteotherpropertywhichKingCountydetermines,throughitsnormallegislativeprocess,tobeconsistentwiththepurposeofKingCountyOrdinance9071.Ineithercase,thevalueofthepropertyshalllieestablishedatthetimeofthechangeinstatusoruse,basedonthechangedstatusoruseandnotbasedonitsvalueaspublicgreenspace,greenbelt,openspace,parkortrail.Innoevent—6—-901—319.AG CshalltheuseofanylandorfacilitiesconstitutingaProjectbechangedtoanyprivateuse,whichwouldjeopardizethetaxexemptstatusoftheinterestontheBonds.Atitsowncost,theCitywillprovidetheCountyanindependentMIAappraisalpreparedinaccordancewiththissection.ThevalueestablishedbytheappraisalwillnotliebindingontheCounty.TheCityshallprovidetheCountywithwrittennoticepriortothechangeofuseandshallreimbursetheCountywithinninety(90)daysofsuchnotification.Reimbursementnotreceivedwithinninetydayswillaccrueinterestatthethenlegalratefromthedateofnotification.ShouldanyProjectorportionthereofbesubjecttocondemnationduringthetermofthisAgreement,theproceedsofanyawardincondemnationoftheProjectorportionthereofshallbeusedfortheacquisition,construction,developmentorimprovementofotherequivalentlandsorfacilities.TheprocedureforsubmissiontoandapprovalbytheCountyoftheCity’sproposedsubstitutedlandsandfacilitiesshallbeassetforthinSection5.5.NothinghereinshallpreventtheCityfromgrantingeasements,franchisesorconcessionsorfrommakingjointuseagreementsorotheroperationalagreementswhicharecompatiblewiththeuseofaProjectforthepurposesauthorizedinthisAgreementandtheOrdinance.4.4.ProjectAdministrationandMaintenance.NecessaryadministrationandmaintenanceforaProjectafteritscompletion—7—901—319.AG CshallbetheresponsibilityofthejurisdictioninwhichtheProjectwaslocatedonJuly1,1989.IftheProjectislocatedwithinanareaannexedbytheCityafterJuly1,1989,ownership,administrationandmaintenanceoftheProjectwillbetransferredtotheCityifsoauthorizedbytheCounty.Followingsuchtransfer,allprovisionsofthisAgreementandtheElectionOrdinanceapplicabletoCityadministration,maintenanceanduseofProjectsshallapply.4.5.SoecialConditions.AssetforthintheElectionOrdinance,theAgreementbetweentheCountyandtheCitymaycontainspecialconditions.Ifapplicable,suchspecialconditionsareattachedheretoasAttachmentCandincorporatedhereinbyreference.4.6.JointProlects.IfanyoftheCity’sProjectsarejointProjectswiththeCounty,inadditiontoanyotherapplicablerequirementsorspecialconditions,thepartiesshallnegotiateanagreementregardingadministrationandProjectmanagementofsuchjointProjectspriortodistributionofBondProceedstotheCityforsuchjointProjects.ArticleV.BONDPROCEEDS.5.1.DistributionofPrincipalProceeds.TheprincipalproceedsoftheBondsshallbedepositedinafundorfundstobedesignatedbytheCountyforthepurposeofadministering,disbursingandaccountingforBondProceedsauthorizedbytheElectionOrdinance,thisAgreementandtheBondOrdinance.—8—901—319.AG •1CWithinsaidfundorfunds,BondprincipalwillbedistributedtotheCityinaccordancewiththescheduleattachedheretoasAttachmentA.5.2.InvestmentofBondProceeds.TheCounty,throughitsOfficeofFinancialManagement,shallberesponsibleforplacinginvestmentsofcashbalances.TheCountywillberesponsibleforarbitragecalculationsandrelatedactionsrequiredbytheCodetoensurecompliancewitharbitrageregulations.TheCityshallmaintaincompleteandaccuraterecordsofallexpendituresandanyinvestmentofBondProceedsbytheCityandshallprovideallinformationrequestedbytheCountytoassuresuchcompliance.5.3.DistributionofInterestEarnings.InterestearningsontheprincipalBondProceedswillbedistributedtotheCityon.aperiodicbasis,andwillliecalculatedbasedontheunspentbalanceofallCityProjects.TheCountywillallocatesuchinterestearningstospecificCityProjectsaccordingtotheCity’sinstructions.InterestearningsavailablefordistributionwillbereducedasnecessarytoprovideforanyrebatepaymentsrequiredbytheCodeduetoarbitrageearningsonbondProceeds.AnyinterestearningswithheldinexcessofrequiredrebatepaymentswillbedistributedtotheCitypro—rata,basedontheCity’sshareofallinterestearningsreceivedonBondProceeds.5.4.BondProceedsDisbursement.BondProceedswillbedisbursedtotheCityuponreceiptandverificationbytheOpenSpacesOfficeofproperlycompleted—9—-901—319.AG CCrequestsforpaymentofBondProceeds.TheOfficeofFinancialManagementshallprescribetheformofsuchrequests.ThedisbursementreoiiestsshallliemadeonlyforQualifiedReimbursementstotheCityforCapitalCosts,forcurrentCityexpendituresforCapitalCostsandforpaymentofinterimfinancingpursuanttosection5.6.TheCityshalltransmitpaymenttoitspaveesforcurrentCapitalCostsexpenditureswithinfivedaysofreceiptbytheCityofitsrequestedBondProceeds.TheCityshallprovidealistofauthorizedindividualstocertifytherequestssubmittedtotheCounty.TheCitywillberesponsiblefortheaccuracyofthepaymentrequestsandtheproprietyandtimelinessofitsdisbursementsfollowingreceiptofBondProceeds.5.5.BondProceedsReallocation.a.ExcessBondProceeds—ExistingProjects.If,uponcompletionofaProject,BondProceedsexistinexcessoftheamountnecessarytofullyprovidefortheProject,theCitymayproposetoallocatesuchexcessBondProceedstootherexistingProjectsbyprovidingtheCountyandtheCitizensOversightCommitteenoticeofitsintentiontoreallocatesuchBondProceedsandbysubmittingwithsuchnoticearevisedimplementationschedulereflectingsuchproposedreallocation.TheCitizensOversightCommitteeshallhave21daystoreviewandrecommendapprovalordisapprovaloftheCity’sproposedreallocation.TheCity’sproposalandtheCitizens’Oversight—10—901—319.AG CCCommittedrecommendationwillbesubmittedtotheKingCountyCouncilfordetermination.(b)BondProceedsReallocation-ProjectAbandonment.IftheCityabandonsaProject,theCitymayreallocateunexpendedBondProceedstootherexistingapprovedCityProjectsfollowingthesameprocedureassetforthinsub—section5.5(a)aboveafterformallegislativeactionbytheCity,whichincludesadeterminationandfindingsthatchangedconditionsornewinformationdevelopedafterapprovaloftheProjectpreventcompletionoftheProjectorclearlydemonstratethattheexistingProjectwouldnolongerservethebestinterestoftheCityinfulfillingtheintentofthisAgreementandtheElectionOrdinance.(c)BondProceedsReallocation-NewProjects.IftheCityproposestoreallocateBondProceedstoanewProject,theCityshallforwarditsproposaltotheCitizensOversightCommitteeforitsreviewandrecommendation.TheKingCountyCouncilmayeallocateBondProceedsfollowingreceiptoftheCitizensOversightCommittee’srecommendation,ifitdeterminesthattheproposednewProjectisconsistentwiththepurposeoftheBondsandifitobtainstheAgreementofoneormorecitieswithinthesameProjectCategory.5.6.InterimFinancing.FollowingtheCounty’sadoptionoftheBondOrdinance,theCitymayissueshorttermobligationsinanticipationofreimbursementfromBondProceeds,pursuanttotheBondOrdinanceandthisAgreement,todefraythesameCapital—11—901—319.AG CCCostsforwhichBondProceedsmaybeutilized.TheCityshallsubmitsuchproposedobligationstotheCounty’sChiefFinancialOfficerforapprovalpriortoincurringsuchobligations,iftheobligationsareintendedtobepaidfromBondProceeds.UponapprovalbytheCounty’sChiefFinancialOfficer,thepaymentofprincipalandinterestuponsuchapprovedshorttermobligationsshallbeaproperobjectofexpenditureofBondProceeds.ArticleVI.REPORTINGREQUIREMENTS.6.1.ReportingSchedule.DuringimplementationoftheProjects,theCityshallprovidetheCountyandtheCitizensOversightCommitteesemi-annualreportsdescribingProjectimplementationstatus.SuchreportsshallcontainsuchinformationandshallbeinaformatallasspecifiedbytheCounty.TheReportshallbesubmittednolaterthanthetwentiethworkingdayofJanuaryandJulyofeachyearduringwhichsuchreportsarerequired.ArticleVII.TAXCOVENANTS.7.1.PreservationofTaxExemptStatus.IftheCountyissuesTaxExemptBondstoprovidefundsfortheProjects,inadditiontoallotherrequirementssetforthinthisAgreement,solongassuchBondsareoutstandingorfortwentyyearsafterthefirstdisbursementofBondProceeds,whicheverislonger:(a)TheCitywillnotuseorpermittobeusedanyoftheBondProceedsorthepropertyorfacilitiesacquired,-—12—901—319.AG Caconstructed,developedorimprovedaspartoftheProjectsinsuchmannerandshallnottakeoromittotakeanyotheractionastocausetheinterestontheBondstobeincludedinthegrossincomeoftherecipientsthereofforpurposesoffederalincometaxation.(b)TheCitywillprovidecertificateswhenandasrequiredbyBondCounsel,theCodeortheInternalRevenueServiceinordertoestablishormaintainthetaxexemptstatusofinterestontheBonds.(c)TheCitywillcomplywithanyrequirementsimposedbytheCodeinordertopreservethetaxexemptstatusofinterestontheBonds.TheCitywillcooperateinanyauditbytheInternalRevenueService,includingdisclosureofanyrecords,contractsandothermaterialsrequiredbytheInternalRevenueServiceinordertoestablishorpreservetheBonds’taxexemptstatusorasmayberequiredbytheCode.7.2.Indemnification.IftheBondsbecomeTaxableBondsasaresultoftheactsoromissionsoftheCitynotapprovedinwritingbytheCounty,theCityshallindemnifyandholdtheCounty,itsofficers,employeesandagents,includingbondcounsel,harmlesswithrespecttobondholders’claimsandanycostsattendantthereto,includinganypenaltiesandtheCounty’sattorneys’feesadcostsindefendingsuchclaims.—13—901—319.AG CArticleVIII.RESPONSIBILITIESOFCOUNTY.8.1.IssuanceofBonds.SubjecttothetermsofthisAgreement,theElectionOrdinanceandanyBondOrdinanceorBondOrdinancesadoptedbytheKingCountyCouncil,theCountywillissueBondsforthepurposessetforthhereinandintheElectionOrdinanceinaprincipalamountofnotmorethan$117,640,000.Ofthatamount,themaximumprincipalamountofBondProceedstobeallocatedtoCityofSeattleProjectsis$41,795,000andforSuburbanJurisdictionProjects,$35,010,000.SuchBondsmaybesoldatpublicsaleinthemannerrequiredbylawor,iftheCountydeterminesittobeinitsbestinterest,bynegotiatedsale.MaturityofsuchBondsshallbeasestablishedbytheCounty.TheBondsshallbeissuedoveraperiodnottoexceedsevenyearsaftertheirapprovalbythequalifiedelectorateofKingCountyandmaybeissuedinmorethanoneseries,maybecombinedforthepurposeofissuancewithotherauthorizedCountybondsandshallbeissuedinsuchamountsandinsuchdenominationsandshallcontainsuchredemptionprovisionsandothertermsandconditionsasshallbedeterminedbytheCounty.8.2.DistributionofBondProceeds-Agreement.DistributiontotheCityofanyBondProceedsisspecificallyconditioneduponexecutionbytheCityandtheCountyofthisAgreement.8.3.FutureSupport.TheCitymayrequestadditionalfundsforadditionalProjectsassetforthinthis.Agreement;however,theCountyhasnoobligationtoprovidefundstotheCityinexcessoftheamountshowninAttachment3,nortoprovidefunds—14—901—319.AG ClCltetheCityinsupportofProjectsnotspecifiedinAttachmentA.TheCountyassumesnoobligationforthefuturesupportoftheProjectsdescribedherein,oranyotherprojectsexceptasexpresslysetforthinthisAgreement.ArticleIX.GENERALPROVISIONS9.1.HoldHarmlessandIndemnification.(a)TheCountyassumesnoresponsibilityforthepaymentofanycompensation,fees,wages,benefitsortaxestooronbehalfoftheCity,itsemployees,contractorsorothersbyreasonofthisAgreement.TheCityshallprotect,indemnifyandsaveharmlesstheCounty,itsofficers,agentsandemployeesfromanyandallclaims,costsandlosseswhatsoeveroccurringorresultingfrom(1)theCity’sfailuretopayanycompensation,wage,fee,benefitortax,and(2)thesupplyingtotheCityofwork,services,materialsorsuppliesbyCityemployeesoragentsorothercontractorsorsuppliersinconnectionwithorinsupportofperformanceofthisAgreement.(b)TheCityfurtheragreesthatitisfinanciallyresponsibleforandwillrepaytheCountyallindicatedamountsfollowinganauditexceptionwhichoccursduetothenegligentorintentionalactsorfailureforanyreasontocomplywiththetermsofthisAgreementbytheCity,itsofficers,employees,agentsorrepresentatives.(c)Thecityshallprotect,defend,indemnifyandsaveharmlesstheCountyfromanyandallcosts,claims,judgmentsor—15—901—319.AG CCawardsofdamages,includingattorneys’fees,arisingoutoforinanywayresultingfromtheProjects,includingbutnotlimitedtothenegligentactsoromissionsoftheCity,itsofficers,employeesoragents.ForpurposesofthisAgreementonly,theCityagreestowaivetheimmunitygrantedforindustrialinsuranceclaimspursuanttoWashingtonstatutechapter52totheextentnecessarytoextenditsobligationunderthissubparagraphtoanyclaim,demand,orcauseofactionbroughtbyoronbehalfofanyemployees,includingjudgments,awardsandcostsarisingtherefromincludingattorneys’fees.9.2.Amendment.ThepartiesreservetherighttoamendormodifythisAgreement.Suchamendmentsormodificationsmustbebywritteninstrument,signedbythepartiesandapprovedbytherespectiveCityandCountyCouncils.9.3.ContractWaiver.NowaiverbyeitherpartyofanytermorconditionofthisAgreementshallbedeemedorconstruedtobeawaiverofanyothertermorcondition,norshallawaiverofanybreach,bedeemedtoconstituteawaiverofanysubsequentbreachwhetherofthesameoradifferentprovisionofthisAgreement.Nowaivershallbeeffectiveunlessmadeinwriting.9.4.Notices.Anynotice,consent,demandorothercommunicationhereundershallbeinwritingandshallbedeemedtohavebeengivenifdeliveredinpersonordepositedinanyUnitedStatesPostalServicemailbox,sentbyregisteredorcertifiedmail,returnreceiptrequested,andfirstclasspostageprepaid,addressedtothepartyforwhomitisintendedas—16—901—319.AG
