Payment Details
City of Renton agrees to purchase an order of 600 Subscription licenses of the NetMotion Complete per the discounted pricing terms and payment
schedule listed below. All Purchase Orders (PO) must be received by NetMotion from an authorized reseller of NetMotion products, per the terms
outlined below.
x 3 November 2021 - $5,276.72 (or as priced by an authorized NetMotion reseller, includes 600 licenses)
x 5 June 2022 - $32,400.00 (or as priced by an authorized NetMotion reseller, includes 600 licenses)
x 5 June 2023 - $32,400.00 (or as priced by an authorized NetMotion reseller, includes 600 licenses)
x 5 June 2024 - $32,400.00 (or as priced by an authorized NetMotion reseller, includes 600 licenses)
Termination
City of Renton can elect to terminate the agreement at the end of the Term or after all payments have been paid in full. City of Renton obligation under
this agreement shall survive any termination or breach by City of Renton and is fully obligated to finalize the payment schedule listed above.

Order Terms
This Order Specification confirms the agreed upon deal terms between NetMotion Software, Inc (“NetMotion”) and City of Renton (“Customer”)
concerning the transition of Customer’s 525 Permanent Licenses to 525 Subscription Licenses for NetMotion software, and the subscription by the
Customer to an additional 75 Subscription Licenses for NetMotion Software. The term of the Subscription Licenses will be 43 months, commencing on
3 November 2021 and ending on 4 June 2025 (the ”Term”). Customer agrees to discontinue use of its Permanent Licenses and transition its
Permanent Licenses to Subscription Licenses within thirty (30) days of the commencement of the Term.
Customer’s Subscription Licenses are subject to and governed by the terms of the appropriate End User License Agreement which can be found at:
https://www.netmotionsoftware.com/legal- and-copyright/ (“EULA”). Any capitalized terms used but not defined in this Order Specification will have the
meaning ascribed to them in the EULA.
Customer may elect to purchase additional Subscription Licenses for the duration of the Term at any time at the mutually agreed upon price of $120
per Seat. Licenses will be co-termed to the Term and pro-rated.
