HomeMy WebLinkAboutContractCAG-21-293 ABSCO SOLUTIONS CONTRACT AGREEMENT THIS AGREEMENT ("Agreement") is made as of the 16th day of D_ecembeL 2021 (the "Effective Date") by and between the City of Renton, a non-charter code city under RCW 35A, and a Washington Municipal Corporation ("City "), through Absco Solutions, Inc. ("Contractor"), who are collectively referred to as the "Parties", to Install surveillance cameras at Maplewood Golf Course . The City and Contractor agree as set forth below. 1. z. Scope of Work: Contractor will provide all material and labor necessary to perform all work described in the Scope of Work which is attached and fully incorporated into this Agreement by reference as Attachment "A." Changes in Scope of Work: The City, without invalidating this Agreement, may order changes to the Scope of Work consisting of additions, deletions or modifications, the Agreement Sum being adjusted accordingly by Parties mutual agreement. Such changes in the work shall be authorized by written Change Order or Amendment signed by the Parties. 3.Time of Performance: Contractor shall commence performance of the Agreement no later than (30 days) calendar days after the Agreement's Effective Date. 4.Term of Agreement: The Term of this Agreement shall end at completion of the Scope of Work, no later than 60 days from the Effective Date. [Or shall terminate on ______ date]. This Agreement may be extended to accomplish change orders, if required, upon mutual written agreement of the City and Contractor. Termination: A.The City reserves the right to terminate this Agreement at any time, with orwithout cause by giving ten (10) calendar days' notice to the Contractor in writing. B.In the event this Agreement is terminated by the City, the Contractor shall be entitled to payment for all hours worked to the effective date of termination, less all payments previously made. If the Agreement is terminated by the City after partial performance of Work for which the agreed compensation is a fixed fee, the City shall pay the Contractor an equitable share of the fixed fee. This provision shall not prevent the Cityfrom seeking any legal remedies it may have for the violation or nonperformance of any of the provisions of this Agreement or from withholding payment for reasonably disputedcharges.
