4460CITYOFRENTON,WASHINGTONRESOLUTIONNO.4460ARESOLUTIONOFTHECITYOFRENTON,WASHINGTON,AUTHORIZINGTHEMAYORANDCITYCLERKTOENTERINTOANINTERLOCALAGREEMENTWITHTHEWASHINGTONSTATEDEPARTMENTOFCOMMERCEFORAHOUSINGACTIONPLANIMPLEMENTATION(HAPI)GRANTTOIMPLEMENTANEXISTINGHOUSINGACTIONPLAN.WHEREAS,theCityandWashingtonStateDepartmentofCommerce(“Commerce”)areauthorized,pursuanttoRCWChapter39.34,toenterintoaninterlocalgovernmentcooperativeagreement;andWHEREAS,theWashingtonStateLegislaturecreatedtheHousingActionPlanandImplementation(HAPI)grantprogramtoprovidefundingforcitiestoadoptnewhousingactionplans(HAPs)underRCW36.70A.600ortoimplementstrategiesfromadoptedHAPs;andWHEREAS,onOctober11,2021theCouncilpassedResolutionNo.4449adoptingtheCityofRentonHousingActionPlan,whichrecommendedstrategiesfortheCitytoconsiderimplementingtoencouragetheconstructionofadditionalaffordableandmarketratehousingoptions;andWHEREAS,theCitywasawarded$100,000.00inHAPIgrantfundstoassistwiththeimplementationoftheCityofRentonHousingActionPlantobeadministeredbyCommerce;NOW,THEREFORE,THECITYCOUNCILOFTHECITYOFRENTON,WASHINGTON,DORESOLVEASFOLLOWS:SECTIONI.TheMayorandCityClerkareherebyauthorizedtoenterintoaninterlocalagreementwithCommerceforaHAPIGranttoImplementtheCityofRentonHousingActionPlan,attachedheretoasExhibit“A”andincorporatedbythisreference.1 GENERALTERMSANDCONDITIONSINTERAGENCYAGREEMENTSTATEFUNDS1.DEFINITIONSAsusedthroughoutthisContract,thefollowingtermsshallhavethemeaningsetforthbelow:A.‘AuthorizedRepresentative”shallmeantheDirectorand/orthedesigneeauthorizedinwritingtoactontheDirector’sbehalf.B.“COMMERCE”shallmeantheDepartmentofCommerce.C.“Contract”or“Agreement”meanstheentirewrittenagreementbetweenCOMMERCEandtheContractor,includinganyattachments,documents,ormaterialsincorporatedbyreference.E-mailorfacsimiletransmissionofasignedcopyofthiscontractshallbethesameasdeliveryofanoriginal.D.“Contractor”shallmeantheentityidentifiedonthefacesheetperformingservice(s)underthisContract,andshallincludeallemployeesandagentsoftheContractor.E.“PersonalInformation”shallmeaninformationidentifiabletoanyperson,including,butnotlimitedto,informationthatrelatestoaperson’sname,health,finances,education,business,useorreceiptofgovernmentalservicesorotheractivities,addresses,telephonenumbers,socialsecuritynumbers,driverlicensenumbers,otheridentifyingnumbers,andanyfinancialidentifiers.F.“State”shallmeanthestateofWashington.G.“Subcontractor”shallmeanonenotintheemploymentoftheContractor,whoisperformingallorpartofthoseservicesunderthisContractunderaseparatecontractwiththeContractor.Theterms“subcontractor”and“subcontractors”meansubcontractor(s)inanytier.2.ALLWRITINGSCONTAINEDHEREINThisContractcontainsallthetermsandconditionsagreeduponbytheparties.Nootherunderstandings,oralorotherwise,regardingthesubjectmatterofthisContractshallbedeemedtoexistortobindanyofthepartieshereto.3.AMENDMENTSThisContractmaybeamendedbymutualagreementoftheparties.Suchamendmentsshallnotbebindingunlesstheyareinwritingandsignedbypersonnelauthorizedtobindeachoftheparties.4.ASSIGNMENTNeitherthisContract,workthereunder,noranyclaimarisingunderthisContract,shallbetransferredorassignedbytheContractorwithoutpriorwrittenconsentofCOMMERCE.5.CONFIDENTIALITYANDSAFEGUARDINGOFINFORMATIONA.“ConfidentialInformation”asusedinthissectionincludes:i.AllmaterialprovidedtotheContractorbyCOMMERCEthatisdesignatedas“confidential”byCOMMERCE:ii.AllmaterialproducedbytheContractorthatisdesignatedas“confidential”byCOMMERCE:andiii.AllpersonalinformationinthepossessionoftheContractorthatmaynotbedisclosedunderstateorfederallaw.B.TheContractorshallcomplywithallstateandfederallawsrelatedtotheuse,sharing,transfer,sale,ordisclosureofConfidentialInformation.TheContractorshalluseConfidentialInformationsolelyforthepurposesofthisContractandshallnotuse,share,transfer,sellordiscloseanyConfidentialInformationtoanythirdpartyexceptwiththepriorwrittenconsentofCOMMERCEorasmayberequiredbylaw.TheContractorshalltakeallnecessarystepstoassurethatConfidentialInformationissafeguardedtopreventunauthorizeduse,sharing,transfer,saleordisclosureofConfidentialInformationorviolationofanystateorfederallawsrelatedthereto.Uponrequest,theContractorshallprovideCOMMERCEwithitspoliciesandproceduresonconfidentiality.StateofWashingtonInteragencyAgreementUpdatedAugust2019DepartmentofCommercePage3 GENERALTERMSANDCONDITIONSINTERAGENCYAGREEMENTSTATEFUNDSCOMMERCEmayrequirechangestosuchpoliciesandproceduresastheyapplytothisContractwheneverCOMMERCEreasonablydeterminesthatchangesarenecessarytopreventunauthorizeddisclosures.TheContractorshallmakethechangeswithinthetimeperiodspecifiedbyCOMMERCE.Uponrequest,theContractorshallimmediatelyreturntoCOMMERCEanyConfidentialInformationthatCOMMERCEreasonablydetermineshasnotbeenadequatelyprotectedbytheContractoragainstunauthorizeddisclosure.C.UnauthorizedUseorDisclosure.TheContractorshallnotifyCOMMERCEwithinfive(5)workingdaysofanyunauthorizeduseordisclosureofanyconfidentialinformation,andshalltakenecessarystepstomitigatetheharmfuleffectsofsuchuseordisclosure.6.COPYRIGHTUnlessotherwiseprovided,allMaterialsproducedunderthisContractshallbeconsidered“worksforhire”asdefinedbytheU.S.CopyrightActandshallbeownedbyCOMMERCE.COMMERCEshallbeconsideredtheauthorofsuchMaterials.IntheeventtheMaterialsarenotconsidered‘worksforhire”undertheU.S.Copyrightlaws,theContractorherebyirrevocablyassignsallright,title,andinterestinallMaterials,includingallintellectualpropertyrights,moralrights,andrightsofpublicitytoCOMMERCEeffectivefromthemomentofcreationofsuchMaterials.“Materials”meansallitemsinanyformatandincludes,butisnotlimitedto,data,reports,documents,pamphlets,advertisements,books,magazines,surveys,studies,computerprograms,films,tapes,and/orsoundreproductions.“Ownership”includestherighttocopyright,patent,registerandtheabilitytotransfertheserights.ForMaterialsthataredeliveredundertheContract,butthatincorporatepre-existingmaterialsnotproducedundertheContract,theContractorherebygrantstoCOMMERCEanonexclusive,royalty-free,irrevocablelicense(withrightstosublicensetoothers)insuchMaterialstotranslate,reproduce,distribute,preparederivativeworks,publiclyperform,andpubliclydisplay.TheContractorwarrantsandrepresentsthattheContractorhasallrightsandpermissions,includingintellectualpropertyrights,moralrightsandrightsofpublicity,necessarytograntsuchalicensetoCOMMERCE.TheContractorshallexertallreasonableefforttoadviseCOMMERCE,atthetimeofdeliveryofMaterialsfurnishedunderthisContract,ofallknownorpotentialinvasionsofprivacycontainedthereinandofanyportionofsuchdocumentwhichwasnotproducedintheperformanceofthisContract.TheContractorshallprovideCOMMERCEwithpromptwrittennoticeofeachnoticeorclaimofinfringementreceivedbytheContractorwithrespecttoanyMaterialsdeliveredunderthisContract.COMMERCEshallhavetherighttomodifyorremoveanyrestrictivemarkingsplacedupontheMaterialsbytheContractor.7.DISPUTESIntheeventthatadisputearisesunderthisAgreement,itshallbedeterminedbyaDisputeBoardinthefollowingmanner:EachpartytothisAgreementshallappointonemembertotheDisputeBoard.ThememberssoappointedshalljointlyappointanadditionalmembertotheDisputeBoard.TheDisputeBoardshallreviewthefacts,Agreementtermsandapplicablestatutesandrulesandmakeadeterminationofthedispute.TheDisputeBoardshallthereafterdecidethedisputewiththemajorityprevailing.ThedeterminationoftheDisputeBoardshallbefinalandbindingonthepartieshereto.Asanalternativetothisprocess,eitherofthepartiesmayrequestinterventionbytheGovernor,asprovidedbyRCW43.17.330,inwhicheventtheGovernor’sprocesswillcontrol.8.GOVERNINGLAWANDVENUEThisContractshallbeconstruedandinterpretedinaccordancewiththelawsofthestateofWashington,andanyapplicablefederallaws,andthevenueofanyactionbroughthereundershallbeintheSuperiorCourtforThurstonCounty.StateofWashingtonInteragencyAgreementUpdatedAugust2019DepartmentofCommercePage4 GENERALTERMSANDCONDITIONSINTERAGENCYAGREEMENTSTATEFUNDS9.INDEMNIFICATIONEachpartyshallbesolelyresponsiblefortheactsofitsemployees,officers,andagents.10.LICENSING,ACCREDITATIONANDREGISTRATIONTheContractorshallcomplywithallapplicablelocal,state,andfederallicensing,accreditationandregistrationrequirementsorstandardsnecessaryfortheperformanceofthisContract.11.RECAPTUREIntheeventthattheContractorfailstoperformthisContractinaccordancewithstatelaws,federallaws,and/ortheprovisionsofthisContract,COMMERCEreservestherighttorecapturefundsinanamounttocompensateCOMMERCEforthenoncomplianceinadditiontoanyotherremediesavailableatlaworinequity.RepaymentbytheContractoroffundsunderthisrecaptureprovisionshalloccurwithinthetimeperiodspecifiedbyCOMMERCE.Inthealternative,COMMERCEmayrecapturesuchfundsfrompaymentsdueunderthisContract.12.RECORDSMAINTENANCETheContractorshallmaintainbooks,records,documents,dataandotherevidencerelatingtothiscontractandperformanceoftheservicesdescribedherein,includingbutnotlimitedtoaccountingproceduresandpracticesthatsufficientlyandproperlyreflectalldirectandindirectcostsofanynatureexpendedintheperformanceofthiscontract.TheContractorshallretainsuchrecordsforaperiodofsix(6)yearsfollowingthedateoffinalpayment.Atnoadditionalcost,theserecords,includingmaterialsgeneratedunderthecontract,shallbesubjectatallreasonabletimestoinspection,revieworauditbyCOMMERCE,personneldulyauthorizedbyCOMMERCE,theOfficeoftheStateAuditor,andfederalandstateofficialssoauthorizedbylaw,regulationoragreement.Ifanylitigation,claimorauditisstartedbeforetheexpirationofthesix(6)yearperiod,therecordsshallberetaineduntilalllitigation,claims,orauditfindingsinvolvingtherecordshavebeenresolved.13.SAVINGSIntheeventfundingfromstate,federal,orothersourcesiswithdrawn,reduced,orlimitedinanywayaftertheeffectivedateofthisContractandpriortonormalcompletion,COMMERCEmaysuspendorterminatetheContractunderthe“TerminationforConvenience”clause,withoutthetencalendardaynoticerequirement.Inlieuoftermination,theContractmaybeamendedtoreflectthenewfundinglimitationsandconditions.14.SEVERABILITYTheprovisionsofthiscontractareintendedtobeseverable.Ifanytermorprovisionisillegalorinvalidforanyreasonwhatsoever,suchillegalityorinvalidityshallnotaffectthevalidityoftheremainderofthecontract.15.SUBCONTRACTINGTheContractormayonlysubcontractworkcontemplatedunderthisContractifitobtainsthepriorwrittenapprovalofCOMMERCE.IfCOMMERCEapprovessubcontracting,theContractorshallmaintainwrittenproceduresrelatedtosubcontracting,aswellascopiesofallsubcontractsandrecordsrelatedtosubcontracts.Forcause,COMMERCEinwritingmay:(a)requiretheContractortoamenditssubcontractingproceduresastheyrelatetothisContract;(b)prohibittheContractorfromsubcontractingwithaparticularpersonorentity;or(c)requiretheContractortorescindoramendasubcontract.EverysubcontractshallbindtheSubcontractortofollowallapplicabletermsofthisContract.TheContractorisresponsibletoCOMMERCEiftheSubcontractorfailstocomplywithanyapplicabletermorconditionofthisContract.TheContractorshallappropriatelymonitortheactivitiesoftheStateofWashingtonInteragencyAgreementUpdatedAugust2019DepartmentofCommercePage5 GENERALTERMSANDCONDITIONSINTERAGENCYAGREEMENTSTATEFUNDSSubcontractortoassurefiscalconditionsofthisContract.InnoeventshalltheexistenceofasubcontractoperatetoreleaseorreducetheliabilityoftheContractortoCOMMERCEforanybreachintheperformanceoftheContractor’sduties.EverysubcontractshallincludeatermthatCOMMERCEandtheStateofWashingtonarenotliableforclaimsordamagesarisingfromaSubcontractor’sperformanceofthesubcontract.16.SURVIVALTheterms,conditions,andwarrantiescontainedinthisContractthatbytheirsenseandcontextareintendedtosurvivethecompletionoftheperformance,cancellationorterminationofthisContractshallsosurvive.17.TERMINATIONFORCAUSEIntheeventCOMMERCEdeterminestheContractorhasfailedtocomplywiththeconditionsofthiscontractinatimelymanner,COMMERCEhastherighttosuspendorterminatethiscontract.Beforesuspendingorterminatingthecontract,COMMERCEshallnotifytheContractorinwritingoftheneedtotakecorrectiveaction.Ifcorrectiveactionisnottakenwithin30calendardays,thecontractmaybeterminatedorsuspended.Intheeventofterminationorsuspension,theContractorshallbeliablefordamagesasauthorizedbylawincluding,butnotlimitedto,anycostdifferencebetweentheoriginalcontractandthereplacementorcovercontractandalladministrativecostsdirectlyrelatedtothereplacementcontract,e.g.,costofthecompetitivebidding,mailing,advertisingandstafftime.COMMERCEreservestherighttosuspendallorpartofthecontract,withholdfurtherpayments,orprohibittheContractorfromincurringadditionalobligationsoffundsduringinvestigationoftheallegedcompliancebreachandpendingcorrectiveactionbytheContractororadecisionbyCOMMERCEtoterminatethecontract.Aterminationshallbedeemeda“TerminationforConvenience”ifitisdeterminedthattheContractor:(1)wasnotindefault;or(2)failuretoperformwasoutsideofhisorhercontrol,faultornegligence.TherightsandremediesofCOMMERCEprovidedinthiscontractarenotexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.18.TERMINATIONFORCONVENIENCEExceptasotherwiseprovidedinthisContract,COMMERCEmay,byten(10)businessdayswrittennotice,beginningontheseconddayafterthemailing,terminatethisContract,inwholeorinpart.IfthisContractissoterminated,COMMERCEshallbeliableonlyforpaymentrequiredunderthetermsofthisContractforservicesrenderedorgoodsdeliveredpriortotheeffectivedateoftermination.19.TERMINATIONPROCEDURESUponterminationofthiscontract,COMMERCE,inadditiontoanyotherrightsprovidedinthiscontract,mayrequiretheContractortodelivertoCOMMERCEanypropertyspecificallyproducedoracquiredfortheperformanceofsuchpartofthiscontractashasbeenterminated.Theprovisionsofthe“TreatmentofAssets”clauseshallapplyinsuchpropertytransfer.COMMERCEshallpaytotheContractortheagreeduponprice,ifseparatelystated,forcompletedworkandservicesacceptedbyCOMMERCE,andtheamountagreeduponbytheContractorandCOMMERCEfor(i)completedworkandservicesforwhichnoseparatepriceisstated,(ii)partiallycompletedworkandservices,(iii)otherpropertyorservicesthatareacceptedbyCOMMERCE,and(iv)theprotectionandpreservationofproperty,unlesstheterminationisfordefault,inwhichcasetheAuthorizedRepresentativeshalldeterminetheextentoftheliabilityofCOMMERCE.FailuretoagreewithsuchdeterminationshallbeadisputewithinthemeaningoftheDisputes”clauseofthiscontract.COMMERCEmaywithholdfromanyamountsduetheContractorsuchsumastheAuthorizedRepresentativedeterminestobenecessarytoprotectCOMMERCEagainstpotentiallossorliability.TherightsandremediesofCOMMERCEprovidedinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaworunderthiscontract.StateofWashingtonInteragencyAgreementUpdatedAugust2019DepartmentofCommercePage6
