4461CITYOFRENTON,WASHINGTONRESOLUTIONNO.4461ARESOLUTIONOFTHECITYOFRENTON,WASHINGTON,AUTHORIZINGTHEMAYORANDCITYCLERKTOEXECUTEADEVELOPMENTAGREEMENTBETWEENTHECITYOFRENTONANDKINGCOUNTY,AWASHINGTONHOMERULECHARTERCOUNTY,FORAPERMANENTSUPPORTIVEHOUSINGSITEONOAKESDALEAVESW.WHEREAS,KingCounty,aWashingtonhomerulechartercounty(the“County”),madeapplicationtotheCityofRentonforaDevelopmentAgreementonOctober8,2021andtheapplicationwasdeterminedcompleteonNovember8,2021;andWHEREAS,the3.89-acreprojectsiteislocatedat1150OakesdaleAveSW,Renton,WA98057(ParcelNo.9188000148)andaccesstothesiteisprovidedviaOakesdaleAveSW;andWHEREAS,thepropertyislocatedwithintheEmploymentArea(EA)ComprehensivePlanlandusedesignationandtheCommercialOffice(CO)zoningclassification;andWHEREAS,thesiteislocatedwithinUrbanDesignDistrictD;andWHEREAS,thesiteismappedwithhighseismichazardareaandregulatedslopes;andWHEREAS,thesiteislocatedwithintheBlackRiver/SpringbrookCreekReachARegulatedShoreline,ShorelineHighIntensityRegulatedShoreline,andtheSpecialFloodHazardArea(100yearflood)FEMAZone—EA;andWHEREAS,theproposalincludesaDevelopmentAgreement(attachedheretoasAttachmentA)andchangeofusetoconverttheformerExtendedStayAmerica(ESA)hoteltoPermanentSupportiveHousingasaffordablehousingforapproximately106unitswithapproximately117surfaceparkingspaces;and1 RESOLUTIONNO.4461WHEREAS,thePermanentSupportiveHousingdevelopmentprojectincludes24-hourstaffing,acode-of-conductforallresidents,activeindividualizedcasemanagement,wraparoundserviceavailabilityforresidents,atransportationplanforresidents,supportservices,commonrecreationspace,outdoorrecreationspace,afireandlifesafetyplan,andadherencetoagoodneighborplanthataddresseslitter,noise,transportation,andsecurityprocedures;andWHEREAS,SEPAEnvironmentalReviewwascompletedforthePermanentSupportiveHousingdevelopmentprojectwithon-siteservicesforthechronicallyhomeless,withtheCountyissuingaDeterminationofNonsignificance(DNS)pursuanttoWAC197-11-340(2)onOctober12,2021andnoappealshavebeenfiled;andWHEREAS,theCountyhasconcludedthattherearenosignificantadverseimpactsassociatedwiththePermanentSupportiveHousingdevelopmentproject;andWHEREAS,publiccomment,attachedheretoasAttachmentB,wasreceivedduringthelandusenoticeperiodregardingsafetyconcernsandtheapplicant’sproposedsecurityplan;andWHEREAS,nootherpublicoragencycommentswerereceived;andWHEREAS,representativesfromvariousCitydepartmentsreviewedtheapplicationmaterialstoidentifyandaddressissuesraisedbytheproposeddevelopmentagreement.Thesecommentsarecontainedintheofficialfile(filenumberLUA21-000389);andWHEREAS,developmentagreementsareauthorizedunderRCW36.70B.170through36.70B.210;andWHEREAS,theintentofthedevelopmentagreementprovidesforagreedconditionsasanalternativeapprovalprocesstoaconditionalusepermitandsiteplanreviewfromthetypicalhearingexaminerapprovalprocess;and2 RESOLUTIONNO.4461WHEREAS,thePermanentSupportiveHousingdevelopmentprojectwillbeoperatedincompliancewiththefollowingplans:on-sitesecurityplan,transportationplanforresidentstoobtainadequateservices,on-sitesupportservicesplanappropriatetotheneedsoftheresidents,commonrecreationspaceandrecreationservicesplan,designatedcommonoutdoorspace,includingsmokingareasplan,fire/lifesafetyplansapprovedbytheRentonRegionalFireAuthority(RRFA);andWHEREAS,theproposaliscompliantwiththeEmploymentArea(EA)ComprehensivePlandesignationbyprovidingsupportivehousingneedsorlivingenvironmentwithproximitytotransitservicesandcomplieswiththegeneralgoals,objectives,policies,andstandardsoftheComprehensivePlanestablishedwiththisdesignation,providedthedevelopmentagreementiscompliedwith;andWHEREAS,theproposaliscompliantwithCommercialOffice(CO)zoningdesignationandcomplieswiththezoninganddevelopmentstandardsestablishedwiththisdesignationunderRMC4-2-120.B,providedthedevelopmentagreementiscompliedwith;andWHEREAS,theproposeddevelopmentagreementcomplieswiththeUrbanDesignDistrictDrequirementsand/orguidelinestobefunctionalandusablepursuanttoRMC4-3-100,providedthedevelopmentagreementiscompliedwith;andWHEREAS,theproposalisconsistentwiththeCriticalAreaRegulationspursuanttoRMC4-3-050,providedthedevelopmentagreementiscompliedwith;andWHEREAS,theproposalisconsistentwithSitePlanReviewpursuanttoRMC4-9-200fordevelopmentintheCommercialOffice(CD)zoningclassification,providedthedevelopmentagreementiscompliedwith;and3 RESOLUTIONNO.4461WHEREAS,theproposaliscompliantwithconditionalusecriteriapursuanttoRMC4-9-030.D,providedthedevelopmentagreementiscompliedwith;andWHEREAS,theRentonSchoolDistrictwouldprovidetransportationtoanyeligiblestudentlivingatthePermanentSupportiveHousingdevelopmentprojecttocomplywiththeMcKinney-VentoActonanasneededbasis;andWHEREAS,thereareadequatepublicservicesandfacilitiestoaccommodatetheproposedproject,providedthedevelopmentagreementiscompliedwith;andWHEREAS,thedevelopmentagreementwaspresentedforthePermanentSupportiveHousingsiteonOakesdaleAveSWatapublichearingbeforeCityCouncilheldonJanuary10,2022;andWHEREAS,theCityCouncilheardpubliccommentpresentedatthepublichearingforthePermanentSupportiveHousingdevelopmentproject;andWHEREAS,theCityCouncilhastakenintoaccountthepubliccommentpresentedatthepublichearingandhasconsideredthedevelopmentagreementattachedheretoasAttachmentA;andWHEREAS,theproposalasreflectedinthenegotiateddevelopmentagreementiscompliantwithapplicabledevelopmentstandards;NOW,THEREFORE,THECITYCOUNCILOFTHECITYOFRENTON,WASHINGTON,DORESOLVEASFOLLOWS:SECTIONI.Theabovefindingsaretrueandcorrectinallrespects.4 F.ThroughtheapprovalofthisAgreement,theRentonCityCouncilissueslanduseapprovalforfilenumberLUA21-000389forthePermanentSupportiveHousingSiteasanalternativetotheCountyapplyingforandobtainingaconditionalusepermitandsiteplanreviewapprovalaspartofthehearingexaminerapprovalprocess.G.PursuanttotheStateEnvironmentalPolicyAct,Chapter43.21CRCWanditsimplementingrules,Chapter197-11WAC(“SEPA”),theCityandtheCountyagreethattheCountyshallserveasleadagencyforpurposesofSEPAreviewofthePermanentSupportiveHousingSite.H.ItistheintentofthisAgreementtoprovideforagreedconditionsoftheCity’sapprovalofthePermanentSupportiveHousingSiteasanalternativeapprovalprocesstoaconditionalusepermitandsiteplanreviewaspartofthehearingexaminerapprovalprocess.ThisAgreementwasconsideredattheCityCouncilCommitteeoftheWholemeetingonJanuary10,2022andtheRentonCityCouncilheldapublichearingonthisAgreementattheregularCityCouncilmeetingonJanuary10,2022.TheCityCouncilauthorizedtheCitytoenterintothisAgreementwithCountyatitsregularCouncilmeetingonJanuary24,2022.NOWTHEREFORE,inconsiderationofthemutualagreementsofthePartiessetforthherein,aswellasothervaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thePartiesherebycovenantandagreeasfollows:AGREEMENTS1.ADDITIONALDEFINITIONS.1.1DevelopmentRegulationshasthesamemeaningas“DevelopmentStandards”asthattermisusedintheDevelopmentAgreementStatutesectionRCW36.70B.170(3)andincludesregulationsencompassedinTitleIVoftheRMCineffectontheVestingDate.1.2PermanentSupportiveHousinghasthesamemeaningassetforthinRMC4-11-160.13TheVestingDateistheEffectiveDateofthisAgreement.2.BASISOFAGREEMENT.DevelopmentAgreementbetweenCityofRentonandKingCountyPage3 2.1Intent.ThisAgreementestablishescertainrolesandresponsibilitiesfortheuseofthePropertyforPermanentSupportiveHousing.ItistheintentofthisAgreementtoactastheequivalentofaconditionalusepermitprovidingapprovaloftheuseofthePropertyforPermanentSupportiveHousingwithagreedconditions,requiredprojectelements,standards,andobligationsregardingsuchusetobeappliedtothePropertyasoftheVestingDate.3.PROJECTELEMENTSANDOTHERDEVELOPMENTSTANDARDSANDREQUIREMENTS.3.1ProjectElements.ThePartiesagreethatthePermanentSupportiveHousingSitewillincludethefollowingprojectelements:3.1.1PermittedUse.UnderthisAgreement,thePropertymaybeusedandoperatedasaPermanentSupportiveHousinglanduse.SuchlanduseshallbeconsideredallowedandestablishedeffectiveasoftheVestingDate.3.1.2Operations.ThePermanentSupportiveHousingSiteshallbeoperatedincompliancewiththefollowingplansattachedtothisAgreement.3.1.2.1SecurityPlantoprovidestaff,tenants,partners,andneighborswithasystemthataddressesday-to-dayoperationalsecurityandemergencypreparednessplanning(ExhibitC).3.1.2.2TransportationPlanforresidentstoobtainadequateservices(ExhibitD).3.1.2.3SupportServicesPlanappropriatetotheneedsoftheresidents(ExhibitE).3.1.2.4CommonRecreationSpacePlan(ExhibitsF.1andF.2).3.1.2.5OutdoorRecreationSpacePlan,includinganoutdoorgatheringspace,smokingshelter,bikelockers,andpicnictablearea(ExhibitG).3.1.2.6FireandLifeSafetyPlanapprovedbytheRentonRegionalFireAuthority(RRFA)(ExhibitsH.1,H.2,andH.3).3.1.2.7BuildingpermitsshallbeappliedforandobtainedpursuanttoChapter4-5RMCtoreflectthechangeinoccupancytoaResidential(R2)occupancy.DevelopmentAgreementbetweenCityofRentonandKingCountyPage4 3.2OtherDevelopmentStandards.PursuanttoRCW36.70B.170,thefollowingDevelopmentStandardsapplytothePermanentSupportiveHousingSite:3.2.1Fees.PermanentSupportiveHousingdevelopmentwillrequirebuildingand/orconstructionpermits,createadditionaldemandandneedfortransportationandparksystemimprovements,schoolfacilitieswithintheRentonSchoolDistrict,andfireprotectionfacilitiesfortheRentonRegionalFireAuthority.AllapplicablefeesshallbepaidinaccordancewiththeCity’sfeescheduleineffectatthetimeofapplicationforapplicablepermits.3.2.2SEPAThresholdDetermination.KingCountyhasconcludedthatnosignificantenvironmentalimpactswillresultfromtheproposedproject.TheDNSandEnvironmentalChecklistforthisprojectwerepublishedonOctober12,2021,andthecommentperiodendedonOctober29,2021.Nocomments,written,online,orviavoicecommunicationwerereceivedbyKingCountyduringthecommentperiod.Asdescribed,theprojectsufficientlymitigatesitsenvironmentalimpactsandnofurtherSEPAmitigationisrequired.TheDNSisattachedasExhibitI.3.2.3UrbanDesignRegulations.PursuanttoRMC4-3-100,UrbanDesignRegulationsshallapplytoallnewstructures,exteriormodificationsforthenewportionofthestructure,signage,orsiteimprovements.Noexteriormodificationstothebuildingenvelopeareproposed.3.2.4AffordableHousing.UseofthePropertyforPermanentSupportiveHousingwillbeaffordablehousingasthattermisusedinRCW36.70A.030(2).3.2.5Phasing.Notapplicable;nophasingisproposed.3.2.6ReviewProceduresandStandardsforImplementingDecisions.ThisAgreementprovideslanduseapprovalforthePermanentSupportiveHousingSite.ThisAgreementdoesnotaddressreviewandapprovalofpermitsnecessaryunderapplicablestate,national,uniform,andinternationalcodessuchasforworkrelatedtobuilding,mechanical,plumbing,electrical,andfireprotection(collectively,“ConstructionWork”).IfanyConstructionWorkisproposedontheProperty,standardpermittingprocessespursuanttotheRMCshallapply.3.3RelationshipbetweentheCounty,Operator,andSubsequentPropertyOwner.NotwithstandingtheroleofanyOperator,thePropertyownershallremainjointlyandseverallyresponsibleforcompliancewiththisAgreement.WhileitremainsthePropertyowner,theCountyshallprovideacopyofthisAgreementtotheDevelopmentAgreementbetweenCityofRentonandKingCountyPages OperatorandshallrequiretheOperatortocomplywithallapplicableprovisionsofthisAgreementincludingallexpressobligationsoftheCounty.4.TERM.ThetermofthisAgreement,asitmaybeamendedbytheamendmentprocessescontemplatedinSections6.2and6.3,shallbeginontheEffectiveDateandcontinueforsolongastheAgreementservesasthefunctionalequivalentofaconditionalusepermittoauthorizethePermanentSupportiveHousingSite(“Term”)andshallterminateupontheoccurrenceofanyofthefollowing:a)thecontemplatedPermanentSupportiveHousingSiteisnotoccupiedascontemplatedhereinwithinfour(4)yearsoftheEffectiveDate,b)anapplicationforanalternativelanduseonthePropertyisacceptedandsuchalternativelanduseshallhavebeenpermitted,c)thecontemplateduseisabandoned,ord)replacementpermits/authorizationaregrantedpursuanttoSection6.3.5.VESTING.5.1VestingPeriod.InaccordancewiththeDevelopmentAgreementStatute,thePermanentSupportiveHousingSiteisvestedtotheprovisionsofthisAgreement,andwherethisAgreementissilent,thesubstantiveDevelopmentRegulationsineffectontheVestingDatethatarenecessarytopermitthePermanentSupportiveHousingSiteascontemplatedinthisAgreement.SuchvestedDevelopmentRegulationsinclude,butarenotlimitedtotheapplicableusestandards,regulations,anddefinitionsrelatingtothePermanentSupportiveHousingSiteuseassetforthinRMCChapters4-2,4-4,and4-11.ForpurposesofauthorizingthecommencementofthePermanentSupportiveHousinguseandobtaininganyrequiredassociatedpermits,vestingshallendfour(4)yearsaftertheVestingDate(“VestingPeriod”).ModificationstotheprovisionsofthisAgreementshallbeallowedonlyascontemplatedbySections6.2and6.3.5.2VestingExceptions.DuringtheVestingPeriod,theCityshallnotimposeonthePermanentSupportiveHousingSiteanymodifiedorneworadditionalDevelopmentRegulationsthathavetheeffectofmodifyingtheapprovalandvestingprovidedbythisAgreement,exceptanynewfederalorstatestatutes,rules,regulations,administrativeinterpretationsorcourtdecisionsthataddregulatoryrequirementsontheCitythatitmustenforcethatarenotsubjecttoavestingorsafeharborclausethatwoulddelaytheCity’senforcementresponsibilitybeyondthelifeofthisAgreement.5.3City’sReservedAuthority.NotwithstandinganythingtothecontraryinthisAgreement,asrequiredbytheDevelopmentAgreementStatute,RCW36.70B.170(4),theCityreservestheauthoritytoimposenewordifferentDevelopmentRegulationstotheextentrequitedbyaseriousthreattopublichealthandsafety.DevelopmentAgreementbetweenCityofRentonandKingCountyPage6 6.GENERALPROVISIONS.6.1Authority;Severability.TheCityandCountyeachrepresentandwarrantithastherespectivepowerandauthority,andisdulyauthorizedtoexecute,deliverandperformitsobligationsunderthisAgreement.ThePartiesintendthisAgreementtobeinterpretedtothefullextentauthorizedbylawasanexerciseoftheCity’sauthoritytoenterintosuchagreements,andthisAgreementshallbeconstruedtoreservetotheCityonlythatpolicepowerauthoritywhichisprohibitedbylawfrombeingsubjecttoamutualagreementwithconsideration.ThisAgreementshallbebindinguponandinuretothebenefitofthesuccessorsandassignsofCountyandtheCity.IfanyprovisionofthisAgreementisdeterminedtobeunenforceableorinvalidbyacourtoflaw,then(I)thisAgreementshallthereafterbemodifiedtoimplementtheintentofthePartiestothemaximumextentallowableunderlaw,(ii)thePartiesagreetoseekdiligentlytomodifytheAgreementconsistentwiththecourtdecision,and(iii)neitherpartyshallundertakeanyactionsinconsistentwiththeintentofthisAgreementuntilthemodificationtothisAgreementhasbeencompleted.6.2AmendmenttothisAgreement.AnyamendmenttothisAgreementmustbeinwritingandisnotineffectuntilandunlessapprovedbytheCityandCounty.6.3ModificationstoProjectElementsorDevelopmentStandards.6.3.1InadditiontotheprovisionsofSection6.2,proposedmodificationtoprojectelementsorDevelopmentStandardsshallbeprocessedinaccordancewithRMC4-9-200.H.6.3.2Anymodificationsthatarenotadministrativeminormodifications,asdescribedinRMC4-9-200.H,shallnotbealloweduntilandunlesstheRentonCityCouncilhasheldapublichearingontheproposedmajormodificationsandapprovedthem.Inthealternative,theCountymayelecttoterminatethisAgreementandpursuenewpermittingfromtheCity,accordingtotheapplicableCitylawsandregulationsineffectatthattime.6.4Recording;NoThirdPartyBeneficiary.PursuanttotheDevelopmentAgreementStatute,RCW36.70B.190,thisAgreementoramemorandumthereofshallberecordedwiththeKingCountyRecorder’sOffice.DuetothesizeandformatofExhibitsAthroughI,therecordedAgreementmayreplacesomeorallexhibitswithslippagesreferencingtheavailabilityoftheAgreementwithcompletelegibleexhibitsintheCityofRentonfileforLUA2-0003$9.ThisAgreementismadeandenteredintoforthesoleprotectionandbenefitoftheParties,theirsuccessors,andDevelopmentAgreementbetweenCityofRentonandKingCountyPage7
