HomeMy WebLinkAboutContractAGREEMENT with KING COUNTY LIBRARY SYSTEM FOR STORY WALK PROGRAM AT LIBERTY PARK AND SUNSET NEIGHBORHOOD PARK This Agreement is executed as of the 1st day of March, 2022 and between the City of Renton, a non-charter code city under RCW 35A.03 and a municipal corporation of the state of King County Rural Library District d/b/a King County Library System, a . 1.Name of Professional Service Provider: KCLS, a Washington rural library district (hereinafter . Professional Service: Installation of story board pages mounted on metal frames along a walking path in a park, as further specified in this agreement. 2.Scope of Engagement: KCLS is promoting literacy, health, and art appreciation using deconstructed along walking paths at Liberty Park and Sunset Neighborhood Park. At the start of the walk, people will begin to read posted pages of story and end the book at the end of the walking path loop . If additional information is attached, check here: Exhibit : Aerial map of walking path around Liberty Park A-1 Aerial map of walking path around Sunset Neighborhood Park. 3.Locations of Engagement: Walking paths at Liberty Park, 1101 Bronson Way N., Renton, Washington, 98057 and Sunset Neighborhood Park, 2680 Sunset Ln NE, Renton, Washington, 98056. 4.Date(s) of Engagement: March 1-31, May 1-31, July 1-31, September 1-30, 2022 at Liberty Park; April 1-30, June 1-30, August 1-31, October 1-31, 2022 at Sunset Neighborhood Park Performance time(s): 24 hours each day 5.Total compensation to Provider by City of Renton: $ 0.00 Check should be made payable to: N/A Check should be sent to the following address: N/A 6.City of Renton will make payment as follows: N/A 7.Insurance: X Evidence of liability insurance coverage, with the City of Renton named as an Additional Insured, is required. A new insurance certificate will be sent by May 1, 2022 Evidence of liability insurance coverage is waived by Risk Management and is not required. CAG-22-044 Entertainment Agreement | Page 2 of 3 Last Updated: 7-18-2019 (Non-standard, clb 7/21/21 1668) The City of Renton does not represent that any required minimum insurance, or waiver of such insurance, is adequate to protect Provider from financial liability created by Pr omissions. 8.Reservation: Subject to constitutional or other legal limits, the City of Renton reserves the right to specify the manner, means and details of the performance of services by Provider as well as themode in which the service shall be accomplished. 9.Additional Provisions: a. The City of Renton has the right to cancel the Engagement and/or this Agreement due to inclement weather or for any other reason, in which case the Provider is not entitled to any compensation. c. Provider shall maintain all records relating to the Engagement and retain such records for as long as required by applicable Washington State records retention laws, but in any event no less than six years after the last date of the Engagement. Provider agrees to provide access to and copies of any records related to the Engagement as required by the City for audit purposes or to comply with the Washington State Public Records Act (Chapter 42.56 RCW). The provisions of this section shall survive the expiration or termination of this Entertainment Agreement. d. The City of Renton maintains licenses with the American Society of Composers, Authors and Publishers (ASCAP) and Broadcast Music Incorporated (BMI). Provider is responsible for obtaining any and all required forms of permission that extend beyond the City of copyright obligations. e. Provider, and its agents or assigns, agrees to release, indemnify, defend, and hold harmless the City of Renton from any and all claims from any person or entity which may arise due to any act or omission, whether or not behalf. f. The nature of the relationship between Provider and the City of Renton under this Agreement shall be that of an independent contractor, not employee, consultant, or agent. g. To the extent a Provider-prepared attachment conflicts with the terms in the body of this Agreement or contains terms that are extraneous to the purpose of this Agreement, the terms all not be incorporated herein. h. The laws of the State of Washington shall apply to this Agreement. i. Provider and the City of Renton may execute this Agreement in any number of counterparts, each of which shall constitute an original, and all of which together constitute this one Agreement. This Agreement contains the entirety of the agreement between the parties. No further agreements have been made between the parties.
