The CITY hereby grants to OLYMPIC permission to (a) construct, operate, maintain and finally remove the exis- ting 16" 0.D. pipeline system for the transportation of liquid petroleum products with'necessary appurtenances and cathodic protection devices in the portion of the City's right of Ely. described in Exhibit B hereto (which is hereby incorporated herein by this reference); (b) construct, operate, maintain and finally remove one 20" 0.D. pipeline system for the transportation of liquid petroleum products with necessary appurtenances and cathodic protection devices in the portion of the City's right of win described in Exhibit C hereto (which is hereby incorporated herein by this reference); (c) use of the CITY'S patrol road situated in the City', right of wag and use of corridors of reasonable width centered on each of the above pipeline systems, for pipeline systems construction, maintenance and removal puepobes; Said areas described in (b) and (c) above hereinafter being called the "permit area"; ALL SUBJECT TO the terms, conditions, restrictions, specifications and requirements of this per.eit agreement. Provided however, the CITY makes no warranties or representations concerning the owners, ownerships, and/or property rights encumbered by the City's right of !. • 4. The permission herein granted shall be perpetual; provided if all or any portion of the 212.eline matems herein permitted shall be aban- doned by OLYMPIC, the permission shall thereupon terminate as to all such abandoned portions. Dollars ($17,790.00). 6. The CITEreserves the right to permit the use by others of the City's right of Ism in a manner not inconsistent with the permission herein granted to OLYMPIC. 7. OLYMPIC shall at its sole expense and risk be solely reapoa- sible and liable for: (a) locating, install?eg, maintaining, operating, using, protecting, and removing its pipeline systems (including any cathodic devices thereon) safely without damage or interference with the CITY's transmission system and without damage or interference with the use and • operation of said transmission systee; (b) al1 work, activity and operations by, for or on behalf of OLYMPIC in, on, about, or concerning or affecting the City's right of Ely or the CITY'S transmission system and its operation; (c) cleaning up, curing, neutralizing and removing any actually or potentially flammable, dangerous, toxic, contaminating, hazardous, pollutant condition, vapor, fluid or substance which may escape f_r CLYMPICIZ pipeline systems or which may occur upon or adjacent to the • City's right of wear not proximately caused by the sole negligence of the CITY. Upon completion of any construction, improvement, maintenance or work for `ipaline systems purposes within the City`s right or wad; 0 •1 OLYMPTC shall at its sole expense: : ' li . (a) -install and maintain in good condition suitable and • substantial permanent markers at appropriate planes, at suitable intervals • along such pipeline systems in the permit area, sufficient to give notice to all persons of the location thereof; • (b) leave the permit area in as good and safe condition as it was before the commencement of eny work by or on behalf of OLYMPIC; li ( ;eye- in addition to the permit fee, to the CITY (Light- ing Department) the CITY'S costs of inspection of any such construction, • improvement, maintenance, or work immediately upon receipt of a bill therefor; and • (d) prepare and file with the CITY'S Lighting Department plans showing to the satisfaction of the Superintendent of Lighting the pipeline aysteme and markers ao constructed. ) (_) 11. OLYMPIC agrees to take such steps as may be necessary to insure that no corrosion damage will accrue t. the CITY'S transmission ' system or other facilities belonging to the CITY as a result of the construc- tion. operation, or maintenance of the pipeline systems or of any cathodic protection system on any portion of the pipeline systems. Following the installation or revision of any cathodic protection system on any portion of OLYMPIC'S pipeline systeas 'and whenever requested by the CITY'S CD Superintendent of Lighting, OLYMPIC shall perform, jointly with the CITY, CD interference tests to determine whether OLYMPiC'S cathodic protection system or systems adversely affect the CITY'S transmission system or other CD ,1 CITY .facilities.... I£•edvessa•effects are discovered, mitigative measures satisfactory to the CITY'S Superintendent cf Lighting shall be taken by OLYMPIC. All such interference testing, by both the CITY and OLYMPIC, any • • necessary mitigative measures, and the repair by the CITY of any such damage shall be at the sole cost and expanse of OLYMPIC. 12. The CITY reserves the right to use the City's right of way for its own purposes in any way. Without limiting the generality of the foregoing, the CITY reserves the right at any time and from time t;. time to canstrr_t, imf..ove or reconstruct its transmission system (w)'ther now existing cr hereafter constructed) upon, under and across the City's right of vat. If in the opinion of the CITY'S Superintendent of Lighting the CITY'S transmission system in the City's right of way (whether now existing or hereafter constructed) or said transmission system's (as presently or hereafter constructed) ability to comply with federal, state or local governmental laws, regulations, rules, orders or safety standards and all :nendeents thereto, would be endangered by, or interfered with by OLYMPIC'S } pipeline systems or anyportion thereof, OLYMPIC shall promptly relocate such pipeline systems at OLYMPIC'S sole expense and risk to another loca- tion within the City's right• -of was if practicable tc the satisfaction of the. CITY'S Superintendent of Lighting, or if the CITY'S Superintendent of IC Lighting deems other .. aeonable or less expensive measures are satisfactory. OLYMPIC shall promptly accomplish the same at its sole expense and risk, tc the satisfaction of the Superintendent of Lighting. 13. All alterations, moving, or adjusting of the CITY'S trans- mission system, required by construction, imrr^Dement, maintenance, inspection, repair or work undertaken by OLYMPIC for pipeline systems purposes, shall be performed by persons of the CITY'S Lighting Department sole choice at the sole cost and expense of OLYMPIC. 14. OLYMPIC shall be liable for, and shall pay any taxes on any rei . property interest deemed by the King County Assessor, or other official O of the State of Washington, King County or other taxing entity responsible CD therefor, to have been created by this permit; and shall otherwise fulfill all fiscal obligations creating or imposing a lien or charge on the rights established by this agreement. • 15. OLYMPIC hereby assumes all risk of loss or damage including loss of use, damage or injury to persons or property, which may be suffered by OLYMPIC resulting from the CITY'S transmission systems, OLYMPIC'S use of the City's right of vim, or from OLYMPIC'S pipeline systems' prox- imity to the CITY'S transmission system, except damage or injury which is • • the proximate result of the sole negligence of the CITY, its employees, or agents. • 16. The permission herein granted OLYMPIC shall not be assignable or transferable by operation of law without the prior consent of CITY given by resolution and setting forth such reasonable conditions as CITY might prescribe. • 17. Notwithstanding termination or expiration of this agreement, cessation of operations or removal or relocation of OLYMPIC'S pipeline ystems herein permitted, OLYMPIC shall remain bound by the obligations herein contained until (a) all pipes, pipelines, apparatus, equipment, property and feline systems of OLYMPIC, are removed from the City's right of way, (b) said righr of way is vacated and restored in a manner and to as good condition in all respects as the abutting portions thereof, to the satisfaction of the CITY'S Superintendent of Lighting, and OLYMPIC has discharged its obligations herein. • 13. OLYMPIC agrees to indemnify and save harmless the CITY from •• and against all clr.ima, actions, suits, liability, loss, costs, expense t-� ee or damage of every kind and !ascription (including without limitation 1 . damage or injury to the property or pipeline systems of OLYMPIC, or the CITY or its transmission system, or to any person acting on OLYMPICS or the CITY'S behalf, consequential damages resulting from interruption o ' elec- trical service, and attorneys fees) which may at any time arise or occur by reason of the construction, operation, maintenance, use or removal of said pipeline systems, or OLYMPIC'S occupation or use of said CITY right Cv of way or any portion thereof, or OLYMPIC'S pipeline systems' proximity O 0 to the CITY'S transmission system, or by reason of anything that has been done, or may at any time be done by or on behalf of OLYMPIC, its officers, CD agents, employees or contractors, or by reason of OLYMPIC failing or refusing to strictly comply with each and every provision of this agree- • ment; upon notice from the CITY, OLYTPIC shall at its sole cost and expense appear and defend in the name of the CITY any such action or • suit against the CITY, and to pay and satisfy any final judgment which may be rendered-against the CITY in any such suit or action. The above liability shall not be d-f {n{shed by the fact, if it be a fact, that any such suit or action brought against the CITY may have been contributed to, a or alleged to Lave been contributed to,by negligence of the eiIY, its officers, agents or employees; provided nothing herein contained shall be . construed as requiring OLYMPIC to indemnify the CITY ap^inst liability for :amages arising out of. bodily injury to persons or damage to property proximately resulting from the sole negligence of the CITY. 19. Until OLYMPIC has discharged its obligations trader this agreement, OLYMPIC shall provide and maintain in full force and effect, • public liability insurance covering said 2leeline systems and OLYMPIC'S exercise of the permission granted by this agreement, which insurance shall name the CITY as an additional insured, and shall cover any liability of OLYMPIC to the CITE' arising from OLYAPIC'S negli_ence, providing for a limit of not less than Two Million Dollars ($2,000,000) for all damages +sing out of bodily iniuriee to or death of one or more persons arising out of any ona accident; and property damage r liability insurance providing for a limit of notless than Two Million Dollars ($2,000,000), for all damage arising ow. of injury to or destruc- tion of property in any one accident; provided, however, that whenever in the judgment of the CITY'S Superintendent of Lighting such public liability insurance filed pursuant to the provisions hereof shall be deemed insufficient to fully protect the CITY, OLYMPIC shall, upon demand by said Superintendent, furnish additional insurance in such amount as CO • may be specified by said Superintendent. The CITY by its failure to in 1st upon full performance of any provision of f'iis agreement shall not be deemed to consent to or accept such performance in the future nor waive full compliance with the terms and conditions of this agreement. No waiver of any breach or default shall constitute or be construed as a waiver of any subsequent like breach or default. 21. The agreements and covenants of OLYMPIC herein are the material considerations for the granting of this permit, and if, thirty (30) days after written notice to OLYMPIC by the CITY'S Superintendent of Lighting of the default or failure of OLYMPIC in the performance of any of the terms and conditions herein, corre..tive measures satisfactory to the CITY'S Superintendent of Lighting have not been taken by OLYMPIC: the CITY may at its option terminate this permit by resolution, ono in such event all rights of nLYMPIC hereunder shall cease.
