HomeMy WebLinkAboutContractTHISAGREEMENT,datedforreferencepurposesonlyasAugust15,2022,isbyandbetweentheCityofRenton(the“City”),aWashingtonmunicipalcorporation,andCommonGroundCoffee&Cupcakes,Inc(“Beneficiary”),aWashingtonStateCorporationandsetsforththetermsandconditionsunderwhichtheCitywillprovideagranttoBeneficiaryasasecondroundofawardsundertheSmallBusinessResiliencyGrantProgram(“Program”)authorizedbytheRentonCityCouncilonSeptember20,2021.TheProgramisfundedthroughtheCoronavirusLocalFiscalRecoveryFund(42USC803)(“CLFRF”)awardtotheCityasauthorizedbytheAmericanRescuePlanActof2021(“ARPA”)(CLFRFandARPAtogether“Fund”).TheCityandtheBeneficiaryare referredtocollectivelyinthisAgreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreementiseffectiveasofthelastdatesignedbybothparties.RECITALS:WHEREAS,beginninginMarch 2020,local,state,andfederaljurisdictions,includingtheCityofRenton,issuedproclamationsofemergencyduetothepublichealthimpactsofthenovelcoronavirusandCOVID-19infections;andWHEREAS,theStateofWashingtonissuedaseriesofprohibitionsandadvisoriestolimitpublicgatheringsandintermittentclosuresofnon-essentialbusinessesinordertolimitthespreadofCOVID-19;andWHEREAS,manybusinessesexperiencednegativeimpactstotheirin-personrevenues;andWHEREAS,useofCLFRFmoniesareintendedtobeusedtorespondtoavarietyofneedsarisingfromtheCOVID-19publichealthcrisis,includingassistancetoaddressnegativeeconomicimpactstosmallbusinesses;andWHEREAS,theCityofRentonenteredintoanInteragencyAgreementwiththeUSDepartmentofTreasury (“InteragencyAgreement”)for$18,113,855.00undertheFundfortheperiodGRANTBENEFICIARYAGREEMENTWITHCOMMONGROUNDCOFFEE&CUPCAKESSMALLBUSINESSRESILIENCYREIMBURSEMENTGRANTFUNDPROGRAMSECONDROUNDCAG-22-273 March3,2021throughDecember31,2024,attachedheretoasExhibit1andincorporatedherein;andWHEREAS,onSeptember20,2021,theCityCouncildirectedCityadministrationtoestablishtheCityofRentonSmallBusinessResiliencyGrantFundProgram(“Program”)toutilizeFundresourcestosupportshort-termeconomicstabilityviamonetarygrantstoqualifyingsmallbusinesseslocatedwithinCitylimitsthat,asaclass,qualifyunderapplicablefederal,state,andlocalcriteria;andWHEREAS,theCityissuedtwenty-nine(29)smallbusinessgrantsunderthefirst roundofawardsoftheProgram;andWHEREAS,theCityestablishedasecondround(“Round2”)oftheProgramlayingouteligibilitycriteria, and eliminatingtherequirementthatthebusinessbesubjecttotheWashingtonstateretailtax..TheCity’seligibilitycriteriaforsmallbusinesseswithlessthan$3millioningrossannualrevenueareasfollows:(1)thebusinessislocatedinabuildingwithacommercialstorefrontorofficewithinthedefineddowntownareashowninExhibit2,attachedandincorporatedherein;(2)thebusinesshasacurrentCityofRentonbusinesslicenseingoodstandingandobtainedonor beforeMarch,2020;(3)thebusinesshas nomorethanfifty(50)fulltime-equivalentemployees,andfewer thanthreenationalorlocallocations;;(4)thebusinesshasexperiencedarevenuelossattributabletoCOVID-19;(5)thebusinesswasnotgrantedanawardinthefirstroundoftheProgram;and(6)thebusinessisnotowned,orpartiallyowned,bymanagers,officers,directorsorpublicofficialsassociatedwiththeCityofRenton;andWHEREAS,theCitymadetheapplicationavailabletosmallbusinessestoseekfundingundertheProgramRound2,andBeneficiaryapplied. ProgramRound2CallforApplicationandBeneficiary’sApplicationareattachedheretoasExhibit3andExhibit4respectively,andareincorporatedherein;andWHEREAS,theCityhasreviewedtheApplicationanddeterminedthattheBeneficiaryiseligibleforassistanceunderthisProgramRound2(1)thebusinessislocatedinabuildingwithacommercialstorefrontorofficewithinthedefineddowntownareashowninExhibit2; (2)thebusinesshasacurrentCityofRentonbusinesslicenseingoodstandingandobtainedonorbeforeMarch,2020;(3)thebusinesshasnomorethanfifty(50)fulltime-equivalentemployees,andfewerthanthreenationalorlocallocations;(4)thebusinessexperiencedarevenuelossattributabletoCOVID-19;(5)thebusinesswasnotgrantedanawardinthefirstroundoftheProgram;and(6)thebusinessisnot owned,orpartiallyowned,bymanagers,officers,directorsorpublicofficialsassociatedwiththeCityofRenton.NOWTHEREFORE,inconsiderationofthemutualcovenantsandagreementsherein,thePartiesagreeasfollows:AGREEMENTPAGE2OF10 1.GrantAmount.ThetotalamounttobeawardedtoBeneficiaryundertheprogramisuptoseventhousandfivehundreddollars($7,500.00)asasingle,one-timereimbursementforeligibleexpenses.Exceptasspecificallyprovidedherein,theBeneficiaryshallbesolelyresponsibleforpaymentofanytaxesimposedasaresultofthisAgreement.a.AwardDisbursement.i.Expenses.Theawardwillbedisbursedinasinglepaymentbasedonactualeligiblereimbursableexpensesdescribedinparagraph2ofthisAgreement,andoccurringbetweenMarch3,2021andDecember31,2021whichisfurtherdescribedinparagraph8ofthisAgreement.ii.ReimbursementRequest.Within60daysofexecutionofthisagreement,butinnocaseafterSeptember30,2022BeneficiaryshallsubmitasinglereimbursementrequestinaformatacceptabletotheCity(Exhibit5)withsupportingdocumentationincluding,butnotlimitedto,invoicesorreportsdemonstratinglossesforwhichreimbursementissought.PaymentshallbemadebyCITYwithinthirty(30)calendardaysafterreceiptandapprovalbytheappropriateCITYrepresentativeoftheinvoice.iii.Nowaiver.PaymentforanyreimbursementshallnotconstituteawaiverbytheCityofanyremediesitmayhaveforanybreachofthisAgreementbytheBeneficiary.iv.Taximplications.Grantfundsmaybetaxable.Pleaseconsultyourfinancialadvisor/taxprofessionalforguidance.IfitisrequiredbytheIRS,a1099formwillbeissuedtotheBeneficiary.2.SconeofEligibleExpenditures:GrantfundsdisbursedunderthisAgreementshallonlybeusedtopayorreimburseeligibleexpensesasdescribedintheInteragencyAgreement(Exhibit1)andinthe“ProgramCallforApplications”(Exhibit3)a.EligibleExDenses.UndertheFund,eligibleexpensesarethosewhichsupportreimbursementofcostsattributabletobusinessinterruptionsduetotheCOVID-19publichealthemergencyincludingrequiredclosures,voluntaryclosurestopromotephysicaldistancing,ordecreasedcustomerdemandandaccordingtotheSLFRFGuidanceineffectatthetimeofthedisbursement.Specifically,eligibleexpensesinclude:i.Payrollexpenses;ii.Rentalexpense;iii.Utilities;iv.Machineryandequipment(e.g.,HVACupgrade);v.EquipmenttoadvancetechnologyusedinresponsetoCOVID-19;vi.PersonalProtectiveEquipment(PPE)and/orsanitationsupplies,equipmentandservicestorespondtoCOVID-19;vii.TemporaryorpermanentchangestobusinessoperationsinresponsetoCOVID-19closuresordecreasedcustomerdemand;andviii.Marketing.PAGE3OF10 b.ReimbursementDefined.“Reimbursement”meansgrantdisbursementtoBeneficiaryuponreceiptbytheCityofinvoicesanddocumentationdemonstratingeligibleexpenses.c.NoDuplicationofPayment.NograntfundsmaybeusedtopayorreimbursecostsforexpendituresforwhichBeneficiaryhasreceivedanyotherfunding,whetherstate,federalorprivateinnature,forthatsameexpense.d.BeneficiaryRelationship.Beneficiaryagreesitisabeneficiaryoftheaward,thatisanentityforwhomthegrantprojectisundertakeninresponsetothenationalCOVID-19publichealthemergency(alocalbusinessthatsufferedbusinesslossesrelatedtoCOVID-19closuresofdecreasedcustomerdemand).Beneficiaryagreesitisneitherasubrecipientcarryingoutapurposeofthefederalaward,noracontractorforwhichitisprovidinggoodsandservicestocreateaprocurementrelationshipwiththeCityunderthisdisbursement.3.BeneficiaryResponsibilities.a.FederalCompliance.BeneficiaryunderstandsandagreesthatfundsprovidedunderthisAgreementmayonlybeusedincompliancewithsection603(c)oftheSocialSecurityAd(“theAct”),asaddedbysection9901oftheAmericanRescuePlanAct(“ARPA”),theU.S.DepartmentofTreasury’s(“Treasury’s”)regulationsimplementingthatsection,guidanceissuedbyTreasuryregardingtheforegoing,andanyotherapplicablefederalprovisions,includingthosedescribedintheInteragencyAgreement(Exhibit1).b.FalseStatement.TheBeneficiaryunderstandsandacknowledgesthatprovidingfalseinformationintheApplicationoronanydocumentssubmittedtotheCityoritsdesigneesaspartoftheBeneficiary’sparticipationintheProgrammayconstitutefraud,justifyterminationofthisAgreement,triggertheBeneficiary’sobligationtoreturnfunds,andmaybesubjecttociviland/orcriminalpenaltiesand/orsanctions.c.NoEmloveeRelationship.TheBeneficiaryunderstandsandacknowledgesthatneithertheBeneficiarynoranyofficer,employeeoragentoftheBeneficiaryshallbeconsideredtobeanemployeeoftheCity,norentitledtoanybenefitsaccordedCityemployees,byvirtueoftheservicesprovidedunderthisAgreement.TheCityshallnotberesponsibleforassumingthedutiesofanemployerwithrespecttotheBeneficiaryoranyemployeeoftheBeneficiary.U.Non-discrimination.DuringtheperformanceofthisAgreement,theCompanyshallcomplywithallfederalandstatenondiscriminationlaws,includingbutnotlimitedto,chapter49.60RCW,Washington’sLawAgainstDiscrimination,and42U.S.C.12101etseq.,theAmericanswithDisabilitiesAct(ADA).IntheeventoftheCompany’snoncomplianceorrefusaltocomplywithanynondiscriminationlaw,regulation,orpolicy,thisAgreementmayberescinded,canceled,orterminatedinwholeorinpart.PAGE4OF10 e.DebarmentandSusDensionCertification.Beneficiary,bysignaturetothisAgreement,certifiesthatBeneficiaryisnotcurrentlydebarred,suspended,orproposedfordebarment,byanyFederaldepartmentoragency.Entitiesthataredebarred,suspended,orproposedfordebarment,bytheU.S.GovernmentareexcludedfromreceivingfederalfundsandcontractingwiththeCity.Grantee,bysignaturetothisAgreement,certifiesthatGranteeisnotcurrentlydebarred,suspended,orproposedfordebarment,byanyFederaldepartmentoragency.Granteealsoagreesthatitwillnotenterintoasubcontractwithapersonorentitythatisdebarred,suspended,orproposedfordebarment.GranteewillnotifytheCityifit,orasubcontractor,isdebarred,suspended,orproposedfordebarment,byanyFederaldepartmentoragency.Debarmentstatusmaybeverifiedathttijs://www.sam.gov/.i.Debarment:AsusedinthisAgreementmeansthatanentityhasbeenexcludedfromparticipatingintransactionswiththeUSgovernment(2CFR180.925)ii.Suspension:AsusedinthisAgreementmeansthatanentityhasbeentemporarilyprohibitedfromparticipatingintransactionswiththeUSgovernmentpendingcompletionofaninvestigation.(2CFR180.1015)f.IftheBeneficiaryisasoleproprietorshiporifthisAgreementiswithanindividual,theBeneficiaryagreestonotifytheCityandcompleteanyrequiredformiftheBeneficiaryretiredunderaStateofWashingtonretirementsystemandagreestoindemnifyanylossestheCitymaysustainthroughtheBeneficiary’sfailuretodoso.4.Notices:AnynoticerequiredunderthisAgreementwillbeinwriting,addressedtotheappropriatepartyattheaddresswhichappearsbelow(asmodifiedinwritingfromtimetotimebysuchparty),andgivenpersonally,byregisteredorcertifiedmail,returnreceiptrequested,byfacsimileorbynationallyrecognizedovernightcourierservice.Timeperiodfornoticesshallbedeemedtohavecommenceduponthedateofreceipt,EXCEPTfacsimiledeliverywillbedeemedtohavecommencedonthefirstbusinessdayfollowingtransmission.EmailandtelephonemaybeusedforpurposesofadministeringtheAgreement,butshouldnotbeusedtogiveanyformalnoticerequiredbytheAgreement.CITYOFRENTONBENEFICIARYJessieKotarskiLangeWoonEconomicDevelopmentManagerCommonGroundCoffee&Cupcakes1055SouthGradyWay900S3rdStUnitARenton,WA98057Renton,WA98057Phone:(425)430-7271Phone:(245)306-9566Email:jkotarski@rentonwa.govEmail:L.K.Woon@comcast.netoPAGE5OF10 5.Records:Maintenance.Access.Disclosure.a.BeneficiaryshallmaintainallrecordsandaccountswithrespecttoallmatterscoveredbythisAgreement,includingpersonnel,property,financial,andprogrammaticrecordsanddocumentssufficienttoevidencecompliancewithsection603(c)oftheAct,Treasury’sregulationsimplementingthatsection,andguidanceissuedbyTreasuryregardingtheforegoing.b.TheserecordsshallbemaintainedforaslongasmayberequiredbyapplicableWashingtonStaterecordsretentionlaws,butinanycaseforaperiodofsix(6)yearsafterallfundshavebeenexpendedorreturnedtotheCity,whicheverislater,toensureproperaccountingforallfundsandcompliancewiththeAgreement.c.Ifanylitigation,claimorauditisstartedbeforetheexpirationofthesix(6)yearperiodprovidedinSection4(b)above,therecordsshallberetaineduntilalllitigation,claims,orauditfindingsinvolvingtherecordshavebeenresolved.a.TheCity,theTreasuryOfficeofInspectorGeneral,andtheGovernmentAccountabilityOffice,ortheirauthorizedrepresentatives,shallhavetherightofaccesstorecords(electronicandotherwise)ofBeneficiaryinordertoconductauditsorotherinvestigations.b.BeneficiaryacknowledgesthatrecordsmaybesubjecttodisclosureunderthePublicRecordsAct,Ch.42.56RCW.i.TothefullextenttheCitydeterminesnecessarytocomplywiththeWashingtonStatePublicRecordsAct,BeneficiaryshallmakeaduediligentsearchofallrecordsinitspossessionorcontrolrelatingtothisAgreementandtheWork,including,butnotlimitedto,e-mail,correspondence,notes,savedtelephonemessages,recordings,photos,ordrawingsandprovidethemtotheCityforproduction.ii.IntheeventBeneficiarybelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,atBeneficiary’sownexpense,seekjudicialprotection.Beneficiaryshallindemnify,defend,andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaimorlitigationrelatedtoaPublicRecordsActrequestforwhichBeneficiaryhasresponsiverecordsandforwhichBeneficiaryhaswithheldrecordsorinformationcontainedtherein,ornotprovidedthemtotheCityinatimelymanner.iii.BeneficiaryshallproducefordistributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimelymanner,unlessthoserecordsareprotectedbycourtorder.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.6.Publications.AnypublicationsproducedwithfundsfromthisAgreementmustdisplaythefollowinglanguage:“Thisprojectisbeingsupported,inwholeorinpart,bystateandlocalPAGE6OF10 fiscalrecoveryfundsawardedtotheCityofRenton,WashingtonbytheU.S.DepartmentoftheTreasury.”7.DisclaimerbytheCityandUnitedStates.a.TheCityexpresslydisclaimsanyandallresponsibilityorliabilitytoBeneficiaryorthirdpersonsfortheactionsofBeneficiaryorthirdpersonsresultingindeath,bodilyinjury,propertydamages,oranyotherlossesresultinginanywayfromtheperformanceofthisAgreementoranyotherlossesresultinginanywayfromtheperformanceoftheAgreement,oranysubcontractthereto.ThisAgreementdoesnotinanywayestablishanagencyrelationshipbetweenoramongtheUnitedStates,theCity,and/orBeneficiary.b.TheUnitedStateshasexpresslydisclaimedanyandallresponsibilityorliabilitytotheCityorthirdpersonsfortheactionsoftheCityorthirdpersonsresultingindeath,bodilyinjury,propertydamages,oranyotherlossesresultinginanywayfromtheperformanceofthisawardoranyotherlossesresultinginanywayfromtheperformanceoftheawardofFederalfundstotheCityundersection603(c)oftheAct,oranycontractorsubcontractundersuchaward.8.FalseStatements.BeneficiaryunderstandsthatmakingfalsestatementsorclaimsinconnectionwiththisAgreementmaybeaviolationoffederallawandmayresultincriminal,civil,oradministrativesanctions,includingfines,imprisonment,civildamagesandpenalties,debarmentfromparticipatinginfederalorCityawardsorcontracts,and/oranyotherremedyavailablebylaw.9.TimePeriodandExpensesincurredinExcessofProgramAwardFunds.a.BeneficiaryacknowledgesthatanyexpensesincurredinexcessofProgramAwardFundsaretheBeneficiary’ssoleresponsibilityandwillnotbepaidbytheCity.b.AllfundsremainsubjecttostatutoryrequirementsthatsuchfundsmustbeusedforcostsincurredbyBeneficiaryduringtheperiodthatbeganonMarch3,2021andendedonDecember31,2021,andthatawardfundsforthefinancialobligationsincurredbyDecember31,2021mustbesubmittedtotheCityforreimbursementnolaterthansixty(60)daysfromthedateofexecutionofthisAgreement.10.RepaymentofFunds.IfanyfundsprovidedtoBeneficiarywereusedinamannerthatisnotconsistentorallowableasoutlinedinthisAgreementorintheFederalTerms,BeneficiaryshallreturnfundstoCityintheamountdeterminedtobeineligible.BeneficiaryfurtheragreesthatitisfinanciallyresponsibleforandwillrepaytheCityanyandallindicatedamountsfollowinganauditexceptionwhichoccursduetoBeneficiary’sfailure,foranyreason,tocomplywiththetermsofthisAgreement.ThisaPAGE7010 dutytorepaytheCityshallnotbediminishedorextinguishedbytheterminationoftheAgreement.II.Termination.TheCityreservestherighttoterminatethisAgreementatanytime,withorwithoutcausebygivingten(10)calendardays’noticetotheBeneficiaryinwriting.Intheeventofsuchterminationorsuspension,anyunspentgrantproceedsshallbeimmediatelyreturnedtotheCity.12.ConflictofInterest.a.Beneficiarydesignees,agents,members,officers,employees,consultants,andanyotherpublicofficialwhoexercisesorwhohasexercisedanyfunctionsorresponsibilitieswithrespecttotheProgramduringhisorhertenure,orwhoisinapositiontoparticipateinadecision-makingprocessorgaininsideinformationwithregardtotheProgram,arebarredfromanyinterest,directorindirect,inanygrantorproceedsoftheProgram,orbenefittherefrom,whichispartofthisAgreementatanytimeduringoraftersuchperson’stenure.b.TheCity’sCodeofEthicsandWashingtonStatelawprohibitCityemployeesfromsoliciting,accepting,orreceivinganygift,gratuityorfavorfromanyperson,firmorcorporationinvolvedinacontractortransaction.ToensurecompliancewiththeCity’sCodeofEthicsandstatelaw,theBeneficiaryshallnotgiveagiftofanykindtoCityemployeesorofficials.BeneficiaryalsoconfirmsthatBeneficiarydoesnothaveabusinessinterestoraclosefamilyrelationshipwithanyCityofficeroremployeewhowas,is,orwillbeinvolvedinselectingtheBeneficiary,negotiatingoradministeringthisAgreement,orevaluatingtheBeneficiary’sperformanceoftheWork.13.InteragencyAgreementAmendments.ThePartiesacknowledgethatTreasuryorotheragenciesmayrequestchangestotheFundortheprovisionsoftheInteragencyAgreement.AnychangesorrevisionstotheFundortheInteragencyAgreementtermsandconditionsthatareapplicabletothisAgreementshallbeincorporatedbyamendmentofthisAgreement,followingwrittennoticebyCitytotheBeneficiary.14.Waiver/ConflictofTerms.a.AnywaiverbytheBeneficiaryortheCityofthebreachofanyprovisionofthisAgreementbytheotherpartywillnotoperate,orbeconstrued,asawaiverofanysubsequentbreachbyeitherpartyorpreventeitherpartyfromthereafterenforcinganysuchprovisions.b.IntheeventofanyinconsistenciesbetweenBeneficiaryproposalsandthisAgreement,thetermsofthisAgreementshallprevail.Anyexhibits/attachmentstothisAgreementareincorporatedbyreferenceonlytotheextentofthepurposeforwhichtheyarereferencedwithinthisAgreement.TotheextentaBeneficiarypreparedexhibitconflictswiththetermsinthebodyofthisAgreementorcontainstermsthatareextraneoustoPAGE8OF10 thepurposeforwhichitisreferenced,thetermsinthebodyofthisAgreementshallprevailandtheextraneoustermsshallnotbeincorporatedherein.15.Modification.ThisAgreementmayonlybeamendedbywrittenagreementsignedbybothParties.16.Severability.IntheeventanytermorconditionofthisAgreementorapplicationthereoftoanypersonorcircumstancesisheldinvalid,suchinvalidityshallnotaffectotherterms,conditions,orapplicationsofthisAgreementthatcanbegiveneffectwithouttheinvalidterm,condition,or application.Tothisend,thetermsandconditionsoftheAgreementaredeclaredseverable.17.GoverningLaws.Anylawsuitorlegalactionbroughtbyanyparty toenforceorinterpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKingCitySuperiorCourtfortheStateofWashingtonattheMalengRegionalJusticeCenterinKent,KingCity,Washington,oritsreplacementorsuccessorortheU.S.DistrictCourtfortheWesternDistrictofWashington.BeneficiaryherebyexpresslyconsentstothepersonalandexclusivejurisdictionandvenueofsuchcourtevenifBeneficiaryisaforeigncorporationnotregisteredwiththeStateofWashington.18.Indemnification.Tothemaximumextentpermittedbylaw,Beneficiaryshall,atitscostandexpense,protect,defend,indemnify,andholdharmlesstheCity,itsdirectors,officers,employees,andagents,fromandagainstanyandalldemands,liabilities,causesofaction,costsandexpenses(includingattorneys’fees),claims,judgments,orawardsofdamages,arisingoutoforinanywayresultingfromtheactsoromissionsofBeneficiary,itsdirectors,officers,employees,oragents, relatinginany waytoBeneficiary’sperformanceornon-performanceundertheAgreement.Beneficiaryagreesthatitsobligationsunderthisparagraphextendtoanydemands,liabilities,causesofaction,orclaimsbroughtby,oronbehalfof,anyofitsemployeesoragents.Forthispurpose,Beneficiary,bymutualnegotiation,herebywaives,asrespectstheCityonly,anyimmunitythatwouldotherwisebeavailableagainstsuchclaimsunderanyindustrialinsuranceact,includingTitle51RCW,otherWorker’sCompensationact,disabilitybenefitact, orotheremployeebenefitactofanyjurisdictionwhichwouldotherwisebeapplicableinthecaseofsuchclaim.TheseindemnificationobligationsshallsurvivetheterminationoftheAgreement.19.ComoleteAgreement.ThisAgreement setsforththecompleteexpressionoftheagreementbetweentheParties,andanyoralrepresentationsorunderstandingsnotincorporatedhereinareexcluded.ThePartiesmayexecutethisAgreementinanynumberofcounterparts,eachofwhichshallconstituteanoriginal,andallofwhichwilltogetherconstitutethisoneAgreement.oPAGE9OF10 Seth, City Clerk EXHIBIT 2: Small Business Resiliency Grant Fund Program Downtown Project Area Map EXHIBIT 3: Small Business Resiliency Grant Fund Program Call for Applications Renton Small Business Resiliency Grant Fund Renton’s City Council has authorized $600,000 to support a Grant Program to provide relief to Renton businesses experiencing direct economic hardship due to COVID-19 using Federal American Rescue Plan funds. This program provides a limited number of $7,500 relief grants to small, Renton businesses that meet specific criteria. Applications close July 15, 2022, at 11:59 PM. Grant Funds May Be Used For: Grant funds can be used to support the cost of business interruption due to COVID-19 as a result of required closures, voluntary closures to promote physical distancing, or decreased customer demand, including: • Payroll expenses • Rent expense • Utilities • Machinery and equipment (Example: HVAC upgrade) • Equipment needed to advance technology used in response to COVID-19 • Personal Protective Equipment (PPE) and/or sanitation supplies, equipment, and services • Modifications and changes temporarily or permanent to business operations Eligible costs are those incurred by the business between March 3, 2021 and December 31, 2021. Eligibility to Apply: To be eligible, businesses: • Must be licensed to do business in the State of Washington and in the City of Renton and in operation on or before March 2020. • Must have a physical office or storefront within the area identified in the map below. • Must demonstrate negative economic impact due to COVID-19 by demonstrating loss of revenue. • Only one application per business will be considered. Chains (national or local with 3 or more locations) will not be eligible for awards. • Did not receive grant funding in the first round of the Program. • To receive grant payment, the business owner is required to enter into a Grant Agreement with the City; and • Must comply with small business requirements of the US Department of Treasury Final Rule guiding the Coronavirus State and Local Fiscal Recovery Funds. Application Process: • Applications must be submitted no later than July 15, 2022, at 11:59 PM. • Priority will be given to businesses on a first-come, first-serve basis. • Complete the online application at rentondowntown.com/covidrelief • If you do not have the ability to fill out the application and submit online, please email thrive@rentonwa.gov or call 425.430.7271 to pick up or be mailed a hard copy application. Grant Awardee Notification & Disbursement Process: • Applicants will be notified of grant decisions via e-mail for all online applications and via letter for hard copy submittals by the end of July 2022. • If awarded, grant recipients must submit a W-9. • Funds are distributed only with supporting documentation. • Grants will be distributed via check payment between August 1 and August 31, 2022. • Grant funds may be taxable. Please consult your financial advisor/tax professional for guidance. A 1099 will be issued, as required by the IRS no later than January 2023. In their application, businesses must: • Demonstrate a decline of in-person* gross receipts due to the COVID-19 pandemic by completing the revenue loss calculator and providing applicable Dept of Revenue tax return(s) that document annual gross receipts along with documentation to substantiate deduction of online sales. *in-person gross receipts represent sales made at brick & mortar location; businesses may deduct from total annual receipts any web-based sales.
